Synopsis of Previous Council Action:
12/2/13 -Reso 2013-338 - The Mayor and Common Council of the City of San Bernardino
directed the Public Works Director to issue a "Request for Proposal for the Cleaning and Video
Inspection of the Sewer System." RFP F-14-19
Backiround:
The Public Works Department, Operation&Maintenance Division, is responsible for
maintenance and repair of 510 miles of sewer lines within the City. The City of San Bernardino
has filed a Sanitary Sewer Management Plan with the State of California. The purpose of the
Sanitary Sewer Management Plan is to ensure that the City is operating and maintaining its
sewer collection system in accordance with state and regional standards. One component of the
Sanitary Sewer Management Plan requires that 20%of sewer lines within the collection system
be video inspected each year. The video inspection is required to verify that the sewer system is
functioning properly and to locate areas that are in need of repair and/or replacement. Copies of
the video inspections are kept on file in the Department of Public Works.
On January 16, 2014, a formal bid process was initiated to solicit bids for cleaning and video
inspection of the sewer system. Notices were posted on the web, printed in the newspaper, and
mailed to the Chamber of Commerce. No local vendors responded and five non-local vendors
responded. The bid requested pricing per linear foot of sewer line cleaned and video inspected.

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE
9 CITY OF SAN BERNARDINO AS FOLLOWS:

24 SECTION 4. The authorization to execute the above referenced Purchase Order and

26 Agreement is rescinded if it is not executed by both parties within sixty (60) days of the
27 passage of this resolution.

SERVICES
This VENDOR Service Agreement is entered into this 3rd day of March, 2014,by and
between Houston & Harris PCS, Inc. ("VENDOR") and the City of San Bernardino ("CITY"
or"San Bernardino').
WITNESSETH:
WHEREAS, the Mayor and Common Council has determined that it is advantageous

VENDOR to provide those services as set forth in RFQ F-14-19, a copy of which is on file in
the Public Works Department and a copy of the Price Form is attached hereto as Attachment E
"1"and incorporated here by this reference. a
2. COMPENSATION AND EXPENSES.
a. For the services delineated above, the CITY, upon presentation of an invoice, shall
pay the VENDOR up to the amount of $200,000 for the cleaning and video
inspection of the sewer system pursuant to RFQ F-14-19.
b. No other expenditures made by VENDOR shall be reimbursed by CITY.

3. TERM; TERMINATION.
The term of this agreement shall be from March 3, 2014 through June 30, 2014, with
two (2) one-year extensions at the City's option. Option year one, if exercised, shall be
effective July 1, 2014 through June 30, 2015. Option year two, if exercised, shall be effective
July 1, 2015 through June 30,2016.
This Agreement may be terminated at any time by thirty (30) days' written notice by
either party. The terms of this Agreement shall remain in force unless amended by written ,.

actually caused by the sole negligence of the City, its elected officials, employees, agents or E
representatives. As part of the foregoing indemnity, VENDOR agrees to protect and defend at a
its own expense, including attorney's fees the City, its elected officials, employees, agents or
representatives from any and all legal actions based upon such actual or alleged acts or
omissions. VENDOR hereby waives any and all rights to any types of express or implied
indemnity against the City, its elected officials, employees, agents or representatives, with
respect to third party claims against the VENDOR relating to or in any way connected with the
accomplishment of the work or performance of services under this Agreement.

5. INSURANCE.
While not restricting or limiting the foregoing, during the term of this Agreement,
VENDOR shall maintain in effect policies of comprehensive public, general and automobile
liability insurance, in the amount of $1,000,000.00 combined single limit, and statutory
worker's compensation coverage, and shall file copies of said policies with the CITY's Risk
Manager prior to undertaking any work under this Agreement. CITY shall be set forth as an
additional named insured in each policy of insurance provided hereunder. The Certificate of

Income Tax, Social Security, State Disability Insurance Compensation, Unemployment
Compensation, and other payroll deductions for VENDOR and its officers, agents, anc
employees, and all business license, if any are required, in connection with the services to be
performed hereunder.

8. BUSINESS REGISTRATION CERTIFICATE AND OTHER REQUIREMENTS.
VENDOR warrants that it possesses or shall obtain, and maintain a business registration
certificate pursuant to Chapter 5 of the Municipal Code, and any other licenses, permits,
qualifications, insurance and approval of whatever nature that are legally required of VENDOR
to practice its business or profession.

Any notices to be given pursuant to this Agreement shall be deposited with the United

In the event that litigation is brought by any party in connection with this Agreement E
the prevailing party shall be entitled to recover from the opposing party all costs and expenses.

10. ASSIGNMENT.
VENDOR shall not voluntarily or by operation of law assign, transfer, sublet o:
encumber all or any part of the VENDOR's interest in this Agreement without CITY's prior

written consent. Any attempted assignment, transfer, subletting or encumbrance shall be void
and shall constitute a breach of this Agreement and cause for the termination of this
Agreement. Regardless of CITY'S consent, no subletting or assignment shall release VENDOR
of VENDOR's obligation to perform all other obligations to be performed by VENDOR
hereunder for the term of this Agreement.
11. VENUE.
The parties hereto agree that all actions or proceedings arising in connection with this

Bernardino, State of California or the U.S. District Court for the Central District of California,

15. SEVERABILITY.
If any provision of this Agreement is determined by a court of competent jurisdiction to
be invalid or unenforceable for any reason, such determination shall not affect the validity or
enforceability of the remaining terms and provisions hereof or of the offending provision in any

other circumstance, and the remaining provisions of this Agreement shall remain in full force
and effect.
16. ENTIRE AGREEMENT; MODIFICATION.
This Agreement constitutes the entire agreement and the understanding between the
parties, and supercedes any prior agreements and understandings relating to the subject manner
of this Agreement. This Agreement may be modified or amended only by a written instrument
executed by all parties to this Agreement.

CLEANING &VIDEO INSPECTION OF THE SEWER SYSTEM
NOTICE: "SPECIAL INSTRUCTIONS TO THE BIDDER"
The Public Works Department, Operation & Maintenance Division, is responsible for
cleaning and video inspection of the sewer system throughout the City. The intent of c
this document is to solicit proposals from qualified CONTRACTOR'S with experience in i
providing cleaning and video inspection of the sewer system. The City is looking for the
a most responsive and responsible CONTRACTOR that will be committed to provide the y
;j City of San Bernardino with cleaning and video inspection of the sewer system at a o
fixed flat fee per linear foot. Through a competitive qualification and bid based c
procurement process, the City of San Bernardino intends to enter into an agreement
with a qualified CONTRACTOR for video inspection of the sewer system. .
Services: Bidder shall complete right-hand column indicating brief reasoning for
exemptions to requirements when not applicable. State "Acceptable" if
requirements are agreeable as set forth in left-hand column.

1. SCOPE OF WORK a
Furnish all labor, materials, equipment, tools and incidentals
necessary to provide for the cleaning and video inspection of the
sewer mains utilizing a color closed circuit television inspection
unit to determine the condition of the lines. Submit one (1) copy Acceptable
of a color DVD of the recorded inspections and one (1) on a hard
drive to the Sewer Maintenance Supervisor or his designee.
Work must take place between the hours of 7:00 a.m. and 5:00
p.m. The CONTRACTOR is responsible for all traffic control.

The CONTRACTOR shall use the appropriate nozzle or cutter Y

Cleaning methods shall be employed to sufficiently clean the pipe E
so the camera can pass and can fully ascertain and document
the structural and operational condition of the sewer pipe. Any a
costs associated with video work that is necessitated by the
CONTRACTOR'S failure to sufficiently clean the main shall be
borne entirely by the CONTRACTOR.
The CONTRACTOR shall use a maintenance report from
supplied by the City to record the location of the cleaning
operation, the number of feet cleaned and the conditions
encountered for each section of sewer main that is cleaned. The
maintenance reports shall be delivered along with the DVD's,
logs and other materials when a designated area of work has
been completed. Any costs required to re-clean either an
unreported or an insufficiently cleaned main shall be borne
entirely by the CONTRACTOR.

Prior to commencement of work, the City shall approve the video
formats. The CONTRACTOR shall use equipment specially
designated and constructed for sewer and video inspections.
The date of the inspection, continuous forward and reverse
readout of camera distance from referenced access hole, the
upstream and downstream manhole with an arrow indicating
flaw direction, the size of the pipe, the name of the street,
the time of day and the project location name as supplied by
the City shall be displayed continuously on the monitor and
recorded on the video.

B. DVD Quality. If the CONCTRACTOR produces a DVD of
such poor quality that City staff is unable to evaluate the N
condition of the sanitary sewer main line or locate the sanitary N
sewer service lateral connections, the CONTRACTOR will be
required to re-inspect the sanitary sewer main and provide a new
DVD of good quality at no additional cost. a

C. The CONTRACTOR will be required to have all materials, a 00
water meter, equipment and labor on job site prior to isolating the d
sewer manhole segment and beginning cleaning or video E
inspection operations. A camera with rotating/panning lens
capabilities is required. a
D. Video Logs. Provide, with each completed DVD, a TV
inspection report which is a written log of all pipe defects, sags,
points of root intrusion, offset points, service connection locations
and conditions recorded on a footage basis. This log will also
denote the section being televised, flow and camera directions,
posifiion of taps or failures, pipe condition and weather conditions.
This report will be submitted to the Sewer Maintenance
Supervisor or his designee.

5. VIDEO EQUIPMENT OPERATIONS
The CONTRACTOR will be responsible for the TV inspection
equipment having an accurate footage counter, which displays
'i on the monitor the distance of the camera from the centerline of
`i the starting manhole. Adjust the camera height such that the
camera lens is always centered (1/2 ID or higher) in the pipe
being televised. In no case will the television camera be pulled or
propelled through the line at a speed greater than 25 feet per
minute.
Acceptable
Technicians with a minimum of two (2) years experience
shall only perform TV inspection, monitoring and recording.
The CONTRACTOR shall furnish qualification details and a
sample DVD for each technician so that the City, prior to the
commencement of work, can approve their involvement in
the project. N

6. NEGOTIABILITY OF SEWERS
as
The City of San Bernardino makes no guarantee that all of the
sanitary sewer mains proposed to be video inspected are clear o
for the passage of a camera. No separate and/or additional Acceptable
payment will be made for any excavation, man entry and/or other
method, which may be required to retrieve video equipment that N
has been hung up, destroyed, and/or lost during video inspection
operations.

7. UNIT PRICING PER LINEAR FOOT a

Provide a pricing proposal that is a fixed fee per linear foot (LF)

for cleaning and video inspections of the sewer main lines. The
City intends to hire a CONTRACTOR to clean and video inspect E
up to or approximately 150,000 linear feet per year or 28.5 miles y
per year. a
The 150,000 linear feet quantity is an estimate only and is shown
solely for the purposes of comparing proposals.
