Synopsis of Previous Council Action:
None.
Background:
The Public Works Department, Operations &Maintenance Division, is responsible for
maintaining the City's sewer lines. One of the components necessary to perform routine
maintenance is having the ability to view inside of the sewer lines. This is done using a video
camera that specifically designed for the purpose of sewer line videotaping. The videotape
provides a detailed view of the real time condition of the City's sewer lines. Once a line has been
videotaped, staff analyzes the recordings. Routine videotaping ensures that the sewers are
operable and that any repairs and/or blockages are remedied expeditiously. The existing camera
no longer works properly,repairs have been attempted but the camera must be replaced.
Staff researched cameras and vendors to find a replacement. During that research it was
discovered that the East Valley Water District purchased a sewer inspection camera with the
same specifications that staff is requesting. The East Valley Water District completed a formal
bid process to purchase a sewer inspection camera and software in September, 2013. The bid
was awarded to Plumber's Depot. Plumbers Depot has extended the bid price to the City of San

20 SECTION 3. The purchase order shall reference this resolution number and shall a

read, "Plumber's Depot, Inc. for purchase of a sewer inspection camera and related software.

Agreement not to exceed $88,800" and shall incorporate the terms and conditions of the
23
24 agreement.
25 SECTION 4. The authorization to execute the above referenced purchase order and
26 vendor purchase agreement is rescinded it if is not executed by both parties within sixty days
27 of the passage of this resolution.

This Vendor Purchase Agreement is entered into this 18th day of February, 2014, by
and between Plumber's Depot, Inc. ("VENDOR") and the City of San Bernardino ("CITY" or
"San Bernardino").
WITNESSETH:
WHEREAS, the Mayor and Common Council has determined that it is in the best
interest of the CITY to purchase a sewer inspection camera and software and;

WHEREAS, in September, 2013,the East Valley Water District did solicit and accept

quotes from available vendors for such sewer inspection camera and software; and

WHEREAS, VENDOR has extended the pricing to City as an inter-local cooperative c

For the remuneration stipulated, San Bernardino hereby engages the services of

VENDOR to provide those products and materials as set forth in East Valley Water District Bid a
Packet, a copy of which is on file in the Public Works Department and a copy of the Price Form
is attached hereto as Attachment"I" and incorporated herein.
2. COMPENSATION AND EXPENSES.
a. For the services delineated above, the CITY, upon presentation of an invoice, shall
pay the VENDOR up to the amount of $88,800 for the purchase of a sewer

3. TERM; TERMINATION.
This Agreement may be terminated at any time with thirty (30) days' written notice by
either party. The terms of this Agreement shall remain in force unless amended by written
agreement of the parties executed on or before the date of expiration of the current term of the
Agreement.

4. WARRANTY

VENDOR expressly warrants that all products and services supplied to CITY by

description, upon which this purchase is based, shall be fit and sufficient for the purpose N
intended, merchantable, of good material and workmanship, free from defects and free and co

clear of all liens or encumbrances. Inspection, testing, acceptance or use of the goods by the

CITY shall not affect VENDOR's obligations under this warranty, and such warranty shall
survive inspections, testing, acceptance and use. VENDOR agrees to replace or correct

promptly defects of any goods or services not conforming to the foregoing warranty without
expense to the CITY, when notified of such non-conformity by CITY. if VENDOR fails to a
correct the defects or replace non-conforming goods or services promptly, CITY may, after
reasonable notice to VENDOR, make such corrections or effect cover, or cure, at VENDOR's
expense. "Reasonable notice" for purposes of this section shall not be deemed to require more
than 60 calendars days notice before commencement of efforts by the CITY to effect cover or a
cure except upon written agreement of the Parties.

S. INDEMNITY.
VENDOR agrees to and shall indemnify and hold the CITY, its elected officials,
employees, agents or representatives, free and harmless from all claims, actions, damages and
liabilities of any kind and nature arising from bodily injury, including death, or property
damage, based or asserted upon any or alleged act or omission of VENDOR, its employees,
agents, or subcontractors, relating to or in any way connected with the accomplishment of the
work or performance of service under this Agreement, unless the bodily injury or property
damage was actually caused by the sole negligence of the CITY, its elected officials,

employees, agents or representatives. As part of the foregoing indemnity, VENDOR agrees to

protect and defend at its own expense, including attorney's fees the CITY, its elected officials,

INSSURANCE.

While not restricting or limiting the foregoing, during the term of this Agreement, a
VENDOR shall maintain in effect policies of comprehensive public, general and automobile
liability insurance, in the amount of $1,000,000.00 combined single limit, and statutory
worker's compensation coverage, and shall file copies of said policies with the CITY's Risk
Manager prior to undertaking any work under this Agreement. CITY shall be set forth as an
additional named insured in each policy of insurance provided hereunder. The Certificate of

Insurance furnished to the CITY shall require the insurer to notify CITY at least 30 days prior
to any change or termination of the policy.
7. NON-DISCRIMINATION.
In the performance of this Agreement and in the hiring and recruitment of employees,
VENDOR shall not engage in, nor permit its officers, employees or agents to engage in,
discrimination in employment of persons because of their race, religion, color, national origin,
ancestry, age, mental or physical disability, medical condition, marital status, sexual gender or
sexual orientation, or any other status protected by law, except as permitted in Section 12940 of L

10. ATTORNEYS' FEES.

In the event that litigation is brought by any party in connection with this Agreement,
the prevailing party shall be entitled to recover from the opposing party all costs and expenses,

including reasonable attorneys' fees, incurred by the prevailing party in the exercise of any of
its rights or remedies hereunder or the enforcement of any of the terms, conditions or
,, provisions hereof. The costs, salary and expenses of the City Attorney and members of his
soffice shall be considered as attorneys' fees for the purposes of this paragraph. Attorney's fees
for the City Attorney and members of his office shall be calculated based on market rate for

11. ASSIGNMENT.

CITY's prior written consent shall be void and shall constitute a breach of this Agreement and LO

cause for the termination of this Agreement. Regardless of CITY's consent, no subletting or E
assignment shall release VENDOR of VENDOR's obligation to perform all other obligations to

be performed by VENDOR hereunder for the term of this Agreement.

12. VENUE.
The parties hereto agree that all actions or proceedings arising in connection with this
Agreement shall be tried and litigated either in the State courts located in the County of San
Bernardino, State of California or the U.S. District Court for the Central District of California,
Riverside Division. The aforementioned choice of venue is intended by the parties to be
mandatory and not permissive in nature.

13. GOVERNING LAW.
This Agreement shall be governed by the laws of the State of California.

The subject headings of the sections of this Agreement are included for the purposes of
convenience only and shall not affect the construction or the interpretation of any of its

SECTION A
GENERAL TERMS AND CONDITIONS
1. Requirement to Meet all Provisions. Each individual or firm submitting a bid
(bidder) shall meet all of the terms and conditions of this specification. By virtue
of its bid submittal, the bidder acknowledges agreement with and acceptance of
all provisions of this specification.
2. Bid Submittal. Each bid must be submitted on the form provided in this
specification and accompanied by any other required submittals or supplemental E
materials. Bid documents shall be enclosed in an envelope that shall be sealed U
and addressed to East Valley Water District, Engineering Department. In order to 0
guard against premature opening, the bid should be clearly labeled with the bid U
title, name of bidder and date and time of bid opening. No FAX or email y
submittals will be accepted. S

3. Bidder Qualifications. The bidder shall be an authorized franchised dealer or cn
distributor for CCTV sewer inspection camera and software and shall have been
in business for a period of at least one (1) year prior to the bid opening date. The co
District may request that the goods being ordered be original manufacturer items.
The District reserves the right to inspect the bidder's facility(ies) and shall be the
sole judge as to its adequacy to properly serve the District.

4. Bid Quotes and Unit Price Extensions. The extensions of unit prices for the
quantities indicated and the lump sum prices quoted by the bidder must be 00
entered in figures in the spaces provided on the bid form. Any lump sum bid shall
be stated in figures. The bid form must be fully completed. If the unit price and E
the total amount stated by any bidder for any item are not in agreement, the unit
price alone will be considered as representing the bidder's intention and the bid a
total will be corrected to conform to the specified unit price.
5. Bid Withdrawal and Opening. A bidder may withdraw its bid without prejudice
prior to the time specified for the bid opening by submitting a written request to
the Engineering Manager for its withdrawal, in which case the bid will be returned
to the bidder unopened. No bid received after the time specified or at any place
other than that stated in the "Notice Inviting Bids" will be considered. All bids will
be opened and declared publicly. Bidders or their representatives are invited to
be present at the opening of the bids.

6. Submittal of One Bid Only. No individual or business entity of any kind shall be
allowed to make or file, or to be interested in more than one bid, except an
alternative bid when specifically requested.
7. Guarantees and Warranties. All parts, supplies and materials supplied to the
District by the vendor shall carry the manufacturer's full guarantee and/or
warranty and shall include any and all other guarantees and/or warranties
normally offered by the vendor to his/her customers. In all cases of guarantee
and/or warranty claims, the vendor shall handle all guarantee and/or warranty
claims in an expeditious manner. E

8. Communications. All timely requests for information submitted in writing will o
receive a written response from the District. Telephone communications with
District staff are not encouraged, but will be permitted. However, any such oral o.
communication shall not be binding on the District.

9. Bid Retention and Award. The District reserves the right to retain all bids fora cn
period of 60 days for examination and comparison. The District also reserves the
right to waive non-substantial irregularities in any bid, to reject any or all bids, to co
reject or delete one part of a bid and accept the other, except to the extent that N.
bids are qualified by specific limitations. See the "Special Terms and Conditions"
in Section C of this specification for bid evaluation and purchase order award
criteria. a.
10.Competency and Responsibility of Bidders. The District reserves full discretion 0°
to determine the competence and responsibility, professionally and/or financially,
of bidders. Bidders will provide, in a timely manner, any and all information that E
the District deems necessary to make such a decision.

11.Ability to Perform. The Contractor warrants that it possesses, or has arranged
through subcontracts, all capital and other equipment, labor, materials, and
licenses necessary to carry out and complete the work hereunder in compliance
with any and all federal, state, county, city, and special district laws, ordinances,
and regulations.
12.Laws to be Observed. The Contractor shall keep itself fully informed of and shall
observe and comply with all applicable state and federal laws and county and
City of Highland ordinances, regulations and adopted codes during its
performance of the work.

13.Payment of Taxes. The contract prices shall include full compensation for all
taxes that the Contractor is required to pay.
14.Permits and Licenses. The Contractor shall procure all permits and licenses,
pay all charges and fees, and give all notices necessary.
15.Payment Terms. The District's payment terms are 30 days from the receipt of an
original invoice and acceptance by the District of the materials, supplies,
equipment, or services provided by the Contractor (net 30).

15.Interests of Contractor. The Contractor covenants that it presently has no 0
interest, and shall not acquire any interest direct or indirect or otherwise, which o
would conflict in any manner or degree with the performance of the work
hereunder. The Contractor further covenants that, in the performance of this C
work, no subcontractor or person having such an interest shall be employed. The
Contractor certifies that no one who has or will have any financial interest in
performing this work is an officer or employee of the District. It is hereby rn
expressly agreed that, in the performance of the work hereunder, the Contractor
shall at all times be deemed an independent contractor and not an agent or 00
employee of the District. FSL

17.Hold Harmless and Indemnification. The Contractor agrees to defend,
indemnify, protect and hold the District and its agents, officers and employees a
harmless from and against any and all claims asserted or liability established for i3
damages or injuries to any person or property, including injury to the Contractor's 00
employees, agents or officers which arise from or are connected with or are
caused or claimed to be caused by the acts or omissions of the Contractor, and E
its agents, officers or employees, in performing the work or services herein, and
all expenses of investigating and defending against same; provided, however, a
that the Contractor's duty to indemnify and hold harmless shall not include any
claims or liability arising from the established sole negligence or willful
misconduct of the District, its agents, officers, or employees.
18.Purchase Order Assignment. The Contractor shall not assign, transfer, convey
or otherwise dispose of the purchase order, or its right, title or interest, or its
power to execute such a purchase order to any individual or business entity of
any kind without the previous written consent of the District.
19.Termination. If, during the term of the purchase order the District determines
that the Contractor is not faithfully abiding by any term or condition contained
herein, the District may notify the Contractor in writing of such defect or failure to

perform; which notice must give the Contractor a ten calendar day notice of time
thereafter in which to perform said work or cure the deficiency. If the Contractor
has not performed the work or cured the deficiency within the ten days specified
in the notice, such shall constitute a breach of the purchase order and the District
may terminate the purchase order immediately by written notice to the Contractor
to said effect. Thereafter, neither party shall have any further duties, obligations,
responsibilities, or rights under the purchase order except, however; any and all
obligations of the Contractor's surety shall remain in full force and effect, andshall
not be extinguished, reduced or in any manner waived by the termination thereof.

In said event, the Contractor shall be entitled to the reasonable value of its U
services performed from the beginning date in which the breach occurs up to the `o
day it received the Districts Notice of Termination, minus any offset from such
payment representing the District's damages from such breach. "Reasonable N
value" includes fees or charges for goods or services as of the last milestone or c
task satisfactorily delivered or completed by the Contractor as may be set forth in 3
the purchase order payment schedule; compensation for any other work, services
or goods performed or provided by the Contractor shall be based solely on the
District's assessment of the value of the work-in-progress in completing the CO
overall work scope.

The District reserves the right to delay any such payment until completion or
confirmed abandonment of the project, as may be determined in the District's a
sole discretion, so as to permit a full and complete accounting of costs. In no m
event, however, shall the Contractor be entitled to receive in excess of the
compensation quoted in its bid.
