Subject:
Resolution of the Mayor and Common Council of the City of San Bernardino authorizing a purchase
order to Compucom for a one year continuance of the software assurance contract for Microsoft Office
Professional Plus on 900 City PCs.
Background:
On November 5, 2007, the City entered into an agreement with Compucom to provide Microsoft Office
2007 Professional Plus with software assurance. In addition to allowing the City to upgrade 900 PCs to
Microsoft Office 2007 this agreement allowed another upgrade if a new version of Office was released
during the three year contract period. The current contract expires December 31s, 2010. Office 2010
Professional Plus was released by Microsoft this year and the City is in the process of upgrading 900 PCs
which constitutes the majority of its PC base.
The initial contract cost was $134,000 for each year of the 3 year contract. The City can continue the
contract for a one year period for a reduced cost of$74,097. Continuing the contract for an additional
year will allow upgrades to any new versions of Office Professional Plus that are released during the
contract period. It also provides 900 vouchers for online Office training classes. These classes will help
employees transition from earlier Office software versions to the new Office 2010 software interface.
The actual software purchase was executed in the initial three year contract. By continuing the contract
for an additional year it will not be necessary to purchase any new releases during the extension. If
software assurance were discontinued at this time, the City would have to repurchase Microsoft Office in
order to upgrade to any new versions.
This resolution authorizes the City Manager to execute an Agreement for the purchase and the Director of
Finance or his/her designee to issue a purchase order. This purchase is exempt from the formal contract
procedures of Section 3.04.010 of the Municipal Code, pursuant to Section 3.04.020, B3 of said Code,
"Purchases approved by the Mayor and Common Council".
Financial Impact:
Funds for this purchase order of$74,097 are appropriated in the Information Technology Department,
GIS Division,FY 2010-11 budget account for computer equipment(account no. 679-250-5702-0000-
0059). There is no impact on the General Fund.

Balance as of November 2, 2010: $77,000 Balance after approval of this item: $2,903

Copies:
On November 5, 2007, the City entered into an agreement with Compucom to
provide Microsoft Office 2007 Professional Plus with software assurance.
The contract will expire 12/31/2010. The City can extend this contract one
year through Compucom. The extension cannot be purchased through any other
reseller.
The initial contract cost was $134,000 for each year of the 3 year contract.

17 SECTION 1: The City Manager is hereby authorized and directed to accept on

20 to December 31, 2011, as set forth on Exhibit `B," at a cost of$74,097.00.
21 SECTION 2: That the Mayor and Common Council of the City of San Bernardino

authorize the Director of Finance or his/her designee to issue a Purchase Order to

9 behalf of the City a Purchase Agreement at a cost of$402,678.00 for the purchase of an
10 upgrade with software assurance to Microsoft Office Professional Plus 2007 on 900 City

PCs,a copy of which is attached hereto as Exhibit A and incorporated herein.

13 SECTION 2: That the Mayor and Common Council of the City of San Bernardino
14 authorize the Director of Finance or his/her designee to issue an Annual Purchase Order
15 with two automatic one-year renewals to CompuCom in an amount not to exceed
16 $134,226.00 per year to upgrade 900 City PCs to Office Professional Plus 2007. The
17 Purchase Order shall reference the number of the resolution and shall read: "Upgrade 900
18 City PCs to Office Professional Plus 2007. Not to exceed$134,226,"and shall incorporate

PURCHASE AGREEMENT
This Pumbase Agr me�t,�isS.e,ntered into this 5� day of
by and between CompuCom'� and the City of san Bernardino("CITY"or"San
Bernardino').
WHEREAS,the Mayor and Common Council has determined that it is advantageous
and in the best interest of the CRY to contract for the purchase of software and client accm
licenses to upgrade City's e-mail-,and,
WHEREAS,the City of San Bernardino did solicit and accept quotes from available
vendors for the purchase of said software and licensing.
NOW,THEREFORE,the parties hereto agree as follows:
1. SCOPE OF SERVICES.
For the remuneration stipulated, San Bernardino hereby engages VENDOR to provide
those products as set forth on Attachment"A,°attached hereto and incorporated herein.
e. COMPENSATION AND EXPENSES.
L For the products and/or services delineated in Paragraph 1, above, the CRY,upon
presentation of an invoice, shall pay the VENDOR up to the total amount of
5402,678.00,in three annual installments of$134-226.
b. No other expenditures made by VENDOR shall be reimbursed by CRY.
3. TERM;TERMINATION.
This purchase shall be completed within sixty(60)days.
This Agreement may be terminated at any time by thirty (30)days written notice by
either party. The arms of this Agreement shall remain in force unless mutually amended.
4. INDEMNITY.
CITY agrees to indemnify and hold harmless VENDOR,its officers,agents and
volunteers from any and all claims, actions, losses, damages and/or liability mSull;4 fi=
CITY's negligent acts or omissions arising from the CRP's performance of its obligations
under the Agreement-
VENDOR agrees to indemnify and hold harmless the CRY, its officers, agents, and
volunteers from any and all claim, actions, losses, damages and/or liability resulting from
VENDOR's negligent sets or omissions arising from the VENDOR's performance of its
obligations under the Agreement

In the event the Cn Y and/or the VENDOR is found to be comparatively at fault for any
claim, action, loss, or damage which results from thew respective obligations under the
` .' Agreement, the CITY and/or VENDOR shall indemnify the other to the extent of this
comparative fault.
5. INSURANCE.
While not restricting or limiting the foregoing, during the term of this Agreement,
VENDOR shall maintain in effect policies of comprehensive public, general and automobile
liability insurance, in the amount of S1,000,000-00 combined single limit, and statutory
worker's compensation coverage,and shall file copies of said policies with the CrrY's Risk
Manager prior to undertaking any work under this Agreement CITY shall be set forth as an
additional named insured in each policy of insurance provided hereunder. The Certificate of
Insurance furnished to the CITY shall require the insurer to notify CITY of any change or
termination in the policy.
6. NON-DISCRIMINATION.
In the performance of this Agreement and in the hiring and recruitment of employees,
VENDOR shall not engage in, nor permit its officers, employees or agents to engage in,
diva'cimiFin.o.—m cznplc^.mcnt of -L of their Vie,religion;Color,national origin.
ancestry,age,mental or physical disability,medical condition,marital status,sexual gender or
sexual orientation,or any other status protected by law,except as permitted pursuant to Section
12940 of the California Government Code.

7. BUSINESS REGISTRATION CERTIFICATE AND OTHER REQUIREMENTS.
' VENDOR warrants that it possesses or shall obtain,and maintain any licenses,permits,
qualifications,insurance and approval of whatever nature that are legally required of VENDOR
to practice its business or profession.

9. ATTORNEYS'FEES
In the event that litigation is brought by any party in connection with this Agreement,
the prevailing party shall be entitled to recover Gom the opposing party all costs end expenses,
including reasonable attorneys' fees,incurred by the prevailing party in the exercise of any of
its rights or remedies hereunder or the enforcement of any of the terms, conditions or
provisions hereof. The costs, salary and expenses of the City Attorney and members of his
office in enforcing this Agreement on behalf of the CITY shall be considered as"attorneys'
fees"for the purposes of this paragraph_
1C. ASSIGNIIEN'T.
VENDOR shall not voluntarily or by operation of law assign, transfer, sublet or
encumber all or any part of the VENDOR's interest in this Agreement without CITY's prior
written consent Any attempted assignment,transfer,subletting or encumbrance shall be void
and shall constitute a breach of this Agreement and cause for the termination of this
Agreement Regardless of CITY's consent,no subletting or assignment shall release VENDOR
of VENDOR's obligation to perform all other obligations to be performed by VENDOR
hereunder for the term of this Agreement.
It. VENUE.
The parties hereto agree that all actions or proceedings arising in connection with this
Agreement shall be tried and litigated either in the State courts located in the County of San
Bernardino,State of California or the U.S.District Court for the Central District of California,
Riverside Division. The aforementioned choice of venue is intended by the parties to be the
mandatary and not permissive in nawre.
12. GOVERNING LAW.
This Agreement shall be governed by the laws of the State of California.
23. SUCCESSORS AND ASSIGNS.

14. HEADINGS.
The subject headings of the sections of this Agreement are included for the purposes of
