Vernon Avenue, from Grant Avenue to Northerly of Walnut Street, per Plan No. 12994 (SS 14-005). 04/22/13 Resolution No. 2013-76 - The Mayor and Common Council approved and adopted the City of San Bernardino's Final Budget Document for Fiscal Years 2012/13 and 2013/14. Background: On October 22, 2013, the Mayor and Common Council awarded a contract to All American Asphalt of Corona, California, for Pavement Rehabilitation on three City streets (Del Rosa Avenue, from Pumalo Street to Date Street per Plan No. 12819 (SS12-007); Highland Avenue, from Cedar Street to Golden Avenue, per Plan No. 12820 (SS12-014); and Mt. Vernon Avenue, from Grant Avenue to Northerly of Walnut Street, per Plan No. 12994 (SS 14-005). Pursuant to Section 22300 of the Public Contract Code of the State of California, All American Asphalt has made a written request of the City of San Bernardino to execute an Escrow Agreement for security deposits in lieu of retention and to make payments of retention earnings directly to an escrow agent, Community Bank a California banking corporation, whose address is 505 E. Colorado Boulevard, Pasadena, CA 91101. Pursuant to the Escrow Agreement, retention funds would not be released without written authorization from the Director of Public Works. The market value of the securities at the time of the substitution shall be at least equal to the cash amount then required to be withheld as retention under the terms of the Contract between the Owner and the Contractor. Securities shall be held in E the name of City of San Bernardino, and shall designate the Contractor as the beneficial owner. rn a 2. The Owner shall make progress payments to the Contractor for those funds which otherwise o would be withheld from progress payments pursuant to the Contract provisions, provided that the Escrow o Agent holds securities in the form and amount specified above. w a 3. When the Owner makes payment of the retentions earned directly to the Escrow Agent, the Escrow Agent shall hold them for the benefit of the Contractor until the time that the escrow created under x this Agreement is terminated. The Contractor may direct the investment of the payments into securities. All w terms and conditions of this Agreement and the rights and responsibilities of the parties shall be equally applicable and binding when the Owner pays the Escrow Agent directly. E 4. The Contractor shall be responsible for paying all fees for the expenses incurred by the Escrow Q Agent in administering the Escrow Account and all expenses of the Owner. These expenses and payment terms shall be determined by the Owner,the Contractor and the Escrow Agent. 5. The interest earned on the securities or the money market accounts held in escrow and all interest earned on that interest shall be for the sole account of the Contractor and shall be subject to withdrawal by the Contractor at any time and from time to time without notice to the Owner. The Contractor shall have the right to withdraw all or any part of the principal in the Escrow Account only by written notice to the Escrow Agent accompanied by written authorization from the Owner to the Escrow Agent that the Owner consents to the withdrawal of the amount sought to be withdrawn by the Contractor. 7. The Owner shall have a right to draw upon the securities in the event of default by the Contractor. Upon seven days' written notice to the Escrow Agent from the Owner of the default, the Escrow Agent shall immediately convert the securities to cash and shall distribute the cash as instructed by the Owner. c a 8. Upon receipt of written notification from the Owner certifying that the Contract is final and r- complete, and that the Contractor has complied with all requirements and procedures applicable to the L Contract, the Escrow Agent shall release to the Contractor all securities and interest on deposit less escrow E fees and charges of the Escrow Account. Unless otherwise instructed in writing by the Contractor,the Escrow Agent shall invest and W reinvest the amounts deposited into the Escrow Account in an FDIC insured interest-bearing account(with no penalty for immediate withdrawal)customarily used by the Escrow Agent to invest funds held in circumstances similar to those a) E contemplated hereby. v C. If a controversy arises between one or more of the parties hereto,or between any of the parties Q hereto and any person not a party hereto,as to whether or not or to whom the Escrow Agent shall deliver funds or securities in the Escrow Account or as to any other matter arising out of or relating to the Escrow Account or the Escrow Agreement,the Escrow Agent shall not be required to determine the same and shall not make any delivery of funds or securities from the Escrow Account but shall retain the same until Escrow Agent shall have received either(a)written instructions signed by both the Contractor and the Owner,or(b)a final,non-appealable judgment of a court of competent jurisdiction declaring the respective rights of the Contractor and the Owner with respect to the Escrow Account,in which case the Escrow Agent shall disburse the Escrow Account in accordance with such instructions,decision,award or judgment.The Escrow Agent shall be entitled to assume that no such controversy has arisen unless it has received notice that such a controversy has arisen which refers CBCR-Supp Packet Pg. 179 specifically to the Escrow Agreement. If a controversy of the type referred to in this Section arises,the Escrow Agent may(but shall not be obligated to)commence interpleader or similar actions or proceedings for determination of the controversy. 3. The Escrow Agreement and this Agreement shall be construed under and governed by and enforced in accordance with the laws of the State of California. 4. This Agreement or the Escrow Agreement can be amended,modified,supplemented,extended,terminated, discharged or changed only by an agreement in writing which makes specific reference to this Agreement or the Escrow Agreement and which is signed by Contractor,Escrow Agent and Owner. 5. This Agreement and the Escrow Agreement shall be binding upon and inure solely to the benefit of the parties hereto and their permitted successors and assigns and shall not be enforceable by or create or evidence any right of any N third party;provided,that this Agreement or the Escrow Agreement cannot be assigned by Contractor or Owner without the Q express written consent of all the parties hereto. v .L 6. Any provision of this Agreement which may be determined by a court of competent jurisdiction to be d prohibited or unenforceable(or to render this Agreement unenforceable pursuant to California Public Contract Code Section Q 22300(f))in any jurisdiction shall,as to such jurisdiction,be ineffective to the extent of such prohibition or unenforceability Q without invalidating the remaining provisions hereof,and any such prohibition or unenforceability in any jurisdiction shall not s invalidate or render unenforceable such provisions in any other jurisdiction. 3 7.
