Background
On March 17, 2011, the former Redevelopment Agency of the City of San
Bernardino (the "Former Agency") authorized the transfer of certain assets of the
Former Agency to the San Bernardino Economic Development Corporation (the
"SBEDC") in connection with the approval of that certain Project Funding
Agreement between the Former Agency and the SBEDC, dated March 3, 2011.
Following the transfer of these assets to the SBEDC, Assembly Billx 1 26,
chaptered and effective on June 27, 2011, made certain changes to the Health and
Safety Code (the "HSC") causing the dissolution of all redevelopment agencies
and the winding down of the affairs of the former agencies. As of February 1,
2012, the Former Agency was dissolved. Consistent with the applicable
provisions of the HSC, the City Council elected to serve in the capacity of the
Successor Agency to the former Redevelopment Agency of the City of San
Bernardino (the"Successor Agency").
Pursuant to the authority set forth in HSC Section 34167.5, the Controller of the
State of California (the "Controller") conducted a review of all asset transfers of
the Former Agency on or after January 1, 2011 and prepared and delivered to the
Successor Agency an Asset Transfer Review Report dated March 2013 (the "ATR
Report"). To assist the Controller in preparing the ATR Report, the Successor
Agency provided the Controller's staff with trial balance sheets that listed all the
assets of the Former Agency (hereinafter referred to as the "Trial Balance

Sheets"). In the published ATR Report, the Controller ordered the SBEDC "to
reverse the transfers of assets [described in Schedule 1 to the ATR Report
("Schedule 1 Assets")] in the amount of$108,372,060.20 and turn over the assets
with any outstanding related liabilities to the Successor Agency."
After the ATR Report was published, staff identified two discrepancies between
the Schedule 1 Assets and Trial Balance Sheets: (1) certain SBEDC assets were
mistakenly omitted from the Trial Balance Sheets by the Successor Agency and
therefore did not appear in the Schedule 1 Assets (hereinafter referred to as
"Mistakenly Omitted Assets"); and(2) certain SBEDC assets included in the Trial
Balance Sheets were omitted from the Schedule 1 Assets by the Controller
(hereinafter referred to as "Controller Omitted Assets"). After consultation with
legal counsel and a written inquiry to the Controller, it was concluded that the two
discrepancies should be remedied as follows: (1) if the Mistakenly Omitted
Assets had been listed on the Trial Balance Sheets, the Controller would have
listed the assets on the ATR Report, and therefore the Mistakenly Omitted Assets
should be transferred to the Successor Agency; and (2) the Controller Omitted
Assets were intentionally not included in the ATR Report by the Controller, and
therefore these assets should not be transferred to the Successor Agency.
On September 23, 2013, the SBEDC, by Resolution No. 2013- , authorizing its
President to take all action necessary to transfer the Controller Omitted Assets,
along with any outstanding related liabilities,to the City of San Bernardino.
It is recommended that the Mayor and Common Council accept the transfer of the
Controller Omitted Assets, along with any outstanding related liabilities, leases,
encumbrances, and/or obligations.

2 evidence, documentation and testimony contained in the record before it, that the SBEDC has

5 San Bernardino, all in accordance with SBEDC Resolution No. 2013-_ and the orders set forth N

WHEREAS, on March 17, 2011, the former Redevelopment Agency of the City of >11
San Bernardino ("Former Agency") authorized the transfer of certain assets of the Former
Agency to the San Bernardino Economic Development Corporation ("SBEDC") in connection Q
with the approval of that certain Project Funding Agreement between the Former Agency and L1
SBEDC, dated as of March 3, 2011; and y
WHEREAS,pursuant to authority set forth in Health& Safety Code Section 34167.5, the
Controller of the State of California ("Controller") conducted a review of all asset transfers of of
the Former Agency on or after January 1, 2011 and prepared and delivered to the Successor NI
Agency to the Redevelopment Agency of the City of San Bernardino ("Successor Agency") an N
Asset Transfer Review Report dated March 2013 ("ATR Report"); and a

WHEREAS, to assist the Controller in preparing the ATR Report, the Successor Agency 01
provided trial balance sheets to the Controller's staff listing all the assets of the Former Agency
(hereinafter referred to as the "Trial Balance Sheets"); and
I �
WHEREAS, the published ATR Report ordered the SBEDC "to reverse the transfers of N
assets [described in Schedule 1 to the ATR Report ("Schedule 1")] in the amount of 0
$108,372,060.20 and turn over the assets with any outstanding related liabilities to the Successor Q
Agency"; and

WHEREAS, the assets described in Schedule 1 are referred to herein as the "Schedule 1
Assets"; and

WHEREAS, after the ATR Report was published, staff identified two discrepancies o
between the Schedule 1 Assets and Trial Balance Sheets: (1) certain SBEDC assets were m
mistakenly omitted from the Trial Balance Sheets by the Successor Agency and therefore did not U)
appear in the Schedule 1 Assets (hereinafter referred to as "Mistakenly Omitted Assets"); and

(2) certain SBEDC assets included in the Trial Balance Sheets were omitted from the Schedule I
Assets by the Controller(hereinafter referred to as "Controller Omitted Assets"); and

WHEREAS, after consultation with legal counsel and a written inquiry to the Controller, o
it was concluded that: (1) if the Mistakenly Omitted Assets had been listed on the Trial Balance
Sheets, the Controller would have listed the assets on Schedule 1 to the ATR Report, and a
therefore the Mistakenly Omitted Assets should be transferred to the Successor Agency; and
(2) the Controller Omitted Assets were intentionally not included in the ATR Report by the o
Controller, and therefore these assets should not be transferred to the Successor Agency; and
WHEREAS, to comply with the Controller's order in the ATR Report and to divest the N
SBEDC of all real property previously transferred to it by the Former Agency, the SBEDC now o
desires to take the following actions: (1) cause the transfer of the Schedule 1 Assets and the
Mistakenly Omitted Assets, along with any outstanding related liabilities, to the Successor �I
Agency; and (2) cause the transfer of the Controller Omitted Assets, along with any outstanding 0
related liabilities,to the City of San Bernardino; and U)

WHEREAS, the Schedule 1 Assets and the Mistakenly Omitted Assets are listed on
Exhibit A as attached hereto and incorporated herein; and

WHEREAS, the Controller Omitted Assets are listed on Exhibit B as attached hereto and QI

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE N
SAN BERNARDINO ECONOMIC DEVELOPMENT CORPORATION that the President of nI
SBEDC, Patrick J. Morris (or his designee), is hereby authorized and directed to execute one or yI
more deeds to transfer the Schedule 1 Assets and the Mistakenly Omitted Assets, with any N
outstanding related liabilities, to the Successor Agency and to take such other actions as may be a
necessary or appropriate to accomplish such transfers; and �I
