Synopsis of Previous Council Action: May 6,2013,per Resolution 2013-84,the Mayor and Common Council approved an extension of the terms and conditions of Purchase Order#2013-00000119 to Y Tire Sales for a period of four months in FY 2012/13 and 2013/14 that staff could develop comprehensive bid specifications and begin the formal bid process for tires both new and recapped. Background: The City's Public Works Department Fleet Management Division is responsible for replacing and maintaining tires on city vehicles and equipment and maintaining appropriate stocking levels of Police pursuit rated tires. On May 17, 2012, notices of Bid # RFQ F-14-05 (Tires - New and Recapped for Vehicles/Equipment) were sent to six vendors. Notice was also sent to the San Bernardino Area Chamber of Commerce, advertised on the City's web page, and in the San Bernardino County Sun Newspaper. No local vendors provide this specialized service. Two bids were received; the proposed tire pricing quotes including applicable sales tax are listed below: Vendor Location Quote/Tires Daniels Tire Service Riverside, CA. $7,184.85 Updated:7/31/2013 by Richard D.Luczak A 2487 Y Tire Sales Los Angeles, CA. $7,712.45 Attached is the bid summary for RFQ F-14-05 (Tires-New and Recapped for Vehicles/Equipment). Based on comparable prices and meeting the specifications offering a Goodyear UniCircle(spliceless)recapped truck tires that are a superior product over a "spliced tire" it is Fleet Managements recommendation to select Daniels Tire Service,extended prices based upon projected use lead to a total PO value of$450,000.00 each year.Fleet recommends to the Mayor and Common Council of the City of San Bernardino to Authorize an Agreement and Issuance of an Annual Purchase Order in the Amount of$450,000 with Three(3) One-Year Extensions at the City's Option to Daniels Tire Service for New and Recapped Tires. The City Manager of the City of San Bernardino is hereby authorized 12 U to execute on behalf of said City a Vender Purchase Agreement between the City of San T 13 3 14 Bernardino and Daniels Tire Service, a copy of which is attached hereto, marked as Exhibit a ti 15 "A", and incorporated herein by this reference as though fully set forth at length. N 16 SECTION 2. That pursuant to this determination the Director of Finance or his N 0 17 designee is hereby authorized to issue an annual purchase order to Daniels Tire Service in the L 18 19 amount of$450,000 with three(3)one-year extensions at the City's option. E SECTION 3. The Purchase Order shall reference this Resolution Number and shall a 20 21 read, "Daniels Tire Service for new and recapped tires, tubes, and related repair services, not 22 to exceed$450,000"and shall incorporate the terms and conditions of the agreement. 23 SECTION 4. WARRANTY. a' Vendor expressly warrants that all products and services supplied to City by Vendor ' under this agreement shall conform to the specifications, drawings or other description upon in L 1 which this purchase is based, shall be fit and sufficient for the purpose intended, merchantable, N c of good material and workmanship, free from defects and free and clear of all liens or o a encumbrances. Inspection, testing, acceptance or use of the goods by the City shall not affect w Vendor's obligations under this warranty, and such warranty shall survive inspections, testing, acceptance and use. Vendor agrees to replace or correct promptly defects or any goods or a l services not conforming to the foregoing warranty without expense to the City, when notified of such non-conformity by City. INDEMNITY. o Vendor agrees to and shall indemnify and hold the City, its elected officials, employees, o agents or representatives, free and harmless from all claims, actions, damages and liabilities of any kind and nature arising from bodily injury, including death, or property damage, based or a ql asserted upon any or alleged act or omission of Vendor, its employees, agents, or 3 subcontractors, relating to or in any way connected with the accomplishment of the work or M r performance of service under this Agreement, unless the bodily injury or property damage was U- 1 = d actually caused by the sole negligence of the City, its elected officials, employees, agents or d v' representatives. As part of the foregoing indemnity, Vendor agrees to protect and defend at its a own expense, including attorney's fees the City, its elected officials, employees, agents or 2 M a. representatives from any and all legal actions based upon such actual or alleged acts or omissions. Vendor hereby waives any and all rights to any types of express or implied in indemnity against the City, its elected officials, employees, agents or representatives, with 2 respect to third party claims against the Vendor relating to or in any way connected with the o a a accomplishment of the work or performance of services under this Agreement. w c 6. INSURANCE. r l � While not restricting or limiting the foregoing, during the term of this Agreement, 1 a VENDOR shall maintain in effect policies of comprehensive public, general and automobile liability insurance, in the amount of $1,000,000.00 combined single limit, and statutory worker's compensation coverage, and shall file copies of said policies with the CITY's Risk Exhibit"A" 3 Packet Pg.350 S.Pb Manager prior to undertaking any work under this Agreement. CITY shall be set forth as an additional named insured in each policy of insurance provided hereunder The Certificate of v I Insurance furnished to the CITY shall require the insurer to notify CITY of any change or termination in the policy. d L_ 7. NON-DISCRIMINATION. o w r In the performance of this Agreement and in the hiring and recruitment of employees, 2 c o VENDOR shall not engage in, nor permit its officers, employees or agents to engage in, discrimination in employment of persons because of their race, religion, color, national origin, a ti ancestry, age, mental or physical disability, medical conditions, marital status, sexual gender or N sexual orientation, or any other status protected by law, excepted as permitted to Section 12940 M of the California Government Code. } U_ c a� i 8. In the event that litigation is brought by any party in connection with this Agreement, the prevailing party shall be entitled to recover from the opposing party all costs and expenses, L P including reasonable attorneys' fees, incurred by the prevailing party in the exercise of any of `o its rights or remedies hereunder or the enforcement of any of the terms, conditions or o provisions hereof. The costs, salary and expenses of the City Attorney and members of his office in enforcing this Agreement on behalf of the CITY shall be considered as "attorneys' a oo fees"for the purposes of this paragraph. 11. ASSIGNMENT. T VENDOR shall not voluntarily or by operation of law assign, transfer, sublet or r d encumber all or any part of the VENDOR's interest in this Agreement without CITY's prior d as written consent. Any attempted assignment, transfer, subletting or encumbrance shall be void a as H t0 and shall constitute a breach of this Agreement and cause for the termination of this a Agreement. Regardless of CITY's consent,no subletting or assignment shall release VENDOR of VENDOR's obligation to perform all other obligations to be performed by VENDOR W L hereunder for the term of this Agreement. ~ 12. VENUE. o a The parties hereto agree that all actions or proceedings arising in connection with this w Agreement shall be tried and litigated either in the State courts located in the County of San r Bernardino, State of California or the U.S. District Court for the Central District of California, a Riverside Division. By submitting a bid, each bidder agrees that in the event complete delivery is not made within the time or times set forth pursuant to this specification, damage will be sustained by the City, and that it is, and will be impractical and extremely difficult to, ascertain the actual damage which the City will sustain in the event of and by reason of such delay. 18. In case the delivery of the items under this contract is delayed due to strikes, injunctions, government controls, or by reason of any cause or circumstance beyond the control of the Contractor, the time for delivery may be extended (in the City's sole discretion) by a number of days to be determined in each instance by mutual written agreement between the Contractor and the Purchasing Manager of the City of San Bernardino. The City shall not unreasonably refuse such extension. 19. Contract. Contractor shall indemnify, defend and hold City, its officers, employees and agents harmless from any claim, demand, liability, suit,judgment or expense (including, without limitation, reasonable costs of defense) arising out of or related to Contractor's performance of this agreement, except that such duty to indemnify, defend and hold harmless shall not apply where injury to person or property is caused by City's willful misconduct or sole negligence. The costs, salary and expenses of the City Attorney and members of his office in enforcing this Agreement on behalf of the City shall be considered as"attorney's fees"for the purposes of this paragraph. 31.
