Synopsis of Previous Council Action: 1/22/13 -Reso 2013-15 - The Mayor and Common Council of the City of San Bernardino Directed the Public Works Director to Issue "Request for Proposals for Elevator and Escalator Maintenance Service in Various City Buildings." Background: The Public Works Department, Operations &Maintenance Division, is responsible for maintaining the elevators and escalators in various City Buildings. The elevators and escalators must be inspected on a monthly basis and be maintained in good working order. On January 31,2013, a formal bid process was initiated to solicit bids for elevator and escalator maintenance services per RFP F-13-20. Notices of bids were e-mailed or faxed to one (1) local vendor and eleven(11) non-local vendors,posted on the web,printed in the newspaper, and mailed to the Chamber of Commerce. Six (6) non-local vendors responded. The bid documents requested a fixed monthly price for the inspection and maintenance of each elevator and escalator in City buildings. The bid packet requested bids for the inspection and maintenance of the escalators located in the Carousal Mall. Currently the Economic Development Agency covers the cost of the inspection and maintenance. When reviewing the bids,the cost of escalator inspection and maintenance was not factored into the final monthly cost. WITNESSETH: d WHEREAS, the Mayor and Common Council has determined that it is advantageous c a� and in the best interest of the CITY to obtain elevator and escalator maintenance services and; WHEREAS, The City of San Bernardino did solicit and accept quotes from available �a vendors for such elevator and escalator maintenance services;and w 06 WHEREAS,VENDOR is the lowest bidder to provide said services to City; and NOW,THEREFORE,the parties hereto agree as follows: w M 1. Option year three, if exercised, shall be effective July 1, 2016 through June 30, 2017. d This Agreement may be terminated at any time by thirty (30) days' written notice by d either party. INSURANCE. While not restricting or limiting the foregoing, during the term of this Agreement, VENDOR shall maintain in effect policies of comprehensive public, general and automobile liability insurance, in the amount of $1,000,000.00 combined single limit, and statutory d worker's compensation coverage, and shall file copies of said policies with the CITY's Risk c d Manager prior to undertaking any work under this Agreement. CITY shall be set forth as an additional named insured in each policy of insurance provided hereunder. BUSINESS REGISTRATION CERTIFICATE AND OTHER REQUIREMENTS. ATTORNEYS' FEES. x w r In the event that litigation is brought by any party in connection with this Agreement, the prevailing party shall be entitled to recover from the opposing party all costs and expenses, a including reasonable attorneys' fees, incurred by the prevailing party in the exercise of any of its rights or remedies hereunder or the enforcement of any of the terms, conditions or provisions hereof. Attorney's fees for the City Attorney and members of his office shall be calculated based on market rate for comparable services. Exhibit"A" 4 Paeke#Pg. 189 11. ASSIGNMENT. VENDOR shall not voluntarily or by operation of law assign, transfer, sublet or encumber all or any part of the VENDOR's interest in this Agreement without CITY'S prior written consent. Any attempted assignment, transfer, subletting or encumbrance shall be void and shall constitute a breach of this Agreement and cause for the termination of this Agreement. Regardless of CITY's consent,no subletting or assignment shall release VENDOR d of VENDOR's obligation to perform all other obligations to be performed by VENDOR c a� hereunder for the term of this Agreement. HEADINGS. Complete maintenance of escalators shall also include (in addition to the above) the repair or renewal of guide rollers, adjustment or replacement of chains, equalizing of chain Acceptable tension, replacement of fuses, repair of wiring for shaftway, operating stations, and repair or renewal of other accessory equipment. _ d 0 a 4. Complete maintenance for elevators and escalators require that the vendor supply, repair, clean and replace all parts of every description made necessary by wear and tear. Only parts that are correctly designed Acceptable and suitable in all respects shall be used. The vendor shall have and maintain on hand locally, a supply of spare parts sufficient for the normal maintenance and repair of the elevators and escalators. Car tops, elevator o pits and equipment rooms shall be kept clean by the vendor. N w 06 7. Complete maintenance for elevators and w escalators requires that the vendor examine and equalize tensions of all hoisting ropes, co renew all hoisting ropes, including governor `✓ ropes whenever necessary to ensure maintenance of adequate safety factors as ti designated by the State Elevator Inspector. !Acceptable :a Vendor shall replace and/or repair all °0 electrical wiring and conductors extended to r the elevators and escalators from the main a line switch in the machine room and outlets a in the hoist ways. Complete maintenance requires that the vendor keep the exterior of the machinery and any other parts of the equipment subject to rust, properly painted and presentable at Acceptable all times. While providing complete maintenance service, vendor will not alter elevator or o escalator equipment parts and OEM (original equipment manufacturer) design with other N manufacturers unless OEM has discontinued w the item and the Acceptable parts are no longer o available. Parts manufactured by companies other than the OEM, but supplies to the OEM w as part of their overall product may be acceptable, if said part is of the same design N and character. Relays, selector parts, coils, r roller, touch buttons, proximity edges, etc. are duplicated by other nationally recognized a manufacturers. These proven suppliers may be recognized as equal, so long as their product matches the existing part and the vendor obtains the City's written consent a prior to installing such parts. The cost of any Q alternative source, modification or addition of > parts or equipment purchased by vendor w shall be included in the annual contract price paid by the City, unless the replacement is E for a part or component that is no longer 0 manufactured or available.
