Synopsis of Previous Council Action:
January 2010- Resolution 2013-05 was adopted authorizing an Amendment for an increase in the
total contract amount of$100,000 for consulting services with ProStaff, LLC
Background:
ProStaff is a municipal consulting firm serving public agencies solely in the State of California.
Revenue recovery financial interface services, business and procurement services and temporary
staffing services are needed as a result of current economic conditions, and the efforts to
financially get well. The current service has yielded the complete design, procurement, and
implementation of a self-insured third party workers compensation claims administration
program. This concept was first discussed in November 2012 and today the program is fully
implemented and on track to save the City over$400,000 annually in operational overhead.
Also, ProStaff, LLC has worked closely with the Human Resources Manager to negotiate saving
of$44,000 annually on the employee benefit insurance broker services and$20,000 savings on
property and liability insurance broker services. Additional work is advancing with analysis and
potential development of a workers' compensation carve-out program designed to improve
overall service and reduce workers' compensation claim costs.
With the approval of the second amendment, extending the term only, the City will continue to
benefit from the services expertise ProStaff provides. This extension will provide the needed
time to identify additional outsourced cost savings paradigms,bring the concepts to realization
and into full operation for immediate City cost saving benefit.

5 THIS SECOND AMENDMENT is made and entered into as of June 17, 2013 by and
6 between the CITY OF SAN BERNARDINO, a charter city ("CITY") and PROSTAFF, LLC
7 ("CONSULTANT"). In consideration of the mutual covenants and conditions set forth herein,
as
8 the parties agree as follows:

9 1. This Amendment is made with respect to the following facts and purposes: E

10 a. On August 8,2012,the City and Consultant entered into that certain agreement L
11 entitled "Consultant Services Agreement Between the City of San Bernardino ci
12 and Prostaff' ("Agreement") for$24,999.00.

13 b. On January 10,2013,the City and Consultant executed a"First Amendment to
14 Consultant Services Agreement Between the City of San Bernardino and N
15 Prostaff'("First Amendment")increasing the contract amount by$100,000.00.

16 2. Section 1.1 Term of Services of the Agreement is hereby amended to extend the term of N

17 the Agreement to June 30, 2014, unless the Agreement is previously terminated as
18 provided therein.

19 3. Except for the changes specifically set forth herein, all other terms and conditions of
20 the Agreement shall remain in full force and effect. a

5 BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
6 OF SAN BERNARDINO AS FOLLOWS:
7 SECTION 1. The City Manager of the City of San Bernardino is hereby authorized and
8 directed to execute on behalf of said City a Second Amendment to Consultant Services
