RESOLUTION NO. 20 1-21 R 1 RESOLUTION OF THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN 2 BERNARDINO AUTHORIZING THE CITY ATTORNEY TO EXECUTE A THREE-YEAR CONTRACT WITH THOMPSON-WEST TO PROVIDE ON-LINE LEGAL RESEARCH 3 SERVICES (WESTLAW) TO THE CITY ATTORNEY'S OFFICE AND TO AUTHORIZE THE ISSUANCE OF A PURCHASE ORDER AND TO AUTHORIZE THE FINANCE 4 DEPARTMENT TO PAY OUTSTANDING INVOICES FOR APRIL, MAY AND JUNE 2013. 5 6 BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY 7 OF SAN BERNARDINO AS FOLLOWS: 8 SECTION 1: The City Attorney or his designee is hereby authorized to execute a 9 three-year contract with Thompson-West to provide on-line legal research services 10 ("Westlaw") to the City Attorney's Office, a copy of which is attached hereto marked 11 Exhibit "A" and incorporated herein by reference as fully as though set forth at length. 12 SECTION 2: The Director of Finance or his/her designee of the City of San 13 Bernardino is hereby authorized and directed to execute on behalf of the City Attorney's 14 Office a Purchase Order to Thompson-West for the above referenced contract. Neither the Agreement nor any part or portion may be assigned, sublicensed, or otherwise transferred by Subscriber without West's prior written consent. Should any provision of the Agreement be held to be void, invalid, unenforceable, or illegal by a court, the validity and enforceability of the other provisions will not be affected thereby. Failure of any party to enforce any provision of the Agreement will not constitute or be construed as a waiver of such provision or of the right to enforce such provision.
