2 RESOLUTION OF THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO APPROVING AN AGREEMENT FOR SHARING COST OF
3 STATE HIGHWAY ELECTRICAL FACILITIES.
4 WHEREAS, effective January 1, 1984, the Mayor and Common Council approved a
5 "Master" Agreement for Sharing Cost of State Highway electrical facilities with California
Department of Transportation (CALTRANS), a copy of which is attached hereto as Reference
6 Attachment"R1", and
7 WHEREAS, on July 16, 2012, the Mayor and Common Council adopted Resolution
8 No. 2012-201 approving a new Master Agreement for Sharing Cost of Caltrans Highway
electrical facilities with California Department of Transportation (CALTRANS), a copy of
9 which is attached hereto as Reference Attachment"R2", and
10 WHEREAS, CALTRANS is now requesting that the City execute a new Master
11 Agreement which primarily changes the word "CALTRANS"to the word "STATE", and
12 WHEREAS, the City has determined that the proposed changes are not adverse to its
interests.

14 BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE
CITY OF SAN BERNARDINO AS FOLLOWS:

SECTION 1. The City Manager is hereby authorized and directed to execute the
16
Agreement for Sharing Cost of State Highway Electrical Facilities with the City of San
17
18 Bernardino, attached and incorporated herein as Attachment"A".
19 SECTION 2. The authorization to execute the above-referenced Agreement is
20 rescinded, if it is not executed within ninety (90) days of the passage of this resolution.

This AGREEMENT, made and executed in duplicate this lat day of
• January, 1984, by and between the State of Oalifornia, acting by
.through the Department of Transportation, hereinafter referred
to as "STATE" and the CITY of San Bernardino, hereinafter referred
as to CITY.
WITNESSETH:
AGREEMENT:
This agreement shall supersede any previous agreement and/or
amendments thereto for sharing State incurred costs in the CITY
with the CITY.
ELECTRICAL FACILITIrS
Electrical facilities include flashing beacons, traffic signals,
traffic-signal systems, safety lighting, and sign lighting on the
State Highway System.
The cost of operating and maintaining flashing beacons, traffic
signals, traffic-signal systems, safety lighting, and sign light-
ing now in place at the intersection of any state highway route
and any city street shall be shared as shown in Exhibit A.

Basis for billing:
It is agreed that monthly billings for flashing beacons,
traffic signals, and traffic-signal systems shall be
based on actual intersection costs which are as follows:
o Maintenance
- Labor including overhead assessment
-.Other expenses
- Equipment
• - Materials
• Miscellaneous expenses
Electrical energy •
It is agreed that monthly billings for safety lighting and
sign lighting shall be based on calculated unit costs derived
by averaging District-wide costs each month. Costs are as
follows:

It is agreed that monthly billings for utility-owned and
maintained lighting will be based on calculated unit costs -
derived from utility company billings.
Exhibit A will be amended as necessary by written concurrence -•
of both parties to reflect changes to the system.
This Agreement shall become effective January 1, 1984, and .
shall remain in full force and effect until amended or
terminated.
The Agreement as above may be amended or terminated at any
time upon mutual consent of the parties thereto. This
Agreement may also be terminated by either party upon_
thirty (30) days' notice to the other party.

2 RESOLUTION OF THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO APPROVING AN AGREEMENT FOR SHARING COST OF
3 CALTRANS HIGHWAY ELECTRICAL FACILITIES.
4 WHEREAS, effective January 1, 1984, the Mayor and Common Council approved a
S "Master" Department of for Sharing Cost of State Transportation (CALTRANS),Highway opy of which isatattached with the
California altfoi p
6 Reference Attachment"R1";and
7 WHEREAS, CALTRANS has requested approval of a new "Master" Agreement for
8 sharing cost of State highway electrical facilities, attached hereto as Attachment "A" and
made a part hereof; to be effective as of the date of approval by the Mayor and Common
9 Council and to remain in effect until amended or terminated;and
10 WHEREAS, CALTRANS is also requesting that the City approve a '`Cost
11 Distribution Agreement for Traffic Signals and Lighting" specifically for two new traffic
signals to be installed by CALTRANS at no cost to the City at the intersection of the I-215
12 Freeway ramps with Palm Avenue and Kendall Drive, said Agreement being attached hereto
as Attachment"B"and made a part hereof;and

14 WHEREAS, the City has determined that participation in these cost sharing
Agreements is in the best interest of the City.

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE
16 CITY OF SAN BERNARDINO AS FOLLOWS:
17 SECTION 1. The City Manager is hereby authorized and directed to execute said
18 Attachment"A"on behalf of the City.

SECTION 2. The Director of Public Works is hereby authorized and directed to
20
21 execute said Attachment"B"on behalf of the City.
22 SECTION 3. The Director of Public Works is further authorized to execute future
23 submittals of"Cost Distribution Agreement for Traffic Signals and Lighting" on behalf of the
24 City when new signals or electrical equipment requiring maintenance are added to the
25
inventory and the City is obligated to pay its fair share of maintenance and electrical coasts,
26
27 SECTION 4. The authorization to execute the above-referenced Agreement is
2S rescinded, if it is not executed within ninety(90) days of the passage of this resolution.

AGREEMENT FOR SHARING COST OF CALTRANS HIGHWAY
ELECTRICAL FACILITIES WITH CITY OF SAN BERNARDINO
THIS AGREEMENT is made effective this It I day of�k 2012,by and between
the CALTRANS of California, acting by and through the t of Transportation also
known as Caltnms, hereinafter referred to as "CALTRANS", and the CITY of SAN
BERNARDINO,hereinafter referred to as CITY.
I. This Agreement shall supersede any previous Agreement and/or Amendments thereto
for sharing Caltrans-incurred costs with the CITY.
II. The cost of operating and maintaining flashing beacons, traffic signals, traffic signal
systems, safety lighting, and sign lighting now in place at the intersection of any
CALTRANS Highway Route and any CITY street shall be shared as shown in
Exhibit"A"attached hereto and made a part hereof.
III. Basis for Billing:
A. It is agreed that monthly billings for flashing beacons, traffic signals, and traffic
signal systems shall be based on actual intersection costs,which are as follows:
• Maintenance
- Labor,including overhead assessment
- Other expenses
- Equipment
- Materials
- Miscellaneous expenses
• Electrical energy
B. It is agreed that monthly billings for safety lighting and sign lighting shall be
based on calculated unit costs derived by averaging CALTRANS's District-wide
costs each month. Costs are as follows:
• Maintenance
- Labor,including overhead assessment
- Other expenses
- Equipment
- Materials
- Miscellaneous expenses
• Electrical energy
C. It is agreed that monthly billings invoiced to CITY for CALTRANS-owned and
maintained electrical facilities identified in Exhibit"A" will be based on actual
costs paid by CALTRANS, when derived from utility company billings.
CALTRANS will bill CITY monthly in arrears for any CITY share of electrical
facilities expenses shown in Exhibit"A".

IV. Exhibit"A"will be amended,as necessary by written concurrence of both parties,to
reflect changes to the system.
V. CALTRANS costs and expenses assumed under the terms of this Agreement are
conditioned upon the passage of the annual CALTRANS of California Budget by the
Legislature,the allocation of funding by the California Transportation Commission as
appropriate,and the encumbrance of funding to the District Office of CALTRANS to
pay the billings by CITY.
VI. This Agreement shall remain in full-force and effect until amended by the mutual
consent of the parties or terminated by either party upon thirty(30)days'notice to the
other party.
VII. Neither CITY nor any officer or employee thereof is responsible for any injury,
damage or liability occurring by reason of anything done or omitted to be done by
CALTRANS under or in connection with any work, authority or jurisdiction arising
under this Agreement. It is understood and agreed that CALTRANS shall fully
defend, indemnify and save harmless the CITY and all of its officers and employees
from all claims, suits or actions of every name, kind and description brought forth
under, including, but not limited to, tortious, contractual, inverse condemnation and
other theories or assertions of liability occurring by reason of anything done or
omitted to be done by CALTRANS under this Agreement with the exception of those
actions of CALTRANS necessary to cure a noticed default on the part of CITY.
VIII. Neither CALTRANS nor any officer or employee thereof is responsible for any
injury,damage or liability occurring by reason of anything done or omitted to be done
by CITY under or in connection with any work,authority or jurisdiction arising under
this Agreement. It is understood and agreed that CITY shall fully defend,indemnify
and save harmless CALTRANS and all of its officers and employees from all claims,
suits or actions of every name, kind and description brought forth under, including,
but not limited to, tortious, contractual, inverse condemnation or other theories or
assertions of liability occurring by reason of anything done or omitted to be done by
CITY under this Agreement.
IX. Labor Code Compliance:Prevailing Wages
If the work performed on this Project is done under contract and falls within the
Labor Code section 1720(ax1)definition of a"public work" in that it is construction,
alteration, demolition, installation, repair or maintenance CITY must conform to the
provisions of Labor Code sections 1720 through 1815,all applicable regulations and
coverage determinations issued by the Director of Industrial Relations. CITY agrees
to include prevailing wage requirements in its contracts for public work. Work
performed by CITY'S own forces is exempt from the Labor Code's prevailing wage
requirements.
X. Prevailing Wage Requirements in Subcontracts
CITY shall require its contractors to include prevailing wage requirements in all
subcontracts funded by the Agreement when the work to be performed by the
subcontractor is a "public work" as defined in Labor Code Section 1720(a)(I).

Subcontracts shall include all Prevailing Wage requirements set forth in CITY'S
contracts.
The PARTIES are empowered by Street and Highways Code Section 114 & 130 to enter
into this Agreement and has delegated to the undersigned the authority to execute this
Agreement on behalf of the respective agencies and covenants to have followed all the
necessary legal requirements to validly execute this Agreement.

AGREEMENT FOR SHARING COST OF STATE HIGHWAY
ELECTRICAL FACILITIES WITH CITY OF
SAN BERNARDINO
THIS AGREEMENT is made effective this 20th day of May , 2013, by and between the
State of California, acting by and through the Department of Transportation, hereinafter referred
to as "STATE" and the CITY of San Bernardino, hereinafter referred to as CITY.
This Agreement shall supersede any previous Agreement and/or Amendments thereto
for sharing State-incurred costs with the CITY.
II. The cost of operating and maintaining flashing-beacons traffic-signals, traffic-signal
systems, safety-lighting, and sign-lighting now in place at the intersection of any
State Highway Route and any CITY street/road shall be shared as shown in Exhibit
«A„
III. Basis for Billing:
A. It is agreed that monthly billings for flashing-beacons, traffic-signals, and traffic-
signal systems shall be based on actual intersection costs, which are as follows:
• Maintenance
- Labor, including overhead assessment
- Other expenses
- Equipment
- Materials
- Miscellaneous expenses
• Electrical energy
B. It is agreed that monthly billings for safety-lighting and sign-lighting shall be
based on calculated unit-costs derived by averaging STATE's District-wide costs
each month. Costs are as follows:
• Maintenance
- Labor, including overhead assessment
- Other expenses
- Equipment
- Materials
- Miscellaneous expenses
• Electrical energy

C. It is agreed that monthly billings invoiced to CITY for STATE-owned and
maintained electrical facilities identified in Exhibit "A" will be based on actual
costs paid by STATE, when derived from utility company billings. STATE will
bill CITY monthly in arrears for any CITY share of electrical facilities expenses
shown in Exhibit"A".
IV. Exhibit "A" will be amended, as necessary by written concurrence of both parties, to
reflect changes to the system.
V. STATE costs and expenses assumed under the terms of this Agreement are
conditioned upon the passage of the annual State of California Budget by the
Legislature, the allocation of funding by the California Transportation Commission as
appropriate, and the encumbrance of funding to the District Office of STATE to pay
the billings by CITY.
VI. This Agreement shall remain in full-force and effect until amended by the mutual
consent of the parties or terminated by either party upon thirty (30) days' notice to the
other party.
VII. Neither CITY nor any officer or employee thereof is responsible for any injury,
damage or liability occurring by reason of anything done or omitted to be done by
STATE under or in connection with any work, authority or jurisdiction arising under
this Agreement. It is understood and agreed that STATE shall fully defend,
indemnify and save harmless the CITY and all of its officers and employees from all
claims, suits or actions of every name, kind and description brought forth under,
including, but not limited to, tortious, contractual, inverse condemnation and other
theories or assertions of liability occurring by reason of anything done or omitted to
be done by STATE under this Agreement with the exception of those actions of
STATE necessary to cure a noticed default on the part of CITY.
VIII. Neither STATE nor any officer or employee thereof is responsible for any injury,
damage or liability occurring by reason of anything done or omitted to be done by
CITY under or in connection with any work, authority or jurisdiction arising under
this Agreement. It is understood and agreed that CITY shall fully defend, indemnify
and save harmless STATE and all of its officers and employees from all claims, suits
or actions of every name, kind and description brought forth under, including, but not
limited to, tortious, contractual, inverse condemnation or other theories or assertions
of liability occurring by reason of anything done or omitted to be done by CITY
under this Agreement.
IX. Labor Code Compliance: Prevailing Wages
If the work performed on this Project is done under contract and falls within the
Labor Code section 1720(a)(1) definition of a "public work" in that it is construction,
alteration, demolition, installation, repair or maintenance CITY must conform to the
provisions of Labor Code sections 1720 through 1815, all applicable regulations and
coverage determinations issued by the Director of Industrial Relations. CITY agrees

to include prevailing wage requirements in its contracts for public work. Work
performed by CITY'S own forces is exempt from the Labor Code's prevailing wage
requirements.
X. Prevailing Wage Requirements in Subcontracts
CITY shall require its contractors to include prevailing wage requirements in all
subcontracts funded by the Agreement when the work to be performed by the
subcontractor is a "public work" as defined in Labor Code Section 1720(a)(1).
Subcontracts shall include all Prevailing Wage requirements set forth in CITY'S
contracts.
