Financial Impact: The annual cost associated with this agreement is estltimated not to exceed$1,500 and will be paid from the City's existing annual electrical maintenance budget. Motion: Adopt Resolution. Synopsis of Previous Council Action: 01/01/84 Agreement approved by Resolution No. 1984-058 with Caltrans for cost sharing of State Highway Electrical Facilities became effective. Backeround: Effective January 1, 1984, the Mayor and Common Council adopted Resolution No. 1984-058, approving an Agreement with Caltrans for sharing cost of State Highway Electrical Facilities. This Agreement has, for many years,been the Master Agreement with Caltrans detailing how the cost of maintaining electrical equipment installed, owned and maintained by Caltrans on State Highways will be apportioned between Caltrans and the City. In most cases, the electrical equipment consists of traffic signals and safety lighting improvements on State Highways, which intersect City Streets. Caltrans plans to construct new traffic signals for the ramps on I-215 at Palm Avenue interconnected with Kendall Drive. Prior to proceeding with construction, an agreement for maintenance and electrical energy-cost sharing with the City is required. Under terms of the Agreement, Caltrans will install the signals at no cost to the City. Caltrans will be responsible for the operation of the signals while the maintenance and electrical energy costs will be shared on a 50150 basis between the City and Caltrans. From time to time, electrical equipment is added to Exhibit A by way of a"Cost Distribution Agreement for Traffic Signals and Lighting." Attached is a copy of the Cost Distribution Agreement for Traffic Signals and Lighting, defining the cost sharing responsibilities for the new signals at the intersection of the I-215 ramps with Palm Avenue and Kendall Drive,marked Attachment`B." Staff is requesting approval of the Master Agreement with Caltrans for sharing cost of State Highway Electrical Facilities, which is attached hereto and marked as Attachment "A" and that the Director of Public Works be authorized to execute the agreement for "Cost Distribution for Traffic Signals and Lighting" (Attachment `B") with Caltrans. Also, it is requested that the Director of Public Works be authorized to execute future amendments to"Cost Distribution for Traffic Signals and Lighting"with Caltrans when new shared electrical equipment is added to or removed from the inventory. The authorization to execute the above-referenced Agreement is 28 rescinded, if it is not executed within ninety(90) days of the passage of this resolution. It is understood and agreed that CALTRANS shall fully defend, indemnify and save harmless the CITY and all of its officers and employees 0 from all claims, suits or actions of every name, kind and description brought forth r under, including, but not limited to, tortious, contractual, inverse condemnation and other theories or assertions of liability occurring by reason of anything done or omitted to be done by CALTRANS under this Agreement with the exception of those actions of CALTRANS necessary to cure a noticed default on the part of CITY. U VIII. Neither CALTRANS nor any officer or employee thereof is responsible for any injury, damage or liability occurring by reason of anything done or omitted to be done 3 by CITY under or in connection with any work, authority or jurisdiction arising under this Agreement. Labor Code Compliance: Prevailing Wages d rn a If the work performed on this Project is done under contract and falls within the Labor Code section 1720(a)(1) definition of a "public work" in that it is construction, alteration, demolition, installation, repair or maintenance CITY must conform to the provisions of Labor Code sections 1720 through 1815, all applicable regulations and a coverage determinations issued by the Director of Industrial Relations. CITY agrees to include prevailing wage requirements in its contracts for public work. Work performed by CITY'S own forces is exempt from the Labor Code's prevailing wage M requirements. a X. Prevailing Wage Requirements in Subcontracts E U U A CITY shall require its contractors to include prevailing wage requirements in all a subcontracts funded by the Agreement when the work to be performed by the subcontractor is a "public work" as defined in Labor Code Section 1720(a)(1). 2 Packet Pg. 933 ATTACHMENT "A" Subcontracts shall include all Prevailing Wage requirements set forth in CITY'S contracts.
