STAFF REPORT
SUBJECT:
Resolution authorizing the City Manager to execute a Letter of Acknowledgement consenting to
the assignment of the lease of a portion of City owned property located at Anne Shiaells Park,
with Omnipoint Communications, Inc., a subsidiary of T-Mobile USA, Inc., to Mobilitie
Investments II, LLC.
BACKGROUND:
On August 18, 2008, the Mayor and Common Council adopted Resolution No. 2008-326
authorizing the City Manager to execute a Lease agreement with Omnipoint Communications,
Inc., a subsidiary of T-Mobile USA, Inc., for the purpose of the placement of a cell antenna and
appurtenant ground equipment on City property located at Anne Shirrells Park.
On August 26,2009, staff received a letter indicating that T-Mobile entered into a business
relationship in which Mobilitie Investments II, LLC,will acquire T-Mobile's ownership interest
in certain cell sites in return for business and monetary considerations to T-Mobile. The cell
tower located at Anne Shirrells Park was a site the two agreed to transfer between each other. To
do so,the Lease will need to be assigned from T-Mobile to Mobilitie and they will assume all
obligations and responsibilities of the Lease. The letter also indicates that T-Mobile will
continue to remain on the cell tower and become a subtenant of Mobilitic.
The Lease states that the Lessee(T-Mobile)may not assign all or any part of its interest in the
Lease or in the Premises without the prior written consent of the Lessor(City).
The attached resolution authorizes the City Manager to execute the Letter of Acknowledgement
consenting to the assignment of the Lease from Omnipoint Communications, Inc., (T-Mobile)
and Mobilitie Investments II, LLC.
FINANCIAL IMPACT:
None. Mobilitie Investments II, LLC will assume the monthly rent payments for the remainder
of the Lease.
RECOMMENDATION:
Adopt Resolution.

Although T-Mobile will be released from all Lease liabilities and obligations subsequent to such assignment of the Lease,T-
Mobile will remain responsible for any liabilities prior to the date of the assignment.

Gary Jabara-Founder, President and Chief Executive Officer
Gary is the founder of Mobilitie and serves as President and Chief Executive Officer.
Prior to founding Mobilitie,Gary was a Partner at Deloitte&Touche and the firm's Partner-in-Charge of Wireless Real Estate
and Infrastructure.
While at Deloitte,Gary oversaw the negotiation of over$10 billion of telecommunication infrastructure assets on behalf of
Big Six Wireless Carriers.He also led the firm's National Practice for Capital Projects Advisory Services,and advised Global
Fortune 100 firms on the efficient deployment of their capital.
Christos Karmis-Vice President Acquisitions
Christos is responsible for all tower acquisition and leasing activity for Mobilitie.
Christos specialized in real estate advisory services and the wireless communications industry with Deloitte Consulting before
coming to Mobilitie.While at Deloitte,Christos provided operational and network optimization strategies to several of the big
four Wireless Carriers.
He holds an MBA from the Warrington School of Business at the University of Florida,a Management Certificate from Harvard
University,and a Bachelor of Science in Mechanical Engineering from Celmson University.
David Lasky—Senior Vice President Operations
David runs Mobilitie's operations including Customer Service,Transaction Management,Property Management,Information
Technology,Facilities,and Landlord Relations.
Prior tojoining Mobilitie,David was a Vice President at Yahoo!Inc.,responsible for the quality of the paid search advertising
inventory,with over 250 people under his leadership. Before Yahoo!,David was with Deloitte Consulting,specializing in the
Telecommunications sector.
David holds a B.A.in Economics from UC Santa Cruz,an MBA from UCLA's Anderson School or Management,and is a licensed
real estate broker in the state of California.
