Description: N/A Finance: Council Notes: �e.so Sao 9-3/ O Agenda Item No. n12p CITY OF SAN BERNARDINO REQUEST FOR COUNCIL ACTION STAFF REPORT SUBJECT: Resolution authorizing the City Manager to execute a Letter of Acknowledgement consenting to the assignment of the lease of a portion of City owned property located at Anne Shiaells Park, with Omnipoint Communications, Inc., a subsidiary of T-Mobile USA, Inc., to Mobilitie Investments II, LLC. BACKGROUND: On August 18, 2008, the Mayor and Common Council adopted Resolution No. 2008-326 authorizing the City Manager to execute a Lease agreement with Omnipoint Communications, Inc., a subsidiary of T-Mobile USA, Inc., for the purpose of the placement of a cell antenna and appurtenant ground equipment on City property located at Anne Shirrells Park. On August 26,2009, staff received a letter indicating that T-Mobile entered into a business relationship in which Mobilitie Investments II, LLC,will acquire T-Mobile's ownership interest in certain cell sites in return for business and monetary considerations to T-Mobile. The cell tower located at Anne Shirrells Park was a site the two agreed to transfer between each other. To do so,the Lease will need to be assigned from T-Mobile to Mobilitie and they will assume all obligations and responsibilities of the Lease. The letter also indicates that T-Mobile will continue to remain on the cell tower and become a subtenant of Mobilitic. The Lease states that the Lessee(T-Mobile)may not assign all or any part of its interest in the Lease or in the Premises without the prior written consent of the Lessor(City). The attached resolution authorizes the City Manager to execute the Letter of Acknowledgement consenting to the assignment of the Lease from Omnipoint Communications, Inc., (T-Mobile) and Mobilitie Investments II, LLC. FINANCIAL IMPACT: None. Mobilitie Investments II, LLC will assume the monthly rent payments for the remainder of the Lease. RECOMMENDATION: Adopt Resolution.
