Motion: Adopt the Resolution; and authorize the Director of Finance to amend the (V, proposed FY 2012/13 Public Works Department budget by transferring part-time security guard salaries of$95,000.00 in Account No. 001-400-0037-5505 to the Police Department Downtown Security Contractual Services program budget, Account No. 001-210-0033-5502. Synopsis of Previous Council Action: December 10,2012-Presented to the Public Safety Ad Hoc Committee. June 15, 2009-Council Adopts Resolution 2009-149, authorizing the execution of a contract and issuance of an Annual Purchase Order to Securitas Security Services USA, Inc., for security guard services at the San Bernardino Metrolink Station. August 22,2007-Council Adopts Resolution 2007-358, authorizing the execution of a contract and issuance of an Annual Purchase Order to Securitas Security Services USA, Inc., for security guard services at the City Libraries. November 6, 2006-Council Adopts Resolution 2006-380, authorizing the execution of a contract and issuance of an Annual Purchase Order to Securitas Security Services USA, Inc., for security guard services at the San Bernardino Metrolink Station. Background: The City provides security guard services at the Feldheym Library (555 W. 6th Street) and the San Bernardino Metrolink Station (1204 W. 3rd Street). The program is managed by the Public Works Department, though oversight of this program is in the process of being transferred from Updated: 12/13/2012 by Georgeann"Gigi"Hanna 2087 the Public Works Department to the Police Department. Currently, American Force Private Security, Inc., is providing security guard service at Feldheym Library and Securitas Security Services USA, Inc., is providing security guard service at the Metrolink Station. Contracts with both vendors have expired. An RFQ for security guard services was issued on August 13, 2012, by the Finance Department. The scope of services can be found in Attachment 1. The RFQ was advertised in the Sun newspaper, and sent to the San Bernardino Area Chamber of Commerce, three local vendors and four non-local vendors. The City received proposals from two local and twenty-one non-local vendors. Police Department staff reviewed and scored each of the twenty-three proposals. The score sheets are provided in Attachment 2. Platinum Security, Inc., a local vendor, received the highest score based on the following evaluation criteria: capabilities of firm, qualifications and experience, reasonableness of cost, completeness of response, and local vendor preference. Staff recommends that Platinum Security be awarded the contract as they best meet the City's security needs. The Company has read and agreed to the terms as outlined in the Vendor Service Agreement (Exhibit A). The term of security guard services at the Feldheym Library and Metrolink Station will be for three years beginning 30-days following Council approval with three, one-year renewal options. The current security vendors at the Feldheym Library and Metrolink Station will be given 30-day's notice of termination of services prior to Platinum Security taking over security services. The Platinum Security proposal is provided in Attachment 3. FOR SECURITY GUARD SERVICES AT THE FELDHEYM LIBRARY AND THE SAN BERNARDINO METROLINK STATION. This Vendor Service Agreement is entered into this the day of December 2012,by and between Platinum Security,Inc. ("Vendor") and the City of San Bernardino ("CITY"or"San Bernardino"). U 3 WITNESSETH: w a WHEREAS,the Mayor and Common Council has determined that it is advantageous c� and in the best interest of the CITY to contract for Security Guard Services at the Feldheym U d Library and Metrolink Station; and U WHEREAS,the City of San Bernardino did solicit and accept proposals from available U vendors for Security Guard Services per RFP F-13-06; and, co 0 WHEREAS,Vendor is the most responsive and responsible proposer to provide said a services to City; v a NOW,THEREFORE,the parties hereto agree as follows: N X W 1. COMPENSATION AND EXPENSES. a. No other expenditures made by VENDOR shall be reimbursed by CITY. 3. TERM; TERMINATION. The term of this Agreement shall be from January 21, 2013 through January 21, 2016, plus three (3) single year renewal options for City requirements on an as-needed basis, with no guarantee usage for security guard services. This time frame shall be reasonable, as determined 3 U d by the Chief of Police, or his designee, to correct the specified deficiencies. w c B. Should the VENDOR fail to correct any deficiencies within the stated time frame, the w E r Chief of Police, or designee, may exercise the following measures: a 1. Deduct from the VENDOR'S payment the amount necessary to correct the deficiency, including City overhead costs and impose a deficiency deduction. 2. Withhold the entire or partial payment. 3. Vendor shall defend, indemnify, and hold harmless the City, its elected and appointed officers, employees and agents from any claims, demands, lawsuits, liabilities,judgments, or expenses, including attorney's fees,damage to property or injuries to or death of any person or persons or damages of any nature including, but not limited to, all civil claims or workers' compensation claims, to the extent arising out of,pertaining to, or related to the negligence, N recklessness, or willful misconduct of Vendor, its employees,agents or subcontractors in the u performance of this Agreement, except that such duty to defend, indemnify, and hold harmless rn a L shall not apply to the extent where injury to person or property is caused by City's negligence, T recklessness or willful misconduct. INSURANCE. a While not restricting or limiting the foregoing, during the term of this Agreement, X W VENDOR shall maintain in effect policies of comprehensive public, general and automobile E liability insurance, in the amount of$1,000,000.00 combined single limit, and statutory worker's compensation coverage, and shall file copies of said policies with the CITY's Risk Manager prior to undertaking any work under this Agreement. CITY shall be set forth as an additional named insured in each policy of insurance provided hereunder. NON-DISCRIMINATION. In the performance of this Agreement and in the hiring and recruitment of employees, VENDOR shall not engage in, nor permit its officers, employees or agents to engage in, discrimination in employment of persons because of their race,religion, color,national origin, ancestry, age, mental or physical disability,medical conditions,marital status, sexual gender or sexual orientation, or any other status protected by law. Rl 8. INDEPENDENT CONTRACTOR. VENDOR shall perform work tasks provided by this Agreement, but for all intents and in m purposes VENDOR shall be an independent contractor and not an agent or employee of the T CITY. BUSINESS REGISTRATION CERTIFICATE AND OTHER REQUIREMENTS. a M VENDOR warrants that it possesses or shall obtain, and maintain a business registration x w certificate pursuant to Chapter 5 of the Municipal Code, and any other licenses,permits, E r qualifications, insurance and approval of whatever nature that are legally required of VENDOR to practice its business or profession. 10. NOTICES. The costs, salary and expenses of the City Attorney and members of his office in 0 enforcing this Agreement on behalf of the CITY shall be considered as"attorneys' fees"for the o N purposes of this paragraph. 12. ASSIGNMENT. R VENDOR shall not voluntarily or by operation of law assign,transfer, sublet or k w encumber all or any part of the VENDOR's interest in this Agreement without CITY's prior E written consent. Any attempted assignment,transfer, subletting or encumbrance shall be void x a and shall constitute a breach of this Agreement and cause for the termination of this Agreement. Regardless of CITY's consent,no subletting or assignment shall release VENDOR of VENDOR's obligation to perform all other obligations to be performed by VENDOR hereunder for the term of this Agreement. The parties hereto agree that all actions or proceedings arising in connection with this Agreement shall be tried and litigated either in the State courts located in the County of San Bernardino, State of California or the U.S. District Court for the Central District of California, Eastern Division. The aforementioned choice of venue is intended by the parties to be mandatory and not permissive in nature. Vi 14, GOVERNING LAW. ENTIRE AGREEMENT; MODIFICATION. This Agreement may be modified or amended only by a written instrument executed by all parties to this Agreement. SCOPE Location A:The City requires a security guard in uniform -2 shifts—from 4:00 a.m. until 10:30 p.m. (18.5 hours per day), Monday through Saturday(until 10:30 p.m. or until the last train arrives at the station and the public safely clears the parking area,whichever comes first). Vi d Location B: The City requires a security guard in uniform from 9:00 a.m. until 8:00 p.m., Monday V i., through Wednesday(11-hours per day), and 10:00 a.m. until 6:00 p.m.,Thursday and Saturday in (8-hours per day). The Norman F. Feldheym Central Library is closed on Fridays and Sundays. 0 3 2. Provide foot patrols of the property and parking areas on an irregular basis, but at least a minimum of three (3)times per hour. Immediately notify the San Bernardino Police Department of irregularities or criminal activity. FOR SECURITY GUARD SERVICES AT THE FELDHEYM LIBRARY AND THE SAN BERNARDINO METROLINK STATION. This Vendor Service Agreement is entered into this the day of December 2012,by and between Platinum Security, Inc. ("Vendor") and the City of San Bernardino ("CITY"or"San Bernardino'). N N U WITNESSETH: d WHEREAS,the Mayor and Common Council has determined that it is advantageous C7 and in the best interest of the CITY to contract for Security Guard Services at the Feldheym U U Library and Metrolink Station; and y U C WHEREAS,the City of San Bernardino did solicit and accept proposals from available U vendors for Security Guard Services per RFP F-13-06; and, 0 WHEREAS, Vendor is the most responsive and responsible proposer to provide said a services to City; z X w NOW, THEREFORE,the parties hereto agree as follows: a 1. SCOPE OF SERVICES. c N E For the remuneration stipulated, San Bernardino hereby engages the services of m VENDOR to provide those services as set forth in Attachment"1" attached hereto and a incorporated herein. 2. COMPENSATION AND EXPENSES. a. For the services delineated above,the CITY,upon presentation of an invoice calculated based on the information contained in Exhibit"A", shall pay the VENDOR up to the amount of $71,555.22 for Year 1, $95,283.95 for Year 2, and$95,207.81 for Year 3 in total for the term of i Exhibit A J the contract, for security guard services at the Feldheym Library and Metrolink Station. v b. No other expenditures made by VENDOR shall be reimbursed by CITY. 3. TERM; TERMINATION. The term of this Agreement shall be from January 21 2013 through November 21 2016 plus three(3) single year renewal options for City requirements on an as-needed basis,with no guarantee usage for security guard services. This Agreement may be terminated at any time by thirty(30) days' written notice by either party .L for any reason. The terms of this Agreement shall remain in force unless amended by written agreement of the parties executed on or before the date of expiration of the current term of the a Agreement. c U U 4. CONTRACTOR NON-COMPLIANCE U m A. If the Chief of Police, or his designee, determines that there are deficiencies in the 0 performance of this Agreement, the Chief of Police, or his designee, will provide a N written notice to the vendor stating the deficiencies and specifying a time frame to a correct the specified deficiencies. This time frame shall be reasonable, as determined w a by the Chief of Police, or his designee,to correct the specified deficiencies. > c B. Should the VENDOR fail to correct any deficiencies within the stated time frame, the E U U Chief of Police,or designee,may exercise the following measures: a 1. Vendor shall defend, indemnify, and hold harmless the City, its elected and appointed officers, employees and agents from any claims, demands, lawsuits, liabilities,judgments,or expenses, including attorney's fees, damage to property or injuries to or death of any person or persons or damages of any nature including,but not limited to, all civil claims or workers' compensation claims, to the extent arising out of,pertaining to, or related to the negligence, recklessness, or willful misconduct of Vendor, its employees, agents or subcontractors in the U performance of this Agreement, except that such duty to defend, indemnify, and hold harmless v shall not apply to the extent where injury to person or property is caused by City's negligence, c� recklessness or willful misconduct. INSURANCE. t X w While not restricting or limiting the foregoing, during the term of this Agreement, < VENDOR shall maintain in effect policies of comprehensive public, general and automobile E r liability insurance, in the amount of$1,000,000.00 combined single limit, and statutory worker's R a compensation coverage, and shall file copies of said policies with the CITY's Risk Manager prior to undertaking any work under this Agreement. CITY shall be set forth as an additional named insured in each policy of insurance provided hereunder. The Certificate of Insurance furnished to the CITY shall require the insurer to notify CITY of any change or termination in a the policy 30 days' notice prior to any change or termination of policy. Exhibit A 7. NON-DISCRIMINATION. In the performance of this Agreement and in the hiring and recruitment of employees, VENDOR shall not engage in,nor permit its officers, employees or agents to engage in, discrimination in employment of persons because of their race,religion, color,national origin, ancestry, age, mental or physical disability,medical conditions, marital status, sexual gender or sexual orientation,or any other status protected by law. 8. INDEPENDENT CONTRACTOR.
