RESOLUTION TO ISSUE A PURCHASE ORDER TO METAL ROOFING & SALES,
INC.,FOR THE ROOF REPLACEMENT AT SECCOMBE LAKE PARK CONCESSION
BUILDING.
Backeround:
Staff has prepared specifications and requested public bids on the project to do metal roof
replacement on the concession building at Seccombe Lake Park. On January 19, 2000, Formal
Bid #FO039, was sent to two (2) vendors, the San Bernardino Area Chamber of Commerce, and
advertised in the Sun Newspaper. On February 17, 2000, the day of the bid opening, there were
no bids received.
The parks division contacted Darwin Alfstad of Metal Roofing located in Rancho Cucamonga to
negotiate a price agreement for the roof and sky light replacement. The original request did not
include the repair or replacement of the skylights. Due to the vandalism of the glass skylight, it
was decided to remove the existing skylights and enclose the area with metal roofing material.
The bid negotiated with Metal Roofing & Sales, Inc. was in the amount of$33,602 (see attached
proposal #9912913 dated March 13,2000.
The bid proposal was reviewed by the Parks Division and Facilities Management staff and it was
determined that Metal Roofing & Sales, Inc. fully complies with all the project specifications.
Financial Impact:
These are budgeted funds in the Park Construction Fund for Seccombe Lake Park Rehab and
Development, Account No. 243-36�-5504-1945.
Recommendation:
Staff recommends that the council adopt resolution approving the purchase order.

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY

OF SAN BERNARDINO AS FOLLOWS:

8 SECTION 1. Authorize Metal Roofing& Sales Inc., to provide roof restoration work to the
9 City of San Bernardino for the Seccombe Lake Park Concession Building. The Purchasing Manager
10 is hereby authorized and directed to sign a standard form services agreement (a copy of which is
11 attached hereto as Exhibit "A" and incorporated herein in its entirety by this reference) and issue a
purchase order for $33,602, for the roof restoration work at Seccombe Lake Park Concession

14 SECTION 2. The authorization to execute the above referenced purchase order and
15 agreement is rescinded if it is not issued within sixty (60) days of the passage of this resolution.

SERVICES AraREEmENT
THIS AGREEMENT is entered into this day of 2000, between
("CONTRACTOR") and the CITY OF SAN 13ERNARDINO
("CITY")
W11NESSETH
A. WHEREAS, CITY has need for Roof Replacement work and,
B. WHEREAS, CONTRACTOR is competent, experienced and able to perform said services
and,
C. WHEREAS, CONTRACTOR has provided the most advantageous and best responsible
proposal for the providing of such services:
NOW THEREFORE, the parties hereto agree as follow:
1. CONTRACTOR shall furnish Labor and Material in accordance with Proposal Specification 99129C.
2. Over the term of this Agreement, CONTRACTOR shall be paid for such services an amount in
accordance with Proposal Specification 99129C and Offeror's Proposal and Statement.
3. CONTRACT shall provide THE CITY with invoice for 40% of the contract costs after removal of
existing roof and the remainder of the contract costs after installation of the new metal roof. Payment
by the City shall be within thirty(30) days therefrom. CITY retains the right to challenge all or any
part of an invoice.
4. The initial term of this Agreement shall be 45 days from the date of award of contract and is subject
to termination by either party upon fifteen (15) days written notice to the other.
5. CONTRACTOR shall indemnify, defend and hold CITY, its officers, employees and agents harmless
from any claim, demand, liability, suit,judgment or expense(including, without limitation,
reasonable costs of defense) arising out of or related to CONTRACTOR's performance of this
agreement, except that such duty to indemnify, defend and hold harmless shall not apply where injury
to person or property is caused by CITY'S willful misconduct or sole the costs, salary and expenses
of the City Attorney and members of his office in enforcing this Agreement on behalf of the City
shall be considered as"attorney's fees"for the purposes of this paragraph.
6. While not restricting or limiting the foregoing, during the term of this Agreement, CONTRACTOR
shall maintain in effect policies of comprehensive public, general, and automobile liability insurance,
in the amount of$1,000,000 combined single limit, and statutory worker's compensation coverage,
and shall file copies of said policies with the CITY's Risk Manager prior to undertaking any work
under this Agreement. The policies shall name the CITY as an additional insured and shall provide
for ten(10)day notification to the City if said policies are terminated of materially altered.

7. CONTRACTOR shall perform work tasks as directed by Facilities Manager or his designee, but for
all intents and purposes, CONTRACTOR shall be an independent contractor and not an agent or
employee of the CITY.
8. In the performance of this Agreement and in the hiring and recruitment of employees,
CONTRACTOR shall not discriminate on the basis of race, creed, color,religion, sex, physical
handicap, ethnic background or country of origin.
9. Any notice to be given pursuant to his Agreement shall be deposited with the United States Postal
Services, Postage prepaid and addressed as follows:

4. Install Design Span, standing seam metal roof in 24 gauge Weathered Copper including
related tlashings.
5. Remove skylights and dispose of the same.
Add necessary framing and plywood to enclose ridge of roof.
Extend standing seam to the ridge and flash.
6. Job to be completed 45 days after award of bid.

SERVICES AGREEMENT
