Back round: There is no one turnout brand or design that is best for every fire department. Firefighting tactics, call volume, and comfort play a role in determining the turnouts that best serve the needs of the department. A selected source purchase for Lion Janesville turnout gear is justified because after an evaluation which included inviting vendors to meet with the San Bernardino City Fire Department Safety Gear Committee to discuss, to demonstrate, and to try on the vendor's turnout gear. It was determined that Lion Janesville Turnout Gear V-Force design is the best turnout gear option for the San Bernardino City Fire Department. Garment design, working weight, and the ability to manage moisture are all factors that contribute to the comfort and the effectiveness of turnout gear. Turnout gear used for structural firefighting is more than the materials of which it is constructed. The majority of turnout gear manufacturers use the same basic materials. The key to turnout gear is how the materials are used in the design of the gear. The Lion Janesville V-Force turnout gear takes the best technology from combat and professional sports clothing and applies it to turnout gear. The �I result is the optimum balance of comfort, mobility and protection that flexes and bends like the human body. The Lion Janesville V-Force coats have been designed with contoured sleeves which are shaped like the human arm so that they bend like a firefighter's arm with no pulling or binding. The coat also has a bi-swing back which has an inverted pleat in both the outer shell and thermal barrier. This allows the coat to expand as the firefighter's arms move forward with no tugging or binding at the shoulders. The legs of the Lion V-Force pants are also contoured to match the body and to reduce working weight. The knees of the pants are an intricate design of cutouts, shaped pieces and darts to enable free and easy movement. The design components in both the Lion V-Force turnout coat and pants provide superior flexibility and range of motion for the firefighter while performing fire ground operations. In addition, Lion Janesville's exclusive Isodri technology is an engineered system that manages moisture through a combination of materials that block outside sourced water, wick perspiration off the body and resist storing water. Excessive weight of structural turnout gear increases firefighter fatigue during fire suppression efforts and overhaul operations. When water collects in turnout clothing it gets heavier and uncomfortable. The insulating layers and outer shell of an Isodri system are molecularly bonded with DuPont's Teflon F to restrict the absorption of moisture and keep the protective layer of air between the body and turnout material. Finally, the Lion Janesville V- Force turnout provides a Glide Center Cut thermal liner. Therefore, in accordance with the City of San Bernardino Municipal Code Section 3.04.010(B)(3) purchasing procedures for "selective source", the Fire Department recommends that Allstar Fire Equipment Inc. be issued an annual purchase order for one year with the option, at the City's options, of renewing the contract annually for up to two additional years for the Lion Janesville structural firefighting gear. Also, Allstar Fire Equipment Inc. is the authorized vendor for Lion Janesville structural firefighting gear(turnout gear). Packet Pg. 217 Exhibit"A" PURCHASE AGREEMENT CITY OF SAN BERNARDINO—ALLSTAR FIRE EQUIPMENT This Purchase Agreement is entered into by and between Allstar Fire Equipment("Vendor") and the City of San Bernardino("City" or"San Bernardino"). WITNESSETH: WHEREAS,the Mayor and Common Council has determined that it is advantageous and in the best interest of,the City to contract for the purchase of turnout coat and turnout pants for fire fighter;and, WHEREAS,the City's Fire Department has determined that Lion Janesville Structural Firefighting Gear best meets the needs of the Fire Department and will help to improve fire fighter v safety during hazardous operations; and, E a WHEREAS,Allstar Fire Equipment is the authorized vendor for Lion Janesville Structural w Firefighting Gear; m LL NOW,THEREFORE,the parties hereto agree as follows: y a 1. SCOPE OF SERVICES. o For the remuneration stipulated, San Bernardino hereby engages Vendor to provide turnout a. coats and turnout pants, per Janesville V-Force Bi-Swing Coat Protective Clothing Specification NFPA 1971,2007 Edition,attached hereto and incorporated herein as Exhibit"1." 2. COMPENSATION AND EXPENSES. For the products delineated above, the City,upon presentation of an invoice, shall pay the Vendor up to the amount of$2,293.38 for each set of turnouts (including coat and turnout pants), as set forth on the Sales Quote,attached hereto and incorporated herein as Exhibit"2,"up to a maximum of$45,000. E m w 3. TERM; TERMINATION. E E a. This purchase shall be completed prior to the end of fiscal year 2013/2014,plus two single m year options. The negotiated price upon the exercise of an option shall not exceed the price set forth herein. Option year shall become effective only upon issuance by the City of a duly authorized Purchase Order. b. This Agreement maybe terminated at any time by thirty(30)days' written notice by either party. The terms of this Agreement shall remain in force unless mutually amended. 4. Vendor agrees to replace or correct promptly defects of any goods or services not conforming to the foregoing warranty without expense to the City,when notified of such non-conformity by City. If Vendor fails to correct the defects in or replace non-conforming goods or services promptly, City may, after reasonable notice to Vendor,make such corrections or effect cover, or cure, at Vendor's expense. "Reasonable notice"for purposes of this section shall not be deemed to require more than 60 calendars days notice before commencement of efforts by the City to effect cover or a cure except upon written agreement of the Parties. 5. INDEMNITY. Vendor agrees to and shall indemnify and hold the City, its elected officials, employees, agents or representatives, free and harmless from all claims, actions, damages and liabilities of any kind and nature arising from bodily injury, including death, or property damage, based or asserted upon any o actual or alleged act or omission of Vendor, its employees, agents, or subcontractors, relating to or in 9 any way connected with the accomplishment of the work or performance of services under this w Agreement, unless the bodily injury or property damage was actually caused by the sole negligence of 0 the City, its elected officials, employees, agents or representatives. As part of the foregoing indemnity, Vendor agrees to protect and defend at its own expense, including attorney's fees, the City, y its elected officials, employees, agents or representatives from any and all legal actions based upon a such actual or alleged acts or omissions. Vendor hereby waives any and all rights to any types of ° express or implied indemnity against the City, its elected officials, employees, agents or a representatives, with respect to third party claims against the Vendor relating to or in any way connected with the accomplishment of the work or performance of services under this Agreement. y 6. INSURANCE. 0p e While not restricting or limiting the foregoing, during the term of this Agreement,Vendor shall maintain in effect policies of comprehensive public,general and automobile liability insurance, in the amount of$1,000,000.00 combined single limit, and shall file copies of said policies with the City's Risk Manager prior to undertaking any work under this Agreement. City shall be set forth as an additional named insured in each policy of insurance provided hereunder. The Certificate of Insurance furnished to the City shall require the insurer to notify City of any change or termination in the policy. . E 7. NON-DISCRIMINATION. In the performance of this Agreement and in the hiring and recruitment of employees, Vendor a shall not engage in,nor permit its officers, employees or agents to engage in,discrimination in employment of persons because of their race,religion, color,national origin, ancestry, age,mental or physical disability,medical condition,marital status,sexual gender or sexual orientation, or any other status protected by law. 8. BUSINESS REGISTRATION CERTIFICATE AND OTHER REQUIREMENTS. Vendor warrants that it possesses or shall obtain, and maintain a business registration certificate as required under Chapter 5 of the Municipal Code, and any other license, permits, qualifications, insurance and approval of whatever nature that are legally required of Vendor to practice its business or profession. Regardless of City's consent,no subletting or assignment shall release Vendor of Vendor's obligation to perform all other obligations to be performed by Vendor hereunder for the term of this Agreement. REMEDIES;WAIVER All remedies available to either party for one or more breaches by the other party are and shall be deemed cumulative and may be exercised separately or concurrently without waiver of any other remedies. The failure of either party to act in the event of a breach of this Agreement by the other shall not be deemed a waiver of such breach or a waiver of future breaches, unless such waiver shall be in writing and signed by the party against whom enforcement is sought. 18. ENTIRE AGREEMENT; MODIFICATION.
