2 RESOLUTION OF THE CITY OF SAN BERNARDINO PROVIDING FOR THE
FUNDING OF THE BI-CENTENNIAL COMMISSION OF THE CITY OF SAN
3 BERNARDINO FOR THE BALANCE OF THE CALENDAR YEAR 1976.

WHEREAS, the City of San Bernardino is willing to appropriale
certain funds from its General Fund or a special fund for funding
activities involving the Bi-Centennial programs in the City of
San Bernardino; and
WHEREAS, the Bi-Centennial Commission of the City of San
Bernardino has performed its functions in an exemplary manner
from the time of its inception to the present; and
WHEREAS, the Bi-Centennial Commission has requested that
the City appropriate the sum of ten thousand eight hundred dollars
($10,800) to be used for Bi-Centennial activities from the period
of July 1, 1976 through December 31, 1976 in furtherance of the
activities of the Commission,
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND COMMON
COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS:
SECTION 1. The Mayor and Common Council of the City of San
19 Bernardino hereby appropriate the sum of ten thousand eight hundre
20 dollars ($10,800) and shall pay to the Bi-Centennial Commission
21 the total said sum of ten thousand eight hundred dollars ($10,800)
22 payable in such amounts and at such times prior to December 31,
23 1976 as may be approved by the Director of Finance of City
24 according to the needs of the Commission.

SECTION 2. The aforesaid sums provided to the Bi-Centennia
26 Commission shall be used to maintain the Bi-Centennial headquarter
27 office to be staffed by a full time Executive Director, a full
28 time secretary, and activities involving Bi-Centennial programs.
1 The activities of the Bi-Centennial Commission shall include
2 applications for Federal and State grants to assure permanent and
3 lasting results for the Bi-Centennial programs. The Commission,
4 through its headquarters office, shall perform consulting and
5 related services pursuant to the approved programs and functions
6 of said Bi-centennial Commission.

SECTION 3. The Bi-Centennial Commission shall submit at
such times as may be requested by the Director of Finance of City
an accounting of expenditures of said funds, including the amounts
and purposes for which the funds have been spent or obligated.

SECTION 4. City shall not be liable for any other or
12 additional expenses unless such expenses are specifically budgeted
13 and approved by the Mayor and Common Council.

SECTION 5. Should the Bi-Centennial Commission fail to
15 comply with any term, condition or provision of this resolution
16 or fail to expend or use the funds as herein provided, the Mayor
17 and Common Council may immediately terminate any obligations or
18 understandings created by this resolution. The Mayor and Common
19 Council shall in their sole discretion determine the degree of
20 compliance with the provisions of this resolution.

AGREEMENT
(BICENTENNIAL SERVICES)
THIS AGREEMENT made on this 1st day of July. 1976. by
and between the BICENTENNIAL COMMISSION OF SAN BERNARDINO,
CALIFORNIA, hereinafter called "COMMISSION", and THELMA PRESS,
hereinafter called "EXECUTIVE DIRECTOR".
WITNESSETH:
WHEREAS, the Commission desired to retain Executive
Director to perform services for the Commission as hereinafter set forth;
and
WHEREAS, Executive Director accepts said offer upon said
terms;
NOW, THEREFORE, the parties hereto agree as follows:
1. General. For and in consideration.. of the compensation
and covenants hereinafter mentioned to be made and performed by the
Commission and Executive Director, the Commission retains Executive
Director and Executive Director agrees to perform Executive Director
services for Commission.
2. Duties of Executive Director. Shall be as outlined in the

attached contract position.
3. Payment by Commission. Commission shall pay Executive
Director for all services to be rendered under the provisions of this
agreement the sum of one thousand dollars ($1,000.00) per month; and
Executive Director shall assume and be liabl e for all out-of-pocket expenses
unless such llxpenses are specifically budgeted and approved or ratified by
the Commission.

4. Term. This agreement shall be effective on the 1st day of
July, 1976, and shall continue in effect until the 31st day of December, 1976,
unless terminated as hereinafter provided.
5. Unilaterial Termination. This agreement may be terminated
by either party by giving thirty (30) days I written notice to the other, and
this agreement shall terminate forthwith thirty (30) days following the date
said written notice is given.
6. Amendment. This agreement may be amended or modified
only by written agreements signed by both parties and failure on the part
of either party to enforce any provision or provisions, nor act to release
any surety from its obligations under this agreement.
7. Assignment. This agreement shall not be assigned by
Executive Director without the written consent of Commission.
8. Notices. All notices herein required shall be in writing,
and delivered in perscn or sent by registered mail, postage prepaid,
as follows:

9. Relationship of Parties. It is understood that the contractual
relationship of the Executive Director to the Commission is that of independent
contractor.
10. Hold-Harmless Agreement. Executive Director hereby agrees
to and shall, hold Commission, its elective and appointive boards, commissions,
officers, agents and employees, harmless from any liability for damage or
claims for damage for personal injury, including death, as well as from cl.<~ims
for property damage which may arise from Executive Director's operations

under this agreement, whether such operations be by Executive Director
or by anyone or more persons directly or indirectly employed by, or
acting as agent for Executive Director. Executive Director agrees to, and
shall, defend Commission and its elective and appointive boards, commissions,
officers, agents and employees from any suits or actions at law or equity for
damages caused, or alleged to have been caused, by reason of any of the
aforesaid operations ,
IN WITNESS WHEREOF, the parties hereto have executed this
agreement the day and year first above written.

Executive Director Of The Bicentennial Commission
Of San Bernardino
JOB DESCRIPTION:
Under contract to and under the gereral supervision of the
Board of Officers of the Bicentennial Commission of San
Bernardino, California, to act as liaison between the
Commission and Department of the City Government, the
Bicentennial Celebration Association, the general public,
the State Commission and the National Administration and
such other public bodies as may be designated by the Board
of Officers, the Commission or the Mayor and Common Council.
To supervise the operation of a headquarters office as an
information center, clearing-house for projects and proposals
and as a staff to implement the work of the Commission.
REPRESENTATIVE DUTIES:
Represent the Commission in contact with service clubs,
charitable organizations, busi nesses, institutions, private
citizens and other Bicentennial organizatiuns; receive pro-
posals and ideas, prepare them for presentation to the
Commission; attend all meetings of the Commission and the
Board of Officers and interpret policie3 developed by the
Commission; report results of project meetings to Board of
Officers; supervise the work of secretarial and clerical

staff: conduct meetings of the Bicentennial Celebration
Association: act as clearing-house for public information.
GENERAL QUALIFICATIONS:
Ability to analyze administrative problems and to make sound
judgments and procedural recommendations as to their solutions;
maintain effective relations with the Commissioners. City Officials.

Operate the office according to the same working
hours as the City does, subject to odd working hours as required.
ORGANIZATIONAL RELATIONSHIPS:
The Executive Director of the Bicentennial Commission is a
specialist position in the Office of The Board of Officers of the
Bicentennial Commission. Works under the supervision of the
Bicentennial Commission Board of Officers and reports directly on
all matters of general office procedure; personnel and policies to
the Chairman of the Bicentennial Commission. Supervises the work
of other administrative and clerical personnel. In dealing with
City Department heads, works in close coordination with the
Executive Assistant to the Common Council and the Mayor's
As sistant for Public Affairs.
SPECIAL ARRANGEMENTS:
The Executive Director operates under contract to the Bicentennij,l.
Commission and as such is not subject to payment for retirement,
or any other fringe benefits accruing to employees as such. The
Executive Director is respon sible for mileage, travel expense and
other expenses of his offices, except when the Board of Officers deem
otherwise.
