RESOLUTION NO. /~ RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE EXECUTION OF AN AGREEMENT WITH THE SAN BERNARDINO CHAMBER OF COMMERCE FOR PUBLICIZING AND ADVERTISING THE CITY OF SAN BERNARDINO. BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: SECTION 1. The Mayor of the City of San Bernardino is hereby authorized and directed to execute on behalf of said City an agreement with the San Bernardino Chamber of Commerce for publicizing and advertiSing the City of San Bernardino, a copy of which is attached hereto, marked Exhibit "An and incorporated herein by reference as fully as though set forth at length. CIeri( .,f.?J. .:2n~ ~~"Vlt I [ 1 A G R E E MEN T --------- 2 THIS AGREEMENT, covering operations during the fiscal year 3 1976-1977, is made and entered into at San Bernardino, California 4 this 9-~ day of , 1976, by and between the 5 CITY OF SAN BERNARDINO, 'municipal corporation, hereinafter 6 referred to as "City", and the SAN BERNARDINO CHAMBER OF COMMERCE 7 a California corporation, hereinafter referred to as "Contractor" 8 WIT N E SSE T H:. 9 WHEREAS, the Mayor and Common Council of the City of San 10 Bernardino have found and determined that it will be for the 11 cDnvenience, benefit and advantage of the City, and of its in- 12 habitants, to employ the Chamber of Commerce for the general 13 purposes of publicizing and advertising the City. 14 NOW, THEREFORE, in consideration of the promises aforesaid, 15 all laws governing such matters, and the several and mutual 16 promises and agreements hereinafter contained, the parties heret 17 do covenant and agree as follows: 18 1. Promotion. The Chamber of Commerce agrees that it wil , 19 during the fiscal year 1976-1977 use its best efforts to adver- 20 tise and publicize the City of San Bernardino, induce immigratio 21 and visitation to the City, induce and promote industrial 22 business and residential growth, exhibit manufactured and other 23 products made in and near the said City, advertise and furnish 24 information to the general public regarding the advantages of 25 said City as a place to live, work and establish industries and 26 businesses, generally aid and promote industrial expansion of 27 said City, cause to be prepared, published and disseminated 28 bulletins and other advertising matter relating to the foregoing . 1 activities, as more specifically defined and set forth in the 2 request for financial assistance attached hereto. 3 2. Contractor - Official Agency. In consideration of the 4 services to be performed by the Chamber of Commerce, the City 5 hereby designates the Chamber of Commerce as the official agency 6 of the City for the performance of such services. 7 3. Payments. City shall pay Contractor for all publicity 8 and advertising services to be conducted under the provisions of 9 this Agreement the sum of twenty seven thou~and dollars 10 ($27,000.00) payable as follows: $6,750.00 on August 1, 1976; 11 $6,750.00 on November 1, 1976; $6,750.00 on February 1, 1977; 12 and $6,750.00 on May 1, 1977. Said sum is intended to assist in 13 defraying the cost of necessary expenses related to the Western 14 Little League Tournament and to said publicity and advertising 15 services, including, but not limited to, travel and out-of-pocket 16 expenses, rental allowance, office supplies, equipment and 17 materials, telephone and utilities, and any other costs and 18 expenses incurred by Contractor and its employees and agents 19 pursuant to this Agreement. 20 4. Term. This Agreement shall be effective upon the date 21 of its execution and shall terminate on June 30th of the fiscal 22 year indicated in paragraph number I hereof, provided that 23 either party may terminate this agreement at any time by giving 24 the other party written notice of such termination. In the 2S event Contractor terminates this Agreement, City shall not be 26 obligated to make any payment of monies after the effective date 27 of termination and Contractor shall reimburse City for any 28 unused monies paid by the City. 2 .. . 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 5. Relationship of Parties. It is understood that the contractual relationship of the Contractor to the City is that of independent contractor. 6. Hold Harmless Clause. Contractor hereby agrees to, and shall, hold City, its elective and appointive boards, com- missions, officers, agents and employees, harmless from any liability for damage or claims for damage for personal injury, including death, as well as from claims for property damage which may arise from Contractor's operations under this Agree- ment. whether such operations be by Contractor or by anyone or more persons directly or indirectly employed by, or acting as agent for Contractor. Contractor agrees to, and shall, defend City and its elective and appointive boards, commissions, officers, agents and employees from any suits or actions at law or in equity for damages caused, or alleged to have been caused, by reason of any of the aforesaid operations. 7. Quarterly Activity Report. Chamber of Commerce shall submit a Quarterly Activity Report relative to the programs, projects and activities planned and/or conducted by the Chamber on September 1, December 1, March 1, and June 1 of the contract year. 8. Annual Budget. Contractor shall file an annual budget for the subject fiscal year, in the form and manner pre- scribed by the City Administrator, detailing all estimated expenditures and all ~evenues expected to be received, from all sources inCluding the City, during the period of this Agreement. 9. Expenditures - Report and Accounting. Contractor shall 3 .. 20 21 22 23 24 25 26 27 28 1 file a complete report and accounting of all expenditures and all revenues received, from all sources including the City, during 2 3 the term of this Agreement. Said report shall be filed with the City Administrator prior to June 15th of said fiscal year. 10. Amendment. This Agreement may be amended or modified 4 5 6 only by written agreements signed by both parties and failure 7 on the part of either party to enforce any provision of this 8 Agreement shall not be construed as a waiver of the right to 9 compel enforcement of such provision or provisions. 10 11. Assignment: This Agreement shall not be assigned by 11 Contractor without the written consent of City. 12 12. Notices. " SAN BERNARDINO CHAMBER OF COMNERCE BUDGET 1977 City-Chamber Responsibilities The four Divisions of the 'Chamber of Commerce justifiably involved with the City's need for services are: The Military & Veterans Affairs Division The Visitor's Bureau Division The Business Development Division The Community Development Division This request for funds will summarize each Division's individ- ual programs for the Chamber year commencing January 1, 1977. The requested amounts do not include the Chamber's management overhead, and they do include, in some cases, an increase in cost over the 1976 expenditure. Each Vice President for their Division has included an explanation of the funds requested, and in all cases, this report has been reviewed and approved by the Board of Directors at their meeting on May 28, 1976. This is a huge complement of men and women who live and work in our economic area. Total 1977 Program of Work for the Military & Veterans Affairs Division Submitted: C. Jay Golding, Vice President 1. Support of the Veteran Programs Total Division Needs Subtract the Division income from Nerton Booster Decals Net Division Request Program 5, Quarterly Mixers, bas an overhead of approximately $250.00 per event. The get-togethers are very well attended and anticipated by all officers and wives at the base. The Division is moving the locations for the events to places of interest and homes in our valley. A single large event is being contemplated for 1977 at which time the outstanding officers and airmen will be recognized. -2- , . San Bernardino Chamber of Commerce Budget (cont'd) In 1977, the Division will offer two or three special Military-Civilian Appreciation programs. The Bob Hope Salute held June 8, 1976 is an example of a special appreciation program. The Chamber of Commerce will once again continue to honor the Crew of the USS San Bernardino by hosting a dinner for the men. The funding request would defray the gratis dinners and awards for the evening. Finally, the Division will seek to involve the many veterans organizations in its events. This is a large block of leadership untapped by contemporary base people and this Chamber's Military and Veterans Affairs Division. 1977 Program of Bork for the Visitor's Bureau Division Submitted: Robert L. Arrowhead Landmark as a historical . site, preservation and promotion 9. The costs to the Chamber are escalating, 50 the request is increased this year. This Regional Headquarters activity is not annual, but year-~ound. The Chamber is heavily involved with Tom Boyle and the City for a commitment of expertise and follow-through with the development of the incomplete headquarters. The Little League Headquarters is a pure example of visitor merit to this community's business services. -3- San Bernardino Chamber of Commerce Budget (cent'd) Program 3 is new. It is designed to bring visitors to San Bernardino. The Orange Show Indoor Track Meet will be jointly sponsored by the Chamber of Commerce and our four San Bernardino Rotary Clubs. A working committee within the Division is now operating. and all four Rotary Clubs have accepted the program and appointed a representative to the working committee. Program 4 will be run December 21. 1976. The steering commit- tee is back at work and the Division expects over 300 entrants this year. . . Program 5 is vital to the Chamber of Commerce and the City. Providing excellent communications with the City's Convention Center. this figure could be cut in half. Both working agencies need similar material. Programs 6, 7 and 9 are traditional expenditures. Program 8 is an interesting on-going program within the Chamber of Commerce, which includes our Congressperson. to desig- nate the landmark as an official historical landmark within the County. Also. the U.S. Forestry and the California Division of Forestry asks for financial assistance from the Chamber of Commerce following flooding or burning of the Arrowhead area. This Division is very important to our community because most business-oriented visitors contact th~ Chamber of Commerce first for information and support materials. A thorough evalua- tion of this Divisi.on's programs and the City's Convention Center programs. to offset duplications. should be actively pursued. The Chamber of Commerce. in fact, urges such evaluation. 1977 Program of Work for the Business Development Division Submitted: Filliam A. Kernen. Vice President., 1. Small business assistance 2. Ssn Bernardino Chamber of Commerce Budget (cont'd) Program 1 is a support activity for our existing small businessmen in the form of meetings with resource speakers on information pertinent to business problems. Program 2 is a traditional effort of this Division to retain existing industry. Teams of business persons visit existing businesses to determine their attitudes toward San Bernardino and to assist wherever possible in resolving problems to encourage the industry to stay in San Bernardino. Program 3 is a thrust into the retail sales programming with the Division promoting events that stimulate participation from retailers and their customers. Program 4 is a traditional effort of the Division encompassing the basic functions of maintaining statistical files, publish an industrial directoo/, economic profile, growth statistics! guide to establishing a bus1ness, economic updates, data maps inc uding traffic flow, market area, and mass merchandising outlets. It includes the attraction of industry through tours and luncheons for prospect generators. Expansion of the program will include a business bulletin relating to industrial and commercial develop- ment throughout San Bernardino. Program 5 is the traditional program of serv1c1ng inquiries generated by outside sources to assist and advise industries expressing interest in relocating and/or expanding to San Bernardino. Programs 6 and 7 are two parts of a direct mail campaign to individual industries to generate their interest in San Bernardino. They include the development, printing and mailing of special materials to be sent quarterly to over 1000 industries and to provide followup service to responses resulting from this campaign. 1977 Program of Hork for the Community Development Division Submitted: Evlyn Pilcox, Vice President 1. San Bernardino Chamber of Commerce Budget (cont'd) Program 1 is designed to recognize individuals or business firms who build something architecturally pleasing which lends toward more beauty in our community, Program 2 is support of the Cinco de Mayo observance in San Bernardino. The Chamber usually purchases an ad in the paper. Program 3 is a new occasion for the Chamber. This Division will develop and sponsor a tribute to Law Enforcement Day as a tool to pay high respect to our officers in the county area. Program 4 is support of Black History Week by purchasing advertising in the paper. Program 5 is the annual Environmental Awards Dinner, the Art Exhibit during the Orange Show. Special programs such as the Fifty Year Business Recognition Dinner held in March of 1976 will be offered as the year progresses. Program 6 is the expansion of the present Junior Achievement program to eight firms. This budget figure also includes recogni- tion programs honoring sponsors and advisers.
