I . ! 1 RESOLUTION NO. /-7~~/ 2 RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE EXECUTION OF A FIRST AMENDMENT TO AGREEMENT WITH YELLOW CHECKER 3 LEASING, INC., RELATING TO THE OPERATION OF A DIAL-A-RIDE SYSTEM. 4 BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: S 6 7 8 9 10 11 12 13 14 15 16 17 18 19 SECTION 1. The Mayor of the City of San Bernardino is authorized and directed to execute on behalf of said City a First Amendment to Agreement with Yellow Checker Leasing, Inc., relating to the operation of a Dial-A-Ride System, a copy of which is attached hereto, marked Exhibit "A" and incorporated herein by reference as fully as though set forth at length. WIT N E SSE T H: WHEREAS, City and Company entered into an agreement on February 17, 1976, pertaining to Dial-A-Ride services; and WHEREAS, the City has adequate revenue in the, general fund for the balance of the current fiscal year for the Dial-A- Ride program, the City has available SB 325 funds for the next fiscal year for the project, and it is anticipated that City may want to continue this agreement for an additional period; and WHEREAS, Company has leased an additional Dial-A-Ride vehicle from the City, and the parties hereto desire to amend their prior agreement in order to provide for the use of seven (7) vehicles in the Dial-A-Ride program, NOW, THEREFORE, it is hereby agreed between the parties hereto as follows: 1. Paragraph 20f that certain agreement between the parties hereto dated February 17, 1976 pertaining to Dial-A-Ride service area is hereby amended to read as follows: "2. Service Area. Company agrees to lease seven (7) 5-passenger automobiles from the City for the term of this agreement and to utilize them in the operation of Dial-A-Ride service within a City area more particularly described in 1 2 3 4 5 6 Exhibit "I", attached hereto and incorporated by reference here- in and hereinafter called "Project Area". Since there has been a significant demand for service to two specific locations outside of the Project Area, Company shall provide Dial-A-Ride spur service to Inland Center on "E" Street south of Mill Street; and spur service to the Social 7 8 9 10 11 Security Administration District Office at 2110 East Highland Avenue. 12 will be Zone One. The area previously described south of 13 Highland Avenue will be Zone Two. Door-to-door service will be 14 provided within each zone to any destination in that zone. It 15 is encouraged, but not mandatory, that passengers desiring ser- 16 vice between zones will be driven within the zone to the closest 17 SBTS route serving the. general destination of the rider. Dial- 18 A-Ride shall provide inter-zone service upon specific request. 19 Spur service to Inland Center and the Social Security Administra- 20 tion District Office will be provided to passengers requesting 21 such service from either zone." 22 2. Paragraph 40f that certain agreement between the 23 parties hereto dated February 17, 1976 pertaining to Dial-A-Ride 24 service is hereby amended to read as follows: 25 "4. Service to be Provided. Service shall be provided six days per week, Sunday through Friday. Sunday service shall 27 be provided from 9:00 a.m. to 4:00 p.m. For Sunday service, 26 28 Company shall provide sixty (60) minute call-to-pickup service -2- 1 .1 i ! utilizing two (2) Dial-A-Ride vehicles. For service Monday 2 through Friday, Company will provide thirty (30) minute call-to- 3 pickup service using a minimum of four (4) Dial-A-Ride vehicles 4 from 7:00 a.m. to 9:00 a.m., and a minimum of seven (7) Dial-A- 5 Ride vehicles from 9:00a.m. to 7:00 p.m., except on the follow- 6 ing holidays: Christmas, New Years Day, Memorial Day, Independ- 7 8 9 ,ence Day, Labor Day and Thanksgiving Day." I I I 3. Paragraph 8 of that certain agreement between the I parties hereto dated February 17, 1976 pertaining to payments for I . Dial-A-Ride program is hereby amended to read as follows: 10 11 "8. Compensation. City shall pay to Company at the rate 12 of eight dollars ($8.00) per operating hour for the operation of 13 each of the seven (7) vehicles obtained pursuant to Paragraph 2 14 hereof and used in the program up to the maximum of twelve hours 15 per vehicle per day. City shall pay the Company on or before 16 the lOth day of the month following receipt of the billing for 17 the prior month that prior months proper charge. The operating 18 charge of $8.00 per hour is subject to revision, if the program 19 is continued after the l43-day term provided for herein. It 20 is the intention of the parties hereto that after the term hereof, 21 said fee shall be renegotiated, upward or downward, on the basis of the experience with the program. 22 23 The compensation for operation, together with the fares 24 collected, shall constitute full compensation to Company to cover 2S 26 27 28 profit and all costs of operation, including the lease of City- owned vehicles, salaries of all employees, fuel, maintenance and upkeep, insurance and all other costs attributable to the program. I 4. Paragraph 9 of that certain agreement between the -3- .' 1 parties hereto dated February 17, 1976 pertaining to the lease of 2 vehicles for the Dial-A-Ride program is hereby amended to read as 3 follows: 4 "9. Lease of Vehicles. Company, by separate agreement, 5 has agreed to lease at a rental rate of one dollar ($1.00) per 6 operating hour, not to exceed 12 hours per vehicle, per day, 7 8 9 10 11 12 iseven (7) mutually agreeable 5-passenger automobiles, owned by I ICity, to be used in the operation of the Dial-A-Ride system. ! I Company, at its own expense, shall provide all maintenance and operational costs for said vehicles." 13 5. Paragraph 11 of that certain agreement between the parties hereto dated February 17, 1976 pertaining to the maintenance of a log for the Dial-A-Ride program is hereby amended to read as follows: 14 15 16 17 "11. Log. Telephone Operator/Dispatchers shall maintain a communications center log of all calls received for a Dial-A- Ride service and a record of all rides actually provided. Drivers 18 shall maintain trip sheet records of all rides, given. Said logs 19 and trip sheet records shall be maintained in the form and manner 20 satisfactory to the City. 21 22 23 24 On or before the 5th day of each month, Company shall submit a copy of all Dispatcher's communication log sheets and driver's trip sheets for the preceding calendar month, together with a claim for the hours of service performed during said month. All other covenants., conditions, terms and provisions of said prior agreement shall remain in full force and effect.
