RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE
EXECUTION OF AN AGREEMENT WITH SAN BERNARDINO WESTSIDE COMMUNITY
DEVELOPMENT CORPORATION RELATING TO A GRANT FOR ADMINISTRATIVE
EXPENSES FOR THE REPAIR GRANT PROGRAM IN THE CITY.
BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AS FOLLOWS:
SECTION 1. The Mayor of the City of San Bernardino is
hereby authorized and directed to execute on behalf of said City
an Agreement with San Bernardino westside Community Development
Corporation relating to a grant for administrative expenses for
the Repair Grant Program in the City, a copy of which is attached
hereto, marked Exhibit "A" and incorporated herein by reference
as fully as though set forth at length.

THIS AGREEMENT is made and entered into this /?;LL day of

5it municipal corporation, hereinafter referred to as
6 "City", and SAN BERNARDINO WESTS IDE COMMUNITY DEVELOPMENT
7 CORPORATION, a nonprofit corporation of 1708 West Highland Avenue,
8 San Bernardino, California, hereinafter referred to as "WCDC".
9 WIT N E.S SET H:

10 WHEREAS, on September 17, 1975, City and "WCDC" entered
11 into an agreement whereby "WCDC" would provide workers to assist
12 City in carrying out its Repair Grant Program for Senior Citizens
13 for the fiscal year 1975-1976; and
14 WHEREAS, "WCDC" has requested funding to cover certain
15 administrative expenses for the assistance of "WCDC" in the said
16 Repair Grant Program for the designated impact area for said
17 fiscal year; and
18 WHEREAS, the Mayor and Common Council of the City of San
19 Bernardino are willing to appropriate certain funds from the
20 Community Development funds for the use of "WCDC" for said pur-
21 poses upon certain conditions; with the understanding that said
22 funds will be used for the Repair Grant Program for the designated
23 impact area of City; and with the understanding that receipt of
24 said funds shall not imply a continuing obligation of the City
25 beyond the term of this agreement; and
26 WHEREAS, "WCDC" warrants and represents that the expendi-
27 tures authorized by this agreement shall be used for the purposes
28 as outlined in the "WCDC" Budget, marked Exhibit "I", attached

hereto and incorporated herein by reference, and that the funds
will be used exclusively for administering the Repair Grant
Program for the impact area of City,
NOW, THEREFORE, IT IS MUTUALLY AGREED between the parties
hereto as follows:
1. City shall pay to "WCDC" up to the maximum of the
total sum of $20,000 as follows: $4,000 on January 2, 1976 and
the balance according to verified and supported monthly expense
statements submitted by "WCDC" to the City Finance Director and
as approved by said Finance Director during the term hereof
ending June 30, 1976.
2. The funds paid to "WCDC" shall be used by it solely
for the purposes set forth in the last Whereas Clause of this
agreement during the term commencing on January 1, 1976 and ending
on June 30, 1976, and shall be used only and solely for the pur-
pose of implementing the program as set forth in that agreement
dated September 17, 1975 between the City and "WCDC" in the
designated impact area of City and in accordance with all of the
terms and conditions thereof.
3. Prior to the final payment under this agreement, and
at such other times as may be requested by the City Administrator
or Director of Finance of City, "WCDC" shall submit to the City
Administrator, with a copy to the Director of Finance, an
accounting of the proposed and actual expenditures of said funds,
including the line item amounts and purposes for which said funds
have been spent or obligated. The accounting or financial state-
ment of "WCDC" shall separate expenditures for program services
from management and general expenditures. Expenditures for

program services shall be reported by the type of service function
involved. Each functional classification shall include all of the
costs applicable to the service provided, such as salaries and
expenses of employees or consultants, costs of materials and
supplies, long distance phone calls, automobile and travel costs,
etc. Fiscal records shall be maintained by "WCDC" in such a
manner as to permit the City to easily trace the expenditures of
the funds. . All books and records of "WCDC" are to be kept open
for inspection at any time during the business day by the City or
its officers or agents. The accounting report shall be submitted
by "WCDC" in conformance with established City guidelines and the
audit guide prepared by the Committee of Voluntary Health and
Welfare organizations entitled "Audits of Voluntary Health &
Welfare Organizations". Internal controls shall be implemented by
"WCDC" to comply with these guidelines and said audit guide.
"WCDC" shall comply with any rule or regulation of the Mayor and
Common Council concerning services provided by organizations
funded with City revenue, labor, equipment or supplies as may be
now in effector hereinafter enacted.
4. The services of "WCDC" funded hereunder shall be made
available to residents and inhabitants of the City of San
Bernardino. No person shall be denied service because of race,
color, creed, or sex. "WCDC" shall have and comply with
Affirmative Action guidelines in its employment practices.
5. City reserves the right to require "WCDC" to obtain
the prior written consent of City for the imposition of any
charges or fees, and the amounts thereof for such funded services,
and of any rules and regulations governing said services.

and agents are independent contractors and not employees or agents
of the City in performing said services.

8. "WCDC" agrees to conform to and abide by the pro-
18 visions of "section 1. Recommendations", of a portion of a
19 report entitled "Report of the Special Council Subcommittee for
20 Social Service Funds" dated and adopted on February 18, 1975 and
21 on file in the Office of the City Clerk of City.

9. If "WCDC" shall fail to comply with any term, con-
23 dition or provision of this agreement or to expend or use the
24 funds as herein provided, the City may terminate this agreement
25 by mailing written notice to "WCDC", and this agreement shall
26 thereupon terminate forthwith.
27 City shall have the right to terminate this agreement and
28 any funding hereunder without cause by mailing a ten (10) day

written notice to "WCDC" and this agreement shall terminate ten
(10) days after the mailing of such notice; and thereafter any
unpaid funds shall not be prorated or paid to "WCDC".
IN WITNESS WHEREOF, the parties hereto have executed this
agreement on the date first hereinabove written.
