2 RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE
EXECUTION OF AN AGREEMENT WITH THE COUNTY OF SAN BERNARDINO
3 RELATING TO ON-THE-JOB TRAINING PROGRAM FOR A PORTION OF THE
1976-1977 FISCAL YEAR WICH SAID AGREEMENT SUCCEEDS TO AND RE-
4 PLACES A PRIOR AGREEMENT AUTHORIZED BY RESOLUTION NO. 12618.
5 WHEREAS, the Mayor and Common Council, by Resolution No.
6 12618, authorized the execution of an agreement, dated November
7 10, 1976, with the County of San Bernardino relating to the On-
8 The-Job Training Program for a portion of the 1976-1977 fiscal
9 year; and
10 WHEREAS, it is desired that said agreement with the County
11 be modified and replaced by the agreement attached hereto, marked
12 Exhibit "A" and incorporated herein by reference in order to
13 provide for modification of the On-The-Job Training Program as
14 set forth in said Exhibit "A"; and
15 WHEREAS, it is the intention of the parties hereto that
16 said Exhibit "A" attached hereto be complementary and succeed to
17 the provisions of the prior agreement with the County of San

19 NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND COW~ON
20 COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS:

SECTION 1. The Mayor of.the City of San Bernardino is
22 authorized and directed to execute on behalf of said City that
23 agreement with the County of San Bernardino relating to the On-
24 The-Job Training Program for a portion of the 1976-1977 fiscal
25 year, a copy of which is attached hereto, marked Exhibit "A" and
26 incorporated herein by reference as fully as though set forth at
27 length. It is understood that this agreement shall supercede
28 the prior agreement to the On-The-Job Training Program executed

1 pursuant to the authority of Resolution No. 12618.
2 I HEREBY CERTIFY that the foregoing resolution was duly

The cost of the foregoing overhead was then divided
among our various contracts in proportion to the total
allocation used in each contract. In the case of this sub-

TITLE - I
SUBGRANT
ASSURANCES AND CERTIFIU,nONS
A. . General Assurances
1. The Subgrantee assures and certifies that:
a. It ~lill comply l'lith the requirements of the Comprehensive
Employment and Training Act (CETA) of 1973, as amended (P.L. 93-203,
87 Stat. 839 and P.L. 93-567, 88 Stat. 18~5), hereinafter referred to
as the Act, and with the regulations and policies promulgated there-
under; and
.
b. It ~Iill comply I'lith 0;.13 Circular number A-95 ana Federal
Management Circulars (FMC) 74-4 and 74-7~ as those circulars relate to
.functions such as the utilization of funds, the operations of programs,
and maintenance of records, books, accounts, 'and other documents under
the Act. .
2: The Subgrantee further assures and certifies that if the regu-
lations promulgated pursuant to the Act are amended or revised, it shall
comply with them or notify the Inland Manpo~er Association (IMA), within
30 days after promulgation of the amendments or revision that it cannot
so conform, so that the IMA may take appropriate action including term-
ination, if necessary.
3. In addition to the requirements of 1 and 2 abovE' and consistent
with the regulations issued pursuant to the Act, the Subgrantee makes
the fonowing further assurances and cel'tifications:
a. It possesses legal authority to apply for the Subgl'ant; that
a resolution, motion, or similar acticn has been duly adopted or passed
as an official act of the Subgrantee's governing body, authorizing the
filing of the Subgrant, including all understandings and assurances con-
tained therein, and directing and authorizing the person identified as
the official representative of the Subgrantee to act in connection with
the Subgrant and to provide such additional information as may be requir-
ed (sections 102 (a); 701 (a) (9) and (10)).
b. It will comply with Title VI of the Civil Rights Act of 196?,
(P.L. 88-352~, and in accordance with Title VI of that Act no person in
the United States Shilll on the grounds of race, color, sex, or national
origin, be excluded from participation in, be denied the benefits of, or
be othen-lis? subjected to discrimincttion under any program or activity
for I'lhich the SlIbgrantee receives Federal financial assistance and \.lill
immediately take any ;;;easures necessary to effectuate this agl-eement.
c. It will comply with Title VI of the Civil Rights Act of 1954,
(42 USC 20GOd) prohibiting employnent discrimination \'Ihere (1) the pri-.

(section 703 (1) and 712).

the Uniform Relocation Assistance and Real Property Acquisition Act of 1970
(P.L. 91-646) which provides for fair and equitable treatment of persons
displaced as a result of Federal and federally-assisted programs. .
f. It will comply with the provisions of the Hatch Act which
limit the political activity of employees.

g. It \'fill comply with the requirement that nq program under the
Act shall involve political activities (section 710).
. h. It will establish safeguards to prohibit employees from using
their positions for a purpose that is or gives the appearance of being
motivated by a desire for private gain for themselves or others, particu-
larly those with whom they have family, business, or other ties (section
702 (a)).
i. It will give the Department of Labor and the Comptroller
General through any authorized representative the access to and the right
to examine all records, books, papers, or documents related to the Subgrant
(section 713 (2)).
j. Participants in the program \-/ill not be employed on the con-
struction, operation, or maintenance of that part of any facility I':hich is
used for religious i,nstruction or \-Iorship (section 703 (3)).
k. Appropriate standards for health and safety in work and train-
ing situations will be maintained (section 703 (5)).

t. The program will, to the maximum extent feasible, cortribute to
the occupational development or up\'iard mobility of individual participants
(sectio~ 703 (13)).
u. The program has adeguate administrative and accounting controls,
personnel standards, evaluation procedures, availability of in-service train-
ing and technical assistance programs, and other policies as may be necessary
to promote the effective use of funds (section 703 (14)).
v. The program rr:akes appropriate provisions for the manpow:, needs
of youth in the area served (section 703 (15), and \'Iil1 assure that:
(1) Individuals receiving training on the job shall be compen-
sated by the employer at such rates, including periodic increases, as r.1ay be

deemed reasonable under regulations prescribed by the Secretary, but in no
event at a rate less than that specified in Section 6 (a) (1) of the Fair
Labor Standards Act of 1938 or, if higher, under the applicable State or
local minimum wage law. Wages in the Commonwealth of Puerto Rico, the
Virgin Islands, I'unerican Samoa, and the Trust Tel'ritory of the Pacific
Islands shall be. consistent I-lith the Federal, State, OJ' local la~1 othenlise
applicable (section 111 (b)).

section 705 of the Act.

B. Additional Assurances for Title I Programs
In carrying out programs under Title I of the Act, the Subgrantee assures
and certifies that:
1. Manpower services, including job development; will be provided to those
most in need of them including 101-/ income persons and persons of limited Engl ish-
speaking ability (section 105 (a) (d)).
2. Programs of institutional skill training shall be designed for occupa-
tions in which skill shortages exist (section 105 (a) (5)).
3. The Subgrant meets all the )"equil"ements of section 105 (a) and the Sub":
grantee will comply with ~ll provisions of the Act (section 105 (b)).
4. It will make such arrangements as are prescribed by regulation to assist
the Secretary in carrying out his responsibilities under sections 105 and 10S'
of the Act (section 105 (a) (7)).
5. Special consideration will be given to the needs of eligible disabled
veterans, special veterans, and veterans who served in the AI'med Forces and who
received other than a dishonorable discharge within four years before the date
of theil" application. The Subgrantee in selecting participants for programs
funded under Title I of the Act, shall take into. consideration the extent that
such veterans are available in the area. Specific effort should be made to de-
velope appropriate full or part-time opportunities for such veterans. The Sub-
grantee should utilize the assistance of the State and local veterans emploYRent
service representative in formulating its program objectives. On a continuing
and timely basis, information on job vacancies and training opportunities funded
under Title I of the Act shall be provided to the State and local veterans em-
ployment service representative for the purpose of dissecninating information to
eligible veterans (section 104 (b) of Emergency Jobs and Unemployment Assistance
Act of 1 97 4) .

7. The Inland r.lanpow~r Association's r',anasement InforOiation System
will be utilized for the development, maintenance, and reporting of all
required Subgrant Program Data. Subgrantee 'dill submit que.rter1y reports
due no later than the twentieth (20th) day after the close of each quarter
to include the HtA Quarterly Program SUicmary, the Quarterly Su;nmary of
Participant Characteristics, the Quarterly Financial Status Su;nmary, and
other su~p1emental reports as required.
8. All costs incurred under the Subgrant shall be in' a.ccordance \'lith
the UlA's FY'77 Schedule of Allowable Costs. Salaries for- Project Staff
charging less than 100;" of time to the project \'1i11 be pror.ated in accord-
ance ,lith the above. !l.11 costs in excess of maximum costs allo~lable per
Il1A schedu1 e and i ncorpora ted budget 1.1i 11 requi re prior jus t i fi ca ti on and
approval. In no case will pre-subgrant costs be rei;nbursed.

9. Approval for the expenditure of Subgrant funds for consultant fees
',fill be obtained from the H1A prior to commitment for such services.
10. It will adhere to special limitations on participant selection as
described in the Federal Register, Para. 98.23, pertaining to political
activities and the Hatch Act.
11. It will comply I'lith requirements of the 1a~1 arid Employment and
Training'Administration, Department of Labor, regarding the obtaining or
employer identificatipn-account nu",bers;' collection, payment, deposit and
reporting of Fedel'al, State, and local taxes. Hork Experience Subgrantees
will withhold Social Security or its equivalent and income taxes for all
. program enrollees if required for regular employees of the agency.
12. Assure that no funds will be used to hire any person to fill a job
opening created by the action of an employer in laying off or terminating
the er.Jp10yment of any other regular er.1p10yee not supported undel' the Act in
anticipation of filling the vacancy so treated by hiring an e:nployee to be
supported under the Act (Section 905 (c) (8)).
13. It \'Iil1 maintain a separate account for all funds received
under the Subgrant in addition to the !:laintenance of separate l'ecords,
source documents e.nd other e.ccount. books as r.equired. The Subgrantee

14. The Subgrantee assumes the fiscal and financial responsibility
for exceedi ng cost by 1 i ne item or cos t ca tegory. No reques ts for Sub-
grant modifications vlill be honored by the IHA if such requests represent
expenses or obl igations incurred prior to the Subgrantee receiving \'/ritten
approval from IHA. Post Subgrant costs l'lill not be paid unless previously
approved by IHA.
15. No less than 84 percent of funds l'Iill be used for enrollee \'Iages,
fringe benefits, allowances, training and services, and that administrative
costs will not exceed 16% of total Subgrant budget unless previously approved
by I1.1A.
16. Subcontracti nq: Subcontracts for va ri ous s ervi ces filay be entered
into by Subgrantee. All subcontracts t'equire prior approval by I1-1A except
negotiated fixed price On-the-Job Tt'aining subcontracts by. ~ubgralltee con-
tracted to deliver OJT services. These shall be prepared using H.IA standard
OJT forms and \'lill not require prior approval by the 1;'1.'1 Director, but \.1i1l
be reviewed. Subgrantee is required to seek competition in tbe solicitation
of subcontracts according to procedures specified in the Federal Rules and
Regulations. Further, Subgrantee shall make positive efforts to utilize
small business and minority business enterprises in subcontracting.
17. Title of Property:
a. Title to all property acquired by Subgrantee, including
acquisition through lease-purchase agreement, for the cost of which Sub-
grantee is to be reimbursed in \'Ihole or in part under this agreement,
shall immediately vest in IHA upon:
(1) Delivery,of such property by the vendor.
(2) Issuance for use of such property in the performance
of this agreement.
(3) Commencp.ment of processing or use of such property in
the performance of this agreement; or
(4) Reimbursement of cost thereof by the mA, \'Ih-ichever
fi rs t occurs.
b. Title to all pl'ope-rty shall not be affected by the incorpora-
1:10n or attachment thereof to any property not O\~ned by mA, nor'shall such
Il-iii property or any part thereof be or become a fixture or lose its identity
as personalty by reason of affixation by any realty.
c. All project equipment acquired must comply \'lith ft.l.!', program
i nterchangeab i 1 Hy requi )'ements. The Subgrantee may not purchase or i nClJr
1 iability fOl' equipment during the last sixty (60) days of this agl'eement.
Subgrantee shall obta i n prim' approva 1 ~rom Hl.!\ for all pUl'chases of non-
expendable property having an acquisition cost of $1,000 or more and a life
of mQre than one year.

18. Bondinq/Insurance
a. Prior to initial disbursement of funds to the Subgrantee the
Inland Nanpo\'ler Association shall receive a statement from the Subgrantee's
Chief Fiscal Officer or its insurer assuring that all persons handling funds
receiv2d or disbursed under the Subgrant are covered by fidel ity bond in an
amount of not less than $20,000. The Subgrantee shall kmediately notify
the IMA Director if the bond is cancelled or reduced. In that event !MA
shall not make any further disbursements to the Subgrantee until is is as-
sured that coverage has been obtained. The Subgrantee further agl-ees to
assume full responsibility for liability in excess of $20,000.

b. The Subgrantee agrees to obtain public liability and property
damage insurance including but not limited to premises and ~utomobile ins~r-
.ance coverage \'lith rnini",um liability limits of $500,000 (five hundred thousand
dollars), and damage to property of not less than $500,000 resulting from any
occurrence. Said policy should provide thirty (3D) days \'iritten notice to
the I:1A of cancellation or material change.

19. Hold Harmless
a. The subgrantee agr2es to indemnify and save the IMA, and all the
agents and employees, harmless from any and all liabilities, claims, damages,
or injuries to any person or property including injury to Subgrantee eGployees,
and all expenses of investfgation and defending against sarr.e including attorney,
court and/Or legal fees.
(1) Arising from or connected \'iith performance or failure to
per-fori!! any \'lark or other obligations of this agree;r.ent;
(2) Cause or claim to be caused by the independent status of
Subgrantee, his agents or employees;
(3) The concurrent acts of Subgrantee, or their agents or
emp 1 oyees.
20. AllO'.'lances
All payments to participants for allo~lances (including transportation
assistc:nce) I.till be administered by the Inland HanpoNel' Associc:tion \./ith ,.:eekly
reports submitted to the Subgrantee. The Subgrantee assumes the. l'espons-;~'~ ity
fOl' verifying allowance and transportation assistance payments made by Ii.;':', i:rod
fiscal accountability for incurring costs charged to the allO'..tences as incbjed
in the Subgl'ant pel' schedule as budgeted herein. The Subgrantee further aSSUI-es

21. Severabilitv of Provisions
If any Pl'ovisions of this agreement are held inval id, the remainder of
this agreement shall not'be affected thereby if remainlbr \'Iould then continue

'22. Perron>1ance Standards
The Subgrantee agrees that, should the Subgrantee's actual performance
\Iith respect to either planned expenditure rates as stated on the Cumulative
Expend+,ture Plan and the Budget Statement or planned program objectives in-
cluding sign"ificant segments as stated on the Cumulative i':onthly Program Plan
d2viate 15~!' or more, the Inland t1anpo\'/ar Association Hill have the prerogative
of unilaterally modifying the Subgrant. Subgrantee further agrees that no
participant \'/ill be enrolled 'in any activity under this Subgrent during the
last sixty (60) days of this agreement unless the participant can successfully
complete training as specified by incorporated state;;;ent herein.
23. .Suspension or Termination of Subgrant'
a. Should the Inland r.lanpO'../er Association deter;;:fni!.that suspension,
or termi nati on of the Subgrant is requi red, the Inland r'1anpO'.ver Associ a tien
shall fonlard a written notice of such determination to the Subgrantee four-
teen (14) days prior to any initiation by the Inland ;'!anpm-Ier Association of
its termination procedures. Such notice shall contain a detailed stateffient
of facts upon \-Ih i ch the 101 and j'lanpower Associ a t ion's reco:r.mendati on is based
and shall set a time and place to conduct a formal meeting \vith the Subgrantee
to discuss \-/hether termination procedures \;i11 be initiated. If it shall have
been determined that suspension of funds is necessary, the Inland Manpower
Association shall have the authority to 'suspend funds as may be deemed appropri-
ate until corrections are made in a manner satisfactory to the Inland i.:anpo~/el'
Association. In no e'/ent shall the time allm-Ied for correction exceed thil,ty
(30) days unless the Director agl'ees to a continuance. The Director may sus-
pend funds for a period of not more than forty-five (45) days. If it shell
have been determined that termination procedures are necessal'y, the Director
shall recommend termination to the Executive Soard for approval. If the Board
apiwoves termination, - the agreement shall be terminated upon seven (7) d:;ys
written notice to the'Subgrantee.
b. The Subgrant may be terminated or funds suspended in \'Ihole or in
part for cause. Cause shall include the following:
(1) Failure of the Subgrantee to comply in any sCJ:Jstantial or
material respect with either the terms or conditions of
this agreement.
(2) The G)'ailt to the Inland NanpO\'ier Association from the
Departli1ent of Labor for this program is tel';ninated, sus-
pended, or reduced. The Inland Nanpo.../er Association may
also withhold payment of any unearned portion of the Suo-
grant if the Subgrantee is unable orun~illing to accept
any additional conditions that may be requil'ed by la.!!, by
executive order, by regulations, or by other policy
announced by the Department of Labor at any time.
c. Upon ter;nination of the Subgrant, the Subgrantee '..till remit any

Inland Manpower Association to be due it. The action of the Inland Manpower

d. Upon suspension of funds, the SUbjl"antee agrees not to expend any
funds related to, or connected vlith, any area of conflict from which the Inland
NanpO\~er Association has determined thc:t sLlspension of funds is necessal'Y.
24. The Subgrantee shall not assi9n this agreec:ent orc:ny monies due 01' to
become due hereunder except as specified in the terms of this agreement, Hith-
out having first obtained the written consent of Ii1A..
25. H1A vlill not be obl igated or 1 iable hereunder to iHlY. p~rty other than
the Subgrantee. Subgrantee shall so notify all subcontractors and agents.
26. The Subgl'antee \.till comply \.iith the Clean Air Act and the Federal
Water Pollution Control Act as related to the use of facilities which are on
the Environmental Protection Agency's List of Violating Facilities.

27. The Subgrantee understands and agrees that all Gross Income earned bv
the Subgrant supported c:ctivities during the period of this ~greement shall be
recorded and identified as such by specific and separate account. All expenses
incurred in the generation of this income that is not a part of this Subgrant
may be deducted from the Gross Income to determine if any program inco:l'e exists.
Program income shall be deducted from the tota 1 pl"ogram costs for the purpose
of determining the net costs on \.;l1ich the Inland j.lanpm'l(:r l\ssociation share of
costs \.,ill be based. The Subgrantee further agrees to' provide access to any
authorized representative 01' the Inland r'!anpm.:er Association for the examir.a-
ti on of any l'ecords ,bpoks, or documents related to the determi na t i on of Progl"arJ
income in any manner.'
