2 RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE
EXECUTION OF AN AGREEMENT WITH THE CITY OF RIVERSIDE RELATING
3 TO THE ON-THE-JOB TRAINING PROGRAM FOR A PORTION OF THE 1976-1977
FISCAL YEAR WHICH SAID AGREEMENT SUCCEEDS TO AND REPLACES A PRIOR
4 AGREEMENT AUTHORIZED BY RESOLUTION NO. 12618.
5 WHEREAS, The Mayor and Common Council, by Resolution No.
6 12618, authorized the execution of an agreement, dated November
7 10, 1976, with the City of Riverside relating to the On-The-Job
8 Training Program for a portion of the 1976-1977 fiscal year; and
9 WHEREAS, it is desired that said agreement with the City
10 of Riverside be modified and replaced by the agreement attached
11 hereto, marked Exhibit "A" and incorporated herein by reference
12 in order to provide for modification of the On-The-Job Training
13 Program as set forth in said Exhibit "A"; and
14 WHEREAS, it is the intention of the parties hereto that
15 said Exhibit "A" attached hereto be complementary and succeed to
16 the provisions of the prior agreement with the City of Riverside
17 relating to the On-The-Job Training Program,
18 NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND COMMON
19 COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS:

Section 1. The Mayor of the City of San Bernardino is
21 authorized and directed to execute on behalf of the said City
22 that agreement with the City of Riverside relating to the On-
23 The-Job Training Program for a portion of the 1976-1977 fiscal
24 year, a copy of which is attached hereto, marked Exhibit "A"
25 and incorporated herein by reference as fully as though set forth
26 at length. It is understood that this agreement shall supercede
27 the prior agreement to the On-The-Job Training Program executed
28 pursuant to the authority of Resolution No. 12618.

A. General Ass_urances
1. The Contractor assures and certifies that:
a. It will comply with the requirements of the Compreh~nsive-
Employment and Training Act (CETA) of 1973, as amended -(P.l. 93-203,
87 Stat. 839 and P.L. 93-567, 88 Stat. 1845), hercinafter referred to
as the Act, and with the regulations and policies promulgated there-
under; and
b. It wi)1 comply I.lith 0118 Circular number A-95 and Federal
l1anagement Circulars (FNC) 74-4 and 74-7, as those circulars relate to
functions such as the utilization of funds, the operations of programs,
and maintenance of records, books, accounts, and other documents under
the Act.
2. _ The Contractor further assures and certifies that if the regu-
lations promulgated pursuant to the Act are amended or revised, it shall
comply with them or notify the Inland Manpower Association (Ir~'), within
30 days after promulgation of the amendments or revision that it cannot
so conform, so that the IMA may take appropriate action including term-
ination, if necessary.
3. In addition to the requirements of 1 and 2 above and consistent
~tith the regulations issued pursuant to the Act, the Contractor makes
the follO\dng further assurances and cel"tifications:
d. It possesses legal authority to apply fOl' the Contt'act; that
d l"esolution, motion, or similar action has been duly adopted 0\" passed
as an official act of the Contractor's governing body, authorizing the
f"iling of the Contract., including a11 understandings and assurances con-- _
. tainc,d thf!rein, and directing and authol'"izing the person identified as
the off'icial reprcsentative of the Contractor to act in connection '-lith
the Contract. and to provide such additional information as may be requir-
ed (sectiol~s 102 (a); 701 (a) (9) and (10))_

(P.L. 88-352), and in accordance with Title VI of that Act no persen in

pant or any applicant for participation in such program because of race,
'creed, color, national origin, sex, age, political affiliation, or beliefs
(section 703 (1) and 712).

e. It ~Iill comply \'lith the requirements of the provisions of
the Uniform Relocation Assistance and Real Property Acquisition Act of 1970
(P.L. 91-646) which provides for fair and equitable tl'catment of persons
displaced as a result of Federal and federally-assisted programs.
f. It ~lill comply with the provisions of the Hatch Act which
limit th-e political activity of employees.
g. It ,\'Ii 11 comply l'lith the requ i rement that no program under the
Act shall involve political activities (section 710).
h. It \'Iill establ ish safeguards to prohibit employees from using
their positions for a purpose that is or gives the appearance of being
motivated by a desire for private gain for themselves or others, particu-
larly those l'lith l'lhom they have family, business, or other ties (section
702 (a)).
i. It \'Iill give the Department of Labor and the Comptroller
General through any authorized representative the access to and the riqht
to examine all records, books, papers, or documents related to the ,Contract
(section 713 (2)). .
j. Participants in the program \'Iill not be employed on the con-
struction, operation, or maintenance of that part of any facility which is
used for religious instrucUon 01' l'I'Jrship(section 703 (3)).
k. Appropl"iate standards for health and safety in "!Or-k and train-
,ing situations will be maintained.(section 703 (5)).

n. The PI'ogram \~i11 not result in the displacement of employed
workers or impair existing contracts for services or result in the substi-
tution of Federal funds for other funds in coonection with work that would
otherwise be performed (section 703 (7)).
o. Training will not be for any occupations which require less'
than two weeks of pre-employment training, unless iw.mediate employment
. opportunities are available in that occupation (section 703 (8)).
p. Training and related services will, to the extent practicable,
be consistent ~Iith every individual's fullest capabilities and lead to em-
ployment opportul1ities \';hich will enable participants to become economically
.self-sufficient (section 703 (9) and 105 (a) (6)).
q. Institutional skill training and training on the job shall
only be for occupations in ~Ihich the Secretary or the pri~e sponsor has
determined there is reasonable expectation for employment (section 703 (10)).
r. CETA funds will, to the extent practicable, be used to supple-
ment, rather than supplant, the level of funds that would otherwise be avail-
able for the planning and administration of programs undel' the Contract
(section 703 (11)).
s. It will submit reports as required by the Secretary and will
maintain records and provide access to them as necessary for the Secretary's
reviel1 to assure that funds are being expended in accordance I.lith the. purposes
."and provisions of the Act, inClUding the maintenance of records to assist the
Secretary in determining the extent to which the program meets the special
needs of eli sadvC!ntaged, chl'oni ca 11y unemployed, and 101'/ income pet'sons fOl"
meanirigful employment oPPol'tunities (section 703 (12) and 311 (c)).
. t. The program I'lill, to the maximum extent feasible, contribute to
the occupational deve1op:nent or upI'lard mobility of individual partiCipants
(section 703 (13)).
u. The program has adeguate administrative and accounting controls;
personnel standards. evaluation procedures, availability of in-service train-
ing and technical assistance programs, and othel' policies as may be necessary
to promote the effective use of funds (section 703 (14)). .
v. The program makes appropdate PI"ovisions for the manpOl':er needs
of youth in the area served (section 703 (15), and l'lill assure that:.
(1) Individuals receiving training on the job shall be compen-
sated by the employer at such rates, including periodic increases, as may be

deemed reasonable under regulations prescribed by the Secretary, but in no
event at a rate less tha~ that specified in Section 6 (a) (1) of the Fair
labor Standards Act of 1938 or, if higher, under the applicable State or.
lotal minimum l'lage la~l. l{ages in the Commonwealth of Puerto Rico, the
Virgin Islands, American Samoa, and the TI"ust Territory of the Pacific
Islands shall be consistent with the Federal, State, Or local 1awother-
wise applicable {section 111 (b)).
w. It will comply with the labor standard requirements set out in
section 705 of the Act.
X. Services and activities provided under this Contract will be
. administered by or under the supervision of the Prime Sponsor (section 105 (a)
(b) and 205 (c) (1)).
y. No funds made available under the Contract shall be used for
lObbying activities in violation of 18 USCA 1913.
B. Additional Assurances for Title I Programs
In carrying out pl"ograms Undel" Title I of the Jlct, the Contractor aSsures
and certifies that: ,
1. Manpower services, including job development, will be provided to those
most in need of them including 101-1 income persons and persons of limited English-
speaking ability (section 105 (a) (d)).
2. Programs of institutional skill training shall be deSigned for occupa-
tions in which skill shortages exist (section 105 (a) (E)).
3. The Contract meets all the requ'jrements of section 105 (a) and the Con-
tractor will co~ply with all provisions of the Act {section 105 (b)).

4. It will make such arrangements as are prescribed by regulation to assist
the Secretary in carrying out his responsibilities under sections 105 and 108
of the Act (section 105 (a) (7)).
5. Special consideration \'Iill be given to the needs of eligible disabled
veterans, special veterans, and veterans who served in the Armed Forces and who
received other than a dishonorable discharge ~lithin four years before the date
of their application. The Contractor in selecting participants for programs
funded under Title I of the Act, shall take into consideration the extent that
such veterans are available in the area.. Specific effort should be made to de-
velope appropriate full 01' p'art-time opportunities for such veterans. The Con-
tractor should utilize the assistance of the State and local veterans emplo.YJ01ent
sel"vice I"epresentative in formulating its program objectives. On a continuing
and timely basis, information on jOb vacancies and training opportunities funded
unde,' Titl e I of the Act sha 11 be provi ded to the Sta te and 1 oca 1 veterans em-
ployment service representative for the purpose of disseminating i.nformation to
eligible veterans (section 104 (b) of Emergency Jobs and Unemployment Assistance
Act of 1.974).

6. Special Certification for State Contl'actors. A State Contractor
further assures and certifies that it will comply l'lith the requirements
and provisions of section 106 and 107 of the Act.
7. The Inland Hanpower Association's r~anagement Information System
will be utilized for the development, maintenance, and reporting of all
required Contract Program Data. Contractor I.till submit quarterly reports
due no later than the hlentieth (20th) day after the close of each quarter
to incl ude the IHA Quarterly Program Summary, the Quarterly Summary of
Participant Characteristics, the Quarterly Financial Status Summary, and
other supp 1 ementa 1 reports as l'equ iI'ed.
8. All costs incurred under the Contract shall be in accordance with
the 1MA's FY'77 Schedule of Allowable Costs. Salaries for Project Staff
charging less than 100% of time to the project I.till be prorated in accord-
ance ~Iith the above. . All costs in excess of maximum costs allo~lable per
IMA schedule and incorporated budget will require prior justification and
approval. In no case ~Iill pl'e-contract costs be reimbursed.
9. Approval for the expenditure of Contract funds for consultant fees
tlill be obtained from the Il>1A prior to commitment for such services.
10. It will adhere to special limitations on participant selection as
described in the Federal Register, Para. 98.23, pertaining to political
activities and the Hatch Act.
11. It I.lill comply ~Iith requirements of the lal'l and Employment and
Training Administration, Department of Labor, regarding the obtaining of .
employer identification-account numbers, collection, payment deposit and
reporting of Federal. State, and local taxes. Hork Experience Coritractol's
will withhold Social Security or its equivalent and income taxes for all
program enrollees if requ'ired for regular employees of the agency.
12. Assure that no funds ~lill be used to hir'e any person to fill a
. job opening created by the action of an employer in laying off or term-
inating the employment of any other regular employee not supported under
the Act in anticipation of filling the vacancy so c,'eated by hil'ing an
employ~e to be supported under the Act (section 905 (c) (8)).
13. It will maintain a separate bank account for all funds received
under. the Contract in addition to the maintenance of separate records.

further assures that all records, documents and books pertaining to this
Contract will be available for inspection by authorized Inland Manpower
Association personnel. All such records, documents and books shall be
retained by the Contractor for a periOd of three (3) years subsequent to
the termination of the Contract.

14. The Contractor assumes the fiscal and financial responsibility
for exceeding cost by line item or category. No requests for Contract
modifications \'Ii11 be honored by the WA if such requests represent
expenses or obligations incurred prior to the Contractor receiving
!'witten approval from II<1A. Post Contract costs l'lill not be paid unless
previously approved by IMA.
15. No less than 84 percent of funds will be used for enrollee
~Iages. fri nge benefits, a 11 o\'lances, tra i ni ng and services. and that ad-
ministrative cost l'/ill not exceed 16:~ of total Contl~act budget unless
. previously approved byIl~A.
16. Subcontracting,: Subcontracts for various services may be entered
into by Contractor. All subcontracts require prior approval by IMA except
negotiated fixed price On-the-Job Training subcontracts by Contractor con-
tracted to deliver OJT services. These shall be prepared using IMA standard
OJT forms and \'Ii11 not require priol' approval by the' Il4A Director. but !'iill
be reviel'led. Contractor is required to seek competition in the solicitation
of subcontracts according to procedures specified in the Federal Rules and
Regulations. Further. Contractor shall make positive efforts to utilize
small business and minority business enterprises in subcontracting.
17. Title of Propel.ty:
a. Title to all property acquired by Contractor. including
acquisition through lease-purchase agreement, for the cost of which Con-
tractor is to be reimbUi'sed in \'Ihole or 'in part under this agreement.
shall immediately vest in HlA upon:
(1) Delivery of such property by the vendor.
(2) Issuance for use of such property in the perfOt'mance
of this agreement.
(3) Commencement of processing or use of such property in
the performance of this agreement; or
(4) Reimbursement of cost thereof hy the IMA. whichever
first occurs.
b. Title to all property shall not be affected by the incorporation
or attachment thereof to any pl'operty not owned by IHA. nor shall such UJA
property or any part thereof be or become a fixture or lose its' identity as
. personality by reason of affixation by any realty.
c. All project equipment acquired must comply !.lith mA pl'ogram
interchallgeabil ity requirements. The Contractor may not purchase or incur
liability for equipment during the last sixty (60) days of this agreement.
Contractor shall obtain prior approval from IMA for all purchases of non-
expendable property having an acquisition cost of $1,000 or more and a life
or more than one year. -

18. Bonding/Insurance:
a. Prior to initial disbursement of funds to the Contractor the
Inland ManpOl'ler Association shall receive a statement from the Contractor's
Chief Fiscal Officer Or its insurer assuring that all persons handling funds
received or disbursed under the Contract are covered by fidelity bond in an
amount and manner consistent l'lith the coverage deemed necessal'y.bY HlA. The
bond shall name IMA as the named insured and shall require iwmediate notice
to the IJ'1.1\ Director if the bond is cancelled or reduced. In that event I~ll\
shall not make any further disbursements to the Contractor until it is assured
that coverage has been obtained.
b. The Contractor agrees to. obtain publ ic 1 iabil ity and property
damage insurance including but not limited to premises and automobile insur-
ance coverage with minimum 1 iabil ity 1 imits of $500,000 (five hundred thousand
dollars), and damage to property of not less than $500,000 resulting from any
occurrence. Said pol icy should provide thirty (30) days 11ritten notice to .
the Inland Manpower Association of cancellation or material change.
19. Hold Harmless
a. The Contl"actor agrees to indemnify alid save the U1A, and all the
agents and employees, harmless from any and all liabilities, claims, damages,
or injuries to any person or property including injury to Contractor employees,
and all expenses of investigation and defending against same including attorney,
court and/or other legal fees: .
.(1) Arising from or connected 11ith performance or failure to per-
form any 110rk 01' other obl igations of thi s agreement;
(2) Cause or claimed to be caused by the independent status of
Contt'actor, his agents or employees;
(3) The concurrent acts of Contractor, or their agents or em-
ployees.
20. ALLOWANCES
All payments to participants for all0l1ances (including transportation as-
sistance) l'lill be administered by the Inland 14anpOl'ler Association I,lith Neekly
reports submi tted to the Contractor. The -Contractor assumes the responsibil i ty
for verifying allOl'!i1nce and transportation assistancE' payments made by HlA, and
fi sca 1 accollntabi 1 ity for incll"ri n9 cost charged to the a 11 o~lances as included
in the Contract per schedule as budgeted herein. The ContractOl' further assures

2l~ SEVERABILITY OF PROVISIONS
If any provisions of this agreement 'are held' invalid, the l"emainder of this
agreement shall not be affected thereby if remaindel' l'Iould then continue to
conform' to the tel'ms and requirements of appl icable lal'l.

22. PERFORNANCE STANDARDS
The Contractor agrees that, should the Contractor's actual performance
with respect to either planned expenditure rates as stated on the Cumulative
Expenditure Plan and the Budget Statement or planned program objectives in-
cluding significant segments as stated on the Cumulative I'lonthly Program Plan
deviate 15% or more, the Inland Manpo~er Association will have the prerogative
of unilaterally modifying the Contract. Contractor further agrees that no
participant ~/ill be enrolled in any activity under this Contract during the
last sixty (60) days of this agl'eeillent unless the participant can successfully
complete training as specified by incorporated statement herein.
23.. Suspension or Termination of Contract
a. Should the Inland Manpower Association detennine that suspension
.or termination of the Contract is required, the Inland t.lanpOl'/el" Association
shall forward a I'witten notice of such detel"mination to the Contractor four-
teen (14) days prior to any initiation by the Inland t4anpo~/el" Association of
its termination procedures. Such notice shall contain a detailed statement
of facts upon \'Ihich the Inland Manpower Association's recommendation is based
and shall set a time and place to conduct a formal meeting ~lith the Contractor
to discuss Hhether termination prOCedUl"eS will be initiated. If it shall have
been determined that suspension of funds is necessary, the Inland Manpower
Association shall have the authority to suspend funds as may be deemed appropri-
ate until corrections are made in a manner satiSfactory to the Inland Manpower
Association. In no event shall the time .allol'/ed for correction exceed thirty
(30) days unless the Director agrees to a continuance. The Director may sus-
pend funds fOI" a peri od of not more than fOl"ty-five (45) days. I f it shall
have been determined that termination procedures are necessary, the Director
'shall recommend termination to the Executive Board for approval. If the Board
approves tel'min~tion, the agreement shall be terminated upon seven (7) days
~witten notice to the Contl"actOl".
b. The Contract may be terminated or funds suspended in \'/ho1 e or in
part for cause. Cause shall include the following:
(1) Failure of the Contractor to comply in any substantial or
material respect with either the terms or conditions of
this agreement.
(2) The Grqnt to the Inland Manpower Association from the
Department of Labor for this program is terminated, sus-
pended, or reduced. . The Inland Manpower Associiltion may
also Hithhold payment of any unearned portion of the Con-
tract if the Contractor is unable or unwilling to accept
any additional conditions that may be required by law, by
executive order, by regulations, or by other policy an-
nounced by the Department of Labor at any time.

c. Upon termination of the Contract, the Contractor will remit any
unencumbered balance of payments previo~sly received ilS determined by the
Inland Nanpol'let' Association to be due it. The action of the Inland r.lanpOl'ler.

Association in accepting any such amount shall no~ constitute a waiver of any
claim which the' Inland 1'1anpol"ier Association may othenlise have arising out of
this agreement.

27. The Contractor understands and agrees that all Gross Income earn ad by
the Contract supported activities during the period of this agreement shall be
recorded and identified as such by specific and separate account. All expenses
incurred in the generation of this income that is not a part of this Contract
may be deducted from the Gross Income to determine if any program income exists.
Any program income determined during the Contract period shall be retained by
the Contractor, and in accordance I"lith the Contract Agreement, shall be added to
funds committed to the program by the Pl'ime Sponsor to be used to further,eligi-
ble program objectives or to be deducted from the total Contract costs on which
the Inland Hanpower Association share of costs \'Iill be based. The Contractor
further agrees to provide access to any authorized l'epresentative of the' Inland
l'lanpo\'ler Association for the examination of any records, books or dncuments re~
lated to the determination of program income in any manner.
The Contractor certifies that to the best of his/her knOl'/ledge and belief,
the data in this Contt'act are true and correct, and that the filing of this Con-
tract has been duly authorized by its governing body.
