RESOLU'l'IOH OF THE CIU OF SAN BERNARDINO AUTHORIZING THE
EXECUTION OF AN AGREEMENT WITH DOHNA JOHNSON BELATING TO PlIBLIC
INFORMATION SERVICES FOR THE CETA DEPARTMENT.

SECTION 1. The Mayor of the City of San Bernardino is
7
hereby authorized and directed to execute on behalf of said City
8
9
an agreement with Donna Johnson relating to public information
services for the CETA Department, a copy of which is attached
10
hereto, marked Bxhibit "A", and incorporated herein by reference
11
as fully as though set forth at length.

I HEREBY CERTIFY that the foregoing resolution was duly
adopted by the Mayor and Common Council of the City of San

THIS AGREEMENT is made on this /~Yf' day of /);/7.
1977, by and between the CITY OF SAN BERNARDINO, a munic~p~
corporation, hereinafter called "City", and DONNA JOHNSON,
hereinafter called "Contractt'r".

WHEREAS, the City desires to retain Contractor to perform
services for the CETA Office as hereinafter set forth: and
WHEREAS, Contractor accepts said offer upon said terms,
NOW, THEREFORE, the parties hereto agree as follows:
1. General. For and in cqnsideration of the compensation
and covenants hereinafter mentioned to be made and performed by
the City and Contractor, the City retains Contractor and Contracto
agrees to conduct public information activities as requested by
the CETA Office.
2. General Duties and Responsibilities of Contractor.
Contractor shall be responsible for performing a complete public
information service at the CETA Office. Said services shall,
include, but not be limited to, the following duties and
responsibilities:
A. Initial set-up and design of the Inland
Manpower Association Newsletter.
B. Collection of data through interviews and
other sources to compile a survey of participant's in CETA
programs throughout the City and County of San Bernardino

E. Preparation and submission of public news
releases to newspapers, radio stationa, and other media
sources.
3. Items to be furni_hedby City. City shall supply and
provide to Contractor all equipment and supplies necessary for
Contractor to accomplish the assigned duties and responsibilities.
All such equipment and supplies shall be made available to
Contractor at the approval of the Executive Director of the CETA
Office.
4. PaymeJl,t by City. City shall pay Contractor for all
serviees to be rendered under the provisions of this agreement a
retainer in the sum of SIX HUJIlDBED FIFTY DOLLARS ($650.00) per
month. This sum shall be Contractor's only charge to City. Pay-
ment shall be made at the end of each month. If the average
monthly output of public information and related work decrease,
City reserves the right to modify the monthly retainer. In con-
sideration for the monthly retainer, Contractor agrees to perform
in a satisfactory manner each of the project responsibilities as
are outlined in Section 2 hereof and to comply with all provisions
of this agreement.
5. Term. This agreement shall be effective upon execution
by parties hereto and continue in effect until the 7th day of
August, 1977, unless terminated as hereinafter provided.
6. Unilateral Termination. This agreement may be

1 terminated by either party by giving fifteen (15) days' written
2 notice to the other, and this agreement shall terminate forthwith
3 fifteen (15) days following the date said written notice is given.
4 In the event this agreement is terminated for any reason what so-
5 ever, Contractor shall receive compensation on a pro rata basis
6 for that portion of the month for which he held himself available
7 as a Contractor prior to termination.

7. Amendment. This agreement may be amended or modified
9 only by written agreements signed by both parties and failure on
10 the part of either party to enforce any provision of this agree-
11 ment shall not be construed as a waiver of the right to compel
12 enforcement of such provision or provisions, nor act to release
13 any surety from its obligations under this agreement.
8. Assignment. This agreement shall not be assigned by
14
15 Contractor without the written consent of City.

9. Notices. All notices herein required shall be in
writing, and delivered in person or sent registered mail,
postage prepaid, as follows:

It is understood that the
contractual relationship of the Contractor to the City is that
of independent contractor. Contractor,as an independent Con-
tractor, shall obtain at his own expense any and all required
business licenses and permits.
Contractor is aware of the fact that as an independent
Contractor he is not covered by the provisions of the Public
Employees' Retirement Law and is not covered by City Workmens'
Compensation Insurance.

11. Hold-Harmless Agreement. Contractor hereby agrees to,
2 and shall, hold City, its elective and appointive boards,
3 commissions, officers, agents and employees, harmless from any
4 liability for damage or claims for damage for personal injury,
5 including death, as well as from claims for ~roperty damage which
6 may arise from Contractor's operations under this agreement.
7 IN WITNESS WHEREOF, the parties hereto have executed this
8 agreement the day and year first above written.
