BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
! OF SAN BERNARDINO AS FOLLOWS:
SECTION 1. The Mayor of the City of San Bernardino is
r authorized and directed to execute on behalf of said City a lease
with the County of San Bernardino for certain premises situated
on Lugo Avenue to be subleased to the YWCA, a copy of which is
attached hereto, marked Exhibit "I" and incorporated herein by
reference as fully as though set forth at length.

THIS LEASE is made and entered into this 1 st

, 1977, by and between the COUNTY OP SAH
BERNARDINO, a body politic, hereinafter called "Lessor", and the
CITY OF SAN BERNARDINO, a municipal corporation, hereinafter
called "Lessee".

WHEREAS, the Redevelopment Agency and the City of San
Bernardino and the County of San Bernardino haft entered into a
Land Exchange Agreement; and
WHEREAS, the YWCA has a need to construct an enclosed
swimming pool on the northwest portion of '!'ract Ito. 2030 5th
Street Place Sub Lots 22, 23 and 24 as shown on Exhibit "An of
this agreement; and
WHEREAS, Lessor is the owner of that lot and parcel of
real property at 590 Luqo Avenue, San Bernardino, California, and
said Real Property was formerly used by Lessor as a Pest Control
Equipment Storaqe ar_; and
WHEREAS, Lessor does not now need nor does it contemplate
the need or use of said lot and parcel of real property durinq
the lease term hereof,
UOW, THEREFORE, in consideration of the mutual covenants,
promises, agreements, conditions and legal detriments herein
contained, Lessor and Lessee hereby agree as follOWSt
The Lessor hereby leases to the Lessee the following
described premises.
1. Premises Demised. The northwest portion of Tract.

1 No. 2030, 5th Street, Place Sub Lots 22, 23 and 24 as shown on
2 Exhibit "A" of this agreement.

2. Use. The demised premises shall be used for an
4 enclosed _imminq pool; such impr~nts to be designed,
5 constructed and installed on the Lease Area, at no cost to
6 County, and Lessee or any Sub-Lessee is solely liable, at his
7 own expense for procurement of all perm! ts necessary for the
8 development and operation of facilities and improvelIIents created
9 by this contract.

3. Term. The term of this lease is a period of thirty-s
11
(36) months beginning
May 1, 1977
or vi thin
12 three (3) months after the completion of the General Services
13 Headquarters Building, whichever shall occur first. At such tiJae
14 this Lease Agreement shall be superseded and replaced by the
15 Land Exchange Agreement and Lease Exhibit "F" thereto dated

4. Ownership of Illlprovements. All structures and
18 improvements, inCluding alterations, if any are made, erected
19 or constructed by Lessee or any Sub-Lessee upon the Lease Area,
20 shall remain the property of Lessee during the term of this
21 Lease Agreement or any extension thereof and during the term ot
22 the lease represented by Exhibit "P".

5. Conformity to Laws and Regulations. The Lessee shall
24 conform to and abide by all rules and regulations relating to
25 the operation or construction herein authorized and shall be
26 subject at all times to applicable rules, regulations,
27 resolutions, ordinances and statutes of the County of San
28 Bernardino, State of California, the Federal Government and all

other qovernmental agencies where applicable, and where perlllitll
or reports are required for such operations or construction.
The same must be first submitted to or had and obtained from the I

requlatinq body having jurisdiction thereof before such operation
or construction is undertaken.
6. Cl.aas for Labor and Materials. The Lessee shall pay
or cause any Sub-Lessee to pay all costs of any alterations or
additions to any building, structure or illlprovel'llent located on
the said premises, and shall keep the premises and improvements
located thereon free and clear of any and all claims arising
out of the perforwAnce of work or furnishing materials. Lessee
shall indemnify and save the County harmless and free from any
and all claims arising out of the performance of work or
furnishing materials, cost and expense which may accrue, grow
out of or be incurred by reason of such claim.
The County shall have at all times the riqht to post and
keep posted on the said premises such notices provided for under
and by virtue of the laws of the State of California for the
protection of said premises from mechanics liens or liens of a
similar nature.
7. Rental. In exchange for the premises demised, the
County shall occupy and have the use of the premises located
at 3250 Harrison Street, San Bernardino, formerly known as the
Harrison Fire Station, more specifically described as shown on
Exhibit flB- which is an integral part of this Lease Agreement.
It is agreed and understood that all the costs of alterations,
relocations, equipment, and utilities pertaining to the demised
prenises shall be at the expense of the Lessee and/or Sub-Le.s_.

It is agreed and understood that the costs of alterations,
relocations, equipment and utilities pertaining to the demised
premises Shall incorporate the provisions contained in Exhibit
"C" attached hereto and made a part hereof by reference.
3. Utilities and Services. Lessee or any Sub-Lessee shal
furnish at its costs Janitorial Services and Trash/RUbbish
PiCk-Up. All utilities such as water, gas and electricity shall
be paid for by the Lessee or any Sub-Lessee.
9. Liabilit~. Lessee shall hold the County harmless
from any and all liabilities for injury to persons and damage
to property to or upon the demised premises arising out of any
act or omission of the Lessee, including the property of the
Lessee and the persons and property of the Lessee servants,
agents or business invitees.
10. ~~blettinq. The County herein consents to Lessee
giving possession or subletting premises to the T.W.C.A. for
use as an enclosed swimming pool. However, Lessee shall not
allow any alteration to be made in or on said premises, or
devote the same to any different use, without, in each instance,
first obtaining the written consent of the County.
11. ~~~. The Lessee or any Sub-l.essee w11l display
from the windows and/or mar~lee of the demised premises only
such sign or si9'ns as are permitted by City ordinances.
12. nefaul!:. The County hereby is granted the right to
cancel this lease if and whenever the !~ssee shall continue in
default in the performances of any of its Obligations therein
for a period of 30 days from and after written demand, given
by the County to the Lessee, for the performance of such
