The Mayor of the City of San Bernardino is hereby authorized and directed to execute on behalf of said City eleven agreements with the above-mentioned community service organizations, copies of which are attached hereto, marked Exhibits "A" through ilK" and incorporated herein by reference as fully as though set forth at length. WIT N E SSE T H: ---------- WHEREAS, Boys' Club has been conducting and continues to conduct within the City limits of City a transportatiort service for handicapped persons; and WHEREAS, City is desirous of continuing the transportation program for handicapped persons residing within City's limits and does desire to make a financial commitment to Boys' Club to aid and assist the transportation of the handicapped persons. NOW, THEREFORE, in consideration of the mutual provisions, covenants, conditions and promises herein contained, it is 19 agreed as follows: 1. BOYs' Club shall provide and operate within the City 20 limits of City a special transportation service for the handi- 21 capped consisting of one (1) properly equipped van which shall 22 provide said service Tuesday through Saturday of each week 23 between the hours of 9:00 a.m. and 5:00 p.m. or on such days of 24 the week and during such hours as may be established by the 25 agreement of the parties hereto. 26 2. The term of this agreement shall commence on July 1, 27 1977, and shall terminate on June 30, 1978. 28 3. BOYS' Club shall provide the transportation service r ;~ , I ! 1 2 3 4 S , 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 .... for handicapped persons of City on a response basis. The word "handicapped" shall mean persons confined to wheel chairs due to disabilities or persons unable to walk without the use of artificial braces or crutches. 4. Boys' Club shall provide comprehensive service for handling and transporting passengers who are confined to wheel chairs. 5. Boys' Club shall not solicit fares from its riders and patrons; however, donations for the transportation service may be accepted from the riders. All donations for such service shall be accounted for and applied to operational costs. 6. Boys' Club and all drivers transporting the handicappe persons shall meet the requirements of all laws, ordinances and regulations and shall comply with same. 7. Boys' Club shall, during the term of this agreement, provide City with a monthly report showing the nature and extent of service provided. Said report shall be in a form as determined by the Human Services Department and shall provide such information as said department deems reasonably necessary to determine the nature and extent of the service actually being provided and the cost of same. 8. The City shall pay to BOyS' Club the sum of SEVEN THOUSAND SEVEN HUNDRED FORTY-SEVEN DOLLARS ($7,747.00), payable in twelve equal monthly installments of SIX HUNDRED FORTY-FIVE DOLLARS AND FIFTY-EIGHT CENTS ($645.58), commencing on the 5th day of July, 1977, and continuing thereafter on or before the 5th day of each succeeding month. 9. All funds paid by City to Boys' Club shall be used -2- 1 2 3 4 S 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 n 23 U 25 26 27 28 ~ only for a valid municipal purpose, to wit: to provide a transportation service to the handicapped residents of City for the term hereof. Upon termination of this agreement, all unexpended grant funds shall be returned to City. Boys' Club shall not use the term "Dial-A-Ride" to describe its service. 10. Prior to any payments under this agreement, and at such other times as may be requested by the Director of the Human Services Department of City, Boys' Club shall submit to the Human Services Department, with a copy to the Director of Finance, an accounting of the proposed and actual expenditure of said funds, including line item amounts and purposes for which said funds have been spent or obligated. The accounting or financial statement shall separate expenditures for program services from management and general expenditures. Expenditures for program services shall be reported by the type of service function involved. Each functional classification shall include all of the costs applicable to the transportation service provide such as salaries and expenses of employees or consultants, costs of materials and supplies, long distance phone calls, automobile and travel costs, etc. Fiscal records shall be maintained by Boys' Club in such a manner as to permit the City to easily trace the expenditures of the funds. All books and records of Boys' Club are to be kept open for inspection at any time during the business day by the City or its officers or agents. The accounting report shall be submitted by Boys' Club in conformance with established City guidelines and the format of audit reports required by the Human Services Department. Internal controls shall be implemented by BOys' Club to comply with these -3- 1 2 3 4 S , 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 ~ guidelines and said audit reports. BOys' Club shall comply with any rule or regulation of the Mayor and Common Council concerning services provided by organizations funded with City revenue, labor, equipment or supplies as may be now in effect of hereinafter enacted. 11. The services of Boys' Club funded hereunder shall be limited to handicapped residents and inhabitants of the City of San Bernardino. No person shall be denied service because of religion, race, color, creed, or sex. BOys' Club shall have and comply with Affirmative Action guidelines of the City in its employment practices. 12. City reserves the right to require Boys' Club to obtain the prior written consent of City for the imposition of any charges or fees, and the amounts thereof for such funded services, and of any rules and regulations governing said services. 13. The Director of the Human Services Department, with the concurrence of the Mayor and Common Council, is authorized to place a temporary freeze on or terminate the payment of funds to BOys' Club when any violation of the agreement, in the discretion of said Director, occurs and the same shall continue until such violation is corrected to the satisfaction of the Director with the concurrence of the Mayor and Common Council. 14. Boys' Club agrees to conform to and abide by the provisions of "Section 1. Recommendations", of a portion of a report entitled "Report of the Special Council Subcommittee for Social Service Funds" dated and adopted on February 18, 1975 and on file in the office of the City Clerk of City. -4- Ii , , 1 15. City shall have the right to terminate this 2 agreement by giving Boys' Club thirty (30) days advance written 3 notice. 4 16. Boys' Club hereby agrees to, and shall, hold City 5 its elective and appointive boards, commissions, officers, 6 agents and employees, harmless from any liability for damage or 7 claims for damage for personal injury, including death, as well 8 as from claims for property damage which may arise from Boys' 9 Club's operations under this agreement, whether such operations 10 be by Boys' Club or by anyone or more persons directly or 11 indirectly employed by, or acting as agent for Boys' Club. 12 Boys' Club agrees to, and shall, defend City and its elective 13 and appointive boards, commissions, officers, agents and 14 employees from any suits or actions at law or in equity for 15 damages caused or alleged to have been caused, by reason of any 16 of the aforesaid operations. 17 17. The relationship of Boys' Club to City is that of 18 an:irldependent contractor. 19 18. Boys' Club shall provide and maintain during the life 20 of this agreement an insurance policy for public liability and 21 property damage coverage in the amount of at least $100,000.00 22 for bodily injury to or death of one personl $300,000.00 for 23 injury or death of more than one person I and $50,000.00 covering 24 any property damage arising out of the duties herein contemplated. 25 The minimum limits of the foregoing ability to respond in damages 26 shall be maintained and increased to conform to Vehicle Code 27 Section 16500. 28 19. This agreement shall not be assigned by BOys' Club -5- .. ..... \1 I , 1 without the prior written consent of the City. 2 20. If Boys' Club shall fail to comply with any term, 3 condition or provision of this agreement or to expend or use the 4 funds as herein provided, the City may terminate this agreement 5 by mailing written notice to Boys' Club, and this agreement , shall thereupon terminate forthwith. 7 IN WITNESS WHEREOF, the parties hereto have subscribed 8 their names the day and year first hereinabove written. 9 CITY OF. WIT N E SSE T H: ---------- WHEREAS, the Mayor and Common Council of the City of San Bernardino are willing to appropriate certain funds from the General Fund or special funds for the use of various community 11 12 13 service organizations upon certain conditions and with the under- standing that receipt of said funds shall not imply a continuing obligation of the City beyond the term of this agreement; and WHEREAS, Service Organization has represented that the expenditures authorized by this agreement are for valid municipal 14 15 16 17 public purposes, to wit: development of a comprehensive program I programs ,1 I I 18 of health, recreation, education and other human service 19 as needed in the Encanto Community Center. 20 NOW, THEREFORE, IT IS MUTUALLY AGREED between the parties 21 hereto as follows: 1. The City shall pay to the Service Organization the sum of ELEVEN THOUSAND THREE HUNDRED NINETEEN DOLLARS ($11,319.00), payable in twelve equal monthly installments of NINE HUNDRED FORTY~THREE DOLLARS AND TWENTY~FIVE CENTS ($943.25), commencing on the 5th day of July, 1977, and continuing thereafter on or before the 5th day of each succeeding month. . . . . . . . . . . , I! The funds paid to Service Organization shall be used 2 by it solely for the purposes set forth in the last whereas 3 Clause of this agreement during the term commencing on July 1, 4 1977 and ending on June 30, 1978. A ten percent (10%) or less transfer of funds shall be allowed on any budget line item, 5 6 provided the prior approval of the Director of Human Services is first had and obtained. At the end of said term, all unexpended grant funds, shall be returned to the City by the Service 7 8 9 Organization. 3. Prior to the final payment under this agreement, and at such other times as may be requested by the City Administrator or Director of Finance of City, the Service Organization shall submit to the City Administrator, with a copy to the Director of Finance, an accounting of the proposed and actual expenditures of said funds, including the line item amounts and purposes for which said funds have been spent or obligated. The accounting or 10 11 12 13 14 15 16 financial statement of Service Organization shall separate 17 18 expenditures for program services from management and general 19 20 expenditures. Expenditures for program services shall be reported by the type of service function involved. City reserves the right to require Service Organization to obtain the prior written consent of City for the imposition of any Charges or fees, and the amounts thereof for such funded services, and of any rules and regulations governing said services. 6. Service Organization is notified that it must and agrees to make application for or seek funds from other sources and evidence of such application shall be made available to City prior to any consideration for further funds for the next fiscal year. Receipt of any revenue from such other sources during this fiscal year must be reported immediately to the Director of . . . . . . . . . . -3- II , \1 , 1 2 Human Services. 7. The Director of Human Services, with the concurrence 3 of the Mayor and Common Council, is authorized to place a temporary freeze on or terminate the payment of funds to Service Organization when any violation of the agreement, in the discretio of said Director, occurs and the same shall continue until such violation is corrected to the satisfaction of the Director with 4 s , 7 8 9 the concurrence of the Mayor and Common Council. 10 8. Service Organization hereby covenants and agrees to indemnify and save harmless the City and its employees and agents from all liabilities and charges, expenses (including counsel fees), suits or losses however occurring, or damages arising or growing out of the use or receipt of the funds paid hereunder and all operations under this agreement 1 payments hereunder are made with the understanding that the City is not involved in the 11 12 13 14 15 performance of services or other activities of Service 16 Organization. Service Organization and its employees and agents 17 18 19 are independent contractors and not employees or agents of the City in performing said services. 9. The Service Organization agrees to conform to and abide by the provisions of "Section 1. Recommendations", of a portion 20 21 22 of a report entitled "Report of the Special Council Subcommittee for Social Service Funds" dated and adopted on February 18, 1975 23 24 and on file in the Office of the City Clerk of City. 10. The City shall pay to the Service Organization the sum of THIRTEEN THOUSAND NINE HUNDRED SEVENTY-FOUR DOLLARS 23 24 ($13,974.00), payable in twelve equal monthly installments of 25 ONE THOUSAND ONE HUNDRED SIXTY-FOUR DOLLARS AND FIFTY CENTS 26 ($1,164.50), commencing on the 5th day of July, 1977, and continui g thereafter on or before the 5th day of each succeeding month. 27 28 . . . . . . . Service Organization hereby covenants and agrees to indemnify and save harmless the City and its employees and agents from all liabilities and charges, expenses (including counsel fees), suits or losses however occurring, or damages arising or growing out of the use or receipt of the funds paid hereunder and all operations under this agreement; payments hereunder are made with the understanding that the City is not involved in the performance of services or other activities of Service Organization. Service Organization and its employees and agents are independent contractors and not employees or agents of the City in performing said services. 9.
