EXECUTION OF A CLOSEOUT AGREEMENT BETWEEN SAID CITY AND THE
REDEVELOPMENT AGENCY OF THE CITY OF SAN BERNARDINO CONCERNING
THE CLOSING OUT OF THE REDEVELOPMENT PROJECT NO. CALIF. ~-79,

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE
CITY OF SAN BERNARDINO AS FOLLOWS:

SECTION 1. The Mayor of the City of San Bernardino is
authorized and directed to execute on behalf of said City a
closeout agreement between said City and the Redevelopment Agency
8

of the City of San Bernardino concerning the closing out of the
10
Redevelopment Project No. Calif. R-79, also known as Central
City Project No.1, a copy of which is attached hereto, marked
11
12
Exhibit "In~ and incorporated herein by reference as fully as
13
though set forth at length.

CLOSEOUT AGREEMENT
2 THIS AGREEMENT, entered into by and between the REDEVELOP-
3 MENT AGENCY OF THE CITY OF SAN BERNARDINO, CALIFORNIA (the local
4 public agency carrying out the project, hereafter called the
5 "LPA") and the CITY OF SAN BERNARDINO, CALIFORNIA (the unit of
6 general local government in which the project is located, here-
7 after called the "CITY"),

9 WHEREAS, the LPA entered into a Loan and Grant Contract No.
10 Calif. R-79(LG), dated March 21, 1967, as amended, with the
11 united States DEPARTMENT OF HOUSING AND URBAN DEVELOPMENT (here-
12 after called "HUD") and a Cooperation Agreement with the city,
13 dated November 1, 1966, (as amended), for the undertaking of an
14 urban renewal project identified as project No. Calif. R-79(LG)
15 (hereafter called "Project"), pursuant to Title I of the Housing
16 Act of 1949, as amended; and
17 WHEREAS, the LPA and the City (sometimes referred to
18 I collectively herein as the "parties hereto") desire to effect a

financial settlement of the Project with HUD which will result in
full repayment of all temporary loans pursuant to Section 112(b)
of the Housing and Community Development Act of 1974 (P.L. 93-383)
and the provisions of 24 CFR Part 570, Subpart I, and such settle-
ment under the terms of this Agreement has been approved by

resolution of the governing body of the City; and

liHEREAS, the parties hereto recognize and acknowledge that
,the requirements with respect to certain remaining obligations as
herein set forth are a condition to the approval by HUD of the
financial settlement;
NOW, THEREFORE, in consideration of the mutual covenants,
promises, and representations contained herein, the parties hereto
agree as follows:
Section '1. Project Property.
The following parcels constitute the Project Land Inventory
identified in Disposition Parcel Map 688, attached hereto, and
made a part hereof, as Exhibit "A":

Section 2. Disposition Proceeds.
The proceeds from the disposition of any property listed in
Section 1 above after the financial settlement shall be treated as
program income of the City under the provisions of 24 CFR S 570.50 .
Said property shall be retained for disposition by the LPA and
shall be disposed of under the covenants set forth under para-
graphs (i), (ii), (iii) and (ivl of 24 CFR S 570.801 (cl (1) .
Section 3. Surplus Funds. Surplus grant funds resulting
from this Agreement shall be reserved by HUD for use by the City
in their Community Development Block Grant Program under the pro-
visions of 24 CFR S 570.803(a).

section 4. Program Income.
Any other funds related to federal urban renewal activities
in the Project accruing to the City andlor the LPA, from whatever
source, shall be considered program income, in accordance with
24 CFR S 570.506(c).
Section 5. Contingent Obligations. Any costs or obliga-
tions incurred in connection with the Project with respect to
claims which are disputed, contingent, unliquidated or unidentifie ,
and for the payment of which insufficient funds have been reserved
under the financial settlement, shall be borne by the City. Such
costs or obligations may be paid from Community Development Block
Grant funds.
Section 6. Special Conditions.
Both parties will comply with any special conditions regard
ing their obligations as may arise with respect to the requirement
of 24 CFR S 570.803.
Section 7. Compliance.
The obligations under this Agreement are subject to the
Program Management requirements of 24 CFR Part 570, Subpart J.

2 If any provision of this Agreement is held invalid, such-
3 holding shall not affect the validity of the remainder of the
