SECTION 1. The Mayor of the City of San Bernardino is
7 hereby authorized and directed to execute on behalf of said City
8 art Agreement with the Pacesetters providing for funding to as&i~t
9 in representation of the City of San Bernardino as an All America
10 City, a copy of which is attached hereto, marked Exhibit "I"
11 and incorporated herein by reference as fully as though set
12 forth at length.

AGREEMENT

(Publicizing and Promoting the City)
'lHIS AGRB~ is made and entered into at San Bernardino,
California, this ~/ ~ day of rfJt-t:Jt..U; , 1977, by and be-
tween the CITY OF SAN BERNARDINO, a municipal corporation, herein-
after referred to as "City", and the PACESETTERS, an unincorporate
association, hereinafter referred to as "Contractor".
WIT N E SSE T H:
WHEREAS, Contractor is a marching unit known as the
Pacesetters, and since November 18, 1974 the Contractor has been a
official ambassador of good will of the City of San Bernardino in
various parades and other festivities and will continue in said
capacity through June 30, 1978; and
WHEREAS, the proposed budget for the fiscal year 1977-1978
will require additional funds for repl~cement of equipment, and Co -
tractor is unable to raise said additional funds from various
private sources; and
WHEREAS, Contractor will display the San Bernardino
All America City banner at each parade and activity in which they
participate; and
WHEREAS, City desires to provide funding to Contractor in
the amount of three thousand dollars ($3,000.00) for the fiscal
year 1977-1978 in order to enable Contractor to carryon its
representation and publicity of the City of San Bernardino,
NOW, THEREFORE, it is agreed as follows:
1. General. The Mayor and Common Council of the City of
San Bernardino have found and determined that it will be of benefit
and advantageous to the City,

2. Programs. The Contractor agrees during the period
I of this agreement to publicize and promote the City of San
Bernardino by performing at local and out-of-town parades and
civic events and to display thereat San Bernardino's All America

II' 3. Payments. City shall pay Contractor the sum of
I: three thousand dollars ($3,000.00) upon execution of this agreemen

I Said sum is intended to assist in defraying a portion of the

Ii expense related to said program for the fiscal year ending June 30
1978. Said funds shall be expended only for the purposes set

forth in Exhibit "A" attached hereto and incorporated by reference

4. Term. This agreement shall be effective upon the
15
date of its execution and shall terminate on June 30, 1978;
16
provided, that either party may terminate this agreement at
any time by giving the other party written notice of such termina-
tion. In the event Contractor terminates this agreement, City

City for any unused monies paid by City.

1 including death, as well as from claims for property damage which
2 may arise from Contractor's operations under this agreement,
3 whether such operations be by Contractor or by anyone or more
4 persons directly or indirectly employed by, or acting as agent
5 for Contractor. Contractor agrees to, and shall, defend City
6 and its elective and appointive boards, commissions, officers,
7 agents and employees from any suits or actions at law or in
8 equity for damages caused, or alleged to have been caused, by
9 reason of any of the aforesaid operations.
10 Contractor shall file with the City Administrator of City
11 a certificate of insurance for public liability evidencing in-
12 surance for protection coverage for the conduct of its programs
13 and services.

7. Budget. Contractor shall file an annual budget, for
15 the subject fiscal year, in. the form and manner prescribed by
16 the City Administrator, detailing all estimated expenditures and
17 all revenues expected to be received, from all sources including
18 the City, during the period of this agreement.

8. Accounting. Contractor shall file a complete report
20 and accounting of all expenditures and all revenues received from
21 all sources including the City, during the term of this agreement.
22 Said report shall be filed with the City Administrator prior to
23 June 15, 1978.

9. Amendment. This agreement may be amended or modified
25 only by written agreements signed by both parties and failure on
26 the part of either party to enforce any provision of this agree-
27 ment shall not be construed as a waiver of the right to compel
28 enforcement of such provision or provisions.

10. Assignment. This agreement shall not be assigned by
Contractor without the prior written consent of City.
11. Notices. All notices herein required shall be in
writing, and delivered in person or sent by certified mail,
