During its regular meeting of August 4, 1994, the Redevelopment Committee recommend the staff cease exclusive negotiations with Susan Feller, develop a Request for QualificationslProposal for permanent management and operation of the Theater and refer it to the Commission for consideration and approval. The attached document is responsive to the Committee's recommendation and is presented for consideration and approval by the Commission. Earlier, staff expressed concern about, and recommended the hiring ot: an interim manager for the Theater. This would be for temporary services provided between the close of escrow, at which time title would pass to the Agency, and execution of an agreement with a permanent manager. Given the anticipated closure of escrow before the selection of a permanent manager, interim management is still a serious concern. While Agency staff may have management skills and extensive knowledge about development, it has no experience in theater operations, attendant promotion, booking or theater facilities management. Staff seeks direction from the Commission regarding this need. Staff recommends adoption of the form motions "A II and "B". KE~ERSON. When acqulsltlon Is completed, It Is the Agency's Intention to turn over the day-to-day operational management of the Theater to a qualified organization which will undertake and Is experienced In the areas of promotion, marketing and scheduling of fine arts performances. The firm will also be responsible for facllltles management which Includes, but Is not limited to, physical plant supervision/management and overall oversight for the supervision and defrayIng of management expenses arising from the usage of a facility of thIs type. At this time, the Agency Is soliciting responses from for-proflt and non-proflt organlzatlons/lndlvlduals that can demonstrate experience In theater management and would be interested In operating the CalIfornia Theater. It would be the Intent of the Agency to deliver to a selected operator a fully functional performing arts theater, complete with a personal property Inventory which has been utlllzed for many years and In a great number of successful performances. The Agency would ultimately expect the selected operator to operate the facility profitably and, In lieu of rent for the property, would entertain some form of profit-sharing as compensation for the use of the facility. BACKGROUND The California Theater, located at 562 West Fourth Street, Is a 32,843 square foot performing arts facility which was originally constructed In 1928. It has a long and rich history which Is presented In some detail In "History of the California Theater," to be found among the attachments to thIs Request for Quallflcatlons. For quite some years, the Theater has been owned and operated by the San Bernardino CIvic Light Opera Association, which has staged many musicals as well as renting the Theater to other, primarily local performing arts groups. In recent years, the Civic Light Opera Association has been negatively Impacted by recesslonary condltlons which contlnue to afflict much of Southern California today. The group recently approached the Redevelopment Agency with a proposal to sell the California Theater, as a means of raIsing much-needed capital, but with a contlnulng Interest In utilizing the Theater for future performances. The Redevelopment Agency Is Interested in maintaining the Theater's availability as a fine arts venue, but lacks the expertlse to manage the day-to- day operational affairs of the facility. Hence, this Request for Qualifications/Request for Proposals from Interested and capable organizations. SCOPE OF SERVICES The successful respondent will be given possession of the physical premises (building plus associated personal property Inventory) upon the executlon of a mutually-satlsfactory management agreement. There currently exists some building maintenance Items which the Redevelopment Agency Intends to cure so as to deliver a functional facility In good repair. It is envIsIoned that the management entity will have full control over both the revenue and expense sides of theater operation. Thus, It will market the availability of the Theater to fine arts groups, establish rental rates, coordinate and schedule usage times of the various fine arts groups and handle all other matters relating to revenue productIon. 1 s o o o ,0 o Similarly, the management entity will have exclusive control over operational expense Items, Including everything from salaries and benefits for personnel to advertising budgets to non- capital Improvement building repairs and maintenance. It should be noted that, as It relates to revenue generation, It Is expected that most of the fine arts organizations which have been utilizing the California Theater, Including the CMc Light Opera, will continue to utilize the facility. Further, the selected Individual or organization will be responsible for the development of the annual program calendar Including a subscription sertes, development of an effective marketing and advertising program, assisting In the development of a business plan, Including any necessary fund raising. and providing for ongoing booking and maintenance of the Theater. AGENCY GOAL The goal of the Agency Is that the Theater will provide a broad base of programming to meet the needs of the San Bernardino Community. While community-based programming (I.e. local arts and theatrtcal groups) will be an Integral part of the Theater's programming, It Is the desire of the Agency that the Theater become financially viable and able to support Its own operation, maintenance and programming without further financial assistance from the Agency. REQUIRED INFORMATION Describe your firm's experience over the past ten (10) years In managing and operating fine arts performance facilities similar to the California Theater. Please be specific about the nature of the services provided. I.e., capital/endowment fund, campaigns. marketing to potential users, maximizing audience attendance physical plant rennovatlon. etc. Designate the Indlvlduals(s) who will be assigned responsibility for the subject facility and describe their functlon(s) and reporting relationships In narrative form and graphically. Provide a brief resume highlighting their expertence as a fine arts facility operations manager. Indlcale whether the person would be assigned to the premises or, If not, where the Individuals main office would be located and how accessible this person will be. List existing or prospective board members and Identify their responsibilities. Provide examples of the compensatory arrangements your firm currently has or has had In the past with regard to the management of performing arts facilities similar to the subject. Please feel free to suggest a profit-sharing structure whereby. In return for free rent of the California Theater, the Redevelopment Agency could over time, recoup Its capital Investment through sharing in the profits. Notwithstanding the Agency's desire to reduce Its costs as referenced, this does not preclude the establishment and selection of a non-proflt organization to manage the Theater. The A:.:: Force has turned over a large portion of the base to the A~::port Authority. Sale of the remaining portions of the base to t~: Inland Valley Development Authority appears probable. Leases a~e currently being sought for a variety of operations at the base. Sc',-eral airlines are reported to be looking at the facility for passenger and/or cargo flights. DOWNTOWN SUPERBLOCK Tr..e "Superblock" project, bound by Fourth Street to Fifth Street ar-d "E" Street to "0" Street, will consist of high rise office tcwers with street level retail and pedestrian courtyards. NEIGHBORHOOD ANALYSIS: Tr..e theater is located near the "heart" of downtown San Bernardino or- Fourth Street between "E" and "F" Streets. The downtown area is ge..."1erally descried by Sixth Street (N); Sierra Way (E); Rialto A_enue (S); and Interstate 215 (W). Improvements consist of Civil ar-j governmental office buildings, commercial/retail facilities, restaurants, hotels/motels and other commercial uses. The Carousel M::l is directly across the street from the theater. Lodging fa=ilities and restaurants are within walking distance. Access to tr..e freeway system is good via Fourth Street to a combined north- sc~th ramp three blocks west. Bus service, from all parts of San Bc~-nardino, is available to the theater. The neighborhood consists of a mixture of older and newer structures in conditions varying fr~m fair to excellent with the predominant condition of slightly aJ::,~ve average. The land area measures 112.62' x 185.46' less a 36' x 15' strip on the northwest corner. This area calculates to 20,491 SF. The rear of the facility (adjoining parcels under separate ownership) feature asphalt paving. A sidewalk extends along Fourth Street. ACCESS: The theater is accessed from Fourth, Fifth, "E" or "F" Streets, all maintained by the City of San Bernardino. SOILS CONDITIONS: A soils report was not reviewed by the appraiser. DESCRIPTION OF IMPROVEMENTS: The California Theater is a multi-level building totaling some 32,842 SF. The construction is reinforced concrete with a cantilevered balcony. An approximate 15' x 20' basement houses old air handling equipment no longer in use. The basement and the access tunnel to the basement are not included in the calculated gross building area. The theater is an average to good quality Class B building in slightly below average condition. The slightly below average condition is based on the following: 1) Fire damage (approximately 1990) to the upstairs office areas overlooking Fourth Street. The area has been made structurally sound but lacks interior refinishing, rest room repairs and stairwell repair to the ground floor as well as the projection and power rooms above. The owners estimate refurbishing the area to a VIP Lounge at $100,000.00. 2) A faulty boiler. The system is operating on one versus the normal two. 3) Interior/exterior paint. 4) Carpet replacement. 11 s "0 "0 o o o 1 o o . DESCRIPTION OF IMPROVEMENTS: (Con't) The appraiser estimates the building height at 34 feet for the main structure with a domed, rolled composition roof. The gridiron area which houses drops, curtains and bridges extends approximately 30 feet above the main building height. The building is made up of five main sections: 1) entrance lobby with ticket booth, staircase, rest rooms and "between acts" lounge; 2) the ground floor seating area; 3) the stagehouse containing the stage, orchestra pit, gridiron and dressing rooms; 4) the balcony with separate lobby, lounge, rest rooms and an office area; and 5) a superstructure area containing the projection booth and air and power systems. Other building features include: 1) A self-advertising high profile facade. 2) An electric marque and vertical sign. 3) A protected outer lobby with ticket booth. 4) A grand inner lobby 5) An embellished stair serving balcony seating areas. 6) Projection booth (spot lighting). 7) Auditorium. 8) Ornamental sidewalls 9) Organ grilles, flaking the proscenium arch. 10) An orchestra pit 11) The stage. 12) The stagehouse containing gridiron, bridges and rigging, and dressing rooms. 13) Heating, ventilating and air conditioning systems. 14) Multiple rest rooms, bars and other "between acts" service areas. Note: Equipment, large organ, curtains, etc., were not this appraisal. rigging, counterweights, considered in the scope of HISTORY OF THE CALIFORNIA THEATER: The California Theater is a movie palace designed by John H. Paxton of spanish colonial style constructed in 1927 and 1928. It opened in August 1928. The theater seats a total of 1,763; 1,251 on the main floor and 512 in the balcony. 12 s- . . o o o o o HISTORY OF THE CALIFORNIA THEATER: (Con't) "San Bernardino's California Theater can be described as a theater in renaissance. The California's stage has played host to a veritable WhOiS who in the ente=:ainment world. It was opened by Fox West Coast Theaters. Ir. attendance opening night were Janet Gaynor and Charles Farrell, who starred in the California's premiere attraction "Street Angel" . Completing the opening night program was a Fanchon and Marco Vaudeville show, "Monkey Shines Idea". Selected as a try-out for the Fanchon and Marco Vaudeville units was the California in San Bernardino. After opening at the California and being thoroughly tested, these shows then left for engagements at the large deluxe movie palaces in Los Angeles such as the Paramount, Loew's state and the Hollywood Pantages. This practice of breaking in continued at the California until the mid-thirties by which time Vaudeville had teen all but totally eclipsed by talking pictures. As famed cowboy and trick rope artist Monty Montana, who appeared at the California in 1930 said, "if you didn't make it on the stage of the California it was back to the sagebrush". What proved to be the last public appearance of beloved humorist and Ziegfeld Follies star Will R~gers took place at the California Theater. Mr. Rogers traveled to San Bernardino on June 28, 1935 to participate in a stage benefit for the Salvation Army. Appearing on the bill with Will Rogers were such screen luminaries of the day as Leo Carillo, James Gleason, Buddy Rogers, Gene Raymond, Kathleen Burke, screen Tarzan Buster Crabbe, child star Jane Withers, Valerie Hobson, Alice Faye, the Sons of the Pioneers, featuring a young Leonard Sly, who later gained fame as Roy Rogers, dancer Rita Consino, soon to be known as Rita Hayworth, Ray Milland, Slim Sumerville, humorist Irvin S. Cobb and Fanchon and Marco Vaudeville. Will Rogers career was cut short on August 15, 1935 when he perished in a plane crash with the famous aviator Wiley Post near Point Barrow, Alaska. To commemorate Mr. Rogers' appearance at the benefit, the Salvation Army placed a bronze plaque in the lobby of the California". Note: The above was excerpted from an art:.cle written by Mike Hughes, "Theater of the Stars" and p'Jblished in a San Bernardino Civic Light Opera pamphlet, The California Theater of Performing Arts, a movie palace in renaissance, first printed in December 1983. The intent is to provide the reader with some historical perspective on the subject. ENVIRONMENTAL HAZARDS: The value estimated is based on the assumption that the property is not negatively affected by the existence of hazardous substances or detrimental environmental conditions. The appraiser is not an expert in the identification of. hazardous substances of detrimental envirc~~ental conditions. The appraiser's routine inspection of and inquiries about the subject property did not develop any information that indicated any apparent significant hazardous substances or detrimental environmental conditions which would affect the property negatively unless otherwise stated in this report. It is possible that tests and inspections ~ade by a qualified hazardous substance and environmental expe=t would reveal the existence of hazardous substances or detrimental environmental conditions on or around the property that would negatively affect its value. HAZARDS DATA: Reference to Flood Plain Maps indicate all parcels under appraisal are in Zone C. According to the Federal Emergency Management Agency (FEMA) this zone. does not require flood insurance. NFIP: 060281 0020A, Zone C, Dated 07-16-79. While a geologist was not retained it is believed there are no earthquake fissures underlying the subject property. The following notes apply: . 1) Depreciation in not included.in these numbers. 2) No portion of the SBCLOA G&A Budget for managing the theater in included in these numbers. 3) In 1992-93 and 1993-94, all SBCLOA shows were charged rent for theater usage. This was NOT done for the 1991-92 season. 4) In 1992-93 and 1993-94, the Building Manager was charged to Equip/Rental Expense. For the 1991-92 season, he was charged to Scenic Studio. S) In 1992-93 and 1993-94, SBCLOA paid all usher, front of house staff, security guards, and cleaning crew costs for SBCLOA shows and charged them to the specific shows. The SBCLOA rent was then decreased by that amount. The "1993-94 To Date" Column is for the period of July 1, 1993 tho:-ough .?eoruary 28, 1994.
