RESOLUTION OF THE CITY OF SAN BJi:RNARDINO AUTHORIZING THE
EXECUTION OF A LEASE WITH THE REDEVELOPMENT AGENCY OF THE CITY OF
SAN BERNARDINO FOR OFFICE SPACE IN CITY HALL.
BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AS FOLLOWS:
SECTION 1. The Mayor of the City of San Bernardino is
authorized and directed to execute on behalf of said City a lease
with the Redevelopment Agency of the City of San Bernardino for
office space in City Hall, a copy of which is attached hereto,
marked Exhibit "I" and incorporated herein by reference as fully
as though set forth at length.

5 a municipal corporation, hereinafter called "Lessor", and the
Ii REDEVELOPMENT AGENCY OF THE CITY OF SAN BERNARDINO, hereinafter
7 called "Lessee".

9 WHEREAS, Lessor is the builder and owner of the City Hall
10 building located at 300 North "D" Street, San Bernardino,
11 California; and
12 WHEREAS, Lessee desires to lease space in said City Hall
13 building from Lessor for use as office space.
14 NOW, THEREFORE, the parties hereto, in consideration of the
15 terms, covenants and conditions herein contained, agree as follows
16
1. Leased Property. Lessor hereby leases to lessee
17 approximately 3,220 square feet of office space located on the
18 third floor of City Hall, situated in real property generally
19 described as the City Hall, located at 300 North "D" Street, San
20 Bernardino, California, and more particularly shown and described
21 in Exhibit "A" attached hereto, upon the terms and conditions
22 hereinafter set forth.

2. Term. The term of this lease shall be from July 1,
24 1977 through June 30, 1982. This lease shall be renewed thereafte
25 by the parties for one additional 5-year term unless the lessee
26 gives written notice of non-renewal to lessor at. least 6 months
27 prior to the end of said term. Said renewal shall be at the rate
28 of $19,706.00 per year; provided, that Lessee shall pay any
1 mutually approved costs for structural alterations, remodeling,
2 repair, maintenance, and other expenses, as necessary and relating
3 to the continued occupancy of the leased space.
4 3. Base Rental, Annual Payment. Lessee agrees to pay to
5 Lessor the rental payments due hereunder in an annual lump sum
6 lease payment made on or before July 1st of each fiscal year, with
7 the first annual lump sum payment commencing on July 1, 1977.
8 4. Purposes. Lessee agrees to use said building for
9 normal office and administrative purposes and to keep the interior
10 areas of said building in good condition, normal wear and tear
11 excepted.
12 5. Structural Maintenance. Lessor agrees to repair and
13 maintain the exterior and structural portions, including the roof
14 of said building, in water-tight and weatherproof condition, and
15 to repair and be responsible for any interior damage to the build-
16 ing resulting from exterior and structural defects in said build-
17 ing. Lessee agrees to maintain and repair interior areas of the
18 leased premises.
19 6. Access to Premises. The Lessor shall have access to
20 said leased premises at any and all reasonable times to inspect
21 the same or to otherwise determine compliance with the lease by
22 Lessee.
23 7. Subletting. The rights of the Lessee hereunder may
24 not be assigned or sublet to any other person, firm or corporation
25 without the written consent of the Lessor first had and obtained,
26 provided that consent is not unreasonably withheld.
27 8. Liens. Lessee agrees to keep the leased premises free
28 and clear of mechanic's liens that might arise out of Lessee

1 making any repairs or improvements on said premises.
2 9. Utilities, Services and Parking. Lessor shall provide
3 to Lessee, without cost, the same utilities and building services
4 furnished by it to other City departments occupying the building,
S with the exception of telephone or other communication services.
6 Lessee shall have the right to use parking areas made available
7 for general City purposes, except for any parking spaces or areas
8 designated by Lessor as not available for general City purposes.
9 The parking spaces made available to Lessee shall be of sufficient
10 number to provide adequate parking for the operation and
11 administration of Lessee's office and business operations.
12 10. Surrender of Premises. Should Lessee be required to
13 surrender all or any portion of the demised premises during the
14 term of this lease, or any of its extensions, for any reason,
15 then and in that event Lessor would be required to promptly refund
16 all monies expended on rental as yet unused. Lessor agrees to pay
17 the total costs of relocation. Substituted premises will be
18 selected by Lessee at its sole discretion.
19 11. Insurance. Lessee agrees to purchase and maintain
20 during the term hereof public liability insurance to protect
21 against any liability to the public incident to the use of or
22 resulting from any accident occurring in or about said premises,
23 as occupied by Lessee, if required by Lessor and provided by
24 Lessee. Lessee shall furnish Lessor with certificates of insur-
2S ance as evidence of Lessee's compliance with the foregoing pro-
26 visions, if so required.
27 12. Termination. Either party may terminate this lease by
28 giving written notice of termination to the other party at least

1 six (6) months prior to its termination date on June 30, 1982, at
2 which time provisions of section 10 shall apply to such termina-
3 tion in the same manner as it may apply to surrenders of all or a
4 portion of the demised premises as provided in Section 10 only in
S the event the Lessor initiates notice of termination.

13. Fixtures. All improvements and fixtures which may be
7 placed on the property by Lessee shall be removed by Lessee
8 within ten (10) days after the termination of this lease, as pro-
9 vided elsewhere herein. If not removed within said ten days,
10 Lessor may, after notice to Lessee, remove and store said improve-
11 Bnts at Lessee's expense. Lessee shall leave the leased premises
12 in the same condition as existed on the date of its occupancy,
13 normal wear and tear excepted.

14. Building Rules and Regulations. Lessee agrees to con-
IS form to and abide by any and all building rules and regulations
16 uniformly applicable to tenants of City Hall such as shall be
17 established by Lessor upon occupancy of the City Hall by Lessee,
18 or as such rules and regulations shall be adopted on, amended, or
19 revised during the term of this lease by Lessor.

15. Notices. All notices to be given by either party to
21 tbe other shall be given in writing, delivered either personally
22 or by first class United States mail, to the addresses for the
23 parties as follows:
