Staff Report
Subiect:
Resolution of the City of San Bernardino authorizing the purchase of one LENCO Bearcat
Chemical, Biological, Radiological, Nuclear Explosive (CBRNE) Vehicle.
Background:
In February of2008 the Federal Government identified the Riverside, San Bernardino, Ontario
area as the Riverside Urban Area (RUA) eligible to apply for Homeland Security grant funds
under the Urban Area Security Initiative Grant (UASI). The UASI grant is a regional grant.
Individual cities are not eligible to apply for the UASI grant.
Fire Chief Mike Conrad made a presentation to the Grants Ad Hoc Cornmittee on April 29, 2008
regarding this grant. An overview of the UASI Grant information was submitted to full council,
by Chief Conrad, on May 05, 2008. Fred Wilson signed the RUA Expenditure Plan documents
on August 28, 2008. The State of California Office of Homeland Security approved the grant
application and forwarded the grant application to the Federal Department of Homeland Security
for approval. On October 23, 2008 the federal government approved the Riverside (RUA) UASI
grant application in the amount of$3.2 million. The State ofCalifomia Office of Homeland
Security receives 20% of each award to fund statewide projects. RUA's final award was $2,
601,200.
On December 30, 2008 the City of San Bernardino received the final award letter from the
Riverside Office of Emergency Management authorizing the city to purchase a CBRNE Rescue
Vehicle, an interoperable communications vehicle and to conduct Regional Active Shooter
Training. All expenditures will be reimbursed 100% through the City of Riverside Office of
Emergency Management, who in turn will be reimbursed by the federal government.
One of the top priority goals set by Federal DHS for the 2008 UASI Grant period was
Improvised Explosive Device (lED) response and deterrence. In attempting to meet that goal a
need was identified for a CBRNE vehicle for SBPD to insure timely response in mitigating
threats and rescuing citizens within our region. The SBPD is the only department of its size
within the RUA without a CBRNE response vehicle.
The LENCO company manufactures the Bearcat CBRNE vehicles. The LENCO CBRNE
vehicles are the only vehicles that are included on the RKB Authorized Equipment List. Only
equipment approved by the federal government and listed on the RKB site are eligible for
purchase with federal grant funds under UASI Grant guidelines. LENCO Bearcats have been
purchased by the U.S. Military, LAPD, Riverside Police Department, Ontario Police Department
and many other large police organizations.

The LENCO Bearcat is a tactical / security / rescue vehicle that meets the needs ofS.W.A.T.,
Homeland Security, Counter-Terrorism, Force Protection, HAZMA T Team and Dignitary
Protection applications. The vehicle is fully capable of safely entering "hot zones" of terrorist or
critical incidents where weapons of mass destruction have been deployed for the purpose of
engaging the enemy or rescuing our citizenry. These Ballistic Engineered Armored Response
vehicles are constructed of certified hardened steel armor plate and approved multi-hit ballistic
glass. When not in use in terrorism response or terrorism response training the vehicle can be
used as an armored SWAT vehicle for SW AT related incidents or for assessing HAZMA T
critical incidents.
The SBPD currently has an Air Force Surplus Armored Vehicle, circa 1970's, that does not have
the CBRNE and ballistic capabilities of the Bearcat (Photographs attached as Exhibit D). The
industry does not manufacture replacement parts for the vehicle, rendering the vehicle obsolete.
The ballistic specifications of the current armored vehicle are not rated to withstand the
contemporary .223 caliber ammunition often used during criminal incidents. The Bearcat will
replace the current armored vehicle. The Bearcat has the ballistic capabilities to withstand
contemporary ammunition, while being CBRNE capable. The ballistic capability of the Bearcat
was recently demonstrated in the incident where three Pittsburgh Police Department Officers
were murdered. During this incident in Pittsburgh the Bearcat was deployed to safely enter the
field of fire to overcome the threat of a rifle-bearing suspect and to protect the safety of the
responding officers. The Bearcat took heavy fire during the incident. The Bearcat armor and
glass repelled the rifle fire protecting officers' lives. The suspect was taken into custody. (See
attached photos Exhibit E)
The LENCO Bearcat (brochure attached as Exhibit F) will be deployed at the SBPD, manned by
current SBPD officers and available for CBRNE / Tactical response and training. The vehicle
will be available for regional response as required by the grant guidance. The vehicle is a critical
incident response vehicle and will be deployed for emergency situations at the discretion of the
chief of police. The grant covers the cost of training for vehicle use and deployment for all SBPD
personnel assigned to drive the vehicle.
Chief Billdt presented the VASI Grant item to the Grants Ad Hoc Committee on March 31,
2009. During that meeting Councilperson Johnson expressed concern regarding deployment of
the CBRNE vehicle and how intimidating the vehicle could be to members of our community.
He specifically asked that the CBRNE vehicle purchase be presented as an individual item,
rather than as part of the entire VASI Grant. Chief Billdt presented the proposal to purchase the
CBRNE vehicle to the Grants Ad Hoc committee on May 12,2009. The Grants Ad Hoc
Committee recommended that the purchase be presented to the full council, with Council
Member Johnson expressing continued concerns.
In order to pursue this vehicle purchase, the Mayor and Common Council must approve an
exemption from the regular bid process, pursuant to Section 3.04.010 Section B.3. Since LENCO
provides the only CBRNE vehicle listed on the Authorized Equipment List for the VASI Grant, a
sole source exemption is justified to obtain this vehicle.

The total cost of the vehicle supplied by LENCO, is $302,889.37. The total price includes the
vehicle and all equipment, freight, tax and performance bond (required by Federal DHS to insure
the delivery of the vehicle being purchased under the price quote). The City of San Bernardino
Police Department has been authorized by the RUA to expend up to $340,000 for the CBRNE
vehicle.
Financiallmoact:
There is no matching funds requirement for this grant. The city must purchase the vehicle and
wiIl receive fuIl reimbursement from Riverside Office of Emergency Management. The account
identified to purchase the vehicle is account # 123-806-5701. The vehicle must be purchased,
and received by March 31, 2010.

The vehicle is a ballistic capable vehicle that will be utilized to enhance police response
and safeguard lives. The CBRNE vehicle is rated to safely enter CBRNE terrorism event
areas and rescue citizens and first responder personnel.
The Bearcat is a shared asset that will be deployed at the SBPD and utilized for regional
response to terrorism and all hazard incidents. While not in use as a terrorism response
vehicle the Bearcat will be used as a swat vehicle for critical incident response and will
be used as a ballistic capable rescue vehicle for all hazard incidents.

RESOLUTION OF THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AUTHORIZING THE PURCHASE OF A CBRNE RESPONSE
VEHICLE FROM LENCO CORPORATION OF PITTSFIELD, MA IN AN AMOUNT
NOT TO EXCEED $340,000.00.
BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE
CITY OF SAN BERNARDINO AS FOLLOWS:
SECTION 1. That the Mayor and Common Council, pursuant to Section 3.04.010(B)
(3) of the San Bernardino Municipal Code, approve a sole source exemption to the purchasing
code, to purchase a CBRNE vehicle for the Police Department from LENCO Corporation of
Pittsfield, MA.
SECTION 2. The City Manager is hereby authorized to execute on behalf of the City a
Vendor Service Agreement, referenced as Attachment "A" to this Resolution, between the City
of San Bernardino and LENCO Corporation of Pittsfield, MA, for the purchase of a CBRNE
vehicle.
SECTION 3. The Director of Finance or her designee is hereby authorized to issue a
Purchase Order to LENCO Corporation of Pittsfield, MA for the purchase of a CBRNE vehicle
as outlined in their "price quote #6558A" referenced as Exhibit "B" to this Resolution, dated
1/15/09. The Purchase Order shall read, "San Bernardino Police Department CBRNE vehicle
purchase, not to exceed $340,000.00."
SECTION 4. Authority to execute the Vendor Service Agreement and the Purchase
Order is rescinded if both parties fail to sign the Vendor Service Agreement within ninety (90)
days following the effective date of the Resolution.

This Vendor Service Agreement is entered into this _ day of
by and between LENCO Armored Vehicles ("VENDOR") and the City of San
Bernardino ("CITY" or "San Bernardino").
WITNESSETH:
WHEREAS, the Mayor and Common Council has determined that it is
advantageous and in the best interest of the CITY to contract for a Bearcat CBRNE
Vehicle for the San Bernardino Police Department;
NOW, THEREFORE, the parties hereto agree as follows:
1. SCOPE OF SERVICES.
For the remuneration stipulated, San Bernardino hereby engages the services of
VENDOR to provide those products and services as set forth on Exhibit "B," attached
hereto and incorporated herein.
2.
COMPENSATION AND EXPENSES.
a. For the services delineated above, the CITY, upon presentation of an invoice,
shall pay the VENDOR up to the amount of $ 340,000.00 for the products and
services as set forth on Exhibit "B," attached hereto and incorporated herein.
b. No other expenditures made by VENDOR shall be reimbursed by CITY.
3. TERM; TERMINATION.
The term of this Agreement shall end on June 30, 2010.
This Agreement may be terminated at any time by thirty (30) days' written notice
by either party. The terms of this Agreement shall remain in force unless mutually
amended. The duration of this Agreement may be extended with the written consent of
both parties.
4. INDEMNITY.
Vendor agrees to and shall indemnify and hold the City, its elected officials,
employees, agents or representatives, free and harmless from all claims, actions, damages
and liabilities of any kind and nature arising from bodily injury, including death, or
property damage, based or asserted upon any actual or alleged act or omission of Vendor,
its employees, agents, or subcontractors, relating to or in any way connected with the
accomplishment of the work or performance of services under this Agreement, unless the
bodily injury or property damage was actually caused by the sole negligence of the City,
its elected officials, employees, agents or representatives. As part of the foregoing
indemnity, Vendor agrees to protect and defend at its own expense, including attorney's

fees, the City, its elected officials, employees, agents or representatives from any and all
legal actions based upon such actual or alleged acts or omissions. Vendor hereby waives
any and all rights to any types of express or implied indemnity against the City, its
elected officials, employees, agents or representatives, with respect to third party claims
against the Vendor relating to or in any way connected with the accomplishment of the
work or performance of services under this Agreement.
5. INSURANCE.
While not restricting or limiting the foregoing, during the term of this Agreement,
VENDOR shall maintain in effect policies of comprehensive public, general and
automobile liability insurance, in the amount of$I,OOO,OOO.OO combined single limit, and
statutory worker's compensation coverage, and shall file copies of said policies with the
CITY's Risk Manager prior to undertaking any work under this Agreement. CITY shall
be set forth as an additional named insured in each policy of insurance provided
hereunder. The Certificate ofInsurance furnished to the CITY shall require the insurer to
notify CITY of any change or termination in the policy.
6. WARRANTY.
Vendor expressly warrants that all products and services supplied to City by
Vendor under this Agreement shall conform to the specifications, drawings or other
description upon which this PURCHASE is based, shall be fit and sufficient for the
purpose intended, merchantable, of good material and workmanship, free from defects
and fee and clear of all liens or encumbrances. Inspection, testing, acceptance or use of
the goods by the City shall not affect Vendor's obligations under this warranty, and such
warranty shall survive inspection, testing, acceptance and use. Vendor agrees to replace
or correct promptly defects of any goods or services not conforming to the foregoing
warranty without expense to the City, when notified of such non-conformity by City. If
Vendor fails to correct the defects in or replace non-conforming goods or services
promptly, City may, after reasonable notice to Vendor, make such corrections or effect
cover, or cure, at Vendor's expense. "Reasonable notice" for purposes of this section
shall not be deemed to require more than 60 calendars days notice before commencement
of efforts by the City to effect cover or a cure except upon written agreement of the
Parties.
7. NON-DISCRIMINATION.
In the performance of this Agreement and in the hiring and recruitment of
employees, VENDOR shall not engage in, nor permit its officers, employees or agents to
engage in, discrimination in employment of persons because of their race, religion, color,
national origin, ancestry, age, mental or physical disability, medical condition, marital
status, sexual gender or sexual orientation, or any other status protected by law.

8. INDEPENDENT CONTRACTOR.
VENDOR shall perform work tasks provided by this Agreement, but for all
intents and purposes VENDOR shall be an independent contractor and not an agent or
employee of the CITY. VENDOR shall secure, at its expense, and be responsible for any
and all payment of Income Tax, Social Security, State Disability Insurance
Compensation, . Unemployment Compensation, and other payroll deductions for
VENDOR and its officers, agents, and employees, and all business license, if any are
required, in connection with the services to be performed hereunder.
9. BUSINESS REGISTRATION CERTIFICATE AND OTHER
REQUIREMENTS.
VENDOR warrants that it possesses or shall obtain, and maintain a business
registration certificate pursuant to Chapter 5 of the Municipal Code, and any other
licenses, permits, qualifications, insurance and approval of whatever nature that are
legally required of VENDOR to practice its business or profession.
10. NOTICES.
Any notices to be given pursuant to this Agreement shall be deposited with the
United States Postal Service, postage prepaid and addressed as follows:

ATTORNEYS' FEES
In the event that litigation is brought by any party in connection with this
22 Agreement, the prevailing party shall be entitled to recover from the opposing party all
costs and expenses, including reasonable attorneys' fees, incurred by the prevailing party
in the exercise of any of its rights or remedies hereunder or the enforcement of any of the
terms, conditions or provisions hereof. The costs, salary and expenses of the City
Attorney and members of his office in enforcing this Agreement on behalf of the CITY
shall be considered as "attorneys' fees" for the purposes of this paragraph.

12. ASSIGNMENT.
VENDOR shall not voluntarily or by operation of law assign, transfer, sublet or
encumber all or any part of the VENDOR's interest in this Agreement without CITY's

prior written consent. Any attempted assignment, transfer, subletting or encumbrance
shall be void and shall constitute a breach of this Agreement and cause for the
termination of this Agreement. Regardless of CITY's consent, no subletting or
assignment shall release VENDOR of VENDOR's obligation to perform all other
obligations to be performed by VENDOR hereunder for the term of this Agreement.
13. VENUE.
The parties hereto agree that all actions or proceedings arising in connection with
this Agreement shall be tried and litigated either in the State courts located in the County
of San Bernardino, State of California or the U.S. District Court for the Central District of
California, Riverside Division. The aforementioned choice of venue is intended by the
parties to be mandatory and not permissive in nature.
14.
GOVERNING LAW.
This Agreement shall be governed by the laws of the State of California.
15. SUCCESSORS AND ASSIGNS.
This Agreement shall be binding on and inure to the benefit of the parties to this
Agreement and their respective heirs, representatives, successors, and assigns.
16. HEADINGS.
The subject headings of the sections of this Agreement are included for the
purposes of convenience only and shall not affect the construction or the interpretation of
any of its provisions.
17. SEVERABILITY.
If any provision of this Agreement is determined by a court of competent
jurisdiction to be invalid or unenforceable for any reason, such determination shall not
affect the validity or enforceability of the remaining terms and provisions hereof or of the
offending provision in any other circumstance, and the remaining provisions of this
Agreement shall remain in full force and effect.
18. REMEDIES; WAIVER.
All remedies available to either party for one or more breaches by the other party
are and shall be deemed cumulative and may be exercised separately or concurrently
without waiver of any other remedies. The failure of either party to act in the event of a
breach of this Agreement by the other shall not be deemed a waiver of such breach or a
waiver of future breaches, unless such waiver shall be in writing and signed by the party
against whom enforcement is sought.

19. ENTIRE AGREEMENT; MODIFICATION.
This Agreement constitutes the entire agreement and the understanding between
the parties, and supersedes any prior agreements and understandings relating to the
subject matter of this Agreement. This Agreement may be modified or amended only by
a written instrument executed by all parties to this Agreement.
