CDCj2011-7 2 3 4 5 6 RESOLUTION OF THE COMMUNITY DEVELOPMENT COMMISSION OF THE CITY OF SAN BERNARDINO APPROVING AND AUTHORIZING THE INTERIM EXECUTIVE DIRECTOR OF THE REDEVELOPMENT AGENCY OF THE CITY OF SAN BERNARDINO ("AGENCY") TO EXECUTE AMENDMENT NO. 1 TO THE PROFESSIONAL SERVICES AGREEMENT BY AND BETWEEN THE AGENCY AND MAPCO CORPORATION FOR PROFESSIONAL CONSULTING AND ENGINEERING SERVICES FOR HANDICAPPED ACCESS STREET IMPROVEMENT AND INFRASTRUCTURE PROJECTS (40TH STREET, SOUTH VALLE, CENTRAL CITY EAST, CENTRAL CITY NORTH, CENTRAL CITY SOUTH, IVDA AND NORTHWEST REDEVELOPMENT PROJECT AREAS) 7 8 9 10 11 12 13 14 15 16 17 18 19 WHEREAS, the Redevelopment Agency of the City of San Bernardino (the "Agency") is a community redevelopment agency duly created, established and authorized to transact business and exercise its powers, all under and pursuant to the California Community Redevelopment Law (the "CRL"), codified under Division 24, Part 1 of the California Health and Safety Code commencing at Section 33000 and is authorized to acquire and demolish blighted properties for redevelopment purposes located within the approved redevelopment project areas in the City of San Bernardino (the "City") in accordance with the CRL; and WHEREAS, the Community Development Commission of the City of San Bernardino (the "Commission"), as the governing board of the Agency, has authorized the Agency to design and construct an American with Disabilities Act ("ADA") Handicapped Access Ramps and Sidewalks 20 Project at various locations Citywide; and 21 WHEREAS, the Project Areas as identified on the title of the Resolution, display 22 23 24 25 26 27 28 substantial and pervasive symptoms of blight that cannot be remedied by private parties acting alone without community redevelopment assistance; and WHEREAS, the scope of work will include data and field survey, preparation of plans and project specifications, cost estimates and preparation of all bid documents; and WHEREAS, MAPCO Corporation (the "Consultant"), is currently providing design and engineering services for two Handicapped Access Street Improvement and Infrastructure projects and the Agency desires to retain the Consultant to perform the design and engineering work on 1 P:\Agendas\Resolutions\Resolutions\201 1\02-22-1 1 Amendment NO.1 MAPCO PSA CDC Reso.doc CDC/2011-7 1 three (3) additional projects in accordance with the terms and conditions of the Amendment No.1 2 to the Professional Services Agreement (the "Agreement") attached hereto and incorporated herein 3 by said reference as Exhibit "A"; and 4 WHEREAS, on November 15, 2010, the Agency and MAPCO Corporation ("the 5 Consultant"), entered into an Agreement for Professional Services (the "Agreement") to provide 6 design and engineering services for Handicapped Access Street Improvement and Infrastructure 7 Projects and the Agency desires to amend said Agreement in the amount of $150,000 for the 8 Consultant to provide additional design and engineering work on additional projects in accordance 9 with the terms and conditions of the Agreement. 10 NOW, THEREFORE, THE COMMUNITY DEVELOPMENT COMMISSION OF THE 11 CITY OF SAN BERNARDINO DOES HEREBY RESOLVE, DETERMINE AND ORDER, AS 12 FOLLOWS: 13 Section 1. The information set forth in the above recitals of this Resolution is true and 14 correct. 15 Section 2. The Commission hereby approves Amendment No. 1 to the Agreement 16 between the Agency and the Consultant attached hereto, incorporated herein by reference. 17 Section 3. The Interim Executive Director of the Agency is hereby authorized to 18 execute the Agreement on behalf of the Agency in substantially the form attached hereto, together 19 with such changes therein as may be approved by the Interim Executive Director ofthe Agency and 20 Agency Counsel. The Interim Executive Director of the Agency or such other designated 21 representative of the Agency is further authorized to do any and all things and take any and all 22 actions as may be deemed necessary or advisable to effectuate the purposes of Amendment No.1 to 23 the Agreement, including making non-substantive modifications to Amendment No. 1 to the 24 Agreement. 25 Section 4. WHEREAS, on November 15,2010, the Agency and the Consultant entered into an Agreement for Professional Services (the "Agreement") CDC/2010-60 to provide design, engineering, estimates and specification services for various Agency construction projects; and WHEREAS, the Agency desires to amend said Agreement in the amount of $150,000 for the Consultant to provide additional design, engineering, estimates and specification work for said projects in accordance with the terms and conditions of the Agreement. NOW, THEREFORE, IN CONSIDERATION OF THE PROMISES AND MUTUAL PROMISES CONTAINED HEREIN AND FOR SUCH OTHER GOOD AND VALUABLE CONSIDERATION, THE RECEIPT AND SUFFICIENCY OF WHICH ARE HEREBY ACKNOWLEDGED, THE PARTIES HERETO AGREE AS FOLLOWS: 1. Amend Section 4 (A),"Payment By Agency For Work Performed By Consultant" to read as follows: A. The Agency shall compensate the Consultant in an aggregate amount not to exceed $100,000 for completion of the services described in the Scope of Services set forth in Exhibit "A" and an additional $150,000 for similar services related to the Courthouse Off-Site Street Improvements for the new State Courthouse, Second Street Off-Site Street Improvements (adjacent to the McDonalds restaurant) and Parking Lot Construction on "F" Street (Agency owned property). All other terms and conditions of the Agreement shall remain in effect.
