Staff Report
Subject:
Resolution authorizing the execution of an agreement and issuance of a purchase order
to Republic Intelligent Transportation Services (ITS) for traffic signal preventive
maintenance services.
Background:
Recent budget balancing decisions included the elimination of two Traffic Signal
Maintenance Technician II positions that handled preventive maintenance duties and
instead contracting for preventive maintenance. This action was expected to save
$80,000 for the General Fund. In moving forward with implementation of this Council
decision staff found that the Town of Apple Valley completed a bid process and award
for traffic signal maintenance services. Staff has received a copy of this bid information
and forwarded it to the Finance Department. This bid offers an $80 per traffic signal
intersection and a $35 per flashing signal cost to complete a preventive maintenance
inspection. Finance has determined that the bidding process completed by the Town of
Apple Valley conforms to the requirements of City of San Bernardino Municipal Code
Section 3.04.010 B2, which allows the City to accept bidding from another governmental
agency for goods and services.
There are 265 intersections in the City. The contract service will complete preventive
maintenance at each of these locations three times a year. The total cost for this
service will be approximately $64,000 annually and staff will utilize them for both FY 08-
09 and FY 09-10. Staff is requesting that Republic ITS be granted a purchase order in
the amount of $70,000 in order to complete the preventive maintenance at all signalized
intersections. This will also provide funds for some additional services in the event our
remaining three-person City repair crew experiences unexpected extended absences or
the need for additional assistance. Staff met and conferred with the San Bernardino
Public Employees Association (SBPEA) on March 23, 2009 and April 8, 2009.
Republic Intelligent Transportation Services (ITS) has 18 years of traffic signal
preventive maintenance experience and over 300 long-term maintenance agreements
nationwide with public agencies. As the leader in the private traffic signal maintenance
industry in California, staff recommends the issuance of a purchase order to Republic
Intelligent Transportation Services (ITS) in the amount $70,000 for traffic signal
preventive maintenance services

AGREEMENT AND ISSUANCE OF A PURCHASE ORDER IN THE AMOUNT OF
$70,000 TO REPUBLIC INTELLIGENT TRANSPORTATION SERVICES FOR
TRAFFIC SIGNAL PREVENTIVE MAINTENANCE SERVICES.
BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AS FOLLOWS:
SECTION 1. The City Manager of the City of San Bernardino is hereby
authorized to execute on behalf of said City a Vendor Service Agreement between the
City of San Bernardino and Republic Intelligent Transportation Services (ITS), a copy
of which is attached hereto, marked as Exhibit "A", and incorporated herein by this
reference as fully as though set forth at length.
SECTION 2. That pursuant to this determination the Director of Finance or her
designee is hereby authorized to issue a Purchase Order in the amount of $70,000 to
Republic Intelligent Transportation Services (ITS).
SECTION 3. The Purchase Order shall reference this Resolution Number and
shall read, "Republic. Intelligent Transportation Services (ITS) for traffic signal
preventive maintenance services," and shall incorporate the terms and conditions of
the Vendor Service Agreement.
SECTION 4. The authorization to execute the above referenced Purchase I
Order and the Vendor Service Agreement is rescinded if it is not executed within sixty
(60) days of the passage of this resolution.

VENDOR SERVICE AGREEMENT
This Vendor Service Agreement is entered into this 20th day of April 2009. bv and
bet\\een Republic Intelligent Transportation Services, Incorporated ("VE:--JDOR") and the City
of San Bernardino CCITY" or "San Bernardino").
WITNESSETH:
WHEREAS, the Mayor and Common Council have determined that it is in the best
interest of the CITY to contract for traffic signal preventative maintenance services; and
WHEREAS, the City of San Bernardino has accepted Republic Intelligence
Transportation Services, Inc.'s offer to piggyback on the Town of Apple Valley's purchase
price for FY 08-10 traffic signal maintenance services; and
\VHEREAS, those bid documents do meet the requirements pursuant to Section
3.fJ4.010 B-2 of the San Bernardino Municipal Code.
NOW, THEREFORE, the parties hereto agree as follows:
1. SCOPE OF SERVICES.
For the remuneration stipulated, San Bernardino hereby engages the services of
VENDOR to provide those products and services as set forth in Attachment ,T, and
incorporated herein by this reference.
2. COMPENSATION AND EXPENSES.
a. For the services delineated above, the CITY, upon presentation of an invoice, shall
pay the VENDOR pursuant to Attachment "2" and made a part hereto the not to
exceed amount ofS70,OOO, for traffic signal maintenance services.
b. No other expenditures made by VEl'mOR shall be reimbursed by CITY.

3. TERM.
The tem1 of this agreement shall be a period of one year. from April 20. 2009. to Apn I
19.2010.
This Agreement may be terminated at any time by thirty (30) days written notice b\'
either party. The tem1S of this Agreement shall remain in force unless mutually amended. The
duration of this Agreement may be extended with the written consent of both parties.
-I. I:\DEMNITY.
Vendor agrees to and shall indemnify and hold the City. its elected officials. employees.
agents or representatives, free and harmless from all claims, actions. damages and liabilities of
any kind and nature arising from bodily injury, including death, or property damage, based or
asserted upon any or alleged act or omission of Vendor. its employees. agents, or
subcontractors, relating to or in any way connected with the accomplishment of the work or
perfonnance of service under this Agreement, unless the bodily injury or property damage was
actually caused by the sole negligence of the City. its elected officials, employees, agents or
representatives. As part of the foregoing indemnity, Vendor agrees to protect and defend at its
own expense, including attomey's fees the City, its elected officials, employees, agents or
representatives from any and all legal actions based upon such actual or alleged acts or
omIssIons. Vendor hereby waives any and all rights to any types of express or implied
indemnity against the City, its elected officials. employees, agents or representatives, with
respect to third party claims against the Vendor relating to or in any way connected with the
accomplishment of the work or perfonnance of services under this Agreement.
5. INSUR.\NCE.
While not restricting or limiting the foregoing, during the term of this Agreement,
VE!'iTIOR shall maintain in effect policies of comprehensive public, general and automobile

liability insurance, in the amount of S 1,000,000.00 combined single limit, and statuto!'\
worker's compensation coverage. and shall file copies of said policies \\'ith the CITY's RISk
'vlanager prior to undertaking any work under this Agreement. CITY shall be set forth as an
additional named insured in each policy of insurance provided hereunder. The Certificate of
Insurance furnished to the CITY shall require the insurer to notify CITY of any change or
tem1ination in the policy. Insurer shall give CITY 30 days notice prior to enactment and an\
change or termination of policy.
6. ~ON-DISCRIMI:\IATIO~.
In the performance of this Agreement and in the hiring and recruitment of employees.
VE!\DOR shall not engage in, nor permit its officers, employees or agents to engage in,
discrimination in employment of persons because of their race, religion, color, national origin,
ancestry, age, mental or physical disability, medical conditions, marital status, sexual gender or
sexual orientation, or any other status protected by law, except as permitted pursuant to Section
12940 of the California Government Code.
7. INDEPENDENT CONTR>\.CTOR.
VE]\ITIOR shall perform work tasks provided by this Agreement, but for all intents and
purposes VENDOR shall be an independent contractor and not an agent or employee of the
CITY. VENDOR shall secure, at its expense, and be responsible for any and all payment of
Income Tax, Social Security, State Disability Insurance Compensation, Unemployment
Compensation, and other payroll deductions for VE!\DOR and its officers, agents, and
employees, and all business licenses, if any are required, in connection With the services to be
performed hereunder.

10. ATTOR..~EYS' FEES
In the event that litigation is brought by any party in connection with this Agreement,
the prevailing party shall be entitled to recover from the opposing party all costs and expenses.
including reasonable attorneys' fees, incurred by the prevailing party in the exercise of any of
its rights or remedies hereunder or the enforcement of any of the terms, conditions or
provisions hereof. The costs, salary and expenses of the City Attorney and members of his
office .in enforcing this Agreement on behalf of the CITY shall be considered as "attorneys'
fees" for the purposes of this paragraph.

VENDOR shall not voluntarily or by operation of law assi,,'11. transfer. sun let or
encumber all or any part of the VE",DOR's interest in this Agreement \vithout CITY's prior
written consent. .I\ny attempted assignment. transfer. subletting or encumbrance shall be void
and shall constitute a breach of this Agreement and cause for the termination of this
Agreement. Regardless of CITY's consent. no subletting or assignment shall release VENDOR
of VE"TIOR's obligation to perform all other obligations to be performed by VE:-.JDOR
hereunder for the ternl of this Agreement.
12. VENUE.
The parties hereto agree that all actions or proceedings arising in connection with this
Agreement shall be tried and litigated either in the State courts located in the County of San
Bernardino, State of California or the U.S. District Court for the Central District of California.
Riverside Division. The aforementioned choice of venue is intended by the parties to be the
mandatory and not permissive in nature.
13. GOVERc"lING LAW.
This Agreement shall be governed by the laws of the State of California.
14. SUCCESSORS AND ASSIGNS.
This Agreement shall be binding on and inure to the benefit of the parties to this
Agreement and their respective heirs, representatives. successors, and assigns.
15. HEADINGS.
The subject headings of the sections of this Agreement are included for the purposes of
convemence only and shall not affect the construction or the interpretation of any of its
provtslons.

16.
ENTIRE AGREEME~T; MODIFICATION.
This Agreement constitutes the entire agreement and the understanding bet\\een the
parties. and supercedes any prior agreements and understandings relating to the subject manner
of this Agreement. This Agreement may be modified or amended only by a written instrument
executed by all parties to this Agreement.

pricing currently in place with the Town of Apple Valley. This includes suppotting the needs of the City

vary, based on the City's needs. Pricing includes maintenance activities, as well as the request for
emergency response and call outs.

Republic ITS's Corporate Headquarters are located in Novato, California with additional offices
throughout California, Massachusetts, and Texas.
Riverside, CA. Republic ITS has an office location at 7740 Business Way in the City of
Riverside, California. We have approximately 70 employees working in the Los Angeles area.
All staff assigned to the City will be dispatched from this location and our Anaheim location.
The City may contact Republic ITS twenty-four (24) hours a day, seven (7) days a week by
calling 1-8CXP29-6090. All Republic ITS employees are issued cellular telephones with paginl}
E-mail and voicernail capabilities. All field personnel are issued home fax machines to allow
them to directly send and receive timing plans, cabinet drawings and similar documents to the
agencies they service.
Anaheim, CA: Republic ITS's central Southern California office is located at 1266 N. La Loma
Circle, Anaheim, California. This facility houses all materials and equipment necessary to
maintain traffic signals, streetlights and related projects for all of Southern California.
Our Anaheim facility also houses our Southern California laboratory facility. The laboratory
provides in house traffic signal controller and cabinet testing and repairs which allows Republic
ITS to benefit from immediate test results independent from those of manufacturers. It is
centrally located between Los Angeles, Orange, Riverside, and San Bernardino counties.
Novato, CA: The Corporate Headquarters for Republic ITS are located at 371 Bel Marin Keys
Blvd, Novato, California approximately 30 minutes North of San Francisco. The corporate staff
supports all field offices and operations including traininl} safety, purchasinl} and accounting.
In addition to housing the corporate functions, the Novato site is also a base of operations to
service the Northern California area from North of San Francisco Bay to the Oregon border.

includes a sufficient stock of spare parts and signal equipment needed to make all necessary
repairs to our customers in the East and South Bay. With over 10,000 square feet of both office

PLATO
PLA TO was developed to pro~de rapid access to service requests, maintenance sched'uling,
and detailed work histories for intersections. Based on Microsoft's web application framework,
PLATO is available to any workstation with access to Republic ITS's intranet. This provides
maximum flexibility in Plato's deployment, making it available to any internal computer with a
browser.

WiRE
WiRE allows our technicians in the field access to an array of useful data. Maintenance histories
for the intersection, inventory bar-coding & scanning, downloading timing sheets and
uploading them to a controller, digital photographic documentation: all contribute to a quicker,
more successful visit from a Republic ITS signal technician. In addition, our scheduled
maintenance activities and responses to service requests are documented on-site utilizing our
hand-held devices, as well as documentation noting any other needed repair work. WiRE also
functions as a dispatching tool; once a service request is dispatched to a technician, relevant
information concerning the nature of the call and the intersection is immediately available.

INVENTORY
Republic ITS maintains a large inventory of traffic signal and streetlight equipment including
controllers, cabinets, load switches, signal heads, poles, LED lamps, luminaries, service cabinets
and other miscellaneous parts. This inventory combined with our extensive experience and
testing facilities enable Republic ITS to repair or replace damaged equipment expeditiously and
professionally.
Republic ITS carries a substantial supply of traffic signal and streetlight poles in various sizes
and configurations. Most standard size traffic signal and streetlight pole knockdowns can be
replaced the same or next day.
Republic ITS employees will be equipped with all spare parts necessary to place a signal system
back in operation for ordinary trouble calls. In the event of an equipment m.allunction Republic
will furnish the necessary spare parts to keep the traffic-related electrical devices system
functioning properly. No permanent or temporary change of controller mechanisms will be
done without prior approval of the City except in case of an emergency. Republic ITS will
notify the City by telephone that the equipment was removed and replaced with approved
spare equipment.
Inventory levels are maintained in order to accommodate each individual Agency's needs.
Republic ITS continually monitors and modifies inventory levels as required by current activity.
VEHICLES
Republic ITS owns and operates approximately 150 service vehicles of various types and sizes
throughout California. To help ensure safety, Republic ITS uses hydraulic "bucket" trucks with
aerial lifts which are Occupational Safety and Health Administration (OSHA) approved,
inspected and certified as required by law. All drivers are trained through the Sentry Program
for Insulated Devices.

SCOPE OF WORK
Republic ITS will provide all tools, equipment, materials, labor and staff required to maintain
the City of San Bernardino's traffic signal system. Republic ITS staff will be available to assist
the City's staff 'in emergency situations, after hours, on weekends and at any other time
required by the City. Jill Petrie will be the Project Manager serving the City of San Bernardino.
She }"ill be responsible for mairltaining communication with the City regarding operation and
maintenance of the City's traffic signal equipment.
Republic ITS's extensive staff of IMSA certified traffic signal technicians will be available to the
City of San Bernardino to perform routine maintenance and on an on-call basis 24 hours per
day. A list of personnel assigned to this project is provided in a subsequent section of this
proposal.
Republic ITS will repair or replace of damaged parts of the signal system under the direction of
the City of San Bernardino. Routine Traffic Signal Maintenance will be performed by a traffic
signal technician; the current 265 intersections will be pm' ed quarterly at 66 intersections per
month. The signal technician perforining Routine Traffic Signal Maintenance will utilize a
Preventative Maintenance (PM) Checklist form, a copy of which will be mairltained at each
intersection and provided to the City along with each monthly invoice. During a Preventative
Maintenance check, a technician will perform the following tasks:
. Check controller cabinet mounting, foundation seal, door gaskets, vents, fan, thermostat,
interior light, door panel harness, hinges and locks
. Vacuum controller cabinet
. Inspect cabinet for insect or rodent infestation
. Check service connections and verify that connections are secure
. Check that each plug-in component fils properly and is secure
. Check operation of ground fault receptacle
. Manually check controller operation by activating vehicle and pedestrian calls on each
phase
. Check controller logs for any faults and make notes of any found
. Verify that intersection timing is correct
. Verify that CMU/MMU have time and date set correctly
. Verify that detection zones for loops and video detection systems are properly set and
that all detectors are operating properly
. Ensure all LED and LCD displays are working properly
. Check system telemetry
Along with the Preventative Maintenance tasks listed above. Each PM check will involve an
intersection Walk-Around. During the Walk-Around, the technician will visibly inspect the
intersection for graffiti and unauthorized signs, stickers or posters attached to signal equipment.
The technician will check to ensure that all vehicle and pedestrian heads are aligned correctly
and that their displays operate properly. The technician will inspect back plates, visors and
doors and make sure they are secure. The technician will activate all pedestrian and bicycle
push buttons to make sure mountings are secure and that they are operating correctly.
Internally illuminated street name signs and detector loops will also be inspected.

Republic ITS will also provide USA monitorin~ and be available to locate and mark traffic
signal conduit and equipment at the City's request.
Republic will perform adc1itional repair services at the request of the City of San Bernardino.
Repair of illuminated street name si~, installation of traffic si~, repair of chan~eable
messa~e si~s, CCIV camera repairs, and communications troubleshootin~ are examples of
such services. Republic ITS will repair, replace or otherwise render itl ~ood workill~ condition
defective parts of the traffic signal control equipment with like make and model parts for
temporary and permanent replacements.
Republic ITS technicians respondin~ to ordinary trouble calls will be equipped with the spare
parts needed to return a defective signal to proper operation. We will furnish temporary
replacement traffic si~al controllers, preemption units, detector amplifiers, conflict monitors,
video detection systems, uninterruptible power supplies, etc. as the need arises. Our crews will
not make any permanent chan~es to the traffic si~al timin~ without direction from City staff.
Republic ITS will notify the City at least two (2) hours in advance whenever traffic si~al
equipment is to be replaced/ removed / modified, except in emer~ency situations. Chan~es
made will be recorded on the maintenance or repair lo~ within the traffic signal controller
cabinet.
Republic ITS a~ees to notify the City and San Bernardino Police Services in advance to facilitate
the approval for any planned or scheduled traffic signal turn-offs/ turn-ons necessitated by our
operations. Republic will not perform turn-ons or turn-offs unless permission to do so is
~anted by the City.
Republic ITS will maintain new traffic si~als, safety li~hts, flashin~ beacons or street li~hts
installed at the City's request.
Maintmance RetJorts
Republic will maintain a permanent service record, or PM Checklist, at each intersection. This
record will document all on~oin~ work, operations, hardware malfunctions, emer~ency repair
and confi~ration work. Service records will reflect the date and nature of all maintenance
services performed at each location. A copy of the monthly activities report for each
intersection will be supplied to the City alon~ with a detailed cost summary and invoice.
Emerllencu RestJonse
Republic ITS will respond to and emer~ency requests for darna~ed traffic si~als within two (2)
hours durin~ re~ar business hours. Durin~ non-workill~ hours, weekends and holidays,
Republic will respond within two (2) hours to emer~ency calls. Emer~ency repairs shall
constitute work made necessary due to traffic signal device malfunction, failure, loss of
indication, accident dama~e, construction dama~e, or any emer~ency traffic si~al service call.

Republic 115 will provide temporary emergency replacements of an acceptable type to the City
in the event of a knockdown, until permanent repairs can be made. Replacement of equipment
will not be made until approval from the City of San Bernardino is received by Republic 115.
The Republic 115 technician responding to the report of a black-out will be equipped with the
traffic control equipment such as traffic cones, arrow boards and warning signs necessary to
make the intersectio'n safe until signal repairs can be made. .
Warrant1/
Republic 115 will be responsible for making contact between equipment manufachues and the
City's staff when service is needed during the warranty period. Republic 115 will remain in
contact with the City to ensure their satisfaction. Republic ITS will warrant all work performed
and materials installed for a 12 month period in addition to the manufachuer's warranty.

Republic ITS administers a comprehensive company wide safety proWam to ensure that safety
on all job sites is the top priority. Our employees are required to read and understand "Safety
Rilles for the Outside Electrical Industry" by the National Electrical Contractor's Association
(NECA). Republic ITS has a zero tolerance policy on all safety violations.
Republic ITS employees ~e trained using a variety of resources and methods. The lBEW
provides professional competence and safety training to our field staff. Our employees are
trained in basic safety induding proper lifting techniques. They have weekly tailgate topics that

"Contractor" .
WITNESSETH:
WHEREAS, Town desires to contract with Contractor to ""rform the services detailed in this
contract, including the PlOpOSal, and
WHEREAS, Contrnctor bas represented that it is fully qualified to assume and discharge such
responsibility;
NOW, THEREFORE, the parties hereto do agree as follows:
L Scooe of Services, Town hereby employs Contractor to perform the work and provide the
services and materials as described in the Proposal, attached hereto and incorporated herein by
this reference, including miscellaneous appurtenant work. Such work shall be performed in a
good and workmanlike manner, under the terms as stated berein and in the Notice to Contrnctors,
Instructions to Bidders, Special Provisions, Bid Item Descriptions and the Proposal, and in
accordance with the latest edition of the Joint Cooperative Committee, Southern California
Chapters of the American Public Works Association and tbe Associated General Contractors of
America, document entitled "Standard Specifications". In the event of any conflict between the
terms of tbis agreement and any of the above-referenced documents, the terms of this agreement
sball be controlling.
2. COlflPCnsation. In consideration of the services rendered hereunder, Contractor shall be paid
according to the prices as submitted on the Bid Sheet of the Proposal, attached hereto as a part of
and in accordance with the Special Provisions.
3. Hold Harmless: Insurance. It is specifically understood and agreed by all parties hereto that
Contractor is, for the purposes of this Agreement, an independent contractor and not an
employee of the Town. Accordingly, Contractor shall not be deemed the Town's employee for
any purpose whatsoever. Contractor shall not incur nor bave the power to incur any debt,
obligation or liability whatsoever for or against Town and shall bold harmless, indelIUlify and
defend with the attorneys of the Town's choice, the Town of Apple Valley, it's officers,
employees, agents and representatives, from and against any and all obligations, claims, liens, or
causes of actions, arising out of or related to Contractor's services hereunder. Contractor shall
file and maintain with Town at all times during the term of this Agreement, a copy or certificate
of general liability insurance with an insurance company acceptable to, and approved by. tbe
Director of Public Services and Town Attorney, with minimum limits of one million dollars
($1,000,000.00) combined single limit coverage against any injury, death, loss or damage as a
result of wrongful or negligent acts or omissions by the Contractor. Such insurance shall not be
cancelled without thirty (30) days' prior written ootice to Town, shall name the Town and its

officers and employees as additional insureds, shall include all automobiles utilized by
Cootractor's personnel in the performance of this Agreement, and shall be primary and not
contributing with other insurance available to the Town.
4. Assi!mment. This agreement may not be assigned by Contractor, in wbole or in part, without
the prior written consent of the Town.
5. Termination. This agreement may be canceled by the Town at any time without penalty upon
thirty (30) days' written notice. In the event of termination without fault of Contractor, Town
shall pay Contractor for all services rendered prior to date of termination, and such payment shall
be in full satisfaction of all services rendered hereunder.
6. Worker's Comoensation Insurance, In accordance with the provisions of Division 2, Part 7,
Chapter I, Article 5 (commencing with Section 1860) and Division 4, Part 1, Chapter 4
(commencing with Section 3700) of the Lahor Code of the State of California, tbe Contractor is
required to secure the payment of compensation to bis employees and shall for tbat purpose
obtain and keep in effect adequate Worker's Compensation Insurance.
The undersigned Contractor is aware of the provisions of Section 3700 of the Lahor Code which
requires every employer to be insured against liability for worleer's compensation or to undertake
self insurance in accordance with the provisions of that Code, and will comply with such
provisions before commencing the performance of the work of this contract.
7. General Rate of Per Diem W a~es. Pursuant to the Labor Code of the State of California, the
Director of Industrial Relations has determined the general prevailing rate of wages and
employer payments for health and welfare, vacation, pension and similar purposes applicable to
the work to be done. This rate and scale are on file with the Director of Public Services and
copies will be made available to any interested party on request. The Contractor to whom the
contract is awarded, and the subcontractors under him must pay nOI less than these rates for this
area to all workers employed in the execution of this contract.
8. Retention. In accordance with Part 5 (Section 2230), Division 2 of the Public Contract Code, a
contractor may substitute securities for retention moneys withheld by a public agency to ensure
performance under this contract. At the request and expense of the contractor, eligible securities
equivalent to the amount withheld shall be deposited with the Town of Apple Valley, or with a
state or federally chartered bank, as the escrow agent, who shall then pay such moneys 10 the
contractor, and upon satisfactory completion of the contract, the securities shall be returned to
the Contractor,
9. Suit: Recoverv of Attornev Fees & Costs. Should either party bring any action to protect or
enforce its rights hereunder, the prevailing party in such action shall be entitled to recover, in
addition to all other relief, its reasonable attorney fees and court costs.
10. Town AplJIOval. All labor, materials, tools, equipment and services shall be furnished and
work performed and completed under the direction and supervision and subject to the approval
of the Town or its authorized representatives.
II. Gratuities. Contractor warrants that neither it nor any of its employees, agents, or
representatives has offered or given any gratuities or promises to Town employees, agents, or

representatives with a view toward securing this Contract or securing favorable treatment with
respect thereto.
12. Conflict of Interest. Contractor wammts that he is and will continue to be in compliance with
all applicable conflict of interest laws.
13. Contractor's Affidavit. After the completion of the work contemplated by this Contract,
Contractor shall file with the Town Manager his affidavit stating that all workmen and persons
employed, all firms supplying materials. and all subcontractors upon the job bave been paid in
full, and that there are no claims outstanding against the Project for either labor or materials,
except certain items, if any, to be set forth in an affidavit covering disputed claims or items in
connection with a Stop Notice which has been filed under the provisions of the laws of the State
of California.
14. Notice to Town of Labor DisDutes. Whenever Contractor has knowledge that any actual or
potential labor dispute is delaying or threatens to delay the timely performance of the Contract,
Contractor shall immediately give notice thereof, including all relevant information with respect
thereto, to Town.
15. Books and Records. Contractor's books, records, and plans or such pan thereof as may be
engaged in the performance of this Contract, shall at all reasonable times be subject to inspection
and audit by any authorized representative of the Town.
16. Lee:al Dav's Work. Eight (8) hours labor constitutes a legal day's work.
17. Insoection. The work shall be subject to inspection and testing by the Town and its
authorized representatives.
18. Discrimination. Contractor represents that it has not, and agrees that it will not. discriminate
in its employment practices on the basis of race, creed, religion, national oligin, color, sexual
orientation, age, disability or handicap.
19. Governine: Law. This Contract and any dispute arising hereunder shall be govemed by the
law of the State of California.
20. Written Notice. Any written notice required to be given io any part of the Contract
Documents sball be performed by depositing the same in the U.S. Mail, postage prepaid, directed
to the address of the Contractor as set forth in the Contract Documents, and to the Town
addressed as follows:

21. ClavtonlCartwrie:ht Acts Assie:nrnent. The Contractor agrees to assign to the Town all rights,
title, and interest in and to all causes of action it may have under Section 4 of the Clayton Act
(15 D.S.C Sec. 15) or under the Cartwright Act (Chapter 2 [commencing with Section 16700] of

Part 2. of Division 7 of the Business and Profession Code), arising from purchases of goods,
services, or materials pursuant to the Public Works Contract This assignment shall be made and
become effective at the time the awarding body tenders final payment to the Contractor. without
further acknowledgement by the parties.
2.2. Town Claims. Town does not waive any claims against Contractor by making any payment.
The time limit for the Town to assert claims against Contractor shall not be limited by the
Contract Documents but shall be in accordance with the Jaws of the State of Califomia.
