BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: SECTION 1: That AT&T is the selected source for the City's data transport services. AT&T gained selected source status by being awazded an open bid contract issued by the State of California. Pursuant to this determination, The Director of Finance of his/her Designee is hereby authorized to issue an Annual Purchase Order to AT&T for the City's data transport services in the amount of $186,000.00. The contract term is 36 months. SECTION 2: That the City Manager of the City of San Bernardino is hereby 16 17 authorized to execute on behalf of said City Hicap Special Access Service between the City of San Bernardino and AT&T, a copy of which is attached hereto, marked Exhibit "A"; and incorporated herein as if fully set forth at length. SECTION 3: This purchase is exempt from the formal contract procedures of 21 Section 3.04.010 of the Municipal Code, pursuant to Section 3.04.010. B.3 of said code, "Purchases approved by the Mayor and Common Council" and Section 3.04.010. B.1 of said code, "Purchases through an advantagous government contract". Estimated charges for this service amount to: Monthly Charge: $9,118.84 Non-Recurring Charges: $00.00 These charges are based upon service as it is currently planned (see attached itemized quotation). Any additions or changes will alter the prices set forth above. Monthly charges are billed in advance and will be prorated on your first bill along with the non-recurring charges. Maintenance of the network service is included in the monthly service charges. For month-to-month service, once the network service has been connected there is no charge associated with removal of features or the entire service after one month minimum billing has occurred. For term agreements, early cancellation will result in additional charges. However, if this order is canceled, deferred, substantially modified or delayed, a charge may apply to allow AT&T to recover certain costs associated with the provisioning of this service as allowed in the applicable AT&T FCC No.1 Tariff, section 5.2. EARLY TERMINATION 3.1 If Customer cancels a Service or Service Component prior to the date Service is installed and made available for Customer's use, Customer will reimburse AT&T for time and materials incurred prior to the effective date of cancellation, plus any third-party charges resulting from the cancellation. 3.2 If Customer terminates the Service, in whole or in part, after the Term Start Date but prior to the expiration of the Term (except as otherwise permitted in this Pricing Schedule), Customer will be liable for the early termination charges specified in the applicable Tariff, the current terms of which are summarized for ease of reference in the table below (in the event of any changes or conflicts, the terms of the applicable Tariff shall control). The termination liability charge applies in addition to applicable minimum period charges. Service-Publication / Early Termination Charge Tariff FCC 1 and FCC 73 will be calculated as forty percent (40%) of the recurring monthly charges for the terminated Service multiplied by the number of months remaining in the Term. FCC 2 will be calculated as the amount of savings Customer received for monthly recurring and non- recurring charges while the Service was installed. • Termination of the Service within the first 12 months will be subject to an additional charge of forty percent (40%) of the 12-month rate (in effect at the time of termination) multiplied by the number of months remaining in the first year of the Term. FCC 39 will be equal to the lesser of a) the monthly charge multiplied by the number of remaining months under the Term multiplied by fifty percent (50%), or b) the amount of savings Customer received while the Service was installed. 4. SERVICES AND JURISDICTION CERTIFICATION Customer acknowledges and certifies that the total interstate traffic (including Internet and international traffic) on the Service(s) constitutes more than ten percent (10%) of the total traffic on the Service. This provision is not applicable when the Service is used solely for the transport portion of AT&T local access switched voice services. 7. RATES 7.1 The rates in this Pricing Schedule are the applicable Tariff rates currently in effect. The initial rates payable by Customer for any Service will be those in effect in the applicable Tariff on the Term Start Date for such Service. Billing for the Service will begin on the Term Start Date. During the Term, AT&T initiated recurring rate changes (i.e., rate increases or decreases) will be automatically applied to Customer's rates for the months remaining in the Term. However, at no time during the Term will rates for any Service exceed the rate in effect on the Term Start Date for such Service. 7.2 Prices are exclusive of and Customer will pay all taxes (excluding those on AT&T's net income), surcharges, recovery fees, customs clearances, duties, levies, shipping charges and other similar charges (and any associated interest and penalties resulting from Customer's failure to timely pay such taxes or similar charges) relating to the sale, transfer of ownership, installation, license, use or provision of the Services, except to the extent Customer provides satisfactory proof of a valid tax exemption prior to the delivery of Services. 8. END OF TERM At the end of the Term, the Service will automatically be provided to Customer under the terms and conditions of the applicable Tariff on a month-to-month basis at the then-current month-to-month Tariff rates unless and until execution of a then available term agreement for the Service or until AT&T or Customer cancels the Service on at least 30-day's prior written notice.
