Description): Park Construction Fee/Grant Funds AB 1600 Parkland and Open Space Acquisition and Park Improvement Fee(DIF)Fund Finance: Council Notes: Agenda Item No. 0&-do-ao� i CITY OF SAN BERNARDINO —REQUEST FOR COUNCIL ACTION STAFF REPORT Subject: Resolution of the Mayor and Common Council of the City of San Bernardino authorizing the execution of a Vendor Service Agreement and issuance of a Purchase Order in the amount of $416,841 between the City of San Bernardino and California Commercial Pools for the construction of three splash pads at Tom Minor, Delmann Heights, and Anne Shirrells Parks and improvements at existing City water play facilities per Capital Improvement Program project PR10-04. Background: On September 7, 2010, the Mayor and Common Council approved resolution 2010-305 accepting receipt of grant award letters totaling $674,614 for capital improvement projects from the State of California for the 2002 Resources Bond Act (Proposition 40). The Office of Grants and Local Services (OGALS) administers the grants and has allocated $346,841 of the $674,614 grant award for the development of three splash pads in the City of San Bernardino. The approved grant application proposed the design and installation of zero depth water play features at Tom Minor, Delmann Heights, and Anne Shirrells Parks. Additionally, staff has assessed the condition of various existing city water play facilities and determined that repairs and upgrades may be warranted at select sites. On April 25, 2011 a formal Request for Proposals (RFP) was initiated to solicit bids for the construction of the three splash pads. Notices of bids were posted in local media, on the city website, and approved vendor list. The bid documents requested pricing for materials, removal of existing components and debris, and installation of new equipment and structures. There was a mandatory job walk on May 4, 2011, which resulted in the attendance of 18 vendors. The RFP closing date was May 18, 2011, at 4:00 PM and 3 bids were submitted. (non-responsive bid) Ramona, CA $779,076 The selected vendor bid submittal is attached (see Exhibit "B"). California Commercial Pools was the lowest apparent bidder although all submitted bids exceeded projected reasonable cost for the project scope. Per the RFP guidelines, staff will modify the design scope to bring the project costs in line with the allocated project budget. Therefore, staff recommends that the Mayor and Common Council authorize the execution of an agreement and purchase order in the amount of$416,841 to California Commercial Pools for the construction of three splash pads at Tom Minor, Delmann Heights, and Anne Shirrells Parks and improvements at existing City water play facilities. Financial Impact: Grant funds for this project are available in the CIP project for the Splash Pads without any city match (Account No. 243-160-5504-7898-0025, Project PR10-04). Additionally, supplemental funds are requested from the Verdemont Master Park and Trail Plan to provide for contingency and equipment repair expenses (Account No. 268-160-5504-7341-0025, Project PR04-11). The City Manager of the City of San Bernardino is hereby authorized to 19 execute on behalf of said City an Agreement between the City of San Bernardino and California 20 Commercial Pools, a copy of which is attached hereto, marked as Exhibit"A", and incorporated 21 herein by this reference as fully as though set forth at length. 22 23 SECTION 2. That pursuant to this determination the Director of Finance or her 24 designee is hereby authorized to issue a purchase order to California Commercial Pools in the 25 amount of$416,841; and reallocate $70,000 from C1P PR04-11 to PR10-01 toward this total. 26 SECTION 3. Morris, Mayor 26 City of San Bernardino 27 Approved as to Form: 28 ?!3 'FP City Attorney EXHIBIT A VENDOR SERVICE AGREEMENT BETWEEN THE CITY OF SAN BERNARDINO AND CALIFORNIA COMMERCIAL POOLS This Vendor Service Agreement is entered into this day of 2011, by and between California Commercial Pools ("VENDOR") and the City of San Bernardino ("CITY"or"San Bernardino'). WITNESSETH: WHEREAS, the Mayor and Common Council has determined that it is advantageous and in the best interest of the CITY to contract for the construction of three splash pads at Tom Minor, Delmann Heights, and Anne Shirrells Parks, and improvements at existing City water play facilities; and WHEREAS, the City of San Bernardino did solicit and accept bids from available vendors for construction services per Splash Pads RFP dated April 25, 2011; and, WHEREAS, Vendor is the lowest and best bidder to provide said services to City; NOW, THEREFORE, the parties hereto agree as follows: 1. SCOPE OF SERVICES. For the remuneration stipulated, San Bernardino hereby engages the services of VENDOR to provide those products and services as set forth in Splash Pads RFP dated April 25, 2011, for the construction of three splash pads at Tom Minor, Delmann Heights, and Anne Shirrells Parks and improvements at existing City water play facilities attached hereto as Exhibit "C"and incorporated herein by this reference. 2. COMPENSATION AND EXPENSES. a. For the services delineated above, the CITY, upon presentation of an invoice, shall pay the VENDOR, pursuant to the bid submittal for VENDOR attached hereto as Exhibit `B" and made a part hereof, an amount not to exceed amount of$416,841, for the construction of three 1 1 EXHIBIT A splash pads at Tom Minor, Delmann Heights, and Anne Shirrells Parks and improvements at existing City water play facilities. b. No other expenditures made by VENDOR shall be reimbursed by CITY. 3. TERM; TERMINATION. The term of this agreement shall be from July 1, 2011 through June 30, 2012.This Agreement may be terminated at any time by thirty (30) days prior written notice by either party. The terms of this Agreement shall remain in force unless amended by written agreement of the parties executed on or before the date of expiration of the current term of the agreement. 1. INDEMNITY. Vendor agrees to and shall indemnify and hold the City, its elected officials, employees, agents or representatives, free and harmless from all claims, actions, damages and liabilities of any kind and nature arising from bodily injury, including death, or property damage, based or asserted upon any or alleged act or omission of Vendor, its employees, agents, or subcontractors, relating to or in any way connected with the accomplishment of the work or performance of service under this Agreement, unless the bodily injury or property damage was actually caused by the sole negligence of the City, its elected officials, employees, agents or representatives. As part of the foregoing indemnity, Vendor agrees to protect and defend at its own expense, including attorney's fees the City, its elected officials, employees, agents or representatives from any and all legal actions based upon such actual or alleged acts or omissions. Vendor hereby waives any and all rights to any types of express or implied indemnity against the City, its elected officials, employees, agents or representatives, with respect to third party claims against the Vendor relating to or in any way connected with the accomplishment of the work or performance of services under this Agreement. 2 i EXHIBIT A 2. INSURANCE. While not restricting or limiting the foregoing, during the term of this Agreement, VENDOR shall maintain in effect policies of comprehensive public, general and automobile liability insurance, in the amount of$1,000,000.00 combined single limit, and statutory worker's compensation coverage, and shall file copies of said policies with the CITY's Risk Manager prior to undertaking any work under this Agreement. CITY shall be set forth as an additional named insured in each policy of insurance provided hereunder. The Certificate of Insurance furnished to the CITY shall require the insurer to notify CITY of any change or termination in the policy. 3. NON-DISCRIMINATION. In the performance of this Agreement and in the hiring and recruitment of employees, VENDOR shall not engage in, nor permit its officers, employees or agents to engage in, discrimination in employment of persons because of their race religion, color, national origin, ancestry, age, mental or physical disability, medical conditions, marital status, sexual gender or sexual orientation, or any other status protected by law. 4. INDEPENDENT CONTRACTOR. VENDOR shall perform work tasks provided by this Agreement, but for all intents and purposes VENDOR shall be an independent contractor and not an agent or employee of the CITY. VENDOR shall secure, at its expense, and be responsible for any and all payment of Income Tax, Social Security, State Disability Insurance Compensation, Unemployment Compensation, and other payroll deductions for VENDOR and its officers, agents, and employees, and all business licenses, if any are required, in connection with the services to be performed hereunder. 3 EXHIBIT A 5. BUSINESS REGISTRATION CERTIFICATE AND OTHER REQUIREMENTS. VENDOR warrants that it possesses or shall obtain, and maintain a business registration certificate pursuant to Chapter 5 of the Municipal Code, and any other licenses, permits, qualifications, insurance and approval of whatever nature that are legally required of VENDOR to practice its business or profession. 9. NOTICES. In the event that litigation is brought by any party in connection with this Agreement,the prevailing party shall be entitled to recover from the opposing party all costs and expenses, including reasonable attorneys' fees, incurred by the prevailing party in the exercise of any of its rights or remedies hereunder or the enforcement of any of the terms, conditions or provisions hereof. The costs, salary and expenses of the City Attorney and members of his office in enforcing this Agreement on behalf of the CITY shall be considered as "attorneys' fees" for the purposes of this paragraph. 4 EXHIBIT A 11. ASSIGNMENT. VENDOR shall not voluntarily or by operation of law assign, transfer, sublet or encumber all or any part of the VENDOR's interest in this Agreement without CITY's prior written consent. Any attempted assignment, transfer, subletting or encumbrance shall be void and shall constitute a breach of this Agreement and cause for the termination of this Agreement. Regardless of CITY'S consent, no subletting or assignment shall release VENDOR of VENDOR's obligation to perform all other obligations to be performed by VENDOR hereunder for the term of this Agreement. 12. VENUE. The parties hereto agree that all actions or proceedings arising in connection with this Agreement shall be tried and litigated either in the State courts located in the County of San Bernardino, State of California or the U.S. District Court for the Central District of California, Riverside Division. The aforementioned choice of venue is intended by the parties to be mandatory and not permissive in nature. 13. GOVERNING LAW. This Agreement shall be governed by the laws of the State of California. 14. SUCCESSORS AND ASSIGNS. This Agreement shall be binding on and inure to the benefit of the parties to this Agreement and their respective heirs, representatives, successors, and assigns. 15. HEADINGS. The subject headings of the sections of this Agreement are included for the purposes of convenience only and shall not affect the construction or the interpretation of any of its provisions. 5 VENDOR SERVICE AGREEMENT BETWEEN THE CITY OF SAN BERNARDINO AND CALIFORNIA COMMERCIAL POOLS 16. SEVERABILITY. If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid or unenforceable for any reason, such determination shall not affect the validity or enforceability of the remaining terms and provisions hereof or of the offending provision in any other circumstance, and the remaining provisions of this Agreement shall remain in full force and effect. 17. ENTIRE AGREEMENT; MODIFICATION. This Agreement constitutes the entire agreement and the understanding between the parties, and supercedes any prior agreements and understandings relating to the subject manner of this Agreement. This Agreement may be modified or amended only by a written instrument executed by all parties to this Agreement. INTRODUCTION The City of San Bernardino (CITY) intends to engage the services of a Contractor to design and install SPLASH PAD FACILITIES AT THREE CITY PARKS. H. BACKGROUND Description and location: See "ATTACHMENT"A" and ATTACHMENT `B". III. SCOPE OF SERVICES A. DESIGN PHASE 1. Contractor shall prepare construction documents and install Splash Pads and related components subject to the following requirements: a) CA Code of Regulations for Playground Safety 2. Contractor shall p repare the plans and specification and a cost estimate for the work in conformance with City of San Bernardino standards. Plans and specification shall conform to the following design requirements: a) The plans shall be prepared at a scale of 1 inch =20 feet on standard 24" by 36" sheets, using the City of San Bernardino standard title block. b) The plans shall clearly show existing conditions, including but not limited to existing site conditions, utilities and all improvements in the area of the proposed splash pads, water facilities and existing right-of-way limits. c) Contractor shall be responsible for survey, related research and other data or work needed to establish existing conditions. d) Contractor shall be responsible for inclusion of provisions in the plans and specifications to assure compliance with the CITY's National Pollutant Discharge Elimination Program (NPDES). e) The Splash Pad plan shall clearly show the location and type of the proposed improvements, including but not limited to, details and location of foundation, reinforcing, utility requirements, grading, including relocation of conflicting utilities, if any. f) All improvements shall be designed in compliance and accordance with the Americans with Disabilities Act (ADA). g) Specifications shall be prepared in a format acceptable to the CITY and shall be based on the Standard Specifications for Public Works Construction, 2011 Edition, City of San Bernardino Standard Drawings,policies and procedures. Page 2 of 23 EXHIBIT C h) The plans and specifications shall be signed and sealed by a civil engineer licensed to practice civil engineering in the State of California. i) The plans and specifications shall contain an approval block for the signature of the City Engineer. 3. Contractor should meet and confer with CITY staff during design phase to resolve design issues and ensure continuity with CITY standards and preferences. 4. Contractor shall conduct utility research and identify the location and depth of all existing utilities within the limits of the proposed improvements. Contractor shall be responsible for identifying and resolving utility conflicts both overhead and underground. Copies of all written communication (including maps) between the Contractor and utility companies shall be provided to the CITY. 5. Contractor shall submit an updated project schedule within 1 week of receiving a notice to proceed, indicating the design tasks and project timing from start to submittal of final plan and specifications. The Contractor shall estimate two (2) CITY plan reviews for each plan set. Each review should be estimated to take three (3) weeks for schedule purposes. Contractor shall provide an updated schedule every month showing progress and timing unless requested more frequently by CITY staff. Upon completion of the Contractor's work, the CITY shall have in hand, both an electronic, and a hard copy of an approved and signed set of completed plans, technical specifications, quantities, estimates and special provisions ready for bidding including all supporting data, calculations, utility locations, utility notices, survey data, permits and other details necessary to complete this project in a format acceptable to the CITY. Contractor should expect to meet with the CITY on a monthly basis for updates on project progress, concerns, problems and accomplishments. The project design must be completed within one (l) month after the notice to proceed with design is issued. B. CONSTRUCTION PHASE 1. Prior to start of construction, Contractor shall prepare a cost estimate for approval of the Department of Parks, Recreation and Community Services Deputy Director, Robert Lennox. 2. Contractor shall submit construction surety consisting of Payment and Faithful Performance Bonds based on the construction cost estimate and shall conform to Section 2-4, "CONTRACT BONDS", of the Standard Specifications for Public Works Construction, 2011 Edition. The contract bonds, including Payment Bond t (Material and Labor Bond) and Performance Bond shall be underwritten by a surety company having a rating in Best's most recent Insurance Guide of "A" or better. Bonds must be issued by a surety who is listed in the latest version of U.S. ' l Department of Treasury Circular 570 and is authorized to issue bonds in California r Page 3 of 23 EXHIBIT C 3. After submittal of required bonds, the CITY shall schedule a pre-construction conference at which, among other matters, the construction start date and an estimated completion date shall be established. 4. During construction, all work shall be subject to inspection by the CITY, or designee, as provided by the Standard Specifications for Public Works, 2011 Edition, and shall conform to the plans and specifications as approved by the CITY. 5. During construction, Contractor shall comply with all requirement of the C ITY's NPDES program. 6. Existing improvements, including landscaping and sprinkler systems, damaged during construction shall be restored to a condition equal to or better than the condition prior to the start of construction. 7. Progress payments for construction will be made monthly based on an estimate of the work completed during the preceding month. Ten-percent of each progress payment shall be withheld provided by the Standard Specifications for Public Works Construction 2011 Edition. 8. Upon completion of construction and acceptance of the work, the CITY will file a "Notice of Completion" for the project. Completion of construction shall include filing of all required documents including, but not limited to, certified payrolls, survey documents, manufacturer warranties, maintenance requirements, maintenance schedules and operating manuals. IV PROPOSAL REQUIREMENTS A. Four(4) copies of the proposal shall be submitted to the following: City of San Bernardino Department of Parks, Recreation and Community Services Attn: Mr. Robert Lennox, Deputy Director 1350 South "E" Street San Bernardino, CA 92408-2725 Proposals shall be received in hand by the Department up to the hour of 4:00 P.M. on Wednesday, May 18, 2011. B. Responsive proposals will include, but not be limited to,the following: 1. Responsive proposals will present a Scope of Services that includes at a minimum the above described services and any other tasks necessary to achieve completion of design (PS&E) needed for the successful construction of the proposed improvements. 2. Identify the professional, technical and support subcontractors or staff that will be performing the design work associated with the proposed scope of services. Short resumes may be included, but extensive resumes should be limited to key personnel only. Page 4 of 23 EXHIBIT C 3. Include a timeline indicating project milestones for the delivery of final plans, specifications, and cost estimates ready for construction, including but not limited to a flow chart showing project tasks and timing. Include allowances for review periods. 4. Include a list of similar projects recently completed by the Contractor, identifying the location, date, agency and contact person name, address and phone number. 5. Previous obligations with other projects (related to time and availability of staff). 5. Name of sub-Contractors and vendors to be used for specific aspects of the project, including a summary of previous working arrangements on similar types of work. 6. Include a preliminary design of the complete systems for SPLASH PAD FACILITIES AT THREE CITY PARKS, including proposed location of Splash Pad at each City Park site location, required improvements and all manufacturer literature. 7. Statement of local preference eligibility, including identification of any office located in the City of San Bernardino and the number of employees stationed at the office, the number of employees doing business inside the City limits, and a copy of your firm's City of San Bernardino Business License. 8. Items, actions or information the Contractor expects to be provided by the CITY. 9. Any comments or suggestion that the Contractor believes necessary to improve the finished project or to comply with the requirements of this RFP. 10. Acknowledgement by number and date in the introductory letter to the proposal any and all addenda issued to this RFP. 11. Separate sealed envelope. Fixed fee for the work required by this Request for Design/Install Proposal, together with an hourly rate sheet applicable to this project for classifications above, including all materials and expenses, shall be submitted in a separate sealed envelope. Please note that the CITY will not pay or compensate separately for travel time, courier services, mileage or reimbursement for travel to the City of San Bernardino to attend meetings or conduct the activities necessary to complete tasks required to be performed as part of Contractor services. Page 5 of 23 EXHIBIT C V. SELECTION PROCESS The selection process will be based on a point system and will consist of three phases as follows: 1. First phase selection shall consist of an evaluation by staff (including the Director and Deputy Director of Parks, Recreation and Community Services, and the Project Manager) of proposals based on the above items identified in Section IV B (except No. I1). An additional five (5) points will be given to City of San Bernardino based Contractors. In order to be deemed as "City of San Bernardino Based Contractor", the company shall have an office with a minimum of one (1) owner or employee doing business inside the City limits and shall possess a City Business License. The three (3) Contractors with the highest points will continue to the interviews. A maximum of 100 points can be achieved in this phase of the selection process. The three Contractors with the highest numerical scores will be invited to continue with the second phase of the selection process. 2. Second phase of the selection process will consist of staff evaluation of a presentation by the three Contractors with the highest numerical score from the first phase selection. The interview will be detailed questions on this specific project, including, but not limited to, personnel, schedule, project staging, and knowledge of the project. Five (5) points of local preference will also be awarded in this phase of the selection process for Contractors that meet the requirements identified in paragraph 1 above. A maximum of 100 points can be achieved in this phase of the selection process. 3. The third and final phase of the selection process will consist of staff submitting a final package to the Mayor and Council for consideration approval. Final scores of the top three Contractors will be submitted to the Mayor and Common Council with a recommendation to award an Agreement for Professional Services to the Contractor with the highest numerical score. However, the Mayor and Common Council have the prerogative to award an Agreement for Professional Services to any of the top three Contractors or reject all proposals. 4. If the Mayor and Common Council award an Agreement for Professional Services, the selected Contractor will be required to execute an Agreement for Professional Services (draft copy attached) and submit proof of insurance conforming to the attached "Liability/Insurance Requirements". Failure of the Contractor to execute the Agreement, including submittal of required documents, within 60 days of approval by the Mayor and Common Council will void the approval. Page 6 of 23 EXHIBIT C VI GENERAL This "Request for Proposal" does not commit the CITY to award a contract, pay any costs incurred in the preparation of a proposal in response to this request, procure or contract for any services. All proposals submitted in response to this request will become the property of the CITY and may be used by the City in any way deemed appropriate. The City reserves the right to accept or to reject, in part or in its entirety, the response to the request for proposal if such action is deemed to be in the best interest of the CITY. Any contract entered into as a result of this proposal shall be considered to include the items of work detailed in this proposal unless specifically deleted in the proposal at the request of the CITY. VII PAYMENT The Contractor that is recommended by Staff and approved by Mayor and Common Council shall attend the pre-design meeting to establish the start date. Once the Notice to Proceed has been given, the Contractor can submit for payments. The CITY will release funds at percentages with receipt of Plans, Notices, or Specifications. No payment shall be given above the percentage of completed work accepted by the CITY. The CITY shall hold 15% of the total cost for 360 calendar days after acceptance of plans and specifications by the CITY, or 45 calendar days after the CITY issues a Notice of Completion for the project, whichever occurs first. Consultant shall obtain and maintain during the life of this Agreement all of the following insurance coverage's: (a) Comprehensive general liability, including premises-operations, products/completed operations, broad form property damage, blanket contractual liability, independent contractors, personal injury with a policy limit of not less than One Million Dollars ($1,000,000.00), combined single limits, per occurrence and Two Million Dollars ($2,000,000.00) aggregate. (b) Automobile liability for owned vehicles, hired, and non-owned vehicles, with a policy limit of not less than One Million Dollars ($1,000,000.00), combined single limits,per occurrence and aggregate. (c) Workers' compensation insurance as required by the State of California. (d) Professional errors and omissions ("E&O") liability insurance with policy limits of not less than One Million Dollars ($1,000,000.00), combined single limits, per occurrence and aggregate. Consultant shall obtain and maintain, said E&O liability insurance during the life of this Agreement and for three years after completion of the work hereunder. Endorsements. The comprehensive general liability insurance policy shall contain or be endorsed to contain the following provisions: (a) Additional insured: "The City of San Bernardino and its elected and appointed boards, officers, agents, and employees are additional insured with respect to this subject project and contract with City." (b) Notice: "Said policy shall not terminate, nor shall it be cancelled, nor the coverage reduced,until thirty (30) days after written notice is given to City." (c) Other insurance: Any other insurance maintained by the City of San Bernardino shall be excess and not contributing with the insurance provided by this policy." Certificates of Insurance. Consultant shall provide to City certificates of insurance showing the insurance coverage's and required endorsements described above, in a form and content approved by City,prior to performing any services under this Agreement. Non-limiting. Nothing in this Section shall be construed as limiting in any way, the indemnification provision contained in this Agreement, or the extent to which Consultant may be held responsible for payments of damages to persons or property. Page 14 of 23 fi t EXHIBIT C DRAFT AGREEMENT FOR SERVICES WITH FOR DESIGN AND INSTALLATION OF SPLASH PADS FOR THREE CITY PARKS THIS AGREEMENT is made and entered into this day of , 2011 ("Effective Date"),by and between the CITY OF SAN BERNARDINO,a charter city("City"),and ("Consultant"). WITNESSETH : A. WHEREAS, City proposes to have Consultant design and install Splash Pads for Three City Parks;and B. WHEREAS, City has need of Consultant services for the design and installation Splash Pads for Three City Parks, "the Project';and C. WHEREAS, Consultant has submitted the most responsive and cost effective proposal to design the Project; and D. WHEREAS, Consultant represents that it has that degree of specialized expertise contemplated within California Government Code, Section 37103, and holds all necessary licenses to practice and perform the services herein contemplated; and E. WHEREAS, City and Consultant desire to contract for specific services in connection with the project and desire to set forth their rights, duties and liabilities in connection with the services to be performed; and F. WHEREAS, no official or employee of City has a financial interest, within the provisions of California Government Code, Sections 1090-1092,in the subject matter of this Agreement. NOW, THEREFORE, for and in consideration of the mutual covenants and conditions contained herein,the parties hereby agree as follows: 1.0. SERVICES PROVIDED BY CONSULTANT 1.1. Scope of Services. Contractor shall provide Civil and Construction Engineering Services for the design and installation of Splash Pads for Three City Parks in accordance with scope of services, fee schedule and project schedule, attached and incorporated herein as Attachments . It is agreed that the Contractor shall accomplish the design of the Splash Pads in accordance with standards of the City and the requirements of the Request for Proposal 1.2. Professional Practices. All professional services to be provided by Consultant pursuant to this Agreement shall be provided by personnel experienced in their respective fields and in a manner consistent with the standards of care, diligence and skill ordinarily exercised by professional consultants in similar fields and circumstances in accordance with sound professional practices. Consultant also warrants that it is familiar with all laws that may affect its performance of this Agreement and shall advise City of any changes in any laws that may affect Consultant's performance of this Agreement. Page 15 of 23 EXHIBIT C 1.3. Warran-ty. Consultant warrants that it shall perform the services required by this Agreement in compliance with all applicable Federal and California employment laws including, but not limited to, those laws related to minimum hours and wages; occupational health and safety; fair employment and employment practices; workers' compensation insurance and safety in employment; and all other Federal, State and local laws and ordinances applicable to the services required under this Agreement. Consultant shall indemnify and hold harmless City from and against all claims, demands, payments, suits, actions, proceedings, and judgments of every nature and description including attorneys' fees and costs, presented, brought, or recovered against City for, or on account of any liability under any of the above-mentioned laws, which may be incurred by reason of Consultant's performance under this Agreement. 1.4. Non-discrimination. In performing this Agreement, Consultant shall not engage in, nor permit its agents to engage in, discrimination in employment of persons because of their race, religion, color,national origin,ancestry, age,physical handicap,medical condition,marital status, sexual gender or sexual orientation, or any other category protected by law, except as permitted pursuant to Section 12940 of the Government Code. Violation of this provision may result in the imposition of penalties referred to in Labor Code,Section 1735. 1.5 Non-Exclusive Agreement. Consultant acknowledges that City may enter into agreements with other consultants for services similar to the services that are subject to this Agreement or may have its own employees perform services similar to those services contemplated by this Agreement. 1.6. Delegation and Assignment. This is a personal services contract, and the duties set forth herein shall not be delegated or assigned to any person or entity without the prior written consent of City. 1.7. Business License: The Consultant shall obtain and maintain a valid City Business Registration Certificate during the term of this Agreement. 1.8. Du 1y of Loyalty/Conflict of Interest: The Consultant understands and agrees that as the City's Consultant for Developing a Splash Pad Plan, Consultant shall maintain fiduciary duty and a duty of loyalty to the City in performing Consultant's obligations under this Agreement. Consultant, in performing its obligations under this Agreement, is governed by California's conflict of interest laws, Government Code Section 87100 et seq., and Title 2, California Code of Regulations Section 18700 et seq. 1.8.1 Prior to performing any services to City under this Agreement, Consultant shall provide the City a written list of the Assessor Parcel Numbers and general location or address of any and all real property located in the City of San Bernardino in which Consultant has any ownership interest, or which is the location of any pending project that is a source of income for Consultant. Consultant shall keep this list current on a monthly basis during the entire term of this Agreement. 1.8.2 Consultant shall not work on any task that is related to any real property that is located within 500 feet of any parcel in which Consultant has any ownership interest or which is the location of any pending project that is a source of income for Consultant. Page 16 of 23 EXHIBIT C 2.0. COMPENSATION AND BILLING 2.1. Compensation. Over the term of this Agreement, Consultant shall be paid for such services in an amount not to exceed $ , in accordance with the Cost Proposal marked Attachment"C"and dated ,attached and incorporated herein. 2.2. Additional Services. Consultant shall not receive compensation for any services provided outside the scope of services specified in Attachment"_"unless the City or its Project Manager for this Project, prior to Consultant performing the additional services, approves such additional services in writing. It is specifically understood that oral requests and/or approvals of such additional services or additional compensation shall be barred and are unenforceable. 2.3. Method of Billing. Consultant may submit invoices to City's Project Manager for approval on a progress basis, but no more often than monthly. Said invoice shall be based on the total of all Consultant's services which have been completed to City's sole satisfaction. City shall pay Consultant's invoice within forty-five (45) days from the date City receives said invoice. Each invoice shall describe in detail, the services performed and the associated time for completion. Any additional services approved and performed pursuant to this Agreement shall be designated as"Additional Services" and shall identify the number of the authorized change order,where applicable,on all invoices. 2.4. Records and Audits. Records of Consultant's services relating to this Agreement shall be maintained in accordance with generally recognized accounting principles and shall be made available to City or its Project Manager for inspection and/or audit at mutually convenient times for a period of three (3)years from the Effective Date. 3.0. TIME OF PERFORMANCE 3.1. Commencement and Completion of Work. The obligation to perform the professional services to be performed pursuant to this Agreement shall commence within five (5) days from the Effective Date of this Agreement. Said services shall be performed in strict compliance with the Project Schedule issued by the City's Project Manager. Failure to commence work in a timely manner and/or diligently pursue work to completion may be grounds for termination of this Agreement. 3.2, Excusable Delays. Neither party shall be responsible for delays or lack of performance resulting from acts beyond the reasonable control of the party or parties. Such acts shall include, but not be limited to,acts of God, fire, strikes,material shortages, compliance with laws or regulations, riots, acts of war,or any other conditions beyond the reasonable control of a party. 4.0. TERM AND TERMINATION 4.1. Term. This Agreement shall commence on the date approved by the City Manager and continue through , unless previously terminated as provided herein or as otherwise agreed to in writing by the parties.An administrative extension of one additional year may be authorized, subject to the prior written agreement of both parties. 4.2. Notice of Termination. The City reserves and has the right and privilege of canceling, suspending or abandoning the execution of all or any part of the work contemplated by this Agreement, with or without cause, at any time, by providing written notice to Consultant. The termination of this Agreement shall be deemed effective upon receipt of the notice of termination. In the event of such termination, Consultant shall immediately stop rendering services under this Agreement unless directed otherwise by the City. Page 17 of 23 • EXHIBIT C 4.3. Compensation. In the event of termination, City shall pay Consultant for reasonable costs incurred and professional services satisfactorily performed up to and including the date of City's written notice of termination. Compensation for work in progress shall be prorated as to the percentage of work completed as of the effective date of termination in accordance with the fees set forth herein. In ascertaining the professional services actually rendered hereunder up to the effective date of termination of this Agreement,consideration shall be given to both completed work and work in progress,to complete and incomplete drawings, and to other documents pertaining to the services contemplated herein whether delivered to the City or in the possession of the Consultant. 4.4 Documents. In the event of termination of this Agreement, all documents prepared by Consultant in its performance of this Agreement including, but not limited to, finished or unfinished design, development and construction documents, data studies, drawings, maps and reports, shall be delivered to the City within ten (10) days of delivery of termination notice to Consultant, at no cost to City. Any use of uncompleted documents without specific written authorization from Consultant shall be at City's sole risk and without liability or legal expense to Consultant. 5.0. INSURANCE 5.1. Minimum Scope and Limits of Insurance. Consultant shall obtain and maintain during the life of this Agreement all of the following insurance coverage: (e) Comprehensive general liability, including premises-operations, products/completed operations, broad form property damage,blanket contractual liability, independent contractors, personal injury with a policy limit of not less than One Million Dollars ($1,000,000.00), combined single limits, per occurrence and Two Million Dollars($2,000,000.00)aggregate. (f1 Automobile liability for owned vehicles, hired, and non-owned vehicles, with a policy limit of not less than One Million Dollars ($1,000,000.00), combined single limits,per occurrence and aggregate. (g) Workers'compensation insurance as required by the State of California. (h) Professional errors and omissions ("E&O") liability insurance with policy limits of not less than One Million Dollars ($1,000,000.00), combined single limits, per occurrence and aggregate. Consultant shall obtain and maintain, said E&O liability insurance during the life of this Agreement and for three years after completion of the work hereunder. 5.2. Endorsements. The comprehensive general liability insurance policy shall contain or be endorsed to contain the following provisions: (a) Additional insured: "The City of San Bernardino and its elected and appointed boards, officers,agents,and employees are additional insured with respect to this subject project and contract with City." (b) Notice: "Said policy shall not terminate, nor shall it be cancelled, nor the coverage reduced,until thirty(30)days after written notice is given to City." (c) Other insurance: "Any other insurance maintained by the City of San Bernardino shall be excess and not contributing with the insurance provided by this policy." Page 18 of 23 EXHIBIT C 5.3. Certificates of Insurance. Consultant shall provide to City certificates of insurance showing the insurance coverage and required endorsements described above, in a form and content approved by City,prior to performing any services under this Agreement. 5.4. Non-limiting. Nothing in this Section shall be construed as limiting in any way, the indemnification provision contained in this Agreement, or the extent to which Consultant may be held responsible for payments of damages to persons or property. 6.0. GENERAL PROVISIONS 6.1. Entire Agreement. This Agreement constitutes the entire Agreement between the parties with respect to any matter referenced herein and supersedes any and all other prior writings and oral negotiations. This Agreement may be modified only in writing, and signed by the parties in interest at the time of such modification. The terms of this Agreement shall prevail over any inconsistent provision in any other contract document appurtenant hereto,including exhibits to this Agreement. 6.2. Representatives. The Director of Parks, Recreation and Community Services, or his designee, shall be the representative of City for purposes of this Agreement and may issue all consents, approvals, directives and agreements on behalf of the City, called for by this Agreement, except as otherwise expressly provided in this Agreement. Consultant shall designate a representative for purposes of this Agreement who shall be authorized to issue all consents, approvals, directives and agreements on behalf of Consultant called for by this Agreement,except as otherwise expressly provided in this Agreement. 6.3. Project Managers. City shall designate a Project Manager to work directly with Consultant in the performance of this Agreement. Consultant shall designate a Project Manager who shall represent it and be its agent in all consultations with City during the term of this Agreement. Consultant's Project Manager shall attend and assist in all coordination meetings called by City. 6.4. Notices. Any notices, documents, correspondence or other communications concerning this Agreement or the work hereunder may be provided by personal delivery, facsimile or mail and shall be addressed as set forth below. Such communication shall be deemed served or delivered: a) at the time of delivery if such communication is sent by personal delivery; b) at the time of transmission if such communication is sent by facsimile; and c) 48 hours after deposit in the U.S. Mail as reflected by the official U.S.postmark if such communication is sent through regular United States mail. Attorneys' Fees. In the event that litigation is brought by any party in connection with this Agreement, the prevailing party shall be entitled to recover from the opposing party all costs and expenses, including reasonable attorneys' fees, incurred by the prevailing party in the exercise of any of its rights or remedies hereunder or the enforcement of any of the terms, conditions, or provisions hereof. The costs, salary and expenses of the City Attorney and members of his office in enforcing this contract on behalf of the City shall be considered as "attorneys' fees"for the purposes of this paragraph. 6.6. Governing Law. This Agreement shall be governed by and construed under the laws of the State of California without giving effect to that body of laws pertaining to conflict of laws. In the event of any legal action to enforce or interpret this Agreement, the parties hereto agree that the sole and exclusive venue shall be a court of competent jurisdiction located in San Bernardino County,California. 6.7. Assignment. Consultant shall not voluntarily or by operation of law assign, transfer, sublet or encumber all or any part of Consultant's interest in this Agreement without City's prior written consent. Any attempted assignment,transfer, subletting or encumbrance shall be void and shall constitute a breach of this Agreement and cause for termination of this Agreement. Regardless of City's consent, no subletting or assignment shall release Consultant of Consultant's obligation to perform all other obligations to be performed by Consultant hereunder for the term of this Agreement. 6.8 Indemnification and Hold Harmless. Consultant shall protect, defend, indemnify and hold harmless City and its elected and appointed officials, officers, and employees from any and all claims, liabilities, expenses, including attorney fees, damage to property or injuries to or death of any person or persons or damages of any nature including, but not by way of limitation, all civil claims or workers' compensation claims, arising out of or in any way connected with the intentional or negligent acts, errors or omissions of Consultant, its employees, agents or subconsultants in the performance of this Agreement. 6.9. Independent Contractor. Consultant is and shall be acting at all times as an independent contractor and not as an employee of City. Consultant shall secure, at its expense, and be responsible for any and all payment of Income Tax, Social Security, State Disability Insurance Compensation, Unemployment Compensation, and other payroll deductions for Consultant and its officers, agents, and employees, and all business licenses, if any are required, in connection with the services to be performed hereunder. 6.10 Ownership of Documents. All findings, reports, documents, information and data including, but not limited to, computer tapes or discs, files and tapes furnished or prepared by Consultant or any of its subconsultants in the course of performance of this Agreement, shall be and remain the sole property of City. Consultant agrees that any such documents or information shall not be made available to any individual or organization without the prior consent of City. Any use of such documents for other projects not contemplated by this Agreement, and any use of incomplete documents, shall be at the sole risk of City and without liability or legal exposure to Consultant. City shall indemnify and hold harmless Consultant from all claims, damages, losses, and expenses, including attorneys' fees, arising out of or resulting from City's use of such documents for other projects not contemplated by this Agreement or use of incomplete documents furnished by Consultant. Consultant shall deliver to City any findings, reports, documents,information, data, in any form, including but not limited to,computer tapes, discs, files, audio tapes or any other Project related items as requested by City or its authorized representative, at no additional cost to the City. Page 20 of 23 EXHIBIT C 6.11 Public Records Act Disclosure. Consultant has been advised and is aware that all reports, documents, information and data including, but not limited to, computer tapes, discs or files furnished or prepared by Consultant, or any of its subconsultants, and provided to City may be subject to public disclosure as required by the California Public Records Act(California Government Code Section 6250 et. seq.). Exceptions to public disclosure may be those documents or information that qualify as trade secrets, as that term is defined in the California Government Code Section 6254.7, and of which Consultant informs City of such trade secret. The City will endeavor to maintain as confidential all information obtained by it that is designated as a trade secret. The City shall not, in any way,be liable or responsible for the disclosure of any trade secret including, without limitation,those records so marked if disclosure is deemed to be required by law or by order of the Court. 6.12. Responsibility for Errors. Consultant shall be responsible for its work and results under this Agreement. Consultant, when requested, shall furnish clarification and/or explanation as may be required by the City's representative, regarding any services rendered under this Agreement at no additional cost to City. In the event that an error or omission attributable to Consultant occurs, then Consultant shall,at no cost to City,provide all necessary design drawings, estimates and other Consultant professional services necessary to rectify and correct the matter to the sole satisfaction of City and to participate in any meeting required with regard to the correction. 6.13. Prohibited Employment. Consultant shall not employ any regular employee of City while this Agreement is in effect. 6.14. Order of Precedence. In the event of an inconsistency or conflict in this Agreement and any of the attached Exhibits or Attachments,the terms set forth in this Agreement shall prevail. No Third Party Beneficiar Rights. This Agreement is entered into for the sole benefit of City and Consultant and no other parties are intended to be direct or incidental beneficiaries of this Agreement and no third party shall have any right in,under or to this Agreement. 6.17. Headings. Paragraphs and subparagraph headings contained in this Agreement are included solely for convenience and are not intended to modify, explain or to be a full or accurate description of the content thereof and shall not in any way affect the meaning or interpretation of this Agreement. 6.18. Construction. The parties have participated jointly in the negotiation and drafting of this Agreement. In the event an ambiguity or question of intent or interpretation arises with respect to this Agreement, this Agreement shall be construed as if drafted jointly by the parties and in accordance with its fair meaning. There shall be no presumption or burden of proof favoring or disfavoring any party by virtue of the authorship of any of the provisions of this Agreement. 6.19 Amendments. Only a writing executed by the parties hereto or their respective successors and assigns may amend this Agreement. Page 21 of 23 EXHIBIT C 6.20. Waiver. The delay or failure of either party at any time to require performance or compliance by the other of any of its obligations or agreements shall in no way be deemed a waiver of those rights to require such performance or compliance. No waiver of any provision of this Agreement shall be effective unless in writing and signed by a duly authorized representative of the party against whom enforcement of a waiver is sought. The waiver of any right or remedy with respect to any occurrence or event shall not be deemed a waiver of any right or remedy with respect to any other occurrence or event,nor shall any waiver constitute a continuing waiver. 6.21. Severability. If any provision of this Agreement is determined by a court of competent jurisdiction to be unenforceable in any circumstance, such determination shall not affect the validity or enforceability of the remaining terms and provisions hereof or of the offending provision in any other circumstance. 6.22. Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original. All counterparts shall be construed together and shall constitute one agreement. 6.23. Corporate Authority. The persons executing this Agreement on behalf of the parties hereto warrant that they are duly authorized to execute this Agreement on behalf of said parties and that by doing so,the parties hereto are formally bound to the provisions of this Agreement. 6.24 Damages. The Parties agree to waive any rights to incidental or consequential and punitive damages arising out of performance under this Agreement whether in torts or in contracts or in law or in equity.
