On April 19, 2010, the Community Development Commission of the City of San Bernardino ("Commission") adopted Resolution No. CDC/2010-19, approving an agreement between the Agency and Westbound Communications for the preparation of a Public Relations and Branding Campaign for the Downtown Core Vision & Action Plan Area and the Economic Development Agency Revitalization Efforts. They have assisted the cities of Los Angeles, Anaheim, Irvine, Corona, West Hollywood and Buena Park, with their revitalization efforts by assessing complex downtown issues, identifying opportunities and creating strategies and action plans. Westbound has also assisted in the implementation of these plans and strategies. In March 2009, Westbound was retained under the Redevelopment Agency of the City of San Bernardino's ("Agency") purchase order authority ($25,000 or less) to provide public relations consultation and marketing services and to supplement the efforts of Agency Staff for marketing, outreach and informing the public of the development of the San Bernardino Downtown Core Vision & Action Plan ("Vision Plan") and related downtown revitalization efforts. With the assistance of Westbound, a public outreach and marketing strategy and approach was implemented to also seize upon the opportunity to change a number of misperceptions about Downtown San Bernardino and the City; such as the lack of awareness of the many quality features of the City that contributes to a higher standard of living, and the lack of understanding of the potential commercial, industrial and residential development opportunities in San Bernardino. In March 2010, Westbound entered into an agreement with the Agency($150,000) to provide Public Relations and Branding Campaign services to assist in the redevelopment and revitalization of Downtown San Bernardino ("Downtown"). The objective of this effort was to have a unifying message and theme that will enhance Downtown's reputation and be reflective of its revitalization efforts, in turn producing tangible increases in commercial and retail activity, homebuying and tourism in Downtown and the City of San Bernardino. A copy of that Contract is attached. Since the endorsement of the Vision Plan by the Mayor and Common Council of the City of San Bernardino ("Council") in June 2009, and the implementation of the Public Relations and Branding Campaign for Downtown San Bernardino, interest has been positive and promising from the community. Westbound, with assistance from Agency Staff, has prepared and provided outreach material, made presentations and facilitated meetings with media outlets, community groups, other public agencies, interested parties and individuals in promoting dialogue and furthering the overall revitalization of Downtown San Bernardino. As the Agency continues to move forward with its redevelopment and revitalization efforts in Downtown San Bernardino, it hinges largely on the public perception of the City and its offerings, and henceforth is the reasoning for retaining Westbound to continue our public relations, branding campaign and promotion of Downtown and the City of San Bernardino. Hence, it is proposed that the Agency continue its relationship with Westbound for the above stated reasons. The reason to retain Westbound rather than go to bid is to retain continuity and take advantage of their experience and past work efficiencies. Staff recommends that the Agency amend its current Agreement for Professional Services ("Agreement") for an amount not to exceed $100,000 for an approximately fifteen-month work program. Payment and the Scope of Services to be undertaken by Westbound is as stated in the original Agreement although the Agency clarifies payment is for additional, on-going services. The amended amount will be added to the dollar amount of the original contract with Westbound for an overall amount of$250,000. ENVIRONMENTAL IMPACT: This amendment to the Agreement for Professional Services does not meet the definition of a "project" under Section 15378 of the California Environmental Quality Act(CEQA). FISCAL IlVWACT: The amended cost of the proposed Agreement for Professional Services with Westbound Communications is $100,000,which is included in the Fiscal Year 2010-2011 Agency budget. RECOMMENDATION: That the Community Development Commission adopt the attached Resolution. Emil A. The Agency and the Consultant agree as follows: RECITALS WHEREAS, the Agency and the Consultant have executed and entered into the Agreement, and the Consultant has performed various services and tasks as required pursuant to the Agreement; and WHEREAS, the Agency desires to retain the Consultant to continue and expand providing public relations, branding and promotion of Downtown and the City of San Bernardino, for an additional time period, extending the expiration date for the conclusion of services; and WHEREAS, the Agency and the Consultant desire to amend the Agreement to provide for an increase in the services provided for, the contract dollar amount for professional services and new expiration date pursuant to the terms, covenants and conditions of this Amendment No. 1. NOW, THEREFORE, IN CONSIDERATION OF THE RECITALS SET FORTH ABOVE, THE MUTUAL PROMISES OF THE AGENCY AND OF THE CONSULTANT IN THIS AMENDMENT NO. 1 AND FOR OTHER GOOD AND VALUABLE CONSIDERATION THE RECEIPT AND SUFFICIENCY OF WHICH ARE HEREBY ACKNOWLEDGED BY THE AGENCY AND BY THE CONSULTANT, THE AGENCY AND THE CONSULTANT AGREE AS FOLLOWS: 1. The Recitals of this Amendment No. 1 are incorporated herein by this reference. 2. This Amendment No. 1 amends the dollar amount of the compensation payable by the Agency to the Consultant from $150,000 to a total of$250,000, representing an increase of $100,000, as said $150,000 figure is provided in Section 4.A. of the Agreement. Section 4.A. of the Agreement is hereby amended by the insertion of the dollar figure of$250,000 to replace the dollar figure of$150,000. 3. This Amendment No. 1 amends the expiration date of professional services by the Consultant from March 2011 to June 30, 2012, as said expiration date of March 2011 is provided in Exhibit `B" of the Agreement. The new and expanded Scope of Work shall consist of the following: DOWNTOWN MARKETING AND BRANDING SCOPE OF WORK Marketing and community outreach are vital to ensure the success of Downtown San Bernardino's revitalization efforts and more so, the continued success of the overall revitalization for the City of San Bernardino. Following are activities Westbound will perform on behalf of the San Bernardino Economic Development Agency for Downtown San Bernardino during 2011-2012: Branding and Messaging • Create new version of Downtown logo to reflect "revitalization/under construction" messaging • Develop key messaging for Downtown, relating messaging to overall citywide revitalization • Create sponsored Downtown signage program promoting revitalization efforts Marketing Advisory Committee/Event Planning • Hold monthly meetings to drive overall Downtown marketing strategy and plan year-round events • Events in planning stages for 2011-2012 include October Haunt, Holiday Festival, St. Patrick's Day Festival, Railroad Days, and more.
