JOINT ADJOURNED SPECIAL MEETING
JANUARY 24, 2011

NOTICE IS HEREBY GIVEN that the Mayor and Common Council of the City of San
Bernardino have called a joint adjourned special meeting of the Mayor and Common
Council for 4:30 p.m., Monday, January 24, 2011, in the Council Chambers of City
Hall, 300 N. "D" Street, San Bernardino, California.
The purpose for which this meeting was called was to consider the following:
Approval of a Cooperative Financing Agreement of the Redevelopment Agency of the
City of San Bernardino and appointing Commission Members to serve on the board of a
certain non-profit corporation.
The joint adjourned special meeting of the Mayor and Common Council of the City of
San Bernardino was called to order by Mayor/Chairman Morris at 4:30 p.m., Monday,
January 24, 2011, in the Council Chambers of City Hall, 300 North "D" Street, San
Bernardino, California.
Roll Call
Present: Mayor/Chairman Morris; Council Members/Commissioners Marquez,
Desjardins, Brinker, Shorett, Kelley, Johnson, McCammack; City
Attorney Penman; Economic Development Agency Interim Executive
Director Marzullo and Agency Counsel Sabo; City Clerk Clark.
Absent: None.

1. Approval of a Cooperative Financing Agreement of the Redevelopment
Agency of the City of San Bernardino and appointing Commission Members
to serve on the board of a certain non-profit corporation
Resolution of the Community Development Commission of the City of San
Bernardino approving a certain Cooperative Financing Agreement by and
between the Redevelopment Agency of the City of San Bernardino
("Agency") and the Sustainable Communities Reinvestment Partnership,
Inc., for the financing, funding and undertaking of various redevelopment
related activities of the Agency.
Note: Backup was distributed on January 20, 2011.
Mr. Marzullo distributed the following documents to the Mayor and Council:
• Changes to Cooperative Financing Agreement based on comments
received at special meeting on Thursday, January 20, 2011;
• Bylaws with original changes from Non-profit Private Board to Quasi
Public Board;
• Alternative method for selection of directors to Non-profit Board;
• Press Release titled, "Stop the State's Redevelopment Proposal/Protect
Local Jobs and the Economy," dated January 24, 2011;
• Legislative Alert titled, "State Controller Office to Audit 18
Redevelopment Agencies," dated January 24, 2011.
Emil Marzullo, Economic Development Agency Interim Executive Director,
stated that this item was heard at a special meeting on Thursday, January 20,
2011, and there were a number of comments, questions and directives of the
Council. He stated that he was not prepared to talk about the issue, but was
providing the documents to the Council to take with them to review. He stated
that another special meeting would be called, if necessary.
He stated that there was not a lot to report since Thursday night. The state has
not taken any new actions. He stated that they have been in touch with the state
Redevelopment Association and the lobbyists. The proposal on the table is that
Redevelopment as of July 1, as well as the Enterprise Zone functions that are in
the City would come to an end. A brief synopsis of what that means to the City
is that they receive about $37 million per year in tax increment in this City.
Assuming that the formula is the way the apportionment is done today, the City's
17 percent of the property tax portion would actually net it about $1.4 million
more than it gets in the general fund, but when you take out the Redevelopment

pass-throughs and so forth, the net loss to the City is $7 million plus per year,
and those are just estimates at this time based on what they know and what
they've heard.
So they have taken steps to take a look at where they go from here. The state
Redevelopment Association recommends prudence at this time and they would
certainly like to be patient, but he reminded the Council that two years ago it was
recommended that they be patient—it was also recommended that they get
together with the other RDA agencies in the state and file a lawsuit, which they
all did, which they all lost, and they lost on appeal, and the City lost $15 million.
Mr. Marzullo requested that the matter be tabled at this time, but stated that they
will probably be calling another meeting this week or next.
Council Member/Commissioner Brinker made a motion, seconded by Council
Member/Commissioner Shorett, that the matter be tabled. The motion carried
unanimously.
City Attorney Penman requested that the meeting be televised.
Mayor/Chairman Morris assured Mr. Penman that the meeting would be
televised.
2. Adjournment
At 4:50 p.m., the meeting adjourned. The next joint regular meeting of the
Mayor and Common Council/Community Development Commission is scheduled
for 1:30 p.m., Monday, February 7, 2011.
