RESOLUTION OF THE MAYOR AND COMMON COUNCIL AUTHORIZING THE
EXECUTION OF AN AGREEMENT BETWEEN THE CITY OF SAN BERNARDINO
AND WESTERN REGIONAL LITTLE LEAGUE BASEBALL, INC. FOR FINANCIAL
ASSISTANCE FROM THE 2010/2011 CIVIC AND PROMOTION FUND.
BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE
CITY OF SAN BERNARDINO AS FOLLOWS:
SECTION 1. The City Manager of the City of San Bernardino is hereby authorized
and directed to execute on behalf of said City an Agreement with Western Regional Little
League Baseball, Inc., for financial assistance from the Civic and Promotion Fund for FY
201012011, a copy of which is attached hereto, marked Exhibit A, and incorporated herein by
reference as fully as though set forth at length.
SECTION 2. The authorization to execute the above referenced agreement is
rescinded if the parties to the agreement fail to execute it within sixty (60) days of the adoption
of this resolution.

AGREEMENT
Civic and Promotional Funding Agreement
Little League Baseball Inc., Western Regional Headquarters
This AGREEMENT is entered into between the CITY OF SAN BERNARDINO, a municipal
corporation, hereby referred to as "City" and the SAN LITTLE LEAGUE BASEBALL, INC.,
WESTERN REGIONAL HEADQUARTERS., a non-profit 501( c )( 3 ) organization, hereby referred
to as "Organization."
The parties agree to as follows:
1. Recitals.
A. Organization has requested financial assistance from City for the Fiscal Year
2010/2011, in order to assist in defraying the expense of events related to the Little League Western
Regional Baseball Tournament on August 6-15, 2010, as outlined in their Request for Funding to the
Mayor and Common Council, a copy of which is attached hereto and marked as Attachment A. The
terms of the request are incorporated herein by reference and shall govern the uses of the funds
provided herein. The financial assistance provided for in this agreement is made on a one-time basis,
and receipt of said funds shall not imply a continuing obligation of the City beyond the terms of this
agreement.
B. The expenditure is for a valid municipal public purpose, to wit: for the conduct
of events related to the Little League Western Regional Baseball Tournament scheduled for August 6-
15,2010.
2. Payment.
Upon presentation of a claim to the City's Finance Director, City shall pay the total sum
of $5,000 to Organization from the FY 2010111 Civic and Promotion Fund.

3. Use of Funds.
The funds paid to Organization shall be used solely for the purposes set forth in
Paragraph 1 above. No deviation from these provisions shall be made without the express approval of
the City of San Bernardino. Any unexpended funds shall be returned to the City by Organization.
4. Accountability.
Financial records shall be maintained in accordance with generally accepted accounting
principles by Organization in such marmer as to permit City to easily trace the expenditure of the
funds. All books and records of Organization are to be kept open for inspection at any time during the
business day by the City or its officers or agents. Failure to submit the financial records in accordance
with this section will result in the Organization reimbursing the City in the full amount received by
Organization. At the conclusion of the program, Organization shall present the City Manager or his
designee a written accounting of all expenditures and revenues connected with said event.
Organization will further supply City with any and all receipts relating to accounting of expenditures
if so requested by City. If Organization does not submit an accounting of expenditures and revenues
which City deems appropriate, such failure will result in the Organization reimbursing the City in the
full amount received by Organization.
5. Hold Harmless.
Organization covenants and agrees to defend, (if requested by City), indemnifY, and
hold harmless the City, its departments, agencies, boards, cornmissions, elected officials, officers,
attorneys, employees and agents from all liabilities and charges, expenses (including counsel fees),
suits, or losses, however occurring, or damages arising or growing out of the use or receipt of the funds
paid hereunder and all operations under this Agreement. Payments hereunder are made with the
understanding that the City is not involved in the performance of services or other activities of

Organization. The costs, salary and expenses of the City Attorney and members of his office in
enforcing this Agreement on behalf of the City shall be considered as "counsel fees" for the purposes
of this paragraph.
6. Insurance.
While not restricting or limiting the foregoing, during the term of this agreement,
Organization shall maintain in effect policies of comprehensive public, general and automobile
liability insurance, in the amount of $1 ,000,000, per occurrence combined single limit, naming the City
of San Bernardino, its officers, employees and agents, as additionally insured. Said coverage shall
require ten (10) day written notice to the City if insurance is terminated or materially altered.
7. Termination.
City shall have the right to terminate this agreement by mailing a ten-day written notice
to Organization and this agreement shall terminate ten days after the mailing of such notice. In the
event this agreement is terminated for reasons of improper use of funds or use of funds for any purpose
other than those authorized, any unexpended portion of the funds provided by City shall be returned to
City. In addition, Organization shall reimburse to City any funds expended which were used for any
purpose other than those authorized under this agreement.
8. Authorization to Execute.
Organization hereby covenants that it has taken all actions necessary to make the
adherence to the obligations imposed by this agreement a binding obligation ofthe organization.
9. Notices.
All notices herein required shall be in writing and delivered m person or sent by
certified mail, postage prepaid, addressed as follows:

Dear Mayor Morris:
The 2010 Little League Baseball Western Regional Tournament is scheduled for Friday,
August 6, 2010 through Sunday, August 15, 2010. Twelve Championship teams from the
11 states of the Little League Western Region will begin arriving on Wednesday, August
4,2010.
In past years, we have greatly appreciated the fmancial support from the San Bernardino
City CounciL The financial support will again help defray the cost of the tournament. I
am respectfully requesting a grant of $5,000.00 for our 2010 event.
These funds will be used to offset costs associated with transporting teams to and from
the airport in rented buses and serving approximately 9000 meals for teams and
volunteers for the 10 day event.
Each year more that 200 players, managers and coaches come to San Bernardino to
compete for the opportunity to advance to the Little League Baseball World Series in
Williamsport, PA. We will again be sending two representatives from the Western
Region. Both championship games will be televised live on ESPN from Al Houghton
Stadium here at the Western Regional Headquarters. The Northwest Division
Championship will be televised on August 14th and the West Division Championship
will be televised live on August 15th. We again anticipate between 70 and 75 thousand
visitors from throughout the eleven Western Region States. Their return is testimony to
the warm family welcome they receive from the City of San Bernardino.
We sincerely thank the City Council for the outstanding support we have received in the
past and hope that you will look favorably on this request. We ask that you again honor
us with your presence at some of the activities listed on the enclosed schedule.

This is in response to your request for affirmation of your organization's exempt status.
In May 1981, we issued a determination letter that recognized your organization as exempt from
federal income tax under section 501(c)(3) of the Internal Revenue Code. That letter is still in
effect.
Based on the information supplied, we recognized the subordinates named on the list your
organization submitted as exempt from federal income tax under section 501 (c )(3) of the Code.
Additionally, we have classified the subordinates your organization operates, supelVises, or
controls. and which are covered by written notification to us. as organizations that are not private
foundations because they are organizations of the type described in sections 509(aX1) and
170(b)(1 XAXvi) of the Code.
Donors may deduct contributions to your organization's subordinates as provided in section 170
of the Code. Bequests, legacies, devises, transfers or gifts to the subordinates or for their use
are deductible for federal estate and gift tax purposes if they meet the applicable provisions of
sections 2055, 2106. and 2522 of the Code.
Your organization and its subordinates are required to file Form 990, Retum of Organization
Exempt from Income Tax, only if the gross receipts each year are normally more than $25.000.
If a return is required, it must be filed by the 15th day of the fifth month after the end of the
organization's annual accounting period. The law imposes a penalty of $20 a day, up to a
maximum of $1 0,000, when a return is filed late, unless there is reasonable cause for the delay.
Your organization and its subordinates are not required to file federal income tax returns unless
subject to the tax on unrelated business income under section 511 of the Code. If subject to this
tax, the organization must file an income tax return on Form 990-T, Exempt Organization
Business Income Tax Return. In this letter, we are not determining whether any of your
organization or its subordinates' present or proposed activities are unrelated trade or business
as defined in section 513 of the Code.
