7 BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF
THE CITY OF SAN BERNARDINO AS FOLLOWS:

SECTION 1. That the City Manager is hereby authorized to execute
EXTENSION OFFER - YEAR 3 OF 3 - TO THE FOOD SERVICE AGREEMENT with
the San Bernardino City Unified School District relating to delivery of Type A Lunches

12 to city sites for the District's Year-Round and Summer Lunch Program for FY 10/11. A
13 copy of said extension to the Agreement is attached hereto and marked Exhibit "A"; and

SECTION 2. That the implementation date of the Agreement is July 1.2010;
therefore. any action taken between July 1. 2010. and the date that this Resolution i,
adopted is hereby ratified.

RE: Food Service Agreement (Reimbursable/Box Style) EXTENSION OFFER-Yr. 3 of 3
This letter is in reference to the Food Service Agreement dated July 1,2008, between the DISTRICT and the CITY. The second year of
this agreement will expire on June 30, 2010. This agreement provides for extension by mutual written consent, one fiscal year at a time
(July 1-June 30) up to a total of three years, subject to the written notice of terms and conditions agreed upon by both parties by June
30fu of each year. This letter serves as written notification of the District's offer to extend this agreement through June 30. 2011, and
also as written notice of the following changes:

C, Delivery 1: Boys & Girts Club, 1180 W. 9fu St. (Year-Round)
Delivery 2: Boys & Girts Club, 2969 N. Flores (Year-Round)
Delivery 3: Lytle Creek Comm. Center, 380 S, K St. (Year-Round)
Delivery 4: Ruben Campos Comm. Center, 1717 5fu St. (Year-Round)
III, Pavment
8, The current meal cost to CITY is as follows:
o Student box style lunch = $2.85 each
o Student box style breakfast = $1.95 each
o Student snack = $1,30 each
o Adult box style lunch = $3.00 each
V, CITY ResDonsibilities
A, The CITY understands they are to request by telephone, no later than 12:00 p.m. (noon) on the operational
day preceding the operational day of delivery, an accurate number of meals to be delivered.
G, In addition, payment of the monthly invoice (full amount as itemized) is due within 30 days from the date of
invoice. Late payments equal to or greater than two monthly invoices will be cause for the District to
immediately suspend meal deliveries until the amounts due have been paid, or arrangements satisfactory to
the District have been made for payment of all past due invoices.
L. Cancellation shall be by thirty (30) days written notice for each delivery location. A notice of less than 30
calendar days will be subject to a penalty fee charged equal to the price of the average number of meals
ordered per service day, for the first five (5) service days.
If the CITY wishes to extend and agrees to the above noted changes in the agreement, please sign below and return to me along with
your 2010/11 operational calendar(s) as soon as possible-preferably within one (1) week.
