RESOLUTION NO.
2 RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE
EXECUTION OF A SECOND AMENDMENT TO AGREEMENT WITH LARRY E. GREER
3 AND COMPANY, INC., RELATING TO THE PREPARATION OF THE TRAFFIC AND
CIRCULATION ANALYSIS FOR THE VERDEMONT AREA PLAN.

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF
5 SAN BERNARDINO AS FOLLOWS:
6 SECTION 1. The Mayor of the City of San Bernardino is hereby
7 authorized and directed to execute on behalf of said City a
8 Second Amendment to Agreement with Larry E. Greer and Company, Inc.,
9 relating to the preparation of the traffic and circulation
10 analysis for the Verdemont Area Plan, a copy of which is attached
11 hereto, marked Exhibit "A" and incorporated herein by reference as
12 fully as though set forth at length.

SECOND AMENDMENT TO AGREEMENT
(Preparation of the traffic and circulation analysis
for the Verdemont Area Plan, San Bernardino, California)
THIS SECOND AMENDMENT TO AGREEMENT is made and entered into

6 the City of San Bernardino, a municipal corporation, hereinafter
7 referred to as .City., and Larry E. Greer and Company, Inc., a
8 California corporation, hereinafter referred to as .Consultant..

City and Consultant agree as follows I
1. Recitals.
A. City and Consultant entered into an agreement on
12 the 15th day of March, 1984, relating to traffic and circulation
13
analysis in conjunction with the environmental impact analysis
14
15
eing conducted by the City on the Verdemont Area Plan.
B. City and Consultant entered into a first amendment
16 to agreement on September 18, 1984, to provide for civil
17
engineering consulting services in determining the alignment and
18
19
reliminary design of Meyers Road.
C. The parties now desire to further amend said
20
agreement to provide for civil engineering consulting services to
21
repare a Traffic and Circulation Analysis Report for a fifth
22 alternative for the Verdemont Area Plan as recommended by the
23
Planning Commission at its meeting of April 9, 1985.

2. Paragraph 1 of that agreement dated March 15, 1984, is
25
hereby amended by adding the following I

1 1985, City has determined to retain the services of this same
2 Consultant to act as an independent consultant to perform the
3 Traffic and Circulation Analysis for a fifth alternative to the
4 Verdemont Area Plan. Consultant makes the same representations
5 of qualification as are set forth above.-
6 3. Paragraph 2 of that agreement dated March 15, 1984, is
7 hereby amended to read as follows:
8 -2. General. Consultant shall prepare a Traffic and
9 Circulation Analysis for the Verdemont Area Plan illustrated on
10 Exhibits -A- and -A-l-, which are attached hereto and
11 incorporated herein by reference. Said Traffic and Circulation
12 Analysis Report shall be prepared by Consultant in accordance
13 with a letter from Consultant to City dated December 16, 1983,
14 and contained in Exhibit -8- attached to and incorporated in this
15 agreement. With respect to the Meyers Road extension, Consultant
16 will prepare preliminary alignment studies of three potential
17 alignments selected by the City and the Consultant. Preliminary
18 roadway geometrics will be defined according to the City
19 standards and the requirements of the City Engineer and the Fire
20 Department. Rough estimates of cut and fill material will be
21 prepared along with preliminary cost estimates of construction of
22 each alternative. A design report will be prepared discussing
23 each alternative.-
24 4. Paragraph 3 of that agreement dated March 15, 1984,
25 1984, is hereby amended by adding the following:
26 -Consultant shall provide the completed Traffic and
27 Circulation Analysis Report for the alternatives for the

1 Verdemont Area Plan which were analyzed under the Agreement dated
2 March 15, 1984, and under this second amendment, within four
3 weeks after receipt of written authorization from the City for
4 commencement of the work to be completed under the second
5 amendment..
6 5. Paragraph 4 of that Agreement dated March 15, 1985, is
7 amended by adding the following:
8 .Compensation for the additional services to be provided
9 under this second amendment shall be an in amount not to exceed
10 one thousand five hundred dollars ($1,500) to be paid as follows:
11 one-half upon delivery of the report to the Planning Department
12 with payment in full to be made within thirty days following date
13 of delivery..
14 6. All other terms, conditions and covenants of said
15 Agreement, as amended, shall remain the same and be in full force
16 and effect.
17 IN WITNESS WHEREOF, the parties hereto have executed this
second amendment to agreement on the date first hereinabove
18 written.
