The Mayor of the City of San Bernardino is 6 hereby authorized and directed to execute on behalf of said City 7 an agreement with Yellow Checker Leasing, Inc. relating to 8 Dial-A-Ride Service, a copy of which is attached hereto, marked 9 Exhibit "A" and incorporated herein by reference as fully as 10 though set forth at length. 11 I HEREBY CERTIFY that the foregoing resolution was duly 12 adopted by the Mayor and Common Council of the City of San 13 of (~:i meeting thereof, held on Bernardino a t a :~d day 14 I the 15 I vote, 16 , I , 17 18 19 20 , 1980, by the following to wit: AYES: Councilmen (lfllldnMoAn. . . .A1-Qnl,:11..l- l/. .".Ie[) t'm u' At!J , ']1/1)1.0 11 rfYl 0 11 JA OQ.t7'A , . 1/PJ/rtltflMJO~.. ~ ~'f1A';' };t7o, . ~ NAYS: ABSENT: 21 -4f:~~h The foregoing resolution is hereby approved this ")~ day 22 23 ~HQ of , 1980. 24 25 26 2'1 Approved as to form: 28 i/""--.- 1 A G R E E MEN T --------- 2 (Oial-A-Ride Service) 3 THIS AGREEMENT is made and entered into at San Bernardino, California, 4 this //t!4:y of 7;>;/dt-c--d'___ 1980, by and between the CITY OF SAN BERNARDIN 5 a municipal corporation, hereinafter referred to as "City", and YELLOW CHECKE 6 LEASING, INC" a California corporation, hereinafter referred to as "Company," 7 8 WIT N E SSE T H: ---------- 9 WHEREAS, the City is interested in encouraging and expanding the use of 10 public transportation in the overall area; and 11 WHEREAS, there is a significant number of transit-dependent seniors, 12 disabled residents and others who rely on public transportation as their 13 principal means of transportation; and 14 WHEREAS, the bus routes presently operated by OMNITRANS are on a fixed- 15 route basis and are, therefore, able to serve a relatively limited portion 16 of the population; and 17 WHEREAS, Company currently provides Dial-A-Ride service in the community 18 and is supplying public transportation for a special segment of San Bernar- 19 dino's transit-oriented population; and 20 WHEREAS, as a result of the effective coordination and scheduling of 21 buses and taxicabs, it should be oossible to further enhance the utility of 22 public transportation for the City and for its residents; and 23 WHEREAS, Dial-A-Ride programs have been successful in other areas in 24 augmenting bus operations and meeting special public transportation needs; 25 NOW THEREFORE, in consideration of the mutual promises, covenants and 26 agreements of the parties hereto, it is hereby agreed as follows: 27 1, Term, The term of this agreement shall be for a period of 15 28 calendar months beginning March 1, 1980, and ending June 30, 1981. Company agrees to lease ten (10) passenger vehicles for the term of this agreement and to utilize them in the operation of Dial- A-Ride service within a City area more particularly described in Exhibit "A", attached hereto and incorporated by reference herein and hereinafter called "Service Area." Since there has been a significant demand for service to three specific locations outside of the Service Area, Company shall provide Dial-A-Ride spur service to Inland Center on "E" Street south of Mill Street; spur servic to the Social Security Administration District Office at 2110 East Highland Avenue; and spur service to the Kaiser Clinic, 1717 Date Place, Localized Zones, Two localized zones are hereby created in the Service Area: the area previously described north of Highland Avenue between , Cali for~ I I nia Street and Waterman Avenue will be Zone One, The area previously des- cribed south of Highland Avenue will be Zone Two. Door-to-Door service will be provided within each Zone to any destination in that Zone. It is the in- tent of both parties that passengers desiring to go from one Zone to another will be driven within the Zone to the closest OMNITRANS route serving the general destination of the rider, Dial-A-Ride shall provide inter-zone ser- vice upon specific request; and while it is the intent of both parties ulti- mately to require that an additional Dial-A-Ride fare be paid for such ser- vice, the collection of said additional fare is not authorized at this time, Spur service to Inland Center, Kaiser Clinic and the Social Security Adminis- tration District Office will be provided to passengers requesting such ser- vice from either Zone, ~"W, 1 I 3 1 I 3, Servi ce to be Provi ded, Servi ce shall be provi ded six days per week ~ I Sunday through Friday, Sunday service shall be provided from 9:00 a,m, to 4:00 i ,p,m, For Sunday service, Company shall provide sixty (60) minute call-to-PiCkU1 I service utilizing three (3) Dial-A-Ride vehicles, For service Monday through I I Friday, Company will provide thirty (30) minute call-to-pickup service using a I I I 'minimum of four (4) Dial-A-Ride vehicles from 7:00 a,m, to 9:00 a,m" and a minJ I imum of seven (7) Dial-A-Ride vehicles from 9:00 a,m. to 7:00 p,m" plus three I (3) vehicles to be operated, as necessary, not more than one hundred fifty (150~ hours per week, Service shall not be provided on the following holidays: chrisJ- I I : mas, New Years Day, Memorial Day, Independence Day, Labor Day and Thanksgiving I , I :~y, I I Notwithstanding the foregoing, spur service provided to the Social securit~ Office and the Kaiser Clinic as set forth in Paragraph 2 shall only be provided from 9:30 a.m. on regular week days, Monday through Friday, excluding the holi- 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 i , I, days set forth herei nabove, Service, There shall be no restrictions on passenger eligibility. 4, I 17 : Passengers shall pay a standard fare of $1,00 per one-way ride, anywhere in 18 I the area, Senior Citizens and handicapped persons shall be charged one-half 19 the regular fare upon presentation of an OMNI-PASS, Children under five (5) 20 years of age may ride free when accompanying an adult and provided they are 21 seated on the lap of the adult, if so required, 22 When Dial-A-Ride passengers phone for service, they will be asked for 23 their name, point of origin point of destination and the number of persons 24 25 26 in their party to be transported. The caller will be advised by the Operator/ Ii . Dispatcher of the approximate time of pickup, The system shall operate on a shared ride basis, which allows the Company to 27 maximize the use of the vehicles and reduce passenger waiting time to a 28 , ~'""I""-- T 4 1 minimum, Every effort will be made to pick up waiting patrons within a 30- 2 minute period (Monday through Friday) from the time calls are made. A 60- 3 minute period will apply for Sunday service, Vehicles shall not wait longer 4 than two minutes to pick up any individual passenger, The driver shall do all 5 that is reasonably possible to avoid undue delay of any passenger either at 6 the point of pickup or enroute, The passengers shall have no control over 7 the route of the vehicles, 8 5, Feeder Service to Bus Routes, A passenger transported to the nearest 9 OMNITRANS bus route serving his destination shall pay the regular fare, Com- 10 pany upon request, shall provide the passenger a free transfer for OMNITRANS 11 bus service, OMNITRANS shall return to the City of San Bernardino all such 12 transfers collected from Dial-A-Ride passengers transferring to OMNITRANS 13 buses, and City shall pay to Company $.10 for each transfer returned to City 14 by OMNITRANS, 15 Dial-A-Ride Operators/Dispatchers shall be required to be completely 16 familiar with the bus routes and schedules of OMNITRANS buses within the City. 17 Bus route maps superimposed over a street map of the City and route schedules 18 shall be in full view of the Operators/Dispatchers at all times while they are 19 performing their duties, 20 When a passenger requests Dial-A-Ride service to a destination within a 21 Zone also served by one of the OMNITRANS bus routes, a destination within one 22 block either side of any such route, or to a destination outside the Zone 23 which is served by an OMNITRANS route, the Operator/Dispatcher will suggest to 24 the passenger that it is desirable for a free transfer to be made to an OMNI- 25 TRANS bus for the remainder of the trip, 26 Transfer to bus service shall not be required when it may be inconvenient 27 for the passenger for good cause, e,g" when a passenger is carrying heavy 28 packages, when the passenger would be made late for an appointment as a result ---~-~~"..,._. 5 1 of the transfer, or is physically unable to board a bus or walk short distances, 2 In such cases, Dial-A-Ride should provide door-to-door service within the Zones 3 even though the destinations are common to OMNITRANS routes. 4 Service will automatically be provided to passengers from both Zones 5 to the following areas: the St, Bernardine Hospital and the medical services 6 offices adjoining the complex, particularly the offices at 399 East Highland 7 Avenue; service to the San Bernardino County Hospital Complex on Gilbert 8 Avenue; service from each Zone to the Social Security Administration District 9 Office at 2110 East Highland Avenue; service to Community Hospital at Seven- 10 teenth and Muscott Streets; service to the Kaiser Clinic at 1717 Date Place, 11 and service to Inland Center Shopping center, 12 6, Drivers' Services, Drivers shall not be perriJitted toatcept "tips" fro~ I I ! 13 passengers, and a sign so stating shall be prominently displayed in each 14 vehicle, City shall have the right to specify the size and lettering for the 15 sign. When requested, and reasonably necessary, drivers shall assist passen- 16 gers requiring help with packages, etc. No charge shall be made or accepted 17 for such assistance, 18 A sign requesting that there be no smoking will be prominently displayed 19 in the front of the inside of each Dial-A-Ride vehicle, The sign shall be 20 placed over the visor so as to be visible to all passengers, The driver shall, 21 if necessary, request that passengers refrain from smoking, 22 If a Dial-A-Ride vehicle is parked on a City street during the regular 23 hours of operation and a person requests Dial-A-Ride-service from the driver, 24 the driver shall radio this request to the dispatcher and the dispatcher will 25 determine which Dial-A-Ride vehicle will transport the passenger to the destin- 26 ation requested, 27 Prohibition. Driver, while in the performance of the Dial-A-Ride service 28 shall not solicit, persuade, cajole, proselytize, or in any other way coax I I 1 or encourage OMNITRANS bus passengers to use Dial-A-Ride service rather than '-I G 2 bus service. Company drivers shall provide information to passengers only 3 when requested by a passenger, 4 Handicapped Passenger, Dial-A-Ride shall provide service to handicapped 5 persons who are able to enter and exit from the Dial-A-Ride vehicle without 6 assistance from the driver. The driver will accept those handicapped persons 7 who require the assistance of pedestrian walkers, collapsable wheelchairs, 8 (those that can be transported in the trunk of the vehicle), guide dogs or 9 walking canes. There shall be no additional fee for providing such service 10 to handicapped persons, 11 7, Financing, City shall pay to Company at the rate of $ 14,65 per 12 operating hour for the operation of each of the ten (10) vehicles obtained 13 I pursuant to Paragraph 8 hereof and used in the program up to the maximum of 14 twelve hours per vehicle per day, Company shall submit an invoice to the City 15 within five (5) days following the end of each calendar month, Based on the 16 service provided during said month, and City shall make payment by the15th 17 day of the month following the receipt thereof. The operating charge is sub- 18 ject to revision and it is the intention of the parties hereto that during 19 the term hereof, said fee shall be renegotiated at the end of each six (6) 20 month period, upward or downward, on the basis of the increases/decreases in 21 allowable program cost, as outlined in Exhibit "8", attached hereto and 22 incorporated herein as fully as though set forth at length, 23 The compensation for operation, shall constitute full compensation to 24 Company to cover profit and all costs of operation, and shall not include 25 fares which shall be returned to City and applied against the allowable 26 program costs, 27 8, Lease of Vehicles, Company, by separate agreement, has agreed to 28 lease ten (10) mutually agreeable passenger vehicles, owned by OMNITRANS, a T~n 7 1 joint powers authority, to be used in the operation of the Dial-A-Ride system. 2 Company, at its own expense, shall provide all maintenance and operational 3 costs for said vehicles, 4 9, Communications, Company shall provide, operate and maintain a centra 5 communications center, in the City of San Bernardino. Said center shall 6 be equipped with two-way radio communications for the dispatch and control of 7 Dial-A-Ride vehicles in the field, and with at least four telephones and lines 8 to receive requests from the public for Dial-A-Ride service, Special telephon 9 numbers shall be established for Dial-A-Ride, Requests for service on other 10 Company telephone numbers, where the caller does not request Dial-A-Ride 11 may be handled as regular taxicab calls, Two telephone Operator/Dispatchers 12 shall be continuously on duty in the central communications headquarters durin 13 the hours of operation hereunder, 14 10. ~,Telephone Operator/Dispatchers shall maintain a communications 15 center log of all calls received for a Dial-A-Ride service and a record of all 16 rides actually provided, Said logs shall be maintained in the form and manner 17 satisfactory to the City, Drivers shall maintain a record of the nature and 18 extent of all trips on "Trip Sheets" in a form and manner satisfactory to City 19 Original copies of driver and dispatcher logs shall be maintained by Company 20 for a minimum of three (3) years and shall be subject to review and audit by 21 the City, 22 11, Audit. The City may audit the Company's Dial-A-Ride books, records 23 and dispatcher operations, at any time between the hours of 7:00 a,m, and 24 6:00 p,m" Monday through Friday of each week during the term hereof or within ninety (90) days thereafter, 25 27 I I 12, Marketing. It shall be the joint responsibility of the City and the 'I Ii Company to promote and encourage the use of Dial-A-Ride and to prepare and distribute promotional literature setting forth the fare schedule, hours of "26 28 8 1 operation, area served, etc, 2 14, Liability and Insurance, Company hereby agrees to, and shall, hold 3 City, its elective and appointive boards, commissions, officers, agents and 4 employees, harml ess from any 1 i abil ity for damage or cl aims for damage for 5 personal injury, including death, as well as from claims for property damage 6 which may arise from Company's operations under this agreement, whether such 7 operations be by Company or by anyone or more person directly or indirectly 8 employed by, or acting as agent for Company or by lease or agreement with 9 Company, Company agrees to, and shall, defend City and its elective and 10 appointive boards, commissions, officers, agents and employees from any suits 11 or actions at law or in equity for damage caused, or alleged to have been 12 caused, by reason of any of the aforesaid operations, 13 Company shall file with the City Administrator of City a certificate 14 of insurance for public liability and property damage evidencing insurance for 15 protection coverage for the conduct of its programs and services, $1,000,000, 16 single limit coverage. Company shall be responsible for fire, theft and 17 collision damage to OMNITRANS furnished vehicles, City shall compensate 18 Company for any allowable insurance deductible costs actually incurred by 19 Company during the term of this agreement and the preceding period of twelve 20 (12) months prior to the date of execution of this agreement, provided such 2] costs are attributable to Dial-A-Ride operations pursuant to agreement with 22 the City, 23 lS, Changes and Modifications. In order to maximize the value of this 24 program, it is deemed advisable to test a number of approaches to providing 25 Dial-A-Ride Service. Since Dial-A-Ride is not fully tested in San Bernardino, I 26 it is not possible to definitely describe all the possible approaches herein. i 27 It is therefore agreed that such changes and modifications as may be acceptab11 28 to both parties may be made during the course of this agreement in order to 9 1 permit the value and utility of Dial-A-Ride to be fully tested, All such changes and modifications shall be made by written agreement executed by the parties hereto, 16, Relationship of Parties, It is understood the contractual relation- 2 3 4 5 ship of the Company to the City is that of independent contractor and shall be 6 subject to the limitations and provisions of this agreement. 7 17, Notices. All notices hereunder to be given shall be sufficient if 8 in writing and directed to the recipient hereof at its last known address, 9 Notices shall be deemed to have been given if either (1) personally delivered 10 to the recipient, or (2) if addressed to the recipient and deposited in the 11 United States mail, postage prepaid and addressed to recipient's last known 12 address, The current addresses of the parties are as follows: 13 "City" "Company" 15 City of San Bernardino 300 North "D" Street San Bernardino, CA 92418 Yellow Checker Leasing, Inc, 1510 West Fifth Street San Bernardino, CA 92411 14 16 18, Assignment. It is agreed by the parties hereto that in the long- 17 range best interests of the transit program, Dial-A-Ride service should be 18 under the direction of OMNITRANS, a joint powers authority, in order to facil- 19 itate and coordinate said service with OMNITRANS Bus Service, While assign- 20 ment of this agreement to OMNITRANS for operation purposes has been discussed, 21 said agreement shall not be assigned by either of the parties hereto without 22 the written consent of the other first obtained, Company agrees not to un- 23 reasonably withhold its consent to such an assignment, 24 19, Amendment. This agreement may be amended only by written agreement 25 executed by both parties and failure on the part of either party to enforce 26 any provision of this agreement shall not be construed as a waiver of the 27 right to compel enforcement of such provision, nor act to relieve any party 28 of its obligations under this agreement, II I I , I 1 i I i 2 , 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 10 UT , , 20, Prior Agreements, This agreement supersedes and replaces that priori agreement between the parties hereto dated September 18, 1978, and the assign- ment to OMNITRANS on December 6, 1978, 21, UMTA CONTRACTOR GUIDELINES During the performance of this contract, the Company, for itself, its' assignees and successors in interest (hereinafter referred to as the "Company" agrees as follows: 1, Compliance with Regulations: The Company shall comply with the regulations relative to nondis- crimination in Federally-assisted programs of the Department of Transportation, (hereinafter "DOT"), Title 49, Code of Federal Regulations, Part 21, as they may be amended from time to time (hereinafter referred to as the Regulations), which are herein incorporated by reference and made a part of this contract, 2, Nondiscrimination: The Company, with regard to the work performed by it during the contract, shall not discriminate on the grounds of race, religion, color, sex, age, handicap, or national origin in the selection and retention of subcontractors, including procurement of materials and leases of equipment, The Company shall not particioate either directly or indirectly in the discrimination prohibited by Section 21.5 of the Regulations, including employment practices when the contract covers a program set forth in Appendix B of the Regulations, 3, Solicitations for Subcontracts, Including Procurements of Materials and Equipment: In all solicitations either by competitive bidding or negotiation made by the Company for work to be performed under a subcontract, including procurements of materials or leases of equipment, each potential subcontractor or supplier shall be notified by the Company 1 2 3 4 5 I: ,I II I II II I! II II I il II 'I II 11 of the Companies' obligations under this contract and the regula- tions relative to nondiscrimination on the grounds of race, religion, color. sex. age, handicap or national origin, 4, Information and Reports: The Company shall provide all information and reports required by the Regulations or directives issued pursuant thereto. and shall 6 7 8 9 10 11 12 13 14 15 permit access to its books. records, accounts, other sources of information, and its facilities as may be determined by City or the Urban Mass Transportation Administration (UMTA) to be pertin- ent to ascertain compliance with such regulations, orders, and in- structions, Where any information is required or the company is in the exclusive possession of another who fails or refuses to furnish this information, the Company shall so certify to City, or the Urban Mass Transportation Administration, as appropriate, and shall set forth what efforts it has made to obtain the informa- 'I 161 tion, 17 5, Sections for Noncompliance: 18 19 20 II 2] II , II :i 22 23 24 1 I i II II ii 25 26 27 28 In the event of the Companies'noncompliance with the nondiscrimina- tion provisions of this contract, City shall impose such contract sanctions as it or the Urban Mass Transportation Administration may determine to be appropriate, including, but not limited to: a, Withholding of payments to the Company under the contract until the Company complies, and/ or b, Cancellation, termination or suspension of the contract, in whole or in part, 6, Incorporation of Provisions: The Company shall include the provisions of Paragraph (1) through 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 I 24 I 25 I 26 11 I 27 I 28 12 (6) in every subcontract, includin9 procurements of materials and leases of equipment, unless exempt by the Regulations or directives issued pursuant thereto. The Company shall take such action with respect to any subcontract or procurement as City or the Urban Mass Transportation Administration may direct as a means of enforcing such provisions including sanctions for noncompliance: Provided, however, that in the event the Company becomes involved in, or is threatened with, litigation with a subcontractor or supplier as a result of such direction, the Company may request OMNITRANS to enter into such litigation to protect the interests of City, and, in addition, the Company may request the United States to enter into such litigation to protect the interests of the United States, 22, The herein agreement shall become effective two (2) calendar weeks prior to Company's commencement of service on 'ffiaA.!' 0.. I, /qgo and shall continue in full force and effect until r-"I'-R .:30.. /9S/ except that City, on approval of its Board, may terminate the agreement here- in upon thirty (30) days' written notice measured from the first day of the month following mailing of notification by Company, It is understood that City shall be liable for allowable costs hereunder for all preparation costs incurred, plus a pro-rata portion of the Fixed Fee accrued to the date of such termination. In the event the herein agreement is so terminated, all pertinent data relating to the DAR system shall be made available to City and may be used by City without additional cost to City, In the event of a situa- tion in which the health or safety of the public may be endangered, City may direct Company to cease operations, and Company shall immediately do so upon receipt of City's written notice to Company. City shall be liable for all allowable costs incurred due to the stoppage of work; all preparation costs incurred plus a pro-rata portion of the fixed fee accrued to date of stoppage; 13 1 2 and for restart, if any. 23.
