Staff's continued efforts to create the highest utility of Agency-owned
property has resulted in sOliCiting the brOkerage community to secure
viable commercial tenants. After a year of aggressively searching and
negotiating with potential users, staff and the brOkerage community
have come to the conclusion that the former "Fuddrucker's" restaurant
space is truly a non-marketab1e use for this particular property and
location. Based on the above conclusion, staff researched the
brokerage community's opinion relative to adaptive reuses for the
project.

In the spring of 1992, staff designed an alternate reuse for the entire
Thrifty department store building. The proposed concept converts the
"Fuddrucker's" restaurant space to a commercial office space
enviroDllent. Secondly, the remaining original Thrifty retail space of
approximately 22,000 square feet is deSigned as a high-security parking
garage. Subsequent to the deSign, staff has reviewed the floor plans
and uses, both in-house and with the brokerage community at large. On
all accounts, the proposed uses have been received extremely well and
with considerable excitement. Consequently, staff has proceeded with
the aggressive marketing of the space and now wishes to present for
approval the fOllowing relative items:

In an effort to accomplish the goals of the adaptive reuse, it
would be necessary for staff to contract for demolition of the
improvements located within both the original Thrifty building and
the vacant Fuddrucker's restaurant space. In the spring of 1992,
staff solicited informal bids relative to the phased demolition of
aaid space. The first demolition (Phase I) would consist of
removing all tenant improvements within the former restaurant
space. The only improvements to remain would be the existing
public restrooma, office, and mechanical room located within the

eastern portion of the space. In addition, the dividing partition
between the restaurant aDd orilinal Thrifty space, aDd the facade,
would remain. Phase II demolition would conaist of removing all
tenant improvements within the ori,inal retaU space. ThiB would
include ceilings, flooring and interim dividing partitiona.
Preliminary bid results indicate the cost for this demolition to
be approximately $50,000 to $60,000.
In September of 1992, staff formally advertised aDd solicited bids
for the demolition of Phase I aDd Phase II as designated above.
At the time of the SOlicitation, siz (6) contracting firma
purchased construction and bid docUlllents. Of the siz firma, five
(5) submitted proposals for the demolition. The results of said
proposals is as follows:

Based on the formal bid process, staff recommends the awarding of
Phase I of the contract to Wi1tshir Builders for the amount of
$12,930. Wiltshir Builders has previously contracted for and
completed work for the City of San Bernardino and staff has
received recommendationa as to its performance and capabilities.

The current City ordinance requires City departments to process
aDd obtain permits for all conatruction on City property.
Therefore, it would be necessary to provide engineering and
conatruction docUlllents for the development of the proposed space.
These docUlllents would conaiBt of tenant improvement plans
including electrical, mechanical, fire sprinklers and basic code
compliance issues. It is possible for Agency staff to complete a
significant portion of this process, however, it would still be
necessary for a relistered engineer to produce eneray calculationa
and engineering data, and signature and seals of authorization.
It is estimated that such services will cost approximately $4,000
to $6,000 and would require possibly three (3) separate
engineers. It is important to note that whether thiB space iB
approved for the office adaptive reuse as proposed, or whether it
is used as an alternate facility, i.e., larle conference and/or
meeting rooms, it would still be necessary to provide code
cOlllpliance with the 1991 Uniform BuUding Code.

The Redevelopment Agency has responded to the proposal from the
San Bernardino Area Chamber of COBlDerce to purchase ita existina
property and improvements located at 542-546 West Sixth Street.
As part of this acquisition, the SBACC has also requested that the
Agency enter into a lease with the SBACC for new office space
consistina of apprOXimately 3,760 square feet to be located in the
proposed office space in the former Fuddrucker's restaurant
bui1dina. The salient conditions of said proposal are ss follows:
a. Upon Commission approval, the Agency shall acquire all land
and improvementa owned b.y the SBACC located at 542-54~ West
Sixth Street. Said real estate consists of the current SBACC
office buildina, parkina lot and adjoinina unimproved,
property. The entire acquisition price shall be the current
balance of the existina deed of trust on the property which
is approximately $52,000.

Staff has developed an in-house appraisal of the property as
illustrated b.y documents attached as EXhibit "A". The
fol1owina is a "conservative" in-house appraisal of the SBACC
property.

As part and parcel to the acquisition of the SBACC property and
improvement, a condition of the sale is that the SBACC be allowed
reasonsble and fair terms for a ten (10) year lease with two (2)
five-year options located in the new proposed new office space in
the old restaurant. The primary details of the lease agreement as
proposed are as follows:
a. Tenant shall lease approximately 3,760 square feet net
rentable office space within the proposed new development.

b. The term of the lease shall be ten (10) years with two (2)
five-year options.
c. SRACC shall pay the Aaency one dollar ($1.00) s year for the
first ten (10) years. The first five year option period's
rent, if exercised, shall be either fair market value or
$1.22/S.FIM. During the second five year option period the
rent shall be "fair market" value.
d. SRACC shall pay all of its maintenance and metered utility
costs. In addition, SRACC shall reimburse the Aaency for its
pro-rata share of the common area maintenance costs.
e. Landlord shall provide SRACC with base building improv~ents
consisting of standard demising wall partitions, concrete
floors, ceilings, basic lighting, and basic building BVAC and
electrical. In addition to the base bUilding, landlord shall
provide SRACC with an $1S.00 per square foot improvement
allowance. This allowance shall be used by the tenant for
the deVelopment of additional tenant improvements to their
proposed suite. Any cost incurred by the tenant, in addition
to the landlord provided base bUilding improvement and the
$lS.OO per square foot tenant improvement allowance, shall be
paid by the tenant.

f. Part of the proposed SRACC floor plan is a large public
conference room. Staff is currently negotiating with SRACC
relative to the IDA's right to use said conference room for
auy and all public purposes. In addition to these ongoing
negotiations, staff has currently proposed that the income
generated by the rental of said conference room shall be
shared on a SO/SO basis. This shared income shall be
considered as additional rent paid to landlord.

5. DEVELOPMDT COST FOR PROPOSED OFFICE SPACE
It is important to note that the following are costs relative to
the conversion of the existing restaurant space to a commercially
viable alternative. The following is a overview of the scope
required to construct the base "landlord" building improvements:

It should be noted that any adaptive reuse of the existina space
would require the above proposed costs. These shall remain
approximately the same whether or not the council approves the
SBACC lease agreements aince this does not include tenant ,
improvements. Another option to consider would be the demolition
lID4 development of s larae sina1e room conference facility,
approximately 8,000 square feet. This type of option would serve
as an overflow meetina facility for the Radisson and Convention
Center. The net development cost would be approximately half of
the above proposed cost.

difference between a "standard market lease" lID4 the SBACC proposal is
the difference of $.22 per square foot per month, or $817 per month.
If staff is successful in negotiating the recapture of potential rents
from the SBACC's conference room, this could potentially be reduced by
half or completely. It should be noted, however, that the most

significant difference between the Lease Proposal A and Lease Proposal
SBACC is that in Lease Proposal A, which is the I18rket proposal, the
Agency will be required to proTide $222,400, plus leasing commissions,
as capital for the development of the potential lease space. With a
strai8ht-1ine amortization schedule, relatiTe to the income, it would
take fiTe and one half (5-1/2) years for the rental income to payoff
the capitalization costs of the leasehold improTement development.
An analysis of the SBACC deal points, however, clearly indicates that
the immediate sale of the 'property would not only capitalize the cost
of all tenant improTementa, but would also prOTide approxill8tely
$85,000 of excess capital to RDA's lenera1 fund. An additional benefit
to this tranaaction is that there are no leasehold or brokerale
commissions inTo1Ted. Therefore eliminating the need for sdditional
working capital. The excess $85,000 of working cash could pot~tially
finance other future tenant improTements.
SlMIARY

It is staff's opinion that the deal points as illustrated in the
oTera11 SBACC acquisition and relocation plan is a positiTe mOTe from
an asset IIIanlllement and cash manalement analysis. The fOllowing are
just some of the hi&h1i8hts of the relatiTe social benefits of this
proposal:
1.
This would facilitate the relocation of the SBACC to one of the
hi8hest pedestrian and Tehicle traffic intersections in the
dOWlltoWll ares.

~. The relocation has a "hi8her accessibility" than its current
location. '
3. The SBACC would enjoy and benefit from an extremely hi8h profile
exposure by using exterior signale directly at the corner of the
intersection of Second and "B" Streets. Both employees of the
dOWlltoWll srea and Tisitors to the city and the 11811 would be
exposed to the sign.
4. The relocation to this facility would facilitste their Ireater
interaction, both with City Ball and the BDA because of the close
proximity to the Agency's and City's offices.
