prior action maintaining Main Street program expenditures

Main Street program into the Economic Development Agency,
approve items 1-7 set forth in detail in the attached
staff report and instruct staff and agency counsel to
take any and all steps necessary to expeditiously
accomplish the intent of this motion.

On September 5, 1990, the Mayor and Common Council and the Community
Development Commission established an Economic Development Agency
comprised of the consolidated Community Development/Redevelopment
Agency entity, the Main Street Program, the Convention and Visitors
Bureau and the San Bernardino Economic Development Council. On August
3, 1992, the Community Development Commission approved the portion of
the FY 92-93 Economic Development Agency budget relating to Agency
Administration, Development Department and Convention and Visitors
Bureau, and continued to August 17, 1992 that portion of the FY 92-93
proposed budget relative to Main Street,
At the request of several Councilmembers, staff reviewed Main Street's
proposed budget with Ann Harris, Executive Director, and determined
that certain administrative changes could result in substantial cost
savings in the amount of $128,433 without any negative impact to Main
Street programs. It is staff's opinion that authorizing the
administrative changes listed below would enhance and focus the
objectives of both Main Street and the Economic Development Agency,
thereby creating an efficient and cooperative network between the
downtown businesses and the City,
The following is a list of recommended changes to the Main Street
program:
1, Incorporate the Main Street program into the Economic Development
Agency organization and under the authority of the Community
Development Commission,
2. Grant the authority of the Board of Directors to the Members of
the Common Council, and create an advisory board consisting of the
existing Board of Directors. It has been determined by Agency
Special Counsel that these changes are possible and that the
appropriate modifications can be made to both the Articles of
Incorporation and the Bylaws of Main Street (see attached letter
marked Exhibit A).
3. Retain Main Street's tax-exempt status. Agency Special Counsel
states that so long as Main Street does not undertake any
activities that would have an adverse effect upon its tax-exempt
status, and so long as it continued to file the necessary forms
with the appropriate State and Federal offices, the tax-exempt
status of Main Street would be preserved.

4, Relocate Main Street into vacant office space within the EDA
office building, located at 201 North "E" Street, Said relocation
would greatly reduce the operating expenses of the Main Street
program in the areas of rent, utilities, and other operational
overhead, besides providing greater accessibility to the general
public.
5. Authorize and direct the Administrator of the Economic Development
Agency to work with the Main Street Board of Directors in
developing and submitting to the Community Development Commission
for approval a Main Street budget for fiscal year 1992/1993, (See
Exhibit "B"),
6, Incorporate the employees of the Main Street organization into the
Economic Development Agency/Community Development Commission
organization, offering full employee benefit incentive packages.
Main Street's salaries and expenses would fall within the
parameters of the overall Economic Development Agency
administrative budget, thereby requiring Main Street to follow
standard Community Development Commission procurement policies and
procedures.

Authorize staff to contact an outside organization, such as the
National Main Street Center to review and analyze the future
direction of the Main Street program.
On August 17, 1992 and September 8, 1992, the Commission considered the
Main Street budget and proposed organizational changes and continued
the matter to allow an opportunity for further discussion. The
Commission also took action ensuring the Main Street program would have
the authority to expend funds at the FY 90/91 level.
Based on the foregoing, staff recommends adoption of the form motion.

Dear Mr. Steinhaus:
You have requested our opinion with regard to the
proposed restructuring of Main Street, Inc. ("Main Street"), by the
inclusion of Main Street within the organizational structure of the
Economic Development Commission of the City of San Bernardino.
You have specifically asked us to determine the
following:

1. Whether the Melllbers of the City Council of the City
of San Bernardino could become the Board of Directors of Main
Street;
2. Whether the existing Community-based Board of-
Directors of Main Street could become an advisory board to the City
Council Members sitting as the Board of Directors of Main Street;
and
3. Whether the appointment of the City Council Members
as the Board of Directors of Main street would jeopardize the
501(c)(3) Federal tax-exempt status of Main Street or the exempt
status of Main Street for State of California tax purposes.
It is our opinion that it is possible for the necessary
changes to be made to both the Articles of Incorporation and the
Bylaws of Main Street to enable the City Council Members to become
the Board of Directors of Main Street. In taking action as the
Board of Directors of Main Street, the City Council Members would
be required to comply with all California laws with regard to the

conduct of .eetings, conflicts of interest and stailar provisions
as if sitting as the governing body of a California governmental
agency.
The appropriate modifications cou14 also be ma4e to the
organizational documents of Main street to provide for an appointed
a4visory board, which cou14 have as broa4 a review an4 advisory
role as the City Council Members sitting as the Boar4 of Directors
.ight desiqnate. The individuals serving on the advisory board
would be required to comply with the applicable financial reporting
- requirements, an4 advisory boar4 meetings would have to be
conducte4 as public meetings under the applicable provisions of the
Brown Act (California Government Code Section 54950, At -.a.).
We have researched the matter with regard to the
aaintaining of the tax-exempt status of Main Street an4 have
additionally discussed this item with representatives of the
Internal Revenue Service and the Franchise Tax Board. Our
conclusion is that so long as Main Street di4 not undertake any
activities that would have an adverse effect upon its tax-exempt
status, an4 so long as it continued to file the necessary forms
with the appropriate state and Federal offices, the tax-exempt
status of Main Street would be preserved. The .ere substitution of

Directors in and of itself will not cause Main Street to lose its
Federal or State tax-exempt status.

In an effort to address the issues raised at the August 3, 1992

to cease all negotiations or discussions with the Executive
Director of EDA or EDA staff pertaining to the 92-93 budget. All
negotiations/discussions/or agreements upon any portion of the 92-

Dear Mayor and Members of the Common Council:
I have observed with some interest the deliberations and read the Sun Newspaper
accounts of the ongoing discussions relating to the proposed formal incorporation
of the San Bernardino Main Street Program into the City of San Bernardino
Economic Development Agency (EDA) , It is my understanding that this matter is
on the agenda for discussion and action at the Monday, September 21 Commission
Meeting. I support the recommendation by Mr. Timothy C, Steinhaus.
As the former Acting Executive Director of the Redevelopment Agency for some
thirteen months, Acting Administrator of the Economic Development Agency for
three months, and a former member of the Board of Directors of the Downtown Main
Street Program, I feel uniquely Qualified to offer my opinions on this Subject
to the elected leaderShip of the City of San Bernardino.
All of you will recall that I was deeply involved in the formation of the EDA
which, for the sake of brevity. I will summarily describe as comprised of two
main phases:
· Phase I consisted of combining the City's old Community Development
Department and its Redevelopment Agency into what is now called the Development
Department.
· Phase II was the incorporation of the Main Street and Convention and
Visitors Bureau into the EDA, pursuant to the policy decisions made by a majority
of the Community Development Commission members in September 1990,
While I returned to the Community COllege District prior to the completion of
Phase II, the structure that was eventually approved by the Community Development
Commission, particularly as it related to the Main Str~et Program, clearly in my
opinion and the opinion of others, did not fully carry out the scope and breadth
of the decisions made in September 1990. More specifically, it is important when
considering organizational matters that function, human and financial resources,
accountability, lines of authority and communication, among other issues, are
thoroughly considered devoid of emotion and personality.
When such an approach is ta~en, it is hard to escape the conclusion that the
recommendation submitted to the Commission by Timothy C, Steinhaus, Administrator
of the Economic Development Agency, to formally incorporate the Main Street
Program into the EDA as a division of the EDA should be accepted wholeheartedly
by the Commission. During my tenure with the City, I was able to observe the
operation of the Main Street Program first as a Main Street board member and

then later as a contract staff person with the Redevelopment and Economic
Development Agencies, As such my recommendation to the Commission has been made
with deliberate thoughtfulness and prior experience in mind.
For those who would attempt to artificially inject the Convention Visitor's
Bureau (CVB) into these matters, it is both distracting and not a synonymous
situation. Again utilizing the approach described earlier, it is not difficult
to conclude that the eVB, especially by function and revenue sources, is
structured in an almost ideal situation. It is also a very important distinction
that the industry the eVB services has chosen to tax itself at a higher level to
fund the CVB's activities which is a striking difference from the Main Street
Program and an excellent example of private/public partnership,
In closing, I would add that the benefits to such a reorganization of the Main
Street Program far outweigh any alleged detriments. There will be significant
cost savings, and more in future years as the organizational issues are smoothed
out. Also, a much needed focus will be brought to the program with the ability
of the program to receive administrative and professional support from the EDA's
other divisions, particularly the newly-established Office of Business
Development and the Development Department. Lastly and most importantly, the
administrative and financial accountability necessary to effectively and
efficiently carry out the policies, programs, projects and activities of the
Commission will be achieved.
I trust these comments will be received in the same good faith in which they were
provided.

the cHy llnd the locol businesses for the Mllin Street progrllm is being
prudently invested for mllny visoble improvements, mllrketing videos,
publ1cotions llnd employment for the implementlltlon of the ongoing
projects. It is money well spent, right in the community, for the beneftt
of 1111 of the community.

I am writing this letter in regards to the recent intentions of
Mayor Holcomb to combine Main Street with the Redevelopment
Agency, so Main Street would be under his direct control.
It is my opinion that Main Street
an excellent job as a separate
economic climate I would hate to
look like without Main Street,
has and will continue do do

I would like to commend Ann Harris and Main Street on the job
they have done, Please continue to keep Main Street separate
from the Redevelopment Agency and as far away from the Mayors'
powers as possible.

Dear Honorable Mayor and Council Members,
At this juncture on a program to revitalize downtown San
Bernardino, I urge you to maintain independent status of the
Main Street Organization. We are now beginning to see some
positive improvement in downtown which will ultimately
involve many of our citizens and have a definite economic
inpact. By merging Main Street with the Economic Development
Agency, you will burden the program with the inherent
beauracracy of a city department.
It is exciting at this time to see businessmen and citizens
gathered together with the express purpose of enhancing our
city, What a tragedy it would be if the expansion plans now
underway and all the excitement that has been created were to
be brought to a sudden halt.
Please be reminded '~hat by maintaining the independent status
of downtown Main Street, you are not precluded from examining
audits and calling for reports on a periodic basis,
San Bernardino has always had a negative image problem,
Finally we have a program that is taking us in the proper
direction and you are now considering a change which will
lead us back to where we were a short time ago,
Please defer any action on this matter so that the staff
of Main Street along with its many volunteers can have
time to show you the progress and wonderful programs that
will soon come forward,

In closing, I remind you of the recent award when the City
of San Bernardino was designated as "an All American City".
We ought to strive to achieve that status once again and put
a stop to the deterioration of downtown,
