STAFF REPORT
The City has recognized the need for an improved crossing of the Devil 's
Creek Diversion Channel. Upon recommendation from the Redevelopment Committee,
the Council approved an agreement between the City and the RDA for the construc-
tion, design and completion of the proposed improvements.
Presently, it is estimated that the improvements will require the in-
stallation of four (4) 36" pipes and construction of a minor dip at the
crossing. The estimated cost for construction is $220,000.00. The actual
cost will be reimbursed to the City by the RDA.
Public Works staff prepared requests for proposals for the design
services. Six firms were solicited for proposals and three firms responded.
After carefully reviewing the proposals, the firm of Joseph E. Bonadiman and
Associates was selected as best qualified at this time to provide the necessary
design services.
The agreement provides, in general, that Joseph E. Bonadiman and
Associates will prepare the necessary construction plans, specifications and
estimate, to accomplish installation of a dip crossing.
We recommend that the agreement be approved.

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE
5 CITY OF SAN BERNARDINO AS FOLLOWS:

SECTION 1. The Mayor of the City of San Bernardino is
7 hereby authorized and directed to execute, on behalf of said
8 City, an agreement with Joseph E. Bonadiman & Associates, Inc.
9 relating to the design of dip crossing at 48th Street at Devil 's
10 Creek Diversion Channel, which agreement is attached hereto,
11 marked Exhibit "A" and incorporated herein by reference as fully
12 as though set forth at length.

SECTION 2. The agreement shall not take effect until
14 fully signed and executed by both parties. The City shall not
15 be obligated hereunder unless and until the agreement is fully
16 executed and no oral agreement relating thereto shall be implied
17 or authorized.

EXHIBIT "A"
AGREEMENT FOR PROFESSIONAL SERVICES
WITNESSETH
WHEREAS, City desires to have designed a street improvement
consisting of a dip crossing of 48th Street at Devil 's Creek
Channel providing for low flow in 48" RCP and major flow by
combination of pipes and flow over the roadway surfaces; and
WHEREAS, in order to develop such a plan, it is necessary
to retain the professional services of a qualified engineering and
consulting firm; and
WHEREAS, Engineer is qualified to provide said professional
services for the development of such a plan; and
WHEREAS, San Bernardino City Council has elected to engage
the services of Engineer upon the terms and conditions as hereinafter
set forth
NOW, THEREFORE, it is mutually agreed, as follows:
1. GENERAL
Engineer shall perform those services specified in "Scope of
Services," a copy of which is attached hereto as Exhibit "B"

and incorporated herein by reference and made a part hereof as
though it were fully set forth herein.
Performance of the work specified in said Proposal is made
an obligation of Engineer under this Agreement, subject to any
changes made subsequently upon the mutual written agreement of
the parties hereto.
2. COMPENSATION
Compensation to Engineer for the total services to be
rendered pursuant to this Agreement shall be eight thousand one
hundred dollars ($8,100.00), divided between tasks as follows:

These amounts shall be paid in monthly installments as
work progresses and shall be totally due and payable upon
completion of all the items of work specified in Exhibit "B."
3. EXTRA SERVICES
No extra services shall be rendered by Engineer under this
Agreement unless such extra services shall be authorized, in
writing, by City. Authorized extra services shall be invoiced

ba.ed on Engineer's "Schedule of Hourly Rates" dated March I,
1986, a copy of which is attached hereto as Exhibit "CD and
incorporated herein by reference and made a part hereof as though
it were fully set forth herein.
4. PAYMENT BY CITY
The billings for all services rendered pursuant to this
Agreement shall be submitted monthly by Engineer to City and
shall be paid by City within twenty (20) days after receipt of
same.
5. SUPERVISION OF SERVICES
The Director of Public Works of City, or his designee,
shall have the right of general supervision of all work performed
by Engineer and shall be City's agent with respect to obtaining
Engineer's compliance hereunder. No payment for any services
rendered under this agreement shall be made without prior
approval of the Director of Public Works or his designee.
6. ASSURANCE OF COMPLIANCE WITH CIVIL RIGHTS LAWS
Engineer hereby certifies that it will not discriminate
against any employee or applicant for employment because of race,
color, religion, sex, marital status or national origin. Such
action shall include, but not be limited to, the following:
employment; upgrading, demotion or transfer; recruitment or
recruitment advertising; and designated representatives. In
addition, Engineer shall not exclude from participation in, deny
the benefits of or subject to discrimination under this Agreement
any employee or applicant for employment on the basis of age
under the Age Discrimination Act of 1975 or with respect to an

otherwise qualified handicapped individual as provided in Section
504 of the Rehabilitation Act of 1973 or religion except that any
exemption from such prohibition against discrimination on the
basis of religion as provided in the Civil Rights Act of 1964 or
Title VIII of April 11, 1968, as amended, shall also apply.
7. TERMINATION OF AGREEMENT
City shall have the right to terminate this Agreement upon
giving a 10-day written notice of such termination to Engineer.
In the event of such termination, the Director of Public Works or
his designee, based upon work accomplished by Engineer prior to
notice of such termination, shall determine the amount of fees to
be paid to Engineer for such services based upon accepted
engineering and/or planning practices and such finding by the
Director of Public Works or his designee and approved by the San
Bernardino City council shall be final as to the amount of such
fee. Engineer hereby covenants and agrees that upon termination
of this agreement for any reason, Engineer will preserve and make
immediately available to City, or its designated representative,
maps, notes, correspondence, or records related to work paid for
by the City and required for its timely completion, and to fully
cooperate with City so that the work to be accomplished under this
Agreement may continue in a reasonably prompt manner. Any
subsequent use of such incomplete documents shall be at the sole
risk of the City and the City agrees to hold harmless and indemnify
Engineer from any claims, losses, costs, including attorney's fees,
and liability arising out of such use.
8. INDEPENDENT CONTRACTOR
Engineer shall act as an independent contractor in the

performance of the services provided for in this Agreement and
shall furnish such services in Engineer's own manner and method
and in no respect be considered an agent or employee of City.
9. NON-ASSIGNMENT
This Agreement is not assignable either in whole or in
part by Engineer without the written consent of City.
10. HOLD HARMLESS
Engineer hereby agrees to and shall hold City, its
elective and appointive boards, officers, agents and employees
harmless from any liability for damage or claims for damage for
personal injury including death as well as from claims for
property damage which may arise from Engineer's negligent acts,
errors or omissions under this Agreement. Engineer agrees to and
shall defend City and its elective and appointive boards, officers,
agents and employees from any suits or actions at law or in equity
for damages caused by reason of any of the aforesaid negligent
acts, errors or omissions.
11. NOTICES
Official notices relative to the services provided under
this Agreement shall be in writing addressed to the following:

Design survey sufficient to complete all
design with copies of notes provided to
the City.
Hydraulic calculations on the size and number
of pipes and the total flow that can be
passed with correlation to the storm year.
Calculations on the amount of flow, depth of
flow and flow characteristics for the flow
going over the roadway surface in a capital
storm (100 year). Sufficient detail to show
areas of inundation and possible bank erosion.
Project plans on standard City format.
Included Design:
a) Channel work, headwalls, inlets/outlets,
rail and wire revetment
