Synopsis of Previous Council action:
On December 2, 1984, the Mayor and Common Council approved an agreement for housing
consultant services in an amount not to exceed $25,000 (plus expenses).
On December 2, 1985, the Mayor and Common Council approved an agreement for housing
consultant services in an amount not to exceed $25,000 (plus expenses).
On November 17,1986, the Mayor and Common Council approved the extension of agreement for
housing consultant services from December 2, 1986 to March 31, 1984, by Form Motion.
On December 8, 1986, the Mayor and Common Council adopted resolution authorizing the
extension of an agreement between the City and John R. Trauth for housing consultant
services through March 31, 1987. Said extension was at no cost to the City.

STAFF REPORT
The Mayor and Common Council have approved agreements for
housing consultant services between the City and John R.
Trauth for the past two (2) years.
On December 8, 1986, the Mayor and Common Council adopted a
resolution approving the extension of the current agreement
from December 2, 1986 to March 31, 1987. This allowed staff
to extend the time limit for receiving said consultant
services and required no additional funding.
Attached is a summary of services previously rendered by Mr.
Trauth. Also attached is a copy of Mr. Trauth's proposal to
render housing consultant services for one (1) year beginning
April 7, 1987.
The proposal represents a continuation of the assistance Mr.
Trauth has been providing the City under previous contracts.
The contract arrangement, which has worked successfully in
the past, provides that a significant amount of Mr. Trauth's
work for the City would be done on-site, working closely with
staff and providing technical and professional services with
respect to the City's housing and community development
programs.
Page 3 of the proposal, items (a) through (f), contains a
list of activities and major areas of assistance Mr. Trauth
will most likely provide under the one (1) year contract. The
total charges for consulting services under the agreement
will not exceed $25,000. Expenses necessarily incurred in
the performance of the contract will be submitted in addition
to monthly invoice statements on a reimbursement basis.
Staff recommends that the Mayor and Common Council adopt the
attached resolution authorizing the Mayor to execute an
agreement with John R. Trauth for housing consultant

Dear Ken:
This letter.represents my proposal to the City of San Bernardino
for housing consultant services for one (1) year beginning April
1, 1987. This proposal would represent a continuation of the
assistance I have been providing to the City under my previous
contract which is due to expire on March 31st. I have enjoyed my
association with the City very much and, therefore, I am
submitting this proposal to provide similiar services for one
additional year.
My ~roposal involves continuing the arrangement which has worked
successfully in the past at approximately the same level of
effort and arrangements, i.e., that the significant amount of my
wori for the City would be done on-site, working closely with you
and your staff and providing certain technical and professional
services with respect to the City's housing and community
development programs.
For purposes of review, my services over the past year involved
consulting assistance with respect to various housing and
community development activities, including the following:
a) Preparation and refinement of a series of concept papers
regarding potential housing programs to be funded by a
revolving loan fund established with the Cityrs 20%
housing set-aside funds from tax increments generated by
the City's redevelopment projects.
b) Continuing implementation assistance for the Cityrs
Infill Housing program including site visits to potential
infill housing areas, development of loan critieria,
preparation of a RFP to solicit infill developer
proposals, review of developer submissions, preparation
of escrow instructions, discussion of the program
with construction lenders, and assistance to the
Community Development Department in expediting the
program.

c) Provided periodic review of the City's Rental Rehab
Program including assistance with transition of
program administration from West Side CDC to City
rehab staff, periodic review of project commitments
to date, review of problem cases; and briefing of
new City staff on RRP policies and procedures.
d) Provided assistance to Community Development staff
in preparation of the Housing Assistance Plan and
assisted in resolution of outstanding issues
regarding the HAP with HUD officials.
e) Developed various concept papers for development of
a new Acquisition/Rehabilitation program for
HUD-acquired properties in the City, reviewed concept
papers with City staff and the local HUD Area Manage-
ment Broker, arranged for a meeting to discuss the
concept paper with HUD officials in HUD's Santa
Ana office, and procured legal documents from the
California Coastal Commission on resale controls
which might apply to the program.
f) Discussed methodology for a Housing Needs Study with
City staff, drafted RFP, developed ranking criteria
for judging proposals, reviewed submissions, chaired
selection panel and developed recommendations for
contractor selection.
g) Assisted the City with various other housing/community
development issues including assessment of the effort
involved in conducting a housing inventory in the City,
prepared a list of potential funding sources for
sentior citizen housing development, reviewed impact
of 1986 tax reform legislation on low and moderate
income housing programs, assisted in the preparation
of a UDAG proposal to HUD, and participated in site
visits to areas where potential new housing development
might be encouraged.
h) Provided technical review and counsel to City staff
regarding potential new housing and community develop-
ment programs which the City might consider, and
reviewed potential support for these programs from
local, state and Federal sources.

Proposed HousinR Assistance
As indicated above, I propose to provide on-going housing
consulting services to the City of San Bernardino Department of
Community Development for a period of one (I) year under
approximately the same arrangements as existed under the previous
contract.
While it is not possible to determine the exact scope of
services, it is likely that similiar activities as reported above
will be carried out in the following year. Major areas of
assistance will most likely include the following:
a) Assistance in the continuing implementation of the
Cityrs Infill Housing Program, including providing
assistance to the selected developers in locating
potential infill sites and assistance with program
financing arrangements.
b) Assistance with further refinement of the new
acquisition/rehab program including negotiating a
memorandum of understanding with HUD, refinement
of the program locally, development of program
documents including resale controls, and assistance
with program implementation.
c) Continuing assistance with respect to the implemen-
tation of the Rental Rehab Program including
help with identification of additional properties
for participation in the program and review of any
problem projects.
d) Assistance in further development of the Revolving
Loan Fund established by the 20% set-aside monies,
including development of applicant lending criteria,
loan documents, and supporting information and
materials.
e) As requested, review and assess other potential
housing and housing assistance programs with respect
to their appropriateness for San Bernardino and
assist as requested with grantsmanship and/or
applications to appropriate funding sources.

f) Provide other technical assistance upon request, such
as assistance with respect to future single-family
and multi-family bond issues, preparation of the
next housing assistance plan, participation in meetings
and/or presentations to the Mayor and Council and
Redevelopment Committee, and other housing- and community
development-related activities as assigned.
Level of Effort ~ Cost of Assistance
I propose to begin providing the services described above on-site
in the Community Development offices beginning on or about April
I, 1987 through March 31, 1988. The estimated level of effort
will be approximately 42 hours per month, although the level of
effort required to accomplish the tasks may vary according to the
Community Development Departmentrs requirements.
My rate for consulting services is $50.00 per hour for services
provided under this agreement. Total charges for consulting time
will not exceed $25,000. Any expenses necessarily incurred in
the performance of this work will be submitted in addition for
reimbursement together with an itemized statement. Billing will
be monthly for time and expenses incurred.

THIS AGREF.MENT IS entered into by and between the City of
San Bernardino, referred to as "City" and John R. Trauth, an
individual, referred to as "Consultant".
The parties mutually agree as follows:

(a) The City's continued receipt of Community
Development Block Grant funds is contingent upon the tinlely
achievement of annual goals of housing for lower income
residents.
(b) The City desires to develop and implement
additional strategies to meet these housing goals.
(c) The Consultant is engaged in the profession of
housing development planning and possesses the skills necessary
to prepare comprehensive housing plans and strategies with
respect to financing, planning, and developing housing for lower
income persons.
(d) The City desires to retain the services of the

2. Scope of Services.
The Consultant shall perform the

Assist Community Development Department in

27 of the Annual Performance Report for each annual Community
28 Development Block Grant application during the term of this

agreement in accordance with application deadlines. This is to
1 include attending any necessary meetings, as well as making any
2 provisions for amendments required by the Department of Housing
3 and Urban Development.
4 (b) At the direction of the Director of Community
5 Development, or designee, assist Community Development Department
6 staff in developing and submitting grant applications to the
7 United States Department of Housing and Urban Development for the
8 Rental Rehabilitation Program, and the implementation of said
9 program.
10 (c) Assist Community Development Department staff in
11 the preparation of the annual "Housing policies Report" in
12 connection with the receipt and issuance of single-family and
13 multi-family mortgage revenue bonds by City for housing
14 developments within the corporate boundaries of the City.
15 (d) At the direction of the Director of Community
16 Development, assist Community Development staff in developing a
17 housing program and appropriate guidelines for a revolving loan
18 fund utilizing twenty-percent (20%) set aside funds from
19 Redevelopment project area tax increment. Develop the lending
20 criteria and loan documents for the revolving loan fund for
21 review by the City.
22 (e) Work with Community Development Department staff
23 in continuing to implement the infill housing program, working
24 with Community Development Department staff and local developers

(g) At the direction of the City, prepare applications
for housing programs and funds deemed desirable and appropriate
for City.

(h) Assist the City In attracting developers.
(1) Assist developers in using State and Federal
housing assistance programs, providing applicable forms and
associated materials; recommending program mix for specific sites
and sponsors; provide referrals of developers to appropriate
agencies and persons; and provide support in dealing with funding
agencies. This proposed assistance does not include writing,
funding, or financing environmental reviews for developers.
(j) Provide general technical assistance on the
subject of low and moderate income housing, keeping the City
abreast of changes in fair market rents, changes in State and
Federal priorities, need for zoning modifications, land banking,
et cetera.
3. Services to be Furnished to Consultant. All
information, data and reports, existing and available to the City
as related to the performance of scope of services shall be
furnished to the Consultant without charge. The City shall
provide office space to Consultant along with clerical support
and reproduction services associated with any applications or
other major written products.
4. Time of Performance. Consultant is to spend time
necessary to accomplish tasks listed, at an average of forty-two
(42) hours per month. The City and Consultant recognize that the
level of effort required to accomplish the tasks listed may vary
according to Community Development Department and United States

Department of Housing and Urban Development requirements for
1 same. These City imposed and/or HUD imposed requirements may
2 cause Consultant to spend more or less of his time than is
3 indicated as a monthly average (42). To the extent possible, the
4 City shall notify the Consultant at least one (1) week in advance
5 of any major assignments or meetings which the Consultant is
6 expected to ettend.
7 5. Compensation. City agrees to pay Consultant $50.00 per
8 hour for the services provided under this agreement. City agrees
9 to reimburse Consultant for incidental expenses necessarily
10 incurred in the performance of this agreement, provided that
1] Consultant must provide to City an itemized statement of all
]2 incidental expenses. No expense claim shall be paid without
]3 approval of the Director of Community Development. Reimbursement
]4 for travel for use of a privately owned vehicle shall be at the
]5 rate established in the current City resolution establishing
]6 mileage allowances. Total compensation for the year ApriJ 6,
17 1987 through April 7, 1988, excluding reimbursement for
18 incidental expenses and travel outside San Bernardino County,
19 shall not exceed the sum of $25,000.00.
20 6. Method of Pavment. Compensation for services rendered
2] hereunder shall be made on a monthly basis beginning April 7,
22 1987, provided that the Consultant shall submit a progress report
23 each month, along with a monthly statement or invoice in the form
24 and manner approved by the Di rector of Community Development.
25 7. Term. The term of this agreement shaJ 1 be from April
26 7, 1987 through Apri J 7, 1988, and may be rene~led for a period of
27 time mutually agreeable to City and Consultant.
28 8. Relationship of Parties. Consultant is acting as

independent contractor, and not an employee of the City.
Consultant shall not be supervised, directed, or under the
control or authority of any City officer or employee, except and
to the extent as may be expressly or implicitly required !Yl' t!Ji[;
agreement. Any required direction or control shall be limited to
broad objectives or goals and not to the details and procedures
to accomplish objectives or goals.
9. Termination. Should Consultant fail to comply with any
term, condition or provision of this agreement, City may
terminate this agreement by giving ten 1101 days written notice
to Consultant.
10. Hold Harmless. Consultant hereby agrees to, and shall
hold City, its elective and appointive boards, commissions,
officers, agents and employees, harmless from any liability for
damage or claim for damage for personal injury, including death,
as well as claims for property damage which may arise from
Consultant's operations under this agreement. Consultant agrees
to, and shall, defend City and its electivE' anO appointive
boards, commissions, officers, agents and employees from any
suits or actions at law or in equity for damages caused or
alleged to have been caused by reason of Consultant's performance
hereunder, including any claims that may a rise against Cl ty by
reason of Consultants relationships with City being legally

11. Equal Employment Opportunity. Consultant shall not

applicants for employment are employed, and that employees are

religion, sex, or national origin. Such action shall include,
but not be limited to, the following: employment, upgrading,
demotion, or transfer; recruitment or recruitment advertising;
layoff or termination; rates of payor other forms of
compensation; and selection for training, including
apprenticeship. Consultant shall post in conspicuous places,
available to employees and applicants for employment, notices to
be provided by the Government setting forth the provisions of
this nondiscrimination clause. Consultant shall state that all
qualified applicants will receive consideration for employment
without regard to race, color, religion, sex or national origin.
12. Release of News Information. No news releases,
including photographs, public announcements or confirmation of
same, or any part of the subject matter of this agreement or any
phase of any program hereunder shall be made without prior
written approval of the Director of Community Development.
13. No Benefit to Arise to Federal Emplovee. No member of
or delegate to the Congress of the united States, and no Resident
Commissioner shall be admitted to any share or part of this
agreement or to any benefit to arise from the same.
14. No Benefit to Arise to Local Emplovee. No member,
officer, or employee of the City, or their designees or agents,
no member of the governing body of the City, and no other public
official who exercises any functions or responsibilities with
respect to the program during his tenure or for one (1) year.

performed in connection with the program assisted under this

15. Amendment. This agreement may be amended or modified
only by written agreement signed by both parties and failure on
the part of either party to enforce any provision of this
agreement shall not be construed as a waiver of the right to

compel enforcement of such provision or provisions, nor act to

release any surety from its obligations under this agreement.
16. Notices. All notices herein required shall be in
writing and delivered in person or sent by first class mail,
