Resolution 4695 authorized execution of lease.
The Redevelopment Committee forwarded the attached
recommended motions to the Commission.
Recommended Motion:
A) Approve the transfer of stock ownership of Shandln Hills Golf
Club, Inc. to Jim Colbert Golf. Inc.;

B) Approve the execution of an ACknowledgment and Agreement
regarding a Reciprocal Easement Agreement recorded February 4,
1986, between the City, Shandln Hills and Block Brothers; and
C) Approve the execution of a Sixth Amendment to the Shandln Hills
Golf Club Lease between the Agency and Shandln Hills Golf Club,
Inc.

ThIs Is to recommend that the Commission approve the following: the
transfer of stock ownership of Shandin Hills Golf Club, Inc. to Jim
Colbert Golf, Inc.; the execution of an ACknowledgement and Agreement
regarding the Reciprocal Easement Agreement; and the execution of a SIxth
Amendment to the Shandln Hills Golf Club Lease.
Golf Club Lease Transfer
On April 6, 1989, staff received a letter from Mr. Hank Bickler,
President of Shandln Hills Golf Club, Inc.. informing the Agency that he
had been negotiating with a company wishing to purchase all the
outstanding stock of the corporation and take over the operations and
management. Staff was later advised that the stock would be purchased by
Jim Colbert Golf, Inc. The current lease requires Commission approval of
any transfer In management.

By way of background, Jim Colbert Golf, Inc. began in 1981 with the
operation of the Las Vegas Golf Club. Since obtaining their initial
course, Jim Colbert Golf, Inc. now operates 14 courses with an additional
five under construction. Mr. Colbert provided staff with references from
Mr. Michael Cool, Assistant County Manager, Clark County. Nevada; Mr.
Robert L. Poff, City Manager. San Dimas, California; and Mr. Dave
Klerper, Director of Parks and Recreation. Las Vegas, Nevada. Staff
contacted Mr. Colbert's references by telephone and all Indicated that
Jim Colbert Golf, Inc. Is doing an excellent job.
Staff has receIved and reviewed financial records of Jim Colbert Golf,
Inc. and has met wIth and interviewed key personnel. In addition, Mr.
BIckler will be retained by the firm for continued management of the
course.
It is, therefore, recommended that the Commission approve the transfer of
stock ownership of Shandin Hills Golf Club, Inc. to Jim Colbert Golf Inc.
Reciprocal Easement Agreement
On January 21. 1986, the City of San Bernardino entered into a Reciprocal
Easement Agreement for drainage purposes. The agreement was made between
the City, Shandin Hills Golf Club and Block Brothers. Under the
provisions of the Agreement. the City and Shandin Hills, granted
easements to the Developer across Lot 5 (the golf course). In return the
Developer granted the City and Shandin Hills certain easement rights
across Lot 6 adjacent to the course.

Redevelopment Agency
The Agreement recIted that the City was the owner of Lot 5, however,
records show that Lot 5 was actually owned by the Redevelopment Agency.
To correctly reflect the ownership of Lot 5, it is necessary to
substitute the Agency for the City. It is, therefore, recommended that
the Commission approve the attached Acknowledgment and Agreement
regarding the Reciprocal Easement Agreement.
Sixth Amendment To Golf Course Lease
On January 1, 1985, the Redevelopment Agency of the CIty of San
BernardIno executed a lease with Shandin HIlls Golf Club, Inc. The lease
specIfIed that the Agency and Shandin HIlls would amend the lease at a
later time to provIde a corrected legal description of the demised
premises following a survey.
On June 15, 1989, CM Engineering Associates prepared a survey and a copy
was delIvered to the Agency. Shandin Hills has requested that the lease
be Amended to reflect the correct legal description. The Agency concurs
with the corrected legal descriptIon submitted by CM Engineering
Associates. Staff was also Informed by Mr. Carl Hosier, FIrst American
Title OffIcer, that the legal descrIptIon will be insured.
It is, therefore, recommended that the Commission authorize the execution
of the attached Sixth Amendment to the Shandln HIlls Golf Club Lease to
append the correct legal descrIption.
