RESOLUTION NO. 87-228
RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE
EXECUTION OF A LEASE WITH STURGES CENTER FOR THE ARTS FOUNDATION,
A CALIFORNIA NON-PROFIT CORPORATION RELATING TO THE LEASE OF
CERTAIN PREMISES LOCATED AT 780 NORTH "E" STREET.
BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AS FOLLOWS:
SECTION 1. The Mayor of the City of San Bernardino is

authorized and directed to execute on behalf of the City a Lease
8 with the Sturges Center for the Arts Foundation, a California
9
Non-Profit Corporation, relating to the lease of certain premises
10 located at 780 North "E" Street, San Bernardino, California, a
11
12
copy of which is attached hereto marked Exhibit "A" and
incorporated herein by reference as fully as though set forth at
13 length.

corporation ("City").

WHEREAS, the Foundation owns a certain parcel of real
property, together with improvements thereon ("Property") located
at 780 North "E" Street in the City of San Bernardino, the exact
legal description of which is set forth at Exhibit "B" attached
hereto and incorporated herein by reference; and
WHEREAS, the City desires to use the Property as an arts
center, a theatre and art gallery, and to house various art
oriented activities for the benefit of residents of the City of
San Bernardino;
NOW, THEREFORE, in consideration of the rental hereinafter
reserved and agreed to be paid to the Foundation by the City and
the mutual promises, obligations, agreements and covenants
hereinafter set forth and the faithful performance thereof, the
parties mutually agree as follows:
1. Property Lease. The Foundation hereby leases and lets
to the City and the City hires and leases from the Foundation,
those certain premises located at 780 North "E" street, City of
San Bernardino, County of San Bernardino, State of California,
more particularly described in Exhibit "B" annexed hereto
incorporated by reference.

1 2. Term. This Lease shall be for a period of ten (10)
2 years, commencing July 15, 1987, subject to renewals and various
3 options as set forth hereinafter. This Lease shall terminate at
4 noon on the fifteenth day of June, 1997, unless otherwise
5 extended by mutual consent of the parties.
6 3. Rental Payment. The City shall pay to the Foundation
7 each year, commencing July 15, 1987, and on June 15 of each year
8 thereafter, a rental payment in the amount of $1.00 per year.
9 4. Use. The demised premises shall be used for various
10 arts purposes. Any lease, sublease or tenancy agreement covering
11 any portion of the premises shall be subject to the approval of
12 the Community Development Commission of the City of San
13 Bernardino.
14 5. Maintenance and Repairs. The City represents that it
15 is familiar with the leased premises and has knowledge of the
16 present conditions that exist thereon. The City shall, at its
17 own expense, maintain the leased premises and all improvements
18 thereon in good order, condition and repair. The Foundation
19 shall not be responsible for any repairs of any kind whatsoever
20 during the term of this Lease. The City shall provide or cause
21 to be provided all security service, custodial service,
22 janitorial service, repair service, landscaping service, roofing,
23 plumbing, painting, heating, ventilation, air conditioning and
24 any other service of any kind whatsoever in connection with the
25 operation, maintenance and repair of this property. The City
26 shall keep the leased premises and any and all improvem~nts
27 thereon free and clear of all liens, charges and encumbrances and

I shall, upon expiration of the term of this agreement, return the
2 premises to the Foundation in as good condition on as when first
3 assumed by the City, normal wear and tear excepted.
4 6. Inspections. The Foundation, its agents, officers and
5 employees, may enter upon the premises at such reasonable times
6 during the City's normal business hours as the Foundation deems
7 necessary for the purpose of the inspection of the premises to
8 determine whether the terms and conditions of the lease are being
9 carried out.
10 7. Ownership. The City hereby acknowledges and accepts
11 the title and paramount ownership and interest of the Foundation
12 to the leased premises and the City agrees not to claim,
13 challenge or contest such title, ownership and entire interest of
14 the Foundation.
15 8. Utilities. The City shall pay for all water, gas,
16 heat, telephone service, refuse service, and any and all other
17 services which may be supplied to the premises.
18 9. Defaults. In the event the City shall be in default in
19 the payment of rentals or other charges hereunder or shall
20 otherwise breach its covenants or obligations hereunder, and
21 shall be and remain in default for a period of thirty (30) days
22 after notice from the Foundation to the City of such default, the
23 Foundation shall have the right and privilege of terminating this
24 Lease and all of its options and declaring the same at an end,
25 and of entering upon on and taking possession of said premises,
26 and shall have the remedies now or hereafter provided by law for
27 recovery of rent, repossession of the premises and damages

1 occasioned by such default. If such default should occur, then
2 the Foundation shall have the right to take possession of and
3 appropriate to itself without payment therefor any property of
4 the City or anyone claiming under it then remaining on said
5 premises.

10. Surrender Upon Termination. Upon revocation,
7 surrender, expiration or other termination of this Lease, the
8 City shall quietly and peaceably surrender the leased premises in
9 as good condition as same was at the time of the City's entry
10 thereon, reasonable wear and tear excepted, subject to the
11 conditions herein set forth.

11. Insurance. The Foundation agrees to procure and
13 maintain in force during the term of this Lease and any extension
14 thereof, at its expense, a policy or policies of insurance
15 against loss or damage to the leased premises, appurtenances and
16 permanent equipment, resulting from fire, li~htening, vandalism,
17 malicious mischief, and such perils ordinarily defined as
18 "extended coverage" and other perils. The Foundation agrees to
19 procure and maintain in force during the term of this Lease and
20 any extension thereof, public liability insurance adequate to
21 protect against liability for damage claims through public use of
22 or arising out of accidents occurring in or around the leased
23 premises. Any insurance policies shall provide coverage for the
24 Foundation's contingent liability on such claims or losses, and
25 the City shall be named as an additional insured on any such
26 policies. All insurance shall be provided by Foundation in such
27 manner and in such amounts as shall be determined adequate by the

1 Risk Management office of the City. The Foundation shall furnish
2 the City concurrently with the execution hereof, with
3 satisfactory evidence of the insurance required, and evidence
4 that each carrier is required to give the City at least ten (10)
5 days' prior notice of the cancellation or reduction in coverage
6 of any policy during the effective period of this Lease. The
7 Foundation agrees that the above-described coverages will be kept
8 in force during the entire term of this Lease and any extension
9 thereof, and that the premium therefor shall be repaid by the
10 City to the Foundation.
11 12. Damage by Fire, Earthquake, etc. It is expressly
12 understood and agreed that the rental and any other obligations
13 assumed by the City hereunder shall become due only in
14 consideration of the right to occupy and use the leased premises
15 from year to year and, except as herein provided, it is the
16 responsibility of the Foundation to provide such right of
17 occupancy and use at all times. In the event of destruction or
18 damage to the leased premises by fire or earthquake or other
19 casualty or events so that they become wholly or partly unusable,
20 the Foundation, at its option, may do either of the following:
21 (a) Rebuild and repair the leased premises so that
22 they shall be restored to use, in which case this Lease shall
23 remain in full force and effect. Any excess of insurance
24 proceeds resulting from such destruction or damage over the
25 amount expended for such repairing or rebuilding, shall be paid
26 to the Agency, or

1 (b) Declare this Lease terminated and use any money
2 collected from insurance against the destruction of or damage to
3 the leased premises in any manner it deems fit.
4 13. Eminent Domain. If the whole or more than 10% of
5 usable square footage of the leased premises, or so much thereof
6 as to render the remainder unusable for the purposes for which
7 the same was leased, shall be taken under the power of eminent
8 domain, then this Lease shall terminate as of the date possession
9 shall be taken. If less than the whole, or 10% of the usable
10 square footage of the leased premises shall be taken under the
11 power of eminent domain, and the remainder is usable for the
12 leased purposes, then this Lease shall continue in full force and
13 effect and shall not be terminated by virtue of such taking and
14 the parties may waive the benefit of any law to the contrary, in
15 which event there shall be partial abatement of the rent
16 hereunder in an amount equivalent to the prorated use of the
17 remaining premises. Any award made in eminent domain proceedings
18 for the taking or damaging of the leased premises in whole or in
19 part shall be paid to the Foundation, together with any other
20 money which shall be or may be made available for such purpose.
21 14. Assignments. The City shall not assign this Lease
22 without obtaining the prior written consent of the Foundation.
23 15. Non-Discrimination. The City hereby covenants by and
24 for itself, its heirs, executors, administrators, and assigns and
25 all persons claiming under or through it, and this Lease made and
26 accepted upon and subject to the following conditions:

1 That there shall be no discrimination against or
2 segregation of any person or group of persons, on account of
3 race, color, creed, national origin, or ancestry, in the leasing,
4 subleasing, transferring, use, occupancy, tenure, or enjoyment of
5 the premises herein leased, nor shall the City itself, or any
6 person claiming under or through it, establish or permit any such
7 practice or practices of discrimination or segregation with
8 reference to the selection, location, number, use, or occupancy
9 of tenants, lessees, subleasees, subtenants, or vendees in the
10 premises herein leased.
11 16. Validity. If anyone or more of the terms,
12 provisions, promises, covenants, or conditions of this Lease
13 shall to any extent be adjudged invalid, unenforceable, void or
14 voidable, for any reason whatsoever, by a court of competent
15 jurisdiction, each and all of the remaining terms, provisions,
16 promises, covenants, and conditions of this Lease shall not be
17 affected thereby and shall be valid and enforceable to the
18 fullest extent permitted by law.
19 17. Effect of Foundation's Waiver. The Foundation's
20 waiver of breach of one term, covenant, or condition of this
21 Lease is not a waiver of breach of others, nor of subsequent
22 breach of the one waived. The Foundation's acceptance of rent
23 payments after breach is not a waiver of the breach, except of
24 breach of the covenant to pay the rent payment accepted.
25 18. Possessory Interest Taxes. The City covenants during
26 the term of this Lease to pay, when due, all taxes and
27 assessments that may be assessed or imposed upon the City's
28

1 possessory interest in and to the premises and on any personal
2 property that is located on the demised premises. The City
3 agrees to indemnify the Foundation and pay all sums due hereunder
4 forthwith upon demand therefor by the Foundation in the event
5 that the Foundation is required to make any such payments arising
6 from the possessory interests of the City, its agents, assignee
7 or subleasees.

19. Notices. All notices herein required shall be in
9 writing and delivered in person or sent by certified mail,
10 postage prepaid, addresses as follows:

20. Recordation. The Foundation may have this Lease
16 recorded in the Office of the County Recorde!, San Bernardino
17 County, State of California, together with the appropriate
18 resolution of the governing body of the Foundation.

21. Time of Essence. Time is of the essence herein.
22. This lease is subject to those covenants, dedications
21 and restrictions on the use of Sturges Auditorium set forth in
22 that document entitled "Disposition and Joint Development
23 Agreement" recorded as Document No. 84-287808 in the office of
24 the San Bernardino County Recorder on December 3, 1984, a copy of
25 which is attached hereto as Exhibit "C" and incorporated by
26 reference herein as fully as though set forth herein.

23 outstanding architectural siqnificance. Foundation proposes that
24 the Sturges Auditorium will provide a permanent art activity
~ center for the City of San Bernardino, provide a permanent
26 central location for various art qroups of the City, and include.
27 cla.sroom facilitiel which could .erve as gallerie. for a

I' 2.4 The property shall be used, and it is a covenant runnlng

:the Central City North Redevelopment Project, which covenant shall
expire upon terminatio~ of the redevelopment plan for that
I project.

Deed and close the escrow is conditioned upon the Foundation
depositing with the Escrow Holder th~ full e~~~nt of the purchase

provisions set forth in this .greement, the property shall be

discrimination against or segregation of any person or group of
persona on account of race, color, creed, religion, aex, .arital
status, n.tional origin or ancestory in the sale, lease,
sublease, transfer, use, occupancy, tenure or enjoyment of the
premi.es to ~ conveyed, nor shall the Foundation or any
grantee., 11r.enseea or permittees or any persons claiming under
or through the Foundation e~tl1blil.h or permit any .uch practice
or practices or diacrirnin~tion or ~cgregation with reference to
the selection, location, number, use or occupancy of tenants,
lessors, subtenants, sublessecs, vendees, attendees, ~ other
busine.. invitees 1n the plemises to be conveyed. This agreement
shall be a covenant ru~~ir.g ~ith the land, and shall inure to
the benefit of and be enforcel1ble by the Agency, ita successors
