RESOLUTION NO.
RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE
XECUTION OF AN AGREEMENT BETWEEN SAID CITY AND THE NATIONAL ORANGE
HOW, A NON-PROFIT ORGANIZATION CONCERNING THE PROVISION OF LAW
NFORCEMENT AND SECURITY SERVICES AT THE NATIONAL ORANGE SHOW
URING THE 1992 EXPOSITION.
BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF
BERNARDINO AS FOLLOWS:
SECTION 1. The Mayor of the city of San Bernardino is hereby
uthorized and directed to execute, on behalf of the city, an
greement or the provision of law enforcement and security services
t the National orange Show during its 1992 exposition, which
is attached hereto as Exhibit "A", and is incorporated
reference as though fully set forth at length.
SECTION 2. The authorization to execute the above-referenced
greement is rescinded if the parties to the agreement fail to
xecute it within sixty (60) days of the passage of this
esolution.

1 AGRBBMENT
2 This AGREEMENT made and entered into this day of
3 , 1992 by and between the NATIONAL ORANGE SHOW, a non-profit
4 organization, hereinafter called "Orange Show" and the CITY OF SAN
5 BERNARDINO, a municipal corporation of the state of California,
6 hereinafter called "City."
7 WITNESSETH
8 WHEREAS, Orange Show will present a citrus Fruit Fair and
9 Exposition for eleven days, from May 15, 1992 through May 25, 1992:
10 and
11 WHEREAS, orange Show desires that City provide law enforcement
12 and security for said Fair and Exposition: and
13 WHEREAS, City is willing to provide said law enforcement and
14 security,
15 NOW THEREFORE, the parties hereto agree as follows:
16 1. The Chief of police of City shall have the sole and
17 exclusive responsibility of enforcing San Bernardino city
18 ordinances, applicable State and Federal laws and regulations, and
19 all law enforcement related rules and regulations of the Orange
20 Show, on the grounds of the National Show for the entire duration
21 of the 1992 Annual Exposition from May 15, 1992 to and including
22 May 25, 1992. The Chief of Police shall furnish and provide such
23 number of duly authorized and qualified police officers and
24 reserves dressed in distinctive uniform and undercover officers, as
25 shall be reasonably necessary for law enforcement purposes to
26 maintain law and order and prevent breaches of the peace.
27 2. Orange Show shall adopt and prominently post on all

1 entrances its rules and regulations including, but not limited to,
2 the prohibition of admission of any person wearing gang attire, the
3 prohibition of possession of any legal or illegal weapons, and
4 notice that those persons entering Orange Show are subject to
5 search for weapons and contraband.
6 3. Orange Show and its concessionaires and lessees shall
7 provide the Chief of Police of the City upon request a roster of
8 their temporary migrant workers and employees performing services
9 at the National Orange Show during the 1992 Annual Exposition.
10 4. city agrees that the San Bernardino Police Department
11 Reserve Officer unit shall provide approximately 1665 hours of
12 reserve police coverage. The actual number of hours worked may
13 vary due to unforeseen events.
14 5. orange Show agrees to pay individual reserve officers
15 directly in the total amount of no less than $25,807 for police
16 coverage as specified in their Operational Plan marked Exhibit A
17 and attached hereto.
18 6. orange Show agrees to pay $22,620 in 1992 to city to
19 offset overtime costs of regular officers assigned to the Orange
20 Show to maintain law and order and prevent breaches of the peace.
21 7. There shall be no divided responsibility for law
22 enforcement and all matters of law enforcement shall be under the
23 exclusive and unified control of the Chief of police during the
24 periods of time herein provided for, and all law enforcement
25 personnel shall be deemed to be under the Chief of Police's direct
26 supervision and control and shall not be deemed to be employees of
27 or under the direction or control of the National Orang~ Show.

1 8. Orange Show shall take out and maintain during the life
2 of the agreement such public liability and property damage
3 insurance as shall insure City, its elective and appointive boards,
4 commissions, officers, agents and employees from claims for damages
5 for personal injury, including death, as well as from claims for
6 property damage which may arise from Orange Show's or its agents'
7 or lessees' operations hereunder, whether such operations be by
8 Orange Show, its agents, concessionaires or lessees or by anyone
9 directly or indirectly employed by Orange Show, its agents,
10 concessionaires, lessees or attendees, and the amounts of such
11 insurance shall be as follows:
12 (a) Public Liability Insurance. In an amount not less than
13 $2,000,000 for injuries, including, but not limited to, death, to
14 anyone person and, subject to the same limit for each person, in
15 an amount not less than $2,000,000 on account of anyone
16 occurrence;
17 (b) Property Damage Insurance. In an amount of not less than
18 $2,000,000 for damage to the property of each person on account of
19 anyone occurrence.
20 (c) Liability certificate. That the State of California, the
21 National Orange Show, County or citrus Fairs, their agents,
22 officers, servants and employees are made additional insureds, but
23 only insofar as the operations under this contract are concerned.
24 All liability certificates must have 30 (thirty) days cancellaton
25 notice.
26 9. Orange Show undertakes and agrees to defend, indemnify
27 and hold harmless the city and its officers, agents and employees

1 from and against all suits and causes of action, claims, cost of
2 litigation, damage or liability of any nature whatsoever, for death
3 or injury to any person, including the employees and agents of
4 Orange Show and its concessionaires and lessees, or damage or
5 destruction to any property of either party hereto or third persons
6 in any manner arising by reason of or incident to the performance
7 of this Agreement.

9 IN WITNESS WHEREOF, the parties hereto have executed this
10 Agreement on the date first written herein.
