STAFF REPORT
The Fine Arts Commission Members have awarded $12,500 a token
amount to the Broadway Celebrity Play Series, a subsidiary program
of the Civic Light Opera for the promotion of the Dramatic Arts.
The amount requested was $50.000.
This is the second season of professional theater/plays and is
running in a deficit due to the fact that this is a new program and
has not advanced sufficiently in the San Bernardino Community.
The Commission felt that Dramatic Theater should be encouraged to
bring the City full circle by offering all the major performing
arts at a professional level for our citizens.
The Commission held back this grant due to discussion of the rental
problems of the California Theater. The request of $12,500 was
approved at the Fine Arts Commission meeting of March 10, 1992.

RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE
EXECUTION OF AN AGREEMENT WITH THE BROADWAY CELEBRITY PlAY
SEASON FOR THE PROMOTION OF ARTS AND CULTURE.
BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE
CITY OF SAN BERNARDINO AS FOLLOWS:
SECTION 1.
The Mayor of the City of San Bernardino is
hereby authorized and directed to execute on behalf of said
City an Agreement with the Broadway Celebrity Play Season a
copy of which is attached hereto, marked Exhibit "A" and
incorporated herein by reference as fully as though set forth
at length.
SECTION 2.
The authorization to execute the above-
referenced agreement is rescinded if the parties to the
agreement fail to execute it within sixty (60) days of the
passage of this resolution.

AGREEMENT
Fine Arts Fundina
THIS AGREEMENT is entered into between the CITY OF SAN
BERNARDINO, a municipal corporation, referred to as "City" and
Broadway Celebrity Play Season a non-profit organization,
referred to as "organization".
The parties agree as follows:
1. Recitals.
A. organization has requested financial assistance
from City for the fiscal year 1991-92, in order to assist in
defraying the expense of certain concerts, shows, festivals or
events or activities sponsored by Organization as set forth in
organization's grant proposal (hereinafter "the proposal")
approved by the Fine Arts Commission of the city, a copy of
which proposal is on file in the Office of Cultural Affairs.
The terms of the proposal are incorporated herein by reference
and shall govern the uses of the funds provided herein. The
financial assistance provided for in this agreement is made on
a one-time only basis, and receipt of said funds shall not
imply a continuing obligation of the City beyond the terms of
this Agreement.
B. The expenditure is for a valid municipal public
purpose, to wit: for the promotion of art appreciation in San
Bernardino, as more fully set forth in the proposal submitted
by organization.

Finance Director, City shall pay to Organization from the
budget for the 1991-92 fiscal year, the total sum of twelve
thousand five hundred dollars, to cover the costs per the Fine
Arts grant application agreement.
3. Use of Funds. The funds paid to Organization shall
be used solely for the purposes set forth in Paragraph 1 and
in strict compliance with the provisions set forth in the
proposal. No deviation from the proposal shall be made
without the express approval of the City of San Bernardino.
Said funds shall be expended by June 30, 1992, and any
unexpended funds shall be returned to city by organization.
4. Accountinq. At such time or times as may be
requested by the City Administrator or Director of Finance of
city, Organization shall submit to the City Administrator,
with a copy to the Director of Finance and the San Bernardino
Fine Arts Commission, an accounting of the proposed and actual
expenditures of all revenues accruing to the Organization for
the fiscal year ending June 30, 1992. Financial records shall
be maintained in accordance with generally accepted accounting
principles by Organization in such a manner as to permit City
to easily trace the expenditures of the funds. All books and
records of Organization are to be kept open for inspection at
any time during the business day by the City or its officers
or agents.
5. Hold Harmless. Organization covenants and agrees to
defend, indemnify, and hold harmless the city and its

employees and agents from all liabilities and charges,
expenses (including counsel fees), suits or losses however
occurring, or damages arising or growing out of the use or
receipt of the funds paid hereunder and all operations under
this agreement. Payments hereunder are made with the
understanding that the City is not involved in the performance
of services or other activities of organization. organization
and its employees and agents are independent contractors and
are not employees or agents of the city in performing said
services.
6. Termination. City shall have the right to terminate
this Agreement and any funding remaining unpaid hereunder for
any reason by mailing a ten-day written notice to Organization
and this agreement shall terminate ten days after the mailing
of such notice. In the event this Agreement is terminated for
reasons of improper use of funds or use of funds for any
purpose other than those authorized, any unexpended portion of
the funds provided by City shall be returned to City. In
addition, organization shall reimburse to city any funds
expended which were used for any purposes other than those
authorized under this Agreement.
7. Assianment. Organization shall not assign its
interest in this Agreement without the prior written approval
of City.

liability and property damage insurance as shall insure city,
its elective and appointive boards, commissions, officers,
agents and employees, permittee and its agents performing acts
covered by this Agreement from claims for damages for personal
injury, including death, as well as from claims for property
damage which may arise from Organization I s or its agents I
operations hereunder, whether such operations be by
Organization or its agents or by anyone directly or indirectly
employed by either Organization or its agents, and the amounts
of such insurance shall be as follows:
(a) Public Liability Insurance. In an amount not
less than $100,000 for injuries, including, but not limited
to, death, to anyone person, and subject to the same limit
for each person, in an amount not less than $100,000 on
account of anyone occurrencel
(b) Property Damage Insurance. In an amount of not
less than $50,000 for damage to the property of each person on
account of anyone occurrence.
(c) Workers Compensation. Organization shall
provide workers compensation insurance in the amount required
by state law if the funds provided hereunder are to be paid as
salary to any employee of organization. Organization shall
require that all rights of subrogation under such policy of
workers compensation insurance shall be waived as to city.
City shall be set forth as an additional named insured in each
policy of insurance provided hereunder.

9. Obliaation. Organization hereby covenants that it
has taken all actions necessary to make the adherence to the
obligations imposed by this agreement a binding obligation of
the organization.
10. Notices. All notices herein required shall be in
writing and delivered in person or sent by certified mail,
postage prepaid, addressed as follows:

11. Entire Aareement. This Agreement and any documents
or instruments attached hereto or referred to herein integrate
all terms and conditions mentioned herein or incidental
hereto, and supersede all negotiations and prior writing in
respect to the subject matter hereof.
In the event of
conflict between the terms, conditions or provisions of this
Agreement, and any such document or instrument, the terms and
conditions of this Agreement shall prevail.

The Fine Arts Commission meeting convened at 3:17 p.m, on
Tuesday, March 10, 1992, in the Management Information Center, 300
North "0" Street, 6th Floor, San Bernardino, California.

A discussion ensued.
Ray Salvador, Mayor's Administrative Assistant explained that
if a member of a Committee/Commission serves on the Board of a
group that is applying for or is under consideration on any of the
agenda items, it is customary that. that individual does not
participate in the vote.
A motion was made "to amend and correct the minutes of
February 11, 1992 as it relates to the motion made by Member Silver
that the motion was invalid due to Mr. Silver's involvement with
the Broadway Celebrity Season and to strike the motion from the
records". The motion carried.
A motion was made to approve the minutes of February 11, 1992
as amended. The motion carried.

b) Broadwav Celebritv Season Grant
A discussion ensued regarding the Broadway Celebrity Season
grant application.
A motion was made "that the Fine Arts Commission provide
$12,500 to the Broadway Celebrity Season and that item be placed in
the next Council Meeting for approval". The motion failed.
A lengthy discussion ensued regarding this matter.
The motion was made again as follows: that the Fine Arts
Commission fund the Broadway Celebrity Season Grant of $12,500. The
motion carried. Let the record show that Commission Member Barry
Silver abstained from voting.
II. Arts Foundation - Patti Pate
Patti Pate did not arrive to make her presentation and
Committee moved on to other business.
III. Discussion
a) Don Roqers. CPA for civic Liqht Opera
ChairpersoJ'!, Ballard recognized Ms. Evelyn Wilcox, President of
the Civic Light Opera Board (CLO). . Ms. Wilcox introduced Mr. Ron
Skipper, CLO attorney.
Mr. Ron Skipper provided a lengthy background information
regarding the ~cheduling section of the Disposition and Joint
Agreement between the Redevelopment Agency and the CLO. The
question that has come up is whether the Fine Arts Committee had
jurisdiction over scheduling problems for use of the facility by
various arts gxtoups. Mr. Skipper cited provisions within the
Agreement where disputes concerning entitlement to usage of the
facility came under the. review of the Fine Arts Committee.
However, in matters of scheduling, the Committee's authority is
advisory only. Ms. Wilcox indicated that the CLO regrets any
misunderstandings that may have been created this past season. The
CLO has institu:t;ed a master calendar for the next season which
should help all~viate future scheduling problems.
Ms. Wilcox then introduced Don Rogers, Accounting Officer for
the CLO.

Mr. Don Rogers discussed the CLO's expenses, rates and
charges. Mr. Rogers handed out operating expense reports as well
as listings of various charges. Discussion of reports followed.
Ms. Wilcox asked to be placed on the Committee's next agenda
for presentation of a proposal for rents and other revenue
generating options.
DISCUSSION
Chairperson Ballard brought up the new city policy regarding
staff research and copying procedures and cost.
c) Report on Metropolitan Opera - Pat Leathers
Ms. Leathers was absent.
IV. Adiournment
There being no further business, the Fine Arts Commission
meeting of Tuesday, March 10, 1992 adjourned at 4:15 p.m. The next
meeting will be on Tuesday, April 14, 1992 at 3:00 p.m., in the
Management Information Center (MIC), 6th Floor, 300 North "0"
Street, San Bernardino, California.

V. Summary of Cateqory Descriptions

of the entertainment industry. The 1991-1992 season of three
productions are: (1) STRINGBEAN, by Lanie Robertson starring Leslie
Uggams, a world premiere play with music based on the early life of
Ethel Waters; (2) RUMORS, by Neil Simon starring David Birney and Ruta
Lee, a comedy about the Mayor of New York missing at a party with
guests trying to cover for the mayor's absence; and (3) a national
award winning play DRIVING MISS DAISY starring Ted Lange of the
television series "Love Boat" with the acclaimed motion picture star
Vera Miles.
This ethnically diverse play series, the only professionally
developed theatre play productions created for San Bernardino, is known
as the "Broadway Celebrity Play Season". Tickets may be season
sUbscription or individual play ticket sales. The productions will be
presented at the California Theatre of the Performing Arts.
Each of the three play productions will offer two weekends of
performances (Thursday thru Sunday) presenting ten (10) performances
per production.

VI. Need Statement
are three distinct needs for a professional play series for San
Bernardino: (1) our city is in great need of providing professional
play productions so our citizens will not have to travel outside San
Bernardino County for such a cultural experience; (2) The Symphony
Association and the Community Concert Association provide diverse
professional presentations but no plays; and (3) entertainment value is
much desired by our citizens however it lacks diversity. Cultural and
ethnic diversity should be a major concern. As the symphony program
has stressed the Hispanic culture the Broadway Celebrity Play season
will be concerned with the Afro-American culture, with two of the three
productions focusing on the black experience. One of the plays
(Stringbean) will be Black History in the performing arts and the other
play (Driving Miss Daisy) will deal with black-white human relations
experience. The emphasis on Afro-American entertainment is needed to
serve this vast majority of our city population.
A further need is the providing of entertainment for our diverse
population using the highest professional standards of presentation as
well as securing the best performing talent for our citizens to be
exposed to so they may not be culturally deprived. The use of
nationally recognized star talent will improve the cultural life of our
citizens as well as our city rating.
There is a need to continue to make our city attractive to
expansion, future industry and serving the increasing population. The
BROADWAY CELEBRITY PLAY SERIES will add towards making the City of San
Bernardino culturally viable. This program expands the cultural
possibilities for our citizens. Cultural diversity in programming of
such performing arts activities displays a sensitivity to the needs of
citizens of a city the size of San Bernardino.
The need for support of this program is crucial. This year is the
second season of the program running in a deficit since a grant was not
forthcoming from the city for the 90-91 Season. The parent organizat-
ion observed that deficit. The support is needed since the program has
not advanced sUfficiently to stand without grant support at this time.

Since the three play season is an emphasis on the Afro-American
cultural experience, our citizens will be provided a series of
professional plays that could not be offered otherwise. Such a
entertainment event as the play series will enlighten and entertain all
citizens of diverse cultures as no other presentation could.
A segment of our citizens, often the seniors, are restricted in
traveling in the evenings. Each play presentation will have two
matinee performances scheduled which would provide entertainment for
this portion of our city citizens who otherwise would not have an
opportunity of such a professional presentation.
Another important result of the BROADWAY CELEBRITY PLAY SERIES is
the improving the image of our city as a cultural entity. The city
image will be in keeping with the national city movement of utilizing
the performing arts to create a well developed society. Such a play
series would make our city appear in a positive light using the
performing arts to address issues in our culture.

Considering that the 1991-1992 Season will consists of
a minimum of thirty (30) performances, a grant of $50,000
against the season costs of $400,768.26 would mean that
.12% of the per performance cost would be covered by the
grant (a dollar amount of 1,666).
The dollar amount of grant support is most important to
the City of San Bernardino when one realizes the city
notoriety received due to this professional performing arts
theatre/play program. It mirrors the high cultural level
the city has obtained. City grant support of the program
places our city as a national leader in performing arts; a
positioned envied by larger cities in the USA who do not
have the artistic/cultural leadership which the Broadway
Celebrity Play Series has brought to San Bernardino.
