The Department in undertakina eertain blight redueina aetivities wishes to
purehase the property and demolish the struetures at "Parltside Medieal"
2730 North "E" Street, San Bernardino, California. Said aequisition and
demolition would eliminate an existina non-conformina land use pursuant to
the General Plan Amendment, adopted April, 1991, and allow the Department
to proceed with activities to promote the future development of "low and
moderate income" housina.

premises. Staff is satisfied that full
abatement was accomplished pursuant to
governmental approval.
PURCHASE PRICE:
Four-Hundred Thousand Dollars ($400,000.00).
SOURCE OF rmms:
Twenty-Percent (20%) Set Aside.
PLABlIBD/PROPOSBD USE:
Current land use is RS (Residential Suburban).
Staff recommends the removal of all existina
structures and developina a "low to moderate
income" residential area. The current land use
allows 4.5 units per acre. Low to moderate
income status increases their amount by
twenty-five percent (25%) to 5.6 units/acres
maximum.

recommends that immediately upon acquisition of
said property. the demolition contract be
formalized and work commenced. rhree (3)
proposals for this work have been recieved
rangina from $99,227 to $117,369 (including
fifteen-percent (15%) contingencies).
Staff recommends adoption of the attached resolutions and form motions "e"

value will be increased by a contingency of fifteen percent (1St) to compensate
for the uniform deletions used in bidding.

RESOLUTION OF THE MAYOR AND COMMON COUNCIL OF THE CITY OF
SAN BERNARDINO MAKING FINDINGS AND DETERMINATIONS AS TO THE
BENEFIT OF UNDERTAKING CERTAIN BLIGHT REDUCING ACTIVITIES FOR THE
UPTOWN REDEVELOPMENT PROJECT AREA OF THE AGENCY.
WHEREAS, the City of San Bernardino (the "City"), is a
municipal corporation and a charter city duly created and existing
pursuant to the Constitution and the laws of the State of
California: and
WHEREAS, the Community Development Commission of the City of
San Bernardino (the "Commission") on behalf of the Redevelopment
Agency of the Ci ty of San Bernardino (the "Agency" ), is a
redevelopment agency, a public body, corporate and pOlitic of the
State of California, organized and existing pursuant to the
Community Redevelopment Law (Part 1 of Division 24) commencing
with Section 33000) of the Health and Safety Code of the State of
California (the "Act"); and
WHEREAS, the Agency may, in furtherance of its redevelopment
purposes, undertake redevelopment projects either within or
without redevelopment project ~reas of the Agency to the extent
that it determines that such projects are of benefit to the
project areas of the Agency; and
WHEREAS, the Agency may undertake certain blight reducing
redevelopment activities (the "Blight Reducing Activities")
including but not limited to the purchase, demolition, and then
participation in the development of new residential structures
without the boundaries of, but adjacent to, the Uptown
Redevelopment Project Area of the Agency if toe Agency determines:
(1) that such Blight Reducing Activities are of benefit to the

1 Uptown Redevelopment Project Area of the Agency or the immediate
2 neighborhoods in which the project is located, and (2) that no
3 other reasonable means of financing such Blight Reducing
4 Activities are available to the community; and
5 WHEREAS, the use of "20% set aside funds" is authorized for
6 such Blight Reducing Activities to increase and improve the
7 community's supply of low- and moderate-income housing available
8 at affordable housing cost to persons and families of low- or
9 moderate-income and very low income households; and
10 WHEREAS, it is in the interests of the City and the Agency
11 that the Agency causes the undertaking of the Blight Reducing
12 Activities in order to reduce blighting conditions from the
13 subject site within the City and adjacent to the Uptown
14 Redevelopment Project Area which has a significant effect on the
15 Project Area; and
16 WHEREAS, the undertaking of the Blight Reducing Activities
17 will promote the development of the uptown Redevelopment Project
18 Area within the City, to the extent that it will make such project
19 area more desirable for industrial, commercial or residential
20 development which in turn will assist in the elimination of blight
21 within such area; and
22 WHEREAS, in order to pro~ote the City's health, safety and
23 welfare and ensure the orderly development of the Agency's Uptown
24 Redevelopment Project Area, it is important that the Blight
25 Reducing Activities be financed by the Agency; and
26 WHEREAS, it is appropriate at this time for the Mayor and
27 Common Council of the City (the "Council") to make certain
28 findings and determinations and take certain actions with respect

1 to the financing of the Blight Reducing Activities.
2 NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND COMMON
3 COUNCIL THE CITY OF SAN BERNARDINO AS FOLLOWS:
4 SECTION 1. The Recitals hereinabove are true and correct
5 and are incorporated herein by"this reference.
6 SECTION 2. The Mayor and Common Council consent to the
7 payment by the Agency of the costs of the Blight Reducing
8 Activities in order to implement the Uptown Redevelopment Plan of
9 the Agency for the reasons set forth in the Recitals hereinabove.
10 The Mayor and Common Council further find and determine that no
11 other reasonable means of financing the Blight Reducing Activities
12 are presently available to the City or the Agency and that the
13 City and the Agency require the use of revenues generated from the
14 uptown Redevelopment Project Area of the Agency in order to fund
15 the Blight Reducing Activities.
16 SECTION 3. The undertaking of the Blight Reducing
17 Activities will allow the Agency to promote redevelopment within
18 the Uptown Redevelopment Project Area of the Agency by eliminating
19 blighting conditions on a site adjacent to the Project Area which
20 in turn will help stimulate development of such project area and
21 its immediate neighborhoods:
22 . SECTION 4. The City Clerk is hereby authorized and directed
23 to cause this Resolution to be transmitted to the Commission for
24 consideration in connection with appropriate action by that body.
25 SECTION 5. This Resolution shall take effect upon the date
26 of its adoption.

WHEREAS, the City 'of San Bernardino (the "City"), is a

PURCHASE AGREEMENT
THIS AGREEMENT, made and entered into this '3AJaer~

, 1991 by and between the COMMUNITY
DEVELOPMENT COMMISSION OF THE CITY OF SAN BERNARDINO on behalf 0
the REDEVELOPMENT AGENCY OF THE CITY OF SAN BERNARDINO ("Agency"),
a publiC agency and SAN GORGONIO LAND COMPANY ("San Gorgonio"), a
California Corporation.
NOW THEREFORE, the parties hereto agree as follows:
1. Sale. San Gorgonio agrees to sell and Agency agrees to
purchase the following described real estate, with its
appurtenances, located in the City of San Bernardino, County of
San Bernardino, State of California:
See Exhibit "A" attached hereto and
incorporated herein.
2. Purchase price and method of payment. The purchase
price is Four Hundred Thousand Dollars ($400,000.00), payable to
San Gorgonio by Agency reconveying that certain deed of trust
covering the above described property and dated~~ 1991,
upon the payment by San Gorgonio of all accrued interest on such
deed of trust.
3. Title Insurance. San Gorgonio shall furnish to Agency I

an owner 's title insurance pOlicy insuring Agency to the full I
amount of the purchase price against loss or damage by reason of

defect in the title of San Gorgonio in the above described
premises, or by reason of prior liens not assumed by Agency under
this Agreement, such policy to be delivered to Agency at the close
of escrow.

1 If title to the described property is found to be defective
2 in the opinion of Agency Counsel, San Gorgonio shall have forty-
3 five (45) days after receipt of written notice of the purported
4 defects within which to cure such defects.
5 4. Taxes and assessmel1ts. Agency agrees to pay before
6 delinquency all taxes (if applicable) and assessments that may
7 hereafter become due on the premises. In the event Agency fails
8 to make any payment for taxes and assessments herein provided to
9 be made by Agency, San Gorgonio may make such payment and any
10 amount so paid by San Gorgonio, together with interest thereon
11 from the date of payment until repaid at the rate of five per cent
12 (5%) per annum, shall be repayable by Agency on demand, all
13 without prejudice to any other right San Gorgonio might have by
14 reason of such default.
15 5. Risk of loss. Risk of loss or damage to the premises
16 by fire or other casualty between the date of this agreement and
17 closing shall be and is assumed by San Gorgonio.
18 6. Deed. San Gorgonio agrees, on full payment of the
19 purchase price in the manner herein specified, to make, execute,
20 and deliver to Agency a good and sufficient grant deed to the
21 premises.
22 7. Closing. Closing will take place at
23 o'clock _m. on ,1991. Following the closing,
24 Agency shall have the right to exclusive possession of the
25 property.
26 8. Defaul t by Agency. Time is of the essence of this
27 contract. In the event Agency fails promptly to perform any
28 covenant or agreement herein contained, San Gorgonio may elect to

specifically enforce this agreement or to terminate this agreement
and may exercise its right to sue for damages for Agency's
default. Service of all demands, notices or other papers with
respect to such termination and retention of payments made may be
made by registered mail at Redevelopment Agency of the City of San

92418, or at such other address as Agency may indicate in writing
to San Gorgonio.
9. Default by San Gorgonio. If San Gorgonio is unable to
convey title in accordance with the terms of this contract, the
amount paid on account of the purchase price and the net cost of
examining the title shall, at the option of Agency, be returned to
Agency on demand: alternatively, Agency shall have the right of
specific performance or to sue for damages.
Service of such demand may be made by registered mail

at San Gorgonio Land Company, P.O. Box ~, San Bernardino, CA
92402, or at such other address as San Gorgonio may indicate in
writing to purchaser.
10. Assignment. This agreement shall be freely assignable
by Agency,. without the prior consent of San Gorgonio. However, no
assignment shall be binding on San Gorgonio until an executed copy
of it is delivered to San Gorgonio at the address set forth above.
Upon delivery of the copy to San Gorgonio, Agency shall be
relieved of all liabilities under this contract.
11. Condition of. premises. Agency stipulates that a full
inspection of the premises has been made and that neither San
Gorgonio nor his assigns shall be held to any covenant respecting
the condition of any improvements on the premises, or to any

1 agreement for alterations, improvements, or repairs, unless the
2 covenant or agreement relied on is in writing and attached to and
made a part of this contract.
12. Hold Harmless. Agency agrees to defend, indemnify,
save and hold San Gorgonio, its officers, agents and employees
harmless from any claims or suits that may be brought by third
persons on account of personal injury, death, or damage to
property or personal interest, arising on or related to the
property while San Gorgonio held title.

That certain parcel of land in the City of San Bernardino,
County of San Bernardino, State of California, described as
follows:
The North one half of Lot 2 and all of lots
3 to 9 inclusive and the east 140.25 feet
of lots 25 to 30, inclusive, Block 1, Tract
No. 1733 as per plat recorded in Book 26 of
Maps, pages 7 to 12, inclusive, records of
said County.
EXCEPTING THEREFROM the west 15 feet of
lots 7 through 9, inclusive. ALSO
