2 DIRECTING THE EXECUTION OF A COMMUNITY DEVELOPMENT BLOCK GRANT
FUNDING AGREEMENT BETWEEN THE CITY OF SAN BERNARDINO AND EQE

authorized and directed to execute, on behalf of the City, an
agreement for Community Development Block Grant funding with
EQE Engineering, a copy of which agreement is attached hereto
as Exhibit "1", and is incorporated herein by reference as
though fully set forth at length. The agreement provides for
the granting of Community Development Block Grant funds in the
following amount of $39,200.00.
(b) The authorization to execute the above referenced
agreement is rescinded if the parties to the agreement fail to
execute it within sixty (60) days of the passage of this
resolution.

WHEREAS,
all
Unreinforced
8 Masonry Buildings (URM) within the City for the purpose of
9 developing a Seismic Unsafe Building Program; and
10
WHEREAS, in order to identify the Unreinforced Masonry
11 Buildings within the City, it is necessary to retain the
12 professional services of a qualified engineering and consult-
13 ing firm; and
14

WHEREAS, Engineer is qualified to provide said profes-
16
WHEREAS, San Bernardino City Council has elected to
17 engage the services of Engineer upon the terms and conditions
18 hereinforth set forth.
19 NOW, THEREFORE, City and Engineer mutually agree as

1.
Scope of Services.
Engineer shall perform those services specified in
23 "Request For Proposals", a copy of which is attached hereto as
24 Attachment "A" and incorporated as though set forth in full.

2.

authorized by this agreement are for valid and eligible
community development purposes, as defined in 24 CFR, Part 570
in accordance with federal law and regulations, and that all
funds granted under this agreement will be used for no
purpose(s) other than those purposes specifically authorized.
The specific purposes and scope of services of this particular
grant are set forth in the "Request for Proposal".
(b) Engineer will comply with applicable uniform
administrative requirements, as described in 24 CFR, Part
570.502.
(c) Engineer will carry out each activity in
compliance with all federal laws and regulations as set forth
in 24 CFR, Part 570, with the following exceptions, (i) the
Engineer does not assume the environmental responsibilities of
the Grantee as described in 24 CFR, Part 5780.604, and; (ii)
the Engineer does not assume the City's responsibilities for
initiating the review process under Executive Order Number
12372.
3. Chanqes/Extra Services.
(a) Performance of the work specified in the
"Request For Proposals", is made an obligation of Engineer
under this Agreement, subject to any changes made subsequently
upon mutual agreement of the parties. All such changes shall
be incorporated by written amendments to this Agreement and
shall include any increase or decrease in the amount of
compensation due Engineer for the change in scope. Any change

1 which has not been so incorporated shall not be binding on
2 either party.

(b) No extra services shall be rendered by Engineer
4 under this Agreement unless such extra services are author-
5 ized, in writing, by the City prior to performance of such
6

4.
Payments.
city shall reimburse Engineer for allowable costs
12 incurred under the scope of this agreement and applicable
13 federal regulations, which have not been paid for or reim-
14 bursed in any other manner by any other agency or private
15 source of funding. Reimbursement shall be made on a monthly
16 basis, with the total of such reimbursements not to exceed
17 $39.200.00, upon the approval of the Department of Building
18 and Safety.

5.
Term.
This agreement shall commence as of the date of
21 execution by City and terminate on January 30, 1990, unless
22 extended by written agreement of the parties.

6.
Use of Funds: Budqet: Travel Limitation.
(a) The funds paid to Engineer shall be used by it
25 solely for the purposes set forth in Paragraph 1 (entitled
26 Scope of Services) of this agreement.

(b)
No travel expenses for out-of-state travel
2 shall be included in this program unless specifically listed
3 in Engineer's proposal as submitted, and all travel expenses
4 to
be funded from funds provided hereunder
shall
be
5 specifically identified as travel expenses, which shall be
6
7
negotiated between the City of San Bernardino Department of
Building and Safety and Engineer as an extra.
Any travel
8 expenses incurred by Engineer above the budgeted amount for
9 out-of-state travel shall not be eligible for reimbursement
10 unless the prior written approval of the Director of Building
11 and Safety of the city of San Bernardino, or his/her designee,
12 has been obtained.

7.
Accounting; Audit.
(a) Prior to the final payment under this agree-
15 ment, and at such other times as may be requested by the
16 Director of Building and Safety of the city of San Bernardino,
17 Engineer shall submit to the Director an accounting of the
18 actual expenditures of doing the survey, including but not
19 limited to number of employees, rate of pay, number of hours
20 worked, etc.

(b)
Financial records shall be maintained by
22 Engineer in accordance with Generally Accepted Accounting
23 Principles, and in a manner which permits City to trace
24 expenditures to source documentation.
All books and records
25 of Engineer are to be available for inspection at the request
26 of the City, its officers or agents, and by any representative

1 of the United states of America authorized to audit community
2 development block grant programs.
3 (c) standards for financial management systems and
4 financial reporting requirements established by 24 CFR, Parts
5 85.20 and 85.22 shall be fully complied with by Engineer.
6 Engineer acknowledges that the funding for doing the survey is
7 from City's federal Community Development Block Grant Funding.

8.
Com~liance with civil Riqhts Laws.
Engineer hereby certifies that it will not discrimi-
10 nate against any employee or applicant for employment because
11 of race, color, religion, sex, marital status or national
12 origin. Engineer shall promote affirmative action in its
13 hiring practices and employee policies for minorities and
14 other designated classes in accordance with federal, state and
15 local laws. Such action shall include, but not be limited to,
16 the following:
recruitment and recruitment advertising,
17 employment, upgrading, and promotion. In addition, Engineer
18 shall not exclude from participation under this agreement any
19 employee or applicant for employment on the basis of age,
20 handicap or religion in compliance with state and Federal
21 laws.

9.
Procurement Practices: Conflict of Interest.
Engineer shall comply with procurement procedures
24 and guidelin~s established by 24 CFR, Part 85.36(d) (1),
25 Engineer "Procurement Standards". In addition to the specific
26 requirements of 24 CFR, Part 85, Engineer shall maintain a

1 code or standards of conduct which shall govern the perfor-
2 mance of its officers, employees or agents in contracting with
3 and expending the federal grant funds made available to
4 Engineer under this agreement. Engineer's officers, employees
5 or agents shall neither solicit nor accept gratuities, favors,
6 or anything of monetary value from building owners or poten-
7 tial building owners. To the extent permissable by state law,
8 rules, and regulations, the standards adopted by Engineer
9 shall provide for penalties, sanctions or other disciplinary
10 actions to be applied for violations of such standards by
11 either the Engineer's officers, employees or agents, or by
12 contractors or its agents. Engineer shall provide a copy of
13 the code or standards adopted to City forthwith.

10.
Anti-Kick Back Provisions; Eaual
Emplovment
15 opportunitv_

Engineer agrees to comply with the Copeland "Anti
17 Kick Back" Act (18.U.S.C. 874) as supplemented in Department
18 of Labor Regulations (29 CFR, Part 3). This Act provides that
19 each employee or contractor shall be prohibited from inducing,
20 by any means, any person employed in the construction,
21 completion or repair of public work, to give up any part of
22 the compensation to which he/she is otherwise entitled.
23 Engineer shall report all suspected or reported violations to
24 City.

11.
Temporarv withholdinq.
The Director of Building and Safety of the City of

1 San Bernardino is authorized to withhold the payment of funds
2 to Engineer when the Director determines that any violation of
3 this agreement has occurred. Funds shall be withheld until the
4 violation is corrected to the satisfaction of the Director.
5 Engineer shall have the right to appeal the decision of the
6 Director to the Mayor and Common Council.
The sole grounds
7 for such appeal shall be that no violation of the agreement
8 has occurred. Engineer shall file such appeal within fifteen
9 (15) days after such first notice of withholding. The Mayor
10 and Common Council shall set a date for the hearing of such
11 appeal within thirty (30) days following the date of filing.

Records Retention.

Financial records, supporting documents, statistical
14 records, and all other records pertaining to the use of the
15 funds provided under this agreement shall be retained by
16 Engineer for a period of three (3) years, at a minimum, and in
17 the event of litigation, claim or audit, the records shall be
18 retained until all litigation, claims and audit findings
19 involving the records, have been fully resolved.

13.
Termination for Cause.
(a)
City reserves the right to terminate this
22 agreement in accordance with 24 CFR, Part 85.43, and any and
23 all grants and future payments under this agreement, in whole
24 or in part, at any time before the date of completion of this
25 agreement whenever City determines that the Engineer has
26 materially failed to comply with the terms and conditions of

this agreement.
In the event city seeks to terminate this
2 agreement for cause, City shall promptly notify the Engineer
3 in writing of the proposed termination and the reasons
4 therefore, together with the proposed effective date. Engineer
5 shall be given an opportunity to appear before the Mayor and
6 Common Council at the time which the Mayor and Common Council
7 are to consider such recommended termination, and shall be
8 given a reasonable opportunity to show cause why, if any
9 exists, the agreement should not be terminated for cause.
10 Upon determination by the Mayor and Common Council that the
11 agreement should be terminated for cause, notice thereof,
12 including reasons for the determination, shall promptly be
13 mailed to the Engineer, together with information as to the
14 effective date of the termination. Such notice may be given
15 orally at that hearing. The determination of the Mayor and
16 Common Council as to cause shall be final.

(b) In the event of any termination whether for
18 cause or for convenience, Engineer shall forthwith provide to
19 the Director of Building and Safety any and all documentation
20 needed by the Department of Building and Safety to establish a
21 full record of all monies received by Engineer and to document
22 the uses of same.

14.
Termination for Convenience.
This agreement may be terminated for the convenience
25 of the City upon thirty (30) days written notice to Engineer.
26 Upon such notice, Engineer shall provide work product to City

1 and City shall compensate Engineer in the manner set forth

above.
15. Hold Harmless.
Engineer agrees to indemnify, save and hold harmless
the City and its employees and agents from all liabilities and
charges, expenses (including counsel fees), suits or losses,
7 however occurring, or damages, arising or growth out of the
8 use of or receipt of funds paid under this agreement and all
9 operations under this agreement. Payments under this agree-
10 ment are made with the understanding that the City is not
11 involved in performance of services or other activities of the
12 Engineer. Engineer and its employees and agents are indepen-
13 dent contractors and not employees or agents of City.

16.
Liability/Insurance.
(a) Engineer's liability to the City for injury or
16 damage to persons or property arising out of work performed
17 for the City and for which legal liability may be found to
18 rest upon Engineer other than for professional errors and
19 omissions, will be limited to $1,000,000. For any damage on
20 account of any error, omission or other professional negli-
21 gence Engineer's liability, will be limited to a sum not to
22 exceed $50,000.00 or Engineer's fee, whichever is less.

(b)
The City will require the Engineer to provide
24 Workers Compensation and
comprehensive general liability
25 insurance, including completed operations and contractual
26 liability, with coverage sufficient to insure the Engineer's

1 indemnity, as above required.
2 (c) Engineer shall provide evidence of insurance in
3 the form of a policy of insurance, in which the city is named
4 as an additional named insured to the extent of the coverage
5
required by this Agreement.
This requirement does not apply
6 to professional liability coverage.

Amendment.
17.
This agreement may be amended or modified only by
9 written agreement signed by both parties, and failure on the
10 part of either party to enforce any provision of this agree-
11 ment shall not be construed as a waiver of the right to compel
12 enforcement of any provision or provisions.

18.
Assianment.
This agreement shall not be assigned by Engineer
15 without prior written consent of city.
16
Notices.

17 All notices herein required shall be in writing and
18 delivered in person or sent certified mail, postage prepaid,
19 addressed as follows:

Evidence of Authoritv.
Engineer shall provide to City evidence in the form

of a certified copy of minutes of the Engineer's Authority, or
other adequate proof, that this agreement has been approved in
all its detail by the corporate body of Engineer's, that the
person(s) executing it are authorized to act on behalf of
Engineer, and that this agreement is a binding obligation on
Engineer.
21. Entire Agreement.
This agreement and any document or
instrument
attached hereto or referred herein integrates all terms and
conditions mentioned herein or incidental hereto, and super-
cedes all negotiations and prior writing with respect to the
subject matter hereof. In the event of conflict between the
terms, conditions or provisions of this agreement, and any
such document or instrument, the terms and conditions of this
agreement shall prevail.
22.
No Third Party Beneficiaries.
No third party shall be deemed to have any rights
hereunder against any of the parties hereto as a result of
this agreement.

Agreement Between City of San Bernardino and EQE Engineering,
Inc. to Identify All Unreinforced Masonry Buildings (URM) Within
the City
Dear Mr. Reed:
Enclosed is the information requested by the City of San Bernardino (City) relating to the
referenced agreement dated September 28, 1989 to perform a survey identifying all
unreinforced masonry buildings (URM) within the City.
Section 20 of the Agreement requests evidence be provided that the persons (Messrs. Douglas
o. Frazier and George W. Reitter) executing the agreement are authorized to act on behalf
of EQE Engineering (EQE). Attached please find a copy of EQE's organization chart. Note
that Mr. Frazier is the President and Mr. Reitter is the Chief Financial Officer. Mr. Reitter
is also the Secretary of the Board of Directors of the corporation. These officers are
authorized to sign the referenced agreement as a result of normal accepted practice within
the corporation. A sample of Mr. Frazier's signature is provided in the attached copy of an
introductory page to our employee handbook.
Section 9 of the Agreement requests that EQE provide a copy of our code or standards of
conduct. We do not have such a document. We do, however, intend to conduct ourselves in a
professional and ethical manner in the course of the referenced survey project. Our officers,
employees or agents will not solicit nor accept gratuities, favors, or anything of monetary
value from building owners or potential building owners in the course of the project.
We hope this clarifies our position with respect to the above matters.

Prior to executing the Contract, we request that the City forward to us the specific
requirements from 24 CFR, Part 85 which are directly applicable to this project. Most of 24
CFR, Part 85 is not applicable to this project. Unless portions are specifically highlighted and
clarified, this document may continue to cause confusion and misunderstandings.

This letter is to amend the agreement adopted by resolu-
tion by the City of San Bernardino with EQE Engineering on
October 2, 1989.
As noted in section 17, the agreement may be amended by
written agreement signed by both parties.
During a discussion on October 4, 1989, it was mutually
agreed to change two deadlines:
1) In section 5. Terms, the date of termination is
amended from January 30, 1990 to February 16, 1990.
2) In Task #1 of the Request for Proposals, the date for
providing a description of methodology is amended from
October 13, 1989 to October 27, 1989.

Dear Mr. Reed:
Per our discussion with Mr. Charles P. Dunham, C.E., of the City of San
Bernardino on October 6, 1989, it was mutually agreed that Attachment A referred
to in Section 1 as "Request for Proposals" also include EQE's response:
"Proposal to Perform a Field Survey of Unrein forced Masonry Buildings

REQUEST POR PROPOSALS
The City of San Bernardino is seeking consultants to submit
proposals for identifying all unreinforced masonry buildings
(URM) within the City as part of the City's development of a
a seismic hazard mitigation program. The main task is to
survey and identify the (URM) buildings in the City. For the
purpose of this Bid Proposal, use a minimum of 300 buildings.
A fire wall (party wall) will determine the beginning or end
of a separate building.
A copy of the Request for Proposals may be obtained from the
City of San Bernardino Building and Safety Department. Please

"Identification of all unreinforced Masonry Buildings"
In the City of San Bernardino, California
, Pursuant to Title 24 of the California Statutes
I. PURPOSE
To have a report that lists all unreinforced masonry buildings and owners
except for those structures that are exempt by state Law. This list will
be used by the City to notify owners of the need to do a detailed
structural analysis. This detailed structural analysis may lead to
retrofitting of the building or demolition to protect the public safety.
II. BACKGROUND
The City adopted an earthauake hazard reduction in existina buildinas
Ordinance on April 4, 1983. A copy of this Ordinance is attached for
reference. The City Council, on August 18, 1989, approved the use of
community Development Block Grant (CDBG) monies to fund a study identifying
unreinforced masonry buildings.
III. CONTRACTUAL REQUIREMENTS
A. The consultant selected for this commission will be required to
complete the following tasks in fulfilling the contract.
Task #1
Describe methodology of how the survey will be done, including
copy of individual building survey report indicating why the
building was determined to be an URM.

Identify (do a survey) of 300 buildings, complete individual
building survey report with pictures for each building.
a. provide the Department of Building and Safety with a progress
report by November 17, 1989
b. give a second update by December 22, 1989

Prepare a final report to include a narrative of each preceding
task along with a copy of each individual building report (7
copies of final report).
B. The consultant selected for this survey will be given three (3)
weeks to do task #1 and ninety (90) calendar days to complete
task #2, 3 and 4.
C. In addition, the consultant is expected to be available for
consultation with the City after the survey phase. The purpose
of consultation time is for meetings with staff and Building
owners to explain the survey and questions of methodology in
support of the final report.
IV. PROPOSAL REQUIREME~TS
A. Each proposal submitted in response to this RFP shall be
submitted in a sealed envelope and contain the following:
1. Consultant Workplan:
a. Detailed approach to each task and how it will be
completed. Regarding Task Number 1, the proposal shall
define methodology identifying Unreinforced Masonry
Buildings and a sample of the survey sheet.
b. Time frame for completion of each task, and for the study
as a whole.
2. Consultant Qualifications:
a. Description of past experience conducting similar studies.
b. Capacity of the firm performing the work within the
specified time limitation.
c. Qualifications of the person(s) responsible for completing
each task.
d. References willing to attest to quality of past work.
e. Experience with governmentally-funded projects.
f. Familiarity witb the City of San Bernardino.

3. Charges for Consulting Services:
Description of the consultant fee schedule, including
peripheral costs such as printing, attending meetings after
the initial survey, etc.
4. Affirmative Action/Equal Opportunity:
The contractor shall describe its policies on affirmative
action and its willingness to abide by all mandated equal
opportunity provisions in the execution of services under the
proposed contract.
V. DEADLINE FOR PROPOSAL SUBMISSION
A. To be considered, proposals must be complete and signed by a
person or persons with the authority to commit the necessary
resources to undertake a survey to identify all unreinforced
masonry buildings (URM) for the City of San Bernardino.
B. The deadline for the submission of proposa}s is 4:00 p.m. on
Friday, September 22, 1989. The Building and Safety Department
shall assume that organizations not responding by the above date
and time have elected not to submit a proposal. Any DroDosals
received after the stated submission deadline will not be
eliaible for consideration.

This schedule of charges is for professional services provided on a time and material basis. If services are
provided on a fixed fee basis, the Client agrees to pay the fixed fees as scheduled in the proposal.

An overtime premium of 35% shall be applied to the above rates for hours worked in the field in excess of 8
hours per day or 40 hours per week.
The above rates shall be increased by 50% for hours spent in court as an expert witness or in preparation for or
giving legal depositions with a minimum charge of $700 per day for time spent at court or at a legal deposition
including travel time to and from the office.
Direct expenses that are directly attributable to the performance of the work; such as travel, subsistence, long
distance communications, reproduction charges, subcontracts, outside services, photo supplies, and equipment
rentals will be charged at 1.1 times cost.
