RESOLUTION AUTHORIZING A STAFF REPORT
MEMORANDUM OF UNDERSTANDING
BETWEEN THE CITY OF SAN
BERNARDINO AND THE HIGHLAND
SENIOR CENTER, HIGHLAND DISTRICT
COUNCIL ON AGING, INC., FOR
SENIOR NUTRITION PROGRAM MEALS.
HIGHLAND SENIOR CENTER
Subject Memorandum of Understanding is required to formalize
the continued establishment of a Senior Nutrition Program
feeding site at the Highland Senior center, 3102 East High-
land, Highland, California, and to outline the responsibili-
ties applicable to both parties in respect to the operation
of said site.
Senior Nutrition meals were first provided at Highland Senior
Center in 1986. Meals are prepared at perris Hill Senior
citizens Center and transported to Highland Senior Center.
All costs are fully reimbursed through the Federal Senior
Nutrition grant administered by the county.

RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING
THE EXECUTION OF A MEMORANDUM OF UNDERSTANDING WITH HIGHLAND
SENIOR CENTER, HIGHLAND DISTRICT COUNCIL ON AGING, INC.,
RELATING TO A NUTRITION FOR SENIORS PROGRAM.

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE
CITY OF SAN BERNARDINO AS FOLLOWS:
6 SECTION 1. The Director of Parks, Recreation and
7 Community Services Department of the city of San Bernardino
is hereby authorized and directed to execute on behalf of
said city a Memorandum of Understanding with Highland Senior
Center, Highland District Council on Aging, Inc., relating to
a Nutrition for Seniors Program, a copy of which is attached
hereto, marked Exhibit
"A" and incorporated herein by
reference as fully as though set forth at length.
SECTION 2. The authorization granted hereunder shall
expire and be void and of no further effect if the agreement
is not executed by both parties and returned to the office of
the City Clerk within 60 days following effective date of the
resolution.

1 MEMORANDUM OF UNDERSTANDING
2 (Nutrition for Seniors program)
3 THIS MEMORANDUM OF UNDERSTANDING is made and entered
4 into this day of 1991, by and
5 between the city of San Bernardino, a municipal corporation,
6 hereinafter referred to as "city", and the Highland Senior
7 Center, Highland District council on Aging, Inc., hereinafter
8 referred to as the "Center".
9 City and Center agree as follows:
10 1. This Memorandum of Understanding is made with
11 reference to the following facts and objectives:
12 A. City currently operates a Nutrition for Seniors
13 Program, which program is the subject of a contract between
14 the County of San Bernardino Office on Aging and the City of
15 San Bernardino.
16 B. The parties desire to formalize a Senior citizen
17 Nutrition Site at 3102 East Highland, Highland, California
18 92346, a private, non-profit facility serving senior
19 citizens. Center sub-leases the facility from the County of
20 San Bernardino Office on Aging which leases the facility from
21 the State of California Department of Health.
22 2. Duties of Center. Center shall:
23 A. Provide suitable and adequate space for the
24 consumption of meals in a designated area and allow use of
25 kitchen equipment in support of the serving of meals
26 transported in bulk by the City.

1 B. Provide all necessary Volunteers and any paid
2 personnel it may contract for from any source.
3 C. Adhere to all Health Code requirements,
4 including but n9t limited to those pertaining to sanitation
5 and food handling principles.
6 D. Safeguard any equipment furnished by the city.
7 E. Collect donations for meals and maintain
8 accountability on all meal donations in accordance with the
9 following:
10 (1) Suggested donation for all Senior Nutrition
11 Program meals is one dollar and seventy-five cents ($1.75).
12 (2) sixty years of age is the minimum age for
13 participation in the Senior Nutrition Program. A spouse of a
14 qualifying senior, regardless of age, may also participate on
15 the same donation basis when accompanied by the spouse who
16 qualifies.
17 (3) Guests of seniors not sixty years of age
18 must pay a guest meal fee which is the actual cost of the
19 meal. Presently, this fee is three dollars and fifty cents
20 ($3.50), but is subject to revision based upon variations in
21 participation which affect the cost of each meal. Any
22 necessary revisions in this fee will be coordinated in
23 advance each three months.
24 F. Senior Companion Program (SCP) and Adult Day
25 Health Care Center participants shall be required to sign on
26 a separate daily meal accountability record.
27 G. Center shall allow placement of a sign to be

1 furnished by city with substantially the following language
2 in the designated food consumption areas:
3 "TO WHOM IT MAY CONCERN
4 The Senior citizens Nutrition Program shall not
5 be responsible for any food removed from this
6 site by participants following the serving of a
7 regularly scheduled nutrition meal.

9 3. Duties of the city. The city shall:
10 A. Furnish a maximum of thirty-two complete meals
11 (in bulk) in accordance with the schedule below. City shall
12 also provide such equipment as the city deems necessary to
13 provide the food, consumable supplies and forms for
14 accountability.
15 B. Provide the meals referenced above Monday
16 through Friday, 12:00 PM to 1:00 PM., excluding all holidays
17 on which either the City and/or the Center does not operate.
18 A list of such dates shall be coordinated between the Senior
19 Nutrition Project Director and the Center Director upon
20 execution of this Memorandum of understanding.
21 4. Chanqes. City or Center may request changes in the
22 scope of services of either party to be performed under this
23 Memorandum of Understanding. Said changes, including an
24 increase or decrease in the amount of delivery or the days of
25 service, must be mutually agreed upon by City and center, and
26 must be incorporated in written amendment to this Memorandum
27 of Understanding, except as provided in the "Term" provision
28 of this Memorandum of Understanding.

1 5. Compliance with the Law. Center shall comply with
2 all applicable laws, ordinances and codes of the federal,
3 state and local governments, including but not limited to
4 those pertaining to the Senior Nutrition Program.
5 6. Liability Insurance. Center agrees to procure and
6 maintain in force during the term of this Memorandum of
7 Understanding, and any extension thereof, at its expense,
8 public liability insurance in companies and through brokers
9 approved by the city, adequate to protect against liability
10 for damage claims arising out of Center operations under this
11 Memorandum of Understanding in a minimum amount of One
12 Million Dollars ($1,000,000) combined single limit. Center
13 shall provide to the City's Risk Management Division prior
14 to serving any meals a Certificate of Insurance and an
15 additional insured endorsement which provides:
16 A. City of San Bernardino is an additional
17 insured.
18 B. The insurance company name, policy number,
19 period of coverage, and amount of insurance.
20 C. That the City Clerk of the City of San
21 Bernardino must be given notice in writing at least thirty
22 days prior to cancellation, material change, or refusal to
23 renew the policy.
24 D. That Center's insurance will be primary to any
25 coverage the City of San Bernardino may have in effect.
26 7. Political Activity Prohibited. Funds, materials,
27 property or services contributed by the Office on Aging or
28 city under this Memorandum of Understanding shall not be used

1 for any participant political activity, or to further the
2 election or defeat of any candidate for public office.
3 8. Reliqious Activities Prohibited. Religious worship
4 instruction or.. proselytization shall not be instigated as
5 part of or in connection with the performance of this
6 Memorandum of Understanding.
7 9. Hold Harmless. Center shall defend, indemnify and
8 hold City, its elective and appointive boards, commissions,
9 officers agents and employees harm,less from any liability for
10 damage or claims for damage, including all claims for
11 property damage and any and all other claims or liability
12 which may arise from city's operations under this Memorandum
13 of Understanding, whether such operations, be by City or by
14 anyone or more persons directly or indirectly employed by,
15 or acting as agent for city.
16 10. Term. This Memorandum of Understanding shall be
17 effective immediately and shall continue in effect for a
18 period of one year subject to termination by either party for
19 any reason upon thirty days' written notice to the other
20 party, provided, however, that should county, state or
21 federal funding for the Nutrition for Seniors Program cease
22 or decrease, City may unilaterally terminate this Memorandum
23 of Understanding forthwith upon notification to Center.
24 11. Notice. All notices to the parties arising as a
25 result of this Memorandum of Understanding shall be in
26 writing and delivered in person or sent by certified mail,
27 postage prepaid, return receipt requested, addressed as
28 follows:
